COMMUNICATION PROTOCOL
City of Piedmont pledge is for the procurement process for garbage collection, disposal and
recycling services to be open, objective, carefully monitored, and understandable to all. The
following rules will be adhered to and enforced.
Until the Piedmont City Council awards the contract, all contact between participants and the

Any attempt to contact or interact with any elected or appointed official for the purpose of
influencing the selection process will be grounds for disqualification from the selection process.
All communications between the City of Piedmont and a participant, along with the related
responses, will be transmitted simultaneously to all participants.
Any participant who fails to recognize or utilize this process of communication will be notified of
its violation and may be subject to disqualification from the selection process at the sole
discretion of the City of Piedmont.
All participants must acknowledge and sign this statement as part of the RFP process. All
participants must provide a signed ORIGINAL of this statement by the close of the
MANDATORY pre-proposal meeting. Participants that do not provide this signed statement will
be disqualified from this procurement process.

PERFORMANCE BOND
KNOW ALL MEN BY THESE PRESENTS: that
as Principal, hereinafter called Contractor,
and,
as Surety, hereinafter called Surety, are held firmly bound unto City of Piedmont, CA as
Obligee, hereinafter called the City, in the amount of
for the payment whereof Contractor and
Surety bind themselves, their heirs, executors, administrators, successors and assigns, jointly and
severally, firmly by these presents.
WHEREAS, Contractor has by written agreement dated
,2007, entered into a contract with the
City for providing collection Services in accordance with RFP specifications and Agreement of the City,
which Agreement is by reference made a part hereof, and is hereinafter referred to as the Agreement.
NOW, THEREFORE, THE CONDITION OF THIS OBLIGATION is such that, if Contractor shall promptly
and faithfully perform said Agreement, then this obligation shall be null and void; otherwise it shall
remain in full force and effect.
The Surety hereby waives notice of any alteration or extension of time made by the City.
Whenever Contractor shall be, and declared by the City to be in default under the Agreement, the City
having performed the City's obligations thereunder, the Surety may promptly remedy the default, or shall
promptly perform one of the following:
1. Complete the Agreement in accordance with its terms and conditions.
2. Obtain a bid or bids for completing the Agreement in accordance with the terms and conditions,
and upon determination by the Surety of the lowest and most responsible bidder, or if the City
elects, upon determination by the City and the Surety jointly of the lowest and most responsible
bidder, arrange for a contract between such bidder and the City, and make available as work
progresses (even though there should be a default or a succession of default under the contract
or contracts of completion arranged under this paragraph) sufficient funds to pay the cost of
completion less the balance of the contract price; but not exceeding, including costs and
damages for which the Surety may be liable hereunder, the amount set forth in the first
paragraph hereof. The term "balance of the contract price," as used in this paragraph, shall
mean the total amount payable by the City to Contractor under the Agreement and any
amendments thereto, less the amount properly paid by the City to Contractor.
Any suit under this bond must be instituted before the expiration date of the Agreement or if extended for
an additional term by the City, the expiration of the extended term.
No right of action shall accrue on this bond to or for the use of any person or corporation other than the
City named herein or the executor, administrator or successors of the City.
As part of this obligation secured hereby and in addition to the face amount specified therefor, there
shall be included costs and reasonable expenses and fees, including attorneys fees incurred by the City
in successfully enforcing such obligation all to be taxed as costs and included in any judgment rendered.

EXCEPTIONS TO CONTRACT
Proposers are to prepare the Cost Proposal Forms based on the program specifications set
forth in the RFP documents without considering any exceptions that may be set forth on this
form. In the event the Proposer takes exception to the RFP specifications they may set forth
those exceptions in the following manner.

The exceptions are to be presented on a separate paper titled, “Form Exceptions to
Agreement”.

Each exception must be presented separately by stating: the specific exception, the
page and line numbers of the exception, the suggested changes to the program related
to the exception, the suggested changes in the Agreement language related to the
exception, the manner in which the proposed change would benefit the City, the
customers or both, and the specific dollar change in each of the various service rates,
as proposed by the Proposer in this RFP, that would take place if the exception was
accepted by the City.

The exceptions must be followed with the following language without exception.

“Except as set forth above, Proposer is in complete agreement with the proposed
terms, conditions and business arrangements described in the RFP including the
attached Agreement. The Proposer assumes the risk of all conditions foreseen
or unforeseen and agrees to provide the services set forth in the Agreement
under whatever circumstances may develop other than as herein provided.”


In preparing the Rate Proposal Forms Proposers should be aware of the following:
All collection Service Rates proposed on these forms for City of Piedmont shall be fixed
through July 1, 2009 and should reflect service requirements as specified in the Agreement.
Proposer must complete Forms M-2 – M-6 if they are to be considered for Agreement Award.

work to be done as set forth in Sections 1 – 6 of this RFP.
