We, the Credit User specified below, request The Royal Bank of Scotland plc, Australia Branch (RBS) to
establish a Direct Credit Transaction Negotiation Authority (TNA) authorising RBS to accept payment
instructions lodged (whether electronically, by disk or otherwise) by us, the Bureau (specified below) or
the Bureau Bank (specified below), which include direct credit instructions on our behalf, and to act on
such instructions (in each case, identified by our User Identification Number assigned to us by RBS or as
specified below) subject to the processing limits specified below as to value, frequency and period
(Transactions).
In consideration of RBS granting this request we authorise RBS to debit our Account (specified below) for
the full value of the Transactions. RBS may debit the Fee Account (specified below) for related fees
(including establishment fees) and associated processing charges (including charges imposed by the
Bureau Bank). Without limiting the right of RBS to reject any payment instruction, if there are insufficient
funds in the Account or Fee Account, as relevant, to make these payments, we authorise RBS to debit
any shortfall from any other account we maintain with RBS and we acknowledge and agree that we are
liable to RBS for such shortfall and that we must immediately pay such shortfall to RBS on demand.
If the total value of all direct credit instructions requested to be made in any given period causes any
applicable processing limit in respect of the Account to be exceeded, we acknowledge that RBS will
assess the risk involved and may, in its absolute discretion and without reference to us, reject or accept
such instructions. For the avoidance of doubt, the transactions represented by such instructions (if
accepted) are "Transactions" for the purpose of this document. In each case where a processing limit is
exceeded, a fee is payable to RBS.
We acknowledge that RBS may in its absolute discretion give priority to the Transactions over any
cheques or other mandates or authorities drawn or given now or in the future in respect of the Account.
Notwithstanding anything in this document, we acknowledge that, as against us, RBS is not bound to
accept any payment instructions and that the TNA may be reviewed at any time by RBS and may be
terminated by either RBS or us upon written notice but without prejudice to liabilities, if any, incurred prior
to the date of receipt of such notice.
The terms of this document, once provided to RBS, may only be amended by written agreement between
RBS and us.
This document is governed by the laws of New South Wales.
