Agreement Between Developer of an Entirely Online Course and Stevens Institute of Technology Whereas Stevens Institute of Technology (hereinafter the “Institute”) wishes to foster the creation of the best possible courses to be delivered to students entirely via a computer network; Developer shall receive the entire compensation for developing the Course upon satisfactory completion of the Course on or about Date Whereas, the Institute wishes to foster the dissemination of new knowledge while maintaining high academic standards; Whereas, the Institute wishes to provide incentives for its faculty and students to participate in the creation and use of such entirely online courses; and once a complete digital version of the Course is mounted successfully on the courseware applications to be used by Developer, the Instructor, and online students. 5. Licensing. In the event a license is granted to a third party for the reproduction, distribution and/or use of the Course, Developer shall receive thirty-three and one-third percent (33-1/3%) of any Net Royalties received by the Institute. “Net Royalties” means revenues in excess of compensation paid to Developer for developing the Course. 6. Other Employee Instructors. In the event that Developer teaches the first offering of the Course and a third party is employed by the Institute to teach subsequent offerings of the Course, Developer shall receive three percent (3%) of the Net Tuition Revenue received by the Institute. “Net Tuition Revenue” means actual dollar tuition revenue received, less any discounts, royalties or other monies paid to third parties. 7. Institute’s Obligations. The Institute shall provide appropriate technical and other infrastructure for the Course in order to deliver it to students over the Internet. The Institute shall have no further obligations to Developer with respect to the Course. 8. Course Development. In developing the Course, Developer shall conform to the academic and pedagogical standards as specified by Developer’s Program Director. In addition: Whereas, the Institute wishes to promote the ability to access, acquire and store information and to help students and faculty use such information in accordance with copyright law; Now therefore, it is agreed by and between …ALLEN GINSBERG… (hereinafter the “Developer”) and the Institute: 1. Course. In accordance with the provisions of the Copyright Policy of the Institute, this special agreement is being entered into with respect to an Entirely Online Course (hereinafter “Course”) entitled Financial Analysis for Technological …………….Organizations…………. Course Number 2. …..EMT624WS…….. Copyright. Under the terms of this special agreement, Developer assigns to the Institute all right, title and interest in the copyrightable work, referred to herein as the Course and any derivative work (as defined below) and will assist the Institute in obtaining and enforcing copyright rights. As used herein, a derivative work means a work comprising a substantial amount, i.e., at least seventy-five percent (75%) of the Course’s expression. Developer shall retain the right to use all or part the material, other than as an Entirely Online Course, in conventional instruction or scholarly publication or presentation. 3. Copyright Notice. Developer shall display a copyright notice on the first and each subsequent page of the course. Such notice shall take the following form: ©2008 Stevens Institute of Technology 4. Compensation. In consideration of Developer’s efforts in developing the Course, the Institute will pay Developer the sum of $…………………………..7,000………………….………. AUGUST 31,………………...2008 (a) Developer shall provide Institute with appropriate information in a timely manner as requested by Institute with regard to requirements for students, including textbooks, if any, and other information, including the Course syllabus, to announce and promote the Course effectively. (b) At least four (4) weeks prior to the start of the Course, Developer shall deliver digitally prepared materials to be mounted on the courseware used by the Institute. Developer agrees either to mount digital material on courseware or request that the Institute provide Developer with technical assistance for that purpose. These materials shall be prepared in a manner appropriate for effective online pedagogical presentation and in accordance with the Institute’s and the courseware’s technical specifications. (c) Developer shall divide course materials into thirteen (13) modules or other reasonable modules in order to deliver the course in thirteen (13) online classes over thirteen (13) weeks. Course materials shall consist of (i) syllabus; (ii) lecture notes; (iii) course and module objectives; (iv) student assignments; (v) questions, problems, and other elements designed to stimulate online student communication and collaboration; (vi) readings, bibliographies, website hyperlinks, among other resources; (vii) and any other text-based or graphical materials, such as PowerPoint slide presentations, web conferences, animations, video and sound presentations, and any other elements suitable to facilitate teaching and learning online at the graduate level. (d) Developer shall provide the Institute with his or her CV, brief biographical sketch, digital photographic portrait, e-mail address, URL to link to Developer’s website, if any, and any other professional information Institute may request from time to time in connection with providing students with appropriate information about Developer. 9. Warranties. Developer warrants that the materials covered by this agreement are his or her own independent, creative effort and do not infringe on the copyright of others. Developer agrees not to incorporate any copyrighted materials in the Course without first gaining permission for such use from copyright holders. 10. Cancellation. The Institute reserves the exclusive right to cancel this agreement at any time with no prior notice. If this should occur, the Institute’s obligation will be to pay Developer on a pro-rata basis for preparation of completed modules delivered to the Institute.
