Terms and Conditions for ‘Google offer’

Who may participate: All customers holding Roaming Current Account/s with ICICI Bank as on
December 31, 2006 in India may participate in accordance with the terms and conditions
contained herein (the "Participants"). Employees of Google and ICICI Bank, or any of its
affiliates are not eligible to participate, even if they are, otherwise eligible as Participants.

This offer is valid on Corporate Internet Banking registration with ICICI Bank & 2 transactions
done on ebusiness website of ICICI Bank during the offer period.

The duration of the offer will be between 00:01 hours on January 15, 2007 and 11:59 hours on
April 15, 2007 (“Offer Period”).

Participants have to undertake 2 financial transactions (which include.
1. Financial Transaction from own account to any other Bank
2. Financial Transaction from own account to Own account
3. Financial Transaction from other bank to Own account
4. Bulk Transfer (Salary, Vendor Payments etc) from own account
5. Utility bill payments from own account
6. Online Tax Payment from own account
7. RTGS/SEFT/EFT transfer from own account
during any of the following time periods (Jan 15 – Feb 28, 2007) or (March 1 –April 31, 2007) in
order to be eligible for the Google offer.

All participants who undertake 2 financial transaction using the corporate Internet banking
facility during any of the time periods (Jan 15 – Feb 28, 2007) or (March 1 –April 31, 2007) will
be eligible to receive a free online advertising worth Rs 1000 from “Google”. In case the
participants undertake 1 transaction in the first time period & 1 in the second time period will
not be eligible for the offer.

The Google offer of free online advertising worth Rs 1000 will be sent across to the customer
through Email as given in their Account details.

All details regarding the use of Google offer of free online advertising worth Rs 1000 is available
on the following url www.adwords.google.co.in ,all terms & conditions of the use of these
online advertising offer will be governed by Google’s terms & condition of Online advertising.
Any clarifications & questions regarding the use of the Google online advertising offer will have
to be made to Google in the given link. No communication regarding the offer, its usage &
redemption would be entertained by Google.

Google free online advertising worth Rs 1000 will be offered only once even if the customer has
done 2 financial transactions in each of the time period.

The eligible participants for the Google free online advertising worth Rs 1000 for the period
((Jan 15 – Feb 28, 2007) will be announced on or before April 15. 2007. Similarly for the period
(March 1 –April 31, 2007) the eligible participants will be announced on or before June 15,
2007.

Any tax, duties, levies or other statutory dues and charges payable in connection with the
benefits accruing under the Google offer shall be the sole responsibility of the customer and
Google and ICICI Bank will not be liable in any manner whatsoever for any such taxes, duties,
levies or other statutory dues.

The participation in this Offer is entirely voluntary and it is understood, that the participation
by the participants shall be deemed to have been made on a voluntary basis.

The offer shall not be available wherever it is prohibited under law and / or cannot be offered
for any reason whatsoever. Google shall be entitled, at its sole discretion, to cancel the offer
and / or the eligible customer of the Google free online advertising worth Rs 1000 where such
prohibition is applicable and / or cannot be offered for any reason whatsoever.

No dispute of any nature whatsoever shall lie against Google or ICICI bank with respect to this
offer.

All disputes under this offer are subject to the exclusive jurisdiction of the competent courts /
tribunals of Bangalore.

All communication / notices with regard to this Offer should be addressed to " Google India Pvt

Google shall not be obliged to make any public announcements of the results of the Google
offer and / or to intimate all participants of such results. However, the eligible participants of
Google may be intimated separately by email.

Participants will not hold Google or ICICI Bank, its group entities or affiliates, their respective
directors, officers, employees, agents, vendors, responsible for or liable for, any actions,
claims, demands, losses, damages. costs, taxes, charges and expenses, which an Entrant claims
to have suffered, sustained or incurred, or claims to suffer, sustain or incur, by way of and/or
on account of the offer. Customer grants permission to Google to use the eligible customer’s
name for advertising and promotional purposes without ICICI Bank or Google being liable to pay
any compensation therefore and without any written approval from the participants.

If the offer and/or anything to be done by Google or ICICI Bank or any other entity in respect
of the offer is prevented or delayed by causes, circumstances or events beyond the control of
Google or any other entity, including but not limited to computer viruses, tampering,
unauthorized intervention, interception, fraud, technical failures, floods, fires, accidents,
earthquakes, riots, explosions, wars, hostilities, acts of government or other causes of like or
similar or other character beyond the control of Google and ICICI Bank or the other entity/ies,
then Google and ICICI Bank and/or the other entity/ies shall not be liable for the same to the
extent so prevented or delayed, and will not be liable for any consequences.

In all matters relating to this offer, the decision of Google shall be final and binding in all
respects.

Participants agree to be bound by the terms and conditions contained herein above.

These terms and conditions are in addition and not in derogation to terms and conditions of
ICICI Bank Corporate Internet Banking.
