OFFICIAL LICENSE AGREEMENT
BETWEEN OFFICIAL LICENSE HOLDER AND MISS VIRGINIA ORGANIZATION, INC.,
FOR CONDUCTING A LOCAL PAGEANT TO NAME A CANDIDATE TO BE ENTERED IN
THE 2015 STATE FINALS FOR THE SELECTION OF:
MISS VIRGINIA 2015

hereby accepts the right to sponsor a preliminary contest to the Miss Virginia Pageant, and our winner will

We hereby agree to sponsor, promote, finance, and conduct a fair and unbiased local pageant within the
territory assigned to us according to the rules and regulations set forth in this contract. We understand that
this contract is for a one-year term only and that it terminates at midnight the following day after the
selection of Miss Virginia 2015. We further understand that the Miss Virginia Organization, Inc. is a nonprofit corporation of Virginia and is the owner of the names MISS VIRGINIA, MISS VIRGINIA
PAGEANT and MISS VIRGINIA ORGANIZATION.
We agree that we shall not have the right to televise our pageant locally, regionally, or nationally without the
prior written approval of the Miss Virginia Organization and the Miss America Organization. Permission to
televise any Local Pageant shall at all times be at the sole discretion of MAO and, if such permission is
granted, any such television production shall conform to the norms and standards promulgated from time to
time by MAO.
We agree that we will not permit any printed, written, photographic, televised, radio or other endorsement of
any products or services competitive with those processed, sold, or rendered by the scholarship sponsors or
advertisers approved by the Miss Virginia Organization, Incorporated, in connection with the promotion or
staging of our local pageant or during appearances by our title holder.
We agree not to conduct, or participate in the conduct of, directly or indirectly, nor to be represented through
a third person in the conduct of any other competition.
ALL LOCAL FINALS MUST BE HELD BY March 8, 2015.
We agree to submit photos required by the Miss Virginia Organization. A list of specific photo
requirements will be sent at a later date, most of which will need to be submitted on disk in multiple copies.
Two different head shots of the contestant will be needed, as will some specific candid shots to be used in
the program and production. Plenty of notice will be given, and all photo disks should be submitted at
Workshop with other paperwork. Information regarding clothes, contract, schedule, and official
Questionnaire will be provided by the Miss Virginia Organization, Inc. The name and address of your
contestant must be submitted to the Miss Virginia Organization, Inc. within 48 hours after your pageant.
We agree that we will not assume any obligations locally for, or on behalf of, the Miss Virginia Organization
Inc." and we thoroughly understand that the Miss Virginia Organization, Inc., is in no way obligated to pay
for any debts or fulfill any promises made by us in conducting our local pageant.

WE AGREE THAT ALL OUTSTANDING BILLS OWED TO THE MISS AMERICA ORGANIZATION
FOR PROMOTIONAL MATERIAL WILL BE PAID BEFORE THE MISS VIRGINIA ORGANIZATION, INC., WILL ACCEPT OUR CONTESTANT IN THE STATE FINALS - also any bills due the Miss
Virginia Organization, Inc. will be paid before the Miss Virginia Organization, Inc. will accept our
contestant in the state finals.
We agree that no contestant, unless specifically waived in writing by the Miss Virginia Organization, Inc.,
shall be eligible if she has endorsed or contracted to endorse any product competitive to products sold by the
national sponsors of the Miss America Pageant Scholarship program within three (3) months prior to the
competition and is not under contract at the time of the competition or thereafter.
We agree to pay transportation to and from Roanoke, Virginia, for our winning candidate and to see that she
arrives in Roanoke at the time and date established by the Miss Virginia Organization. Registration will be
at The Hotel Roanoke.
We agree that in judging preliminary and final contests to select our candidate for the State Finals, we will
follow the national contest method of judging outlined in the pamphlet "To the Judges of a Miss America
Preliminary Pageant" issued by the Miss America Organization.
Local Organization shall not permit any person to serve as a judge of any Local Competition (a
“Judge”) or as a member of the Board of Directors of any Local Organization, or Associated Entity
if such person or such person’s spouse or business provides, has provided, or intends to provide, for
profit or otherwise, any product or service directly or indirectly to or for any contestant in any
Local or State Competition.
We agree that we will not charge any contestant any entry to compete in our pageant.
We agree that, if, for any reason, the winner of our contest is disqualified or released from appearing in the
State Finals, the first runner-up or other runner-ups in the order of selection by the judges shall succeed to
the local title and may be sent to the state finals.
We agree to pay the sum of eight hundred fifty ($850) dollars license fee for the first contestant represented.
Any pageant organization holding more than one license will pay the sum of four hundred twenty-five ($425)
dollars license fee for a second title, provided it is not a new license qualifying for other grants, and will pay
no license fees for a third title (but will also then not receive any new pageant grant funds for such title).
Additionally, for those doing a second title, the entry fees for the Outstanding Teen, Teen in Training
(“TnT”), and Princess will be at half off for the first title, and there will be no entry fees for these contestants
for a third title. (Individual EDs with multiple titles may average the entry fees for these contestants, out of
equity to contestants, if they so desire. There could be add-on optional expenses for the OT, TnT, and/or
princesses that would need to be paid, such a t-shirts, extra optional areas of competition, and so on.)
For existing licensees, a $200 deposit will be required, along with one copy of the signed license agreement,
for each of the first and second titles being held. Existing licensees will then submit a balance of $650 for the
first license held, and $225 for the second title held that qualify for multiple pageant discount, to the Miss
Virginia Organization at the address provided within seven days of the date of the local pageant.
For NEW licensees or any pageant returning from previous years other than the Miss America 2015 pageant
cycle that just ended, a $425 deposit for each the first and second titles held will be required and should be
returned with one copy of the signed license agreements; no deposit is required for a third title held, though a
signed license agreement is required. New licensees will then submit a balance of $425 for the first title, to
the Miss Virginia Organization at the address provided within fourteen days of the date of the local pageant.
No balance will be due for either a second or third title.
NO REFUNDS WILL BE MADE TO ANY LOCAL AND DEPOSITS MAY NOT BE USED TO
HOLD OVER A LOCAL TO THE NEXT YEAR.

Any license issued may be revoked and declared null and void if a contestant is not selected by the deadline
of March 8, 2015. If a license is revoked and declared null and void the Board of Directors of the Miss
Virginia Organization may choose not to renew said license.
We agree that we will not conduct or participate in, nor permit any member of our license, acting directly,
indirectly, or by representation by third persons, nor any of our respective executives, key volunteers or
titleholders, to conduct or participate in, any other local, state, regional, national or international competition
similar to the Miss America program, unless MAO has approved such conduct or participation in writing.
We recognize the fact that the Miss America/Miss Virginia organizations are scholarship programs and we
agree to award no less than Five Hundred Dollars in scholarship each pageant season. We further
understand that failure to meet scholarship obligations will result in non-renewal of license.
We agree to hold a Teen competition and Teen in Training Camp or select a Teen and Teen in Training to
represent our license area(s) in the state Teen competition and Teen in Training Camp. We also understand
that there will be no at large participants with all locals participating, as discussed and agreed upon at the
local executive director meeting held during state week in June 2010. In the event multiple title pageants are
held, selection of the Teen and Teen in Training will be conducted in the same manner for each title.
We also agree to send at least one young lady as a princess (or princesses) to represent our licensed
area and participate in the Princess Program portion of the Miss Virginia Pageant, as agreed upon at
the local executive director meeting held during state week in June 2010.
We agree to execute and return the agreement along with the appropriate deposit NO LATER THAN
SEPTEMBER 15, 2014. Any license agreement and deposit not received by September 15, 2014 may be
considered by the Miss Virginia Board as open to any approved person or persons applying for a former title
and/or territory.
In the event we are unable to provide a Teen, a Teen in Training, and a Princess, we understand that we are
required to pay the current entry fee for the respective representative position(s) left unfilled.
We agree that if our Contestant leaves extra expenses on the hotel bill, we will be responsible for same.
We agree that we will publicize - especially to our contestants - the value of scholarship awards by category,
and we further agree that these scholarship funds will be available at the time of our local pageant. We agree
to pay scholarships to our winners upon their request as stated in their contestant contract.
We agree to send one (1) representative, or more, and our current titleholder to the entire Miss Virginia
Organization Workshop which will be held Saturday, April 18, 2015, in Roanoke, VA at the Hotel
Roanoke.
It is further understood and agreed that this Contract may not be assigned to any person or persons, nor can
the undersigned delegate to any person or persons the rights and privileges herein granted.
It is understood and agreed that if the license holder is convicted or have been convicted of a felony, the
license may be terminated.
We agree to abide by the following rules and regulations for selecting contestants:
1.
A Contestant must participate in actual competition in a local pageant within the year immediately
preceding her competition in the Miss Virginia Pageant and be certified the winner in that local
pageant.
2.
A Contestant may compete in a legally licensed area in which a local pageant is held if she is, and
has been, a bona fide resident of that area for a period of six months immediately preceding the time
she makes application to enter said local pageant. In order to establish eligibility to compete in the

local, under this residency criteria, a contestant must supply proof of residency consisting of copies
of 2 or more of the following: 1. Current drivers’ license or government issued identification card
issued in the State of Competition or current automobile registration issued in the State of
competition; or 2. Written statement from the applicable Local voting registrar of valid current
registration in the State or locality of Competition; or 3. Current lease in the contestant's name for
housing in the State or locality of Competition; 4. Current utility bills in the contestant's name in the
State or locality of Competition; or 5. Information sufficient to the Local Pageant that the contestant
is living in the State or locality with her parents or legal guardian but attends a college or university
out of state; or 6. Most recent Federal income tax return showing the State of Competition as the
State of residence and/or the most recent State income tax return filed by resident taxpayers of the
State of competition; (financial information may be deleted). 7. Other documentation proving most
recent six months residency. The Local has the right to reject information if it feels that the above
documentation has not been gathered or provided in good faith.

A Contestant may compete in any licensed area, even though not a resident therein, where she is, and
has been a bona fide full-time employee for a period of six months immediately preceding the time
she makes application to enter said local pageant.
4.
A contestant may compete in any local where she is registered at a college or university if she has
successfully completed one semester as a full-time student (minimum 12 credit hours, or equivalent
as documented by the official Registrar of the contestant’s college/university) and is presently a bona
fide registered full-time student attending classes at a college or university located within the
licensed area. Further, no more than six months may elapse between the completion of the first
semester and the beginning of the second semester as described within this paragraph.
5.
The requirements as set forth above must be in existence both at the time the Contestant makes
application to enter the local pageant and on the first day the local pageant is held.
6.
The Miss Virginia Organization, Inc. requires that local pageants accept a contestant who, for
reasons set forth above, is unable to compete in her resident, employment college or university
locality. It is required that the licensed area having a local pageant nearest to the contestant's resident
locality or college or university accept such a contestant, assuming that she has met all other
requirements under this license.
7.
We agree that our local winner will refrain, during the entire period of her year of service as
such, from being or becoming a contestant or participant in any other national or international
competition, including the preliminary competition of same, of a nature similar to the Finals of the
Miss America Pageant, which is televised nationally. We also agree that the Miss Virginia
Organization, Inc., will have the right to terminate the contestant's title and bar her from the State
Pageant, and further, the right to require her to forfeit all scholarships, awards and gratuities the said
contestant has received from whomsoever granted or received. We further agree that should our local
winner be a State title winner or one of the runners- up, the same rule will apply to the contestant.
We agree that a contestant cannot succeed herself in the same local pageant during the licensed year.
8.
We agree that the manner and method of conducting the finals of the Miss Virginia Pageant shall be
in the sole discretion of the Miss Virginia Organization, Inc., and we further agree that the time,
method and manner of judging the finals of the Miss Virginia Pageant and the awards and
supervision of the Miss Virginia Scholarships shall be within the sole discretion of the Directors of
the Miss Virginia Organization, Inc., - and that the decision of the persons designated to judge the

various events in any and all matters pertaining to the selection of the winners shall be final.
9.
A Contestant must be a female who has always been a female; of good moral character, never having
been pregnant; one that has not at any time been involved in any act of moral turpitude; other than
minor or petty offenses, one that has never been convicted of any criminal offense and there
are no criminal charges presently pending against her; one that has never done any act or
engaged in any activity which is, or could be, characterized as dishonest, immoral, immodest,
indecent, or in bad taste.
10.
A Contestant must be single and never have been married nor had her marriage annulled.
11.
A Contestant must be a high school graduate or must have successfully completed the GED testing
program before the commencement of state pageant.
12.
A Contestant shall not be less than seventeen years of age on the date of the Local Pageant in which
she competes, nor more than twenty-four years of age on December 31, 2015.
13.
A Contestant shall possess talent, poise, personality, intelligence, charm, and beauty of face and
figure, and must be a citizen of the United States before the commencement of the local pageant and
must remain such throughout her participation with the program.
14.
A Contestant must possess and display TALENT in a NOT MORE THAN ninety (90) second talent
routine, which routine must be presented live and not by way of video. This requirement does not
apply to vocal or instrumental recordings used in conjunction with her live presentation. This talent
may be singing, dancing, playing a musical instrument, dramatic reading, art display, dress
designing, etc., or she may give a maximum ninety (90) second talk. A Contestant may be either
amateur or professional.
15.
The following information must be submitted to the Miss Virginia Organization, Inc. no later than
date of annual workshop unless otherwise specified. Any late fees incurred due to materials being
submitted past deadline dates will be billed to the local pageant for reimbursement to the state
pageant organization.
Type of Talent: author or composer of talent materials; copyright proprietor and/or agent for talent
material (i.e. party possessing performing and/or dramatic rights for television and stage
performance), and WRITTEN PERMISSION OF the author, proprietor, agent or copyright holder
for the planned use of the said material in connection with contestant's talent performance at the
State Finals and in the state television broadcast thereof. Said permission must be in a form
acceptable to the Miss Virginia Pageant, Incorporated.

Medical Information Form, Attachment C Scholarship Rules, Attachment D Contestant Eligibility
Criteria, Attachment E Local Contestant Community Service/CMNH Report, Contestant
Certification, Issue Platform and Essay, Talent Clearance/Indemnity Agreement, Children’s Miracle
Network Hospital Qualification Report, other documents as specified by the Miss Virginia
Organization prior to Workshop. State Quality of Life (Community Service) essay, for those
contestants choosing to enter this scholarship competition, is also due at Workshop or other date as
specified.

16.
A young woman who competes in a local preliminary of a pageant not affiliated with our pageant
program can also compete in your official preliminary so long as she has not won a state title in the
contest that goes on to compete in a national contest associated with another pageant. If so, then she
will have to forego entering your local pageant.
17.
A contestant shall not have been a previous State finalist who competed in the National Finals.
However, a contestant who has assumed the title and duties of a State Finalist but has never
competed in the National Finals must allow a lapse of one year, following her year of service, prior
to competing again in a Local Pageant where she is eligible.
18.
A Contestant must be eligible to make the representations under oath which are set forth in the
"Contestant's Contract with the Miss Virginia Organization, Inc."
The Miss Virginia Organization, Inc. requires that the local sponsors provide a talent competition during
their pageant, as well as evening gown, swimsuit and on stage question. It also requires that interviews be
held prior to the beginning of the pageant. The Miss Virginia Organization, Inc. requires that the local
sponsors agree to purchase the insurance coverage as set forth by the Miss America Organization and the
Miss Virginia Organization, and this is included in your License fee.
The Miss Virginia Organization, Inc. agrees to accept our candidate in its State Finals in Roanoke, Virginia,
and to furnish hotel accommodations and all meals for the contestant during the days of competition in this
event. The Miss Virginia Organization, Inc. further agrees to award a scholarship for educational purposes to
the winner of the Miss Virginia title and to furnish transportation for the winner to the National Finals of the
Miss America Pageant.
It is understood and agreed by and between the parties hereto that this license shall automatically terminate
at midnight on the day following the selection of Miss Virginia 2015. Local Pageant does hereby recognize
and accept the right of the Miss Virginia Organization, Inc., to renew this license agreement or to fail to
renew same with or without good cause.
I agree to comply with all of the terms and conditions of this License Agreement together with its

The continued use of the name of this organization/corporation is dependent upon the Miss
America/Miss Virginia license authorizing this organization/corporation to conduct Pageant
activities within this State, and should the said license be granted at some future time to some
other person, firm, or corporation or, for any reason other than the mere termination of the license
period, be not granted to this organization/corporation, then the
Miss ___________________________________portion of the organization/corporation name shall,
by the terms of this document, cease to exist and be automatically deleted there from and this
document shall be amended within 60 days after receipt of written notice to the Board of Directors
by the Miss America Organization/Miss Virginia Organization to reflect a new
organization/corporation name. In such event, the continued use of Miss ______________________
in the organization/corporation name shall be ultra vires and unlawful.

then, in the event, Harlen Gudger, Executive Director of the Miss Virginia Organization or

The Miss Virginia Organization is a not for profit organization with offices at 220 Bremble Drive,
Moneta, VA 24121. The Miss Virginia Organization grants a license to one organization in order that it
may conduct a Pageant preliminary to the State Finals of the Miss Virginia Pageant in the State of
Virginia. The duly authorized licensee is

The Miss Virginia Organization requires that each Local Pageant maintain a separate bank or
brokerage account for all funds collected for the purpose of the granting of scholarships to contestants.

Local Pageant and/or Associated Entity agrees that these scholarship funds, including interest and reserves
will be transferred to any successor licensee, or in the absence of all successor licensee, to the Miss Virginia

RIDER “C”
National Service Platform. I understand and have been advised that the Miss America
Organization has entered into an agreement with The Children’s Miracle Network Hospital. The
agreement, among other things, establishes The Children’s Miracle Network Hospital as the Miss
America Organization’s National Platform. I agree to work with The Children’s Miracle Network
Hospital and the Miss America Organization to support this National Platform and further the goals
of the program by creating goodwill and recognition for the National Platform throughout the
United States.
I understand and agree that each contestant in the Miss__________________________________,
is required to raise a minimum of One Hundred Dollars ($100.00) to support the Children’s Miracle
Network Hospital and the Miss America Scholarship Fund. If she becomes Miss
__________________________________, I understand that she is required to raise a minimum of
two hundred and fifty dollars ($250.00) to support the Children’s Miracle Network Hospital and the
Miss America Scholarship Fund. This is in addition to the local requirement.
