PROPOSED BY-LAWS OF THE FRIENDS OF THE SANTA BARBARA PUBLIC LIBRARY
Article I
NAME
The name of this organization is Friends of the Santa Barbara Public Library. (FOL)
Article II
PURPOSE
Friends of the Santa Barbara Public Library is a non-profit organization whose mission is to inspire and encourage our community to provide resources which will ensure a superior public library that serves our diverse population.
Article III
MEMBERSHIP
Membership is open to persons and organizations who support the goals of FOL. Each member is entitled to one vote.
Membership categories and amounts are established by the board of directors and listed in the procedures manual. All contributions are fully tax deductible.
The Membership year is determined by month of joining. Membership is renewable annually.
Each member is entitled to the FOL newsletter, an invitation to the annual meeting, a copy of the annual report and is invited to participate in activities sponsored by the Friends of the Santa
Barbara Public Library.
Article IV
OFFICERS AND DIRECTORS
The Board of Directors consists of twelve to fifteen members, including officers.
Officers elected annually by the board of directors are: president, vice-president, secretary, and treasurer.
Duties and powers of officers and board members will be defined in a procedure manual, to be distributed to officers and others as appropriate.
The procedure manual will be reviewed annually and may be revised by a vote of a quorum of the board of directors.
The Board of Directors may elect Honorary Life Members to the board of directors in recognition of distinguished service. Honorary Life Members may attend board meetings and participate but they may not vote.
Officers are elected for one year and may be re-elected.
Members of the Board of Directors are nominated and elected by the existing board. Any FOL member may suggest a nominee.
Article V
FUNDS
The fiscal year will be October 1 to September 30.
All funds received by the organization, whether in the form of contributions or earnings, will be be deposited to the account of The Friends of the Santa Barbara Public Library and will be disbursed by the treasurer or president, as authorized by the board of directors. No funds may be disbursed for the benefit of any private individual or member of the organization.
When funds are authorized by the board of directors to be used for books, library materials,
equipment and services, such funds will be distributed with the approval of the Library Director or acting head of the library professional staff.
Article VI
MEETINGS
An annual meeting of the membership will be held at a time deemed appropriate by the board.
This meeting will hear reports and conduct other business as appropriate. Members will be notified at least two weeks before the annual meeting.
A special meeting of the board may be called at any time by a quorum of the board of directors who make the request in writing.
A majority of the directors present will constitute a quorum.
ARTICLE VII
AMENDMENTS
These bylaws may be amended at any meeting of the board by a two-thirds vote of the board members present. Notice of proposed amendments must be sent to board members at least two weeks before a vote is taken.
ARTICLE VIII
PARLIAMENTARY AUTHORITY
All meetings and committees will be governed by Roberts Rules of Order, Revised, in all cases not covered by these bylaws.
ARTICLE IX
DISSOLUTION
In the event of dissolution of this organization, its assets will be transferred to the Santa Barbara
Public Library.
