School of Medicine MANAGEMENT / SENIOR PROFESSIONAL Contract Appointment (Physician) This employment contract (hereinafter "Contract") is entered into on by and between The Regents of the University of California, a Constitutional corporation, on behalf of the University of California, Health System (hereinafter "University" or "management") and (hereinafter "Employee") pursuant to Personnel Policies for Staff Members. This contract sets forth all terms and conditions of employment concerning the contract appointment of the Employee to the Contract position of in . A. TERM OF CONTRACT This contract is to have a definite term of beginning on and terminating on . The appointment will terminate automatically on the termination date unless, prior to the termination date, the contract is extended or renewed. In addition, the contract may be terminated at any time by either party, with or without cause, by serving written notice on the other party. Termination as set forth in this paragraph is not reviewable under Personnel Policy for Staff 70, Complaint Resolution. B. DUTIES AND RESPONSIBILITIES The duties and responsibilities of the employee shall be those set forth in the position description annexed hereto and incorporated in this contract. Additional duties may be assigned and the position description may be modified from time to time by management to accommodate changing circumstances and needs. Duties and responsibilities shall be conducted in accordance with the University's policies, procedures, and rules as established by management. C. HOURS OF WORK This appointment is at % percent of full-time. This position is exempt from overtime compensation. D. COMPENSATION AND BENEFITS This position is assigned to a title within the Management and Senior Professional Staff Program (MSP). The salary grade for this position is MSP ( ). Changes in salary must be made by contract revision. Employee's annualized base salary ("Base Salary") is based on 100% of full time. In the event Employee's appointment is less than 100% of full-time, then the Base Salary shall be prorated appropriately. (Required when compensation will include non-base or incentive pay): The Employee's salary is governed by the UCDHS Staff Physician Compensation Plan. (Optional): Non-Base Salary: Employee's annualized non-base salary is based on 100% of full-time. In the event the Employee's appointment is less than 100% of full time, then non-base salary shall be prorated appropriately. Non-base salary shall not be considered covered compensation under the UC Retirement Plan. Incentive Pay: Employee may be eligible for incentive pay up to % of base pay to be paid (annually/semi- annually). Incentive pay shall be determined using performance based criteria noted in the attached Addendum. Incentive pay shall not be considered covered compensation under the UC Retirement Plan. * If this contract is terminated for any reason, Employee may, at University's discretion, receive a pro-rata share of Incentive Pay for the time employed. (90-100%): Outside earnings for full time employees are subject to the limitations and procedures described in the UCDHS Limitations on Outside Earnings for Full Time MSP Staff Physicians (Attached). The employee shall receive the health and welfare benefits subject to the eligibility requirements of the University of California Benefit Programs regulations. E. QUALIFICATIONS OF EMPLOYEE In addition to such other University policies and procedures as may be applicable, the Employee shall, during the term of this appointment, meet and maintain the following qualifications: 1. Employee shall maintain a current license to practice medicine in the State of California 2. Employee shall be an active member in good standing with full privileges of the Medical Staff of the University of California, Davis Health System ("UCDHS") or other hospitals where the Department Chair assigns work. 3. Employee shall be Board Certified or eligible in the specialties identified in the Position Description, if any. 4. Employee shall maintain a federal DEA license without restrictions, to the extent necessary to render professional medical services pursuant to the job duties and responsibilities set forth in the Position Description. (Exhibit A). 5. Employee shall maintain the ability to render professional medical services, unimpaired by drug or alcohol use, injury, illness, or mental incompetency, subject to the University's obligations and the Employee's rights under the Americans with Disabilities Act, the Rehabilitation of 1973, and similar state law concerning discrimination on the basis of disability, to the extent applicable. 6. Employee must abide by the UCD Health Science Campus Professional Fee Billing Compliance Plan. Failure to maintain these qualifications will lead to immediate termination of the Employment Contract. F. HEALTH SCIENCES CLINICAL PROFESSOR (WITHOUT SALARY) APPOINTMENT The employee is required to maintain a Health Sciences Clinical Professor (without salary) appointment in the Department of ( ) as a condition of employment. G. PROFESSIONAL LIABILITY INSURANCE Professional liability insurance is provided under the University of California Self Insurance Program for activities that are within the course and scope of University employment. H. I. GENERAL PROVISIONS The terms of this contract may be modified only by subsequent written agreement. In the event that any part of this contract is declared or rendered invalid by court decision or statute, the remaining provisions of the contract shall remain in full force and effect. California law shall govern the interpretation and construction of this contract. The following categories of income which are accrued by occasional service may be received and retained directly by plan members. The Department Chair and/or Dean shall monitor the frequency of individual activity in these areas: Income from occasional outside professional activity (other than patient care). Prizes, defined as gifts in recognition of personal achievements and not for services rendered. Royalties, defined as shares of proceeds for contributions as authors or inventors, as allowed under the University's copyright and patent policies. Honoraria, defined as payments by agencies outside the University for occasional lectures and similar public appearance beyond normal academic responsibilities to the University of California and which are not in return for other services, whether given directly or indirectly. University honoraria, defined as payment for occasional lectures or similar services performed on a University of California campus as permitted by Academic Personnel Policy. Administrative stipends, defined as payment by the University for responsibilities related to administration and above and beyond normal academic responsibilities. Income from a profession or activities unrelated to the training and experience, which is the individual's qualification for University appointment as determined by the Department Chair in consultation with the Dean. Other outside professional income, excluding those derived from patient care or from sources listed above, may be received and retained directly by plan members up to a maximum threshold, defined in the UCD School of Medicine Health Sciences Compensation Plan Implementation Procedures as $20,000 or 20% of the individual's base salary (whichever is greater). Outside professional income exceeding this maximum will be collected by the department. Examples of these types of outside professional activities include consulting for government, industry, for-profit and not-for-profit organizations, and expert professional witness activities. Income retained from outside professional activities must be for occasional service (other than patient care) not to exceed 21 days (168 hours) of such service per fiscal year. Each MSP physician in the compensation plan retaining income from outside professional activities must provide to the Department Chair a report describing sources from which the member obtained income, amounts earned, time spent on these activities, and an attestation of adherence to procedures in implementing the attached Compensation Plan guidelines. This report is due annually.
