MID-MICHIGAN HEALTH SCIENCES LIBRARIES BYLAWS, October 1990 Revised November 2008 ARTICLE I. Name The name of this association shall be Mid-Michigan Health Sciences Libraries (M-MHSL). M-MHSL is a regional group affiliated with the Michigan Health Sciences Libraries Association (MHSLA). ARTICLE II. Objectives The objectives shall be: 1. To serve as a channel of communication among members. 2. To provide a forum for studying common problems and working on joint projects. 3. To help improve the quality of service in member libraries. 4. To provide opportunities for continuing education. 5. To represent the interests of Mid-Michigan health sciences libraries by providing representatives to other organizations such as the Michigan Health Sciences Libraries Association (MHSLA). 6. To provide local arrangements for the MHSLA annual conference on a rotating basis. ARTICLE III. Membership Section 1. Membership The membership shall be comprised of individuals with an interest in health sciences libraries, medical informatics, and other related fields. Section 2. Vote Each member in good standing shall have the right to one vote. ARTICLE IV. Dues Section 1. Fiscal Year The fiscal year shall be January 1 to December 31. Section 2. Membership Year The membership year shall be the same as the fiscal year. Section 3. Dues Annual dues shall be ten dollars ($10.00) payable on or before January 1st of each year. Section 4. Cessation of Membership If dues are unpaid by February 1st, a second notice will be sent. Those members delinquent after March 1st shall forfeit their rights of membership until payment is made. ARTICLE V. Officers Section 1. Officers The officers shall be a President, a Secretary, and a Treasurer. The President, Treasurer and Secretary shall serve terms of one year. Section 2. Vacancies In the event an officer cannot complete his or her term of office, a special election shall be held to fill the vacancy. Section 3. Duties of the Officers A. President The President shall preside at all meetings except as otherwise noted, shall appoint any ad-hoc committee(s) deemed necessary, prepare and send out agendas, and be an ex-officio member of all committees. B. Secretary The Secretary shall record meeting minutes and distribute them to the membership, handle correspondence, and act as historian. The Secretary shall preside at the meetings in the absence of the President. In the event the Secretary is unable to fulfill these duties (due to illness, unavoidable absence from meetings or other circumstances), the duties are accomplished by a substitute. C. Treasurer The Treasurer shall collect and record all dues and shall be responsible for receipt and disbursement of all M-MHSL funds. The Treasurer shall compile a list of the current members and share this list with the membership via email. The Treasurer shall furnish a written statement of the financial condition of MMHSL at each meeting. ARTICLE VI. Representation to Other Organizations Section 1. Selection of Representatives Representatives to other groups, such as MHSLA, shall be elected by the M-MHSL membership each year. Section 2. Term of Service The term of service shall be one (1) year. ARTICLE VII. Committees Section 1. Ad Hoc Committees A. Composition 1. There shall be ad-hoc committees to assist with the business of the association. 2. The President shall designate the chairpersons and members of all ad-hoc committees deemed necessary. Appointments may be terminated by the President. B. Responsibilities and Reporting 1. Committees shall investigate and perform their designated charges and report to the membership at each meeting. ARTICLE VIII. Elections Section 1. Elections Officer A. Appointment The President will appoint an Elections Officer at the September meeting. The Elections Officer is not eligible to run for an office. B. Duties of the Elections Officer The Elections Officer shall take nominations for officers from the floor at the September meeting. Section 2. Ballots The Elections Officer, on or by September 30, shall distribute ballots for officers to members in good standing. Any ballot received after October 31 shall be destroyed. The Elections Officer will tabulate the results and report them to the President prior to the November meeting. The President will announce the results to the membership. Section 3. Retention of Ballots The Elections Officer will give the ballots to the Secretary after the election. The Secretary shall retain all ballots for 60 days after the November meeting. ARTICLE IX. Meetings Section 1. Meetings A. Regular Meetings Regular meetings shall be held in January, March, May, July, September and November on a date chosen by the President prior to the MHSLA Board meeting. The President may alter this schedule as deemed necessary. B. Special Meetings The President shall call any additional meetings deemed necessary. Section 2. Meeting Location Meeting location shall be determined by the President. Section 3. Quorum A simple majority of the members shall constitute a quorum. ARTICLE X. Parliamentary Authority Parliamentary authority shall be the current edition of Robert's Rules of Orders, Newly Revised. ARTICLE XIII. Amendments These Bylaws may be amended by a two-thirds (2/3) majority of the members, by written ballot, provided written notice has been given at least thirty (30) days in advance.
