This contract defines the terms and conditions under which Purchaser/Mare Owner agrees to
purchase and CE,LLC agrees to deliver up to three (3) doses of frozen semen of the Stallion for
the purpose of breeding the Stallion to the Mare. Additional doses of frozen semen may be
purchased, at the cost of $300.00 per dose, up to a total of six (6) doses for the Season
1) Mare owner agrees to pay for all costs associated with shipment of semen to and from
CE, LLC including, but not limited to, insurance, container damage and “over-due”
charges. The payment of all expenses is to be made prior to all shipments of semen. (A
Federal Express account number is required to be on file for the shipment of semen)
A Deposit in the form of a separate Bank Check made payable to CORNERSTONE
EQUESTRIAN LLC for the amount of $1000.00, or a Credit Card number, is due upon
execution of this contract. The Credit Card will be placed on file and charged, as needed,
for semen shipment(s) and charges for “over-due” containers. All unused funds from
Deposit Checks will be refunded after October 31, 2010, upon return of the Final
Pregnancy Report and all equipment used or borrowed has been returned in good
condition.
Please note: All semen shipping containers (other than disposable containers) must be
returned to CE,LLC within 72 hours of arrival at the shipping location or a $35.00 per
day late fee will be charged. It is the mare owner’s responsibility to make the
inseminating veterinarian or breeding facility aware of this policy.
2) The MARE OWNER/REPRESENTATIVE agrees:
a. To pay CE, LLC all frozen semen stud fees, shipping/handling fees in full prior to
the shipment of semen.
b. That the mare owner/representative is entitled to up to three (3) doses for the
payment of the Stud fee. If additional insemination doses are needed, up to a
maximum of six (6) frozen breeding doses per mare per breeding season (up to
three (3) additional doses), the mare owner/representative shall pay the sum of
$300.00 per insemination dose.
c. To make all arrangements for receiving and storing frozen semen.
d. To return all unused insemination straws, once the mare confirmed “in foal”.
e. To provide all mare registration and identification information.
f. To have the mare in sound breeding condition prior to breeding.
g. To complete and return to CE, LLC all applicable paper work associated with this
contract and breeding. Final pregnancy reports (Breeding Certificate) are due by
_________________.
h. To inform CE, LLC as early as possible in advance of the need for frozen semen.
i. To have the mare inseminated by a licensed veterinarian who is familiar with the
concept and practical use of frozen equine semen. This veterinarian shall sign the
breeding certificate, indicating the number of straws used and return the

certificate and any unused straws to CE, LLC, even if the mare fails to become
pregnant.
j. That CE,LLC will not be held responsible for accident, illness, disease or death of
the mare or foal under any circumstances
k. To pay all expenses for frozen semen, including handling, expediting, shipping,
courier fees that may accrue due to special circumstances, and agrees to reimburse
CE,LLC for any expenses within ten (10) days of being informed of these charges
by CE, LLC.
l. To assume responsibility for the frozen semen container(s). If a container is lost
or damaged while in transit either to or from the mare owner/representative
facility, the mare owner/representative shall pay to CE, LLC the sum of $800 per
container. (We insure all shipments for the cost of the container plus its contents;
we ask that you do the same.)
m. That the container be returned to CE, LLC by FederalExpress within 72 hours of
receipt at the mare owner/representative facility. A $35.00 per day late fee will be
charge to the mare owner/representative.
n. To assume the responsibility for determining the mare’s eligibility for inclusion
into any registry.
3) CORNERSTONE EQUESTRIAN, LLC agrees;
a. To provide three (3) doses of frozen semen per breeding season in exchange for
the stud fee.
b. That the mare owner/representative may purchase additional insemination doses
at $300.00 per dose up to a maximum of three (3) additional doses.
c. That a “dose” of frozen semen is defined as a single insemination unit which
includes a minimum of 300 million progressively motile sperm, which upon
PROPER thawing, show at least a 30% post-thaw motility. (These are industry
standards.)
d. That the mare owner/representative shall have 24 hours to report any discrepancy
in the order. It is the mare owner/representative responsibility to properly check
the shipment at the time of delivery. Any complaints after 24 hours will not be
honored.
4) CORNERSTONE EQUESTRIAN, LLC and MARE OWNER/REPRESENTATIVE
agree:
a. That this contract is not valid unless completed and signed by both parties.
b. That this agreement is not transferrable by the Mare Owner/Representative to any
other party unless written permission has been given by CE, LLC or the stallion
owner.

c. That this contract is binding on both parties, their heirs and assigns and may be
amended only in writing by the parties and is governed by the laws of the State of
New Jersey.
d. That all stallions represented by CE, LLC have been tested negative for CEM,
EIA, EVA, DOURINE, GLANDERS.
