DELAWARE COUNTY ESTATE PLANNING COUNCIL BY-LAWS
The following By-Laws were approved by the membership of the Delaware County Estate Planning
Council at a regular meeting held Monday, November 19, 1979, and were last amended on February 25,
2002:
I.
Council".
II.
NAME: The name of the association shall be the "Delaware County Estate Planning
OBJECT: The objects of the Estate Planning Council shall be:
A.
To foster intelligent cooperation and a cordial understanding among the members
as to the proper relationship between the functions of the attorney, accountant, life underwriter, trust
representative and other engaged in the field of estate planning.
B.
To assist its members in keeping abreast of laws and conditions affecting
business and personal taxation and the problems of estate accumulation and conservation as to improve
the knowledge of each member within his sphere and with objectives;
C.
To encourage its members to have as their ultimate goal the rendering of the best
professional services to the public.
D.
To encourage its members to diligently pursue professional certification, where
available, in their respective professional fields.
III.
MEMBERSHIP: The membership of this Council shall consist of those persons engaged
in estate planning and administration in Delaware County, Pennsylvania, who are:

Officers of a bank trust department;
Life underwriters;
Attorneys;
Accountants;
Financial planners certified by an organization recognized by the officers and
Executive Committee;
Related professionals and para-professionals in the estate planning field.
Officials of organization collateral to the estate planning disciplines may become members by approval of
the Membership and Executive Committees.
IV.
OFFICERS: The officers of the Council shall consist of a President, First Vice President,
Second Vice President, Secretary and Treasurer. The officers shall hold office for one year, or until their
successors are chosen and agree to serve.
V.
BOARD OF DIRECTORS:
A.
The Board of Directors shall consist of the officers, immediate past president and
twelve (12) elected directors.
B.
The Nominating Committee shall recommend a proposed slate of officers and
directors as required by the Bylaws. There shall be five (5) members of the Nominating Committee
chaired by the immediate past president, and including the first vice president and three members selected
by the chairperson.
C.
Each director shall be an active member in good standing and is expected to
attend a minimum of one Board meeting and half of the regularly scheduled council meetings.
D.
The directors shall be elected for a term of three years at our annual meeting.
E.
Two consecutive three-year terms may be served and an officer or director can
stand for election again after an absence from the Board of one (1) or more years.
F.
The twelve (12) directors would serve terms that are divided into classes of five
(5) each with each class having representation within each discipline, if practical.
G.
If a director's term would otherwise end while he or she is serving as an officer,
such director's term shall be extended until the end of the year during which he or she serves as immediate
past president (or otherwise ceases to serve as an officer).
VI.
MEETINGS AND QUORUMS: The Estate Planning Council shall meet six times a
year, and the Executive Committee shall meet twice a year, at the call of the President.
Fifteen members shall constitute a quorum for business at any regular or special meeting
of the Estate Planning Council.
Five members shall constitute a quorum for business at any regular or special meeting of
the Executive Committee.
VII.
FISCAL YEAR: The fiscal year of the Estate Planning Council shall begin July 1 and
end on June 30.
VIII. ANNUAL MEETING: One of the meetings of the Estate Planning Council shall be held
in May of each year, at such time and place as may be selected by the Executive Committee. The
Secretary shall mail each member a notice of the meeting at least five days prior to the date thereof, which
notice shall state the names of the nominees for the offices and Executive Committee.
IX.
COMMITTEES: The President shall have the power to appoint committees on programs,
membership, ethics, education, legislation, publicity and such other committees as shall be deemed
advisable to further the interest of the Council and its members; and to delegate to such committee such
power and authority as the Executive Committee shall deem advisable.

X.
DUTIES OF OFFICERS: In addition to their other duties as set out herein, the duties of
the officers shall be as follows:
A.
The President shall preside at all meetings of the Estate Planning Council and the
Executive Committee.
B.
The First Vice President shall perform the duties of the President in the absence
of the President; the Second Vice President shall perform such duties in the absence of the President and
First Vice President.
C.
The Secretary shall keep a record of the proceedings of all meetings of the Estate
Planning Council and the Executive Committee, and he shall be responsible for the mailing of notices of
meetings and other communications to the other members of the Executive Committee and the
membership.
D.
The Treasurer shall have the custody of all funds and property of the Council. He
shall deposit all funds of the Council, in the name of the Council, in a bank account as determined by
resolution of the Executive Committee. All withdrawals of such funds shall be on checks or orders signed
by the Treasurer or President. He shall prepare and submit a statement of the financial condition of the
Council at the annual meeting and at such times and in such manner as the Executive Committee may
require.
XI.
EXPENSES AND DUES: The expense of the Estate Planning Council (except the cost
of members' dinners) shall be provided for by annual dues as set by the Executive Committee.
XII.
AMENDMENTS: These Articles of Association may be amended at any regular or
special meeting of the Estate Planning Council by vote of two-thirds of the members present; provided
that notice setting forth the proposed amendment shall have been mailed to all members at least five days
prior to the date of such meeting.
