Associate Agreement
Between 1. (the Franchise Owner) (INSERT COMPANY NAME) trading as CENTURY 21 (INSERT NAME) an independently
owned and operated Franchise of Maurice MacNeill Iona Limited, trading as CENTURY 21 United Kingdom
And 2. (the Associate)
This Agreement authorises the Estate Agency Associate (Associate) to undertake duties as an Estate Agent at the
above location. The Associate shall attend and complete all training programmes as required by CENTURY 21 United
Kingdom at their own expense.
The Associate is regarded as a self employed Agent, not an employee, and is responsible for all taxation, national
insurance and other liabilities derived from his/her business activity as an Estate Agent with the Franchise Owner.
The Associate shall keep the Franchise Owner indemnified in respect of any claim or demand made by any fiscal
and/or revenue authority against the Associate in respect of the services performed by the Associate hereunder.
The termination of expiry of this Agreement shall not constitute unfair dismissal nor shall the Associate be entitled to the
payment of any compensation or otherwise.
The principal activities of the Associate will include the marketing, negotiation and selling of properties listed at the
above office and all ensuing duties commensurate with providing Estate Agency services to clients.
Any obligations to the Associate hereunder are owed by the Franchise Owner. CENTURY 21 United Kingdom shall have
no contractual or other liability to the Associate and the Associate agrees to waive any claim they may have against
CENTURY 21 United Kingdom.
It is the obligation of the Associate to comply with existing and future laws governing the marketing and selling property
under Estate Agency legislation. The Associate shall at all times utilise the services and functions of the CENTURY 21
United Kingdom System without recourse to third parties for additional services such as mortgage placement, surveys,
conveyancing, lettings and any other services without the consent of CENTURY 21 United Kingdom.
The Franchise Owner undertakes to provide the Associate with office facilities, including desk facilities and normal office
requirements, such as access to a telephone, fax and photocopying facilities and usage of the CENTURY 21® web-site
with access to CENTURY 21 United Kingdom property management systems and associated offices throughout the UK
and worldwide.
The Associate shall, while this Agreement is in force, devote such of their time, attention and abilities to his/her duties as
may be necessary for the satisfactory completion of the role as an Associate. In carrying out their duties, the Associate
shall comply with all local or internal policies and regulations operated by, or affecting, the Franchise Owner or its
customers.
It is the responsibility of the Associate to ensure compliance with codes of ethics, rules and regulations currently adopted
by CENTURY 21 United Kingdom to ensure high standards of service are offered to all prospective clients.
The Associate will comply with the provisions of any Manual produced by CENTURY 21 United Kingdom.
Unless specifically agreed in writing by CENTURY 21 United Kingdom, the Associate has no authority to contract on
behalf of CENTURY 21 United Kingdom or bind CENTURY 21 United Kingdom in any way whatsoever and CENTURY 21
United Kingdom cannot be held liable for any expenses incurred by the Associate in relation to their normal duties as an
Estate Agent at the above office.
Throughout this Agreement, CENTURY 21 United Kingdom permit the Associate to use the CENTURY 21 logo and marks as
prescribed by CENTURY 21 United Kingdom on all business related material such as property schedules, for sale boards,
stationery and business cards which are used in the normal day to day activity of their business as an Associate.
All materials must be ordered from CENTURY 21 United Kingdom Approved Suppliers. The Associate agrees that any such
logo and marks are owned exclusively by CENTURY 21 United Kingdom and they shall refrain from the use of these marks
upon termination of this Agreement.
The Associate shall not, other than with the prior written consent of CENTURY 21 United Kingdom, during or after the
termination or expiry of this Agreement disclose directly or indirectly to any person, firm, company or third party and shall
only use for the purposes of this Agreement any information relating to the Franchise Owner, CENTURY 21 United
Kingdom, their respective businesses, trade secrets, customers, suppliers or any other information of whatever nature
which CENTURY 21 United Kingdom or the Franchise Owner may deem to be confidential and which the Associate has
or shall hereafter become possessed of.
The Associate is engaged for his/her ability and expertise in estate agency upon which the Franchise Owner will rely. In
the event that the Franchise Owner suffers any loss or damage arising from information of any nature supplied by the
Associate, the Associate shall be liable to indemnify the Franchise Owner in respect of such loss or damage in full. If
required by the Franchise Owner or CENTURY 21 United Kingdom, the Associate will effect such insurances as they may
reasonably require. Such insurances may include general commercial risks and professional negligence cover.
The Associate is authorised to appoint a fellow Associate to undertake any work on their behalf where they are unwilling
or unable to do so for any reason.
Financial Agreement
Initially the Associate is entitled to (INSERT) split, which means that they retain (INSERT)% of their fee income, earned by
their normal activities in the operation of their business. (INSERT)% gross income is retained by the Franchise Owner.
Commissions due to the Associate will be paid to them by the Franchise Owner within five business days from receipt of
such income and funds being cleared.
No other fees are payable by the Associate to the Franchise Owner unless agreed by both parties and approved by
CENTURY 21 United Kingdom.
Termination of Agreement
Subject as aftermentioned, this Agreement shall remain in force until terminated by either party giving 30 days’ notice to
the other in writing, or by mutual consent.
If the Associate is guilty of any serious misconduct or any serious breach or non observance of any of the conditions of
this Agreement, or neglects or fails to carry out duties assigned to them hereunder, the Franchise Owner is entitled
summarily to terminate the engagement hereunder without notice and without any payment in lieu of notice and
without prejudice to any rights or claims the Franchise Owner may have against the Associate arising out of such
default. CENTURY 21 United Kingdom reserves the right to require the Franchise Owner to terminate the Associate’s
engagement immediately without notice, if in the opinion of CENTURY 21 they fail to undertake diligently their duties as
an Associate or fail to comply with any current or future legislation or regulations of CENTURY 21 United Kingdom. This
action will also be taken in the event that it is considered that an Associate is causing material damage to the CENTURY
21 United Kingdom brand.
Upon termination of this agreement the associate cannot conduct business in a similar business activity in the same
geographical location until a period of 3 months have elapsed.
This Agreement shall be governed in all aspects in accordance with English law.
