ready willing and able to supply copper cathodes Grade A, LME Standard, of agreed upon amount 5,000MT
Trial Purchase and 3,000MT per month x 12 months. The parties intend this Full Corporate Offer to be nonbinding until a final contract has been signed by both parties. This FCO pertains to the sale and purchase of
the following, subject to valid export permits and final confirmation of Buyer and Seller:

approved by buyer and seller, buyer should sign the contract by e-mail and send it to the seller. The
seller counter-signs the contract by e-mail sends it to the buyer
2. Buyer receives the contract signed , sends to the seller a draft of the payment instrument (SBLC,
BG) to be approved by seller’s nominated bank
3. The buyer or his representative physically verifies and authenticates the documents and the goods
in Tanzania
4. Buyer releases non-operative payment instrument (BG, SBLC)
5. Seller’s bank issues 2% PB to activate the payment instrument
6.
Seller’s bank receives a confirmed, fully operative, irrevocable BG/SBLC via MT760
7. Seller assumes all costs and documentations requested in Tanzania
8. The Seller, through his clearing and forwarding agent delivers the goods to Buyer’s Warehouse in
Dar es salaam
9. Partial shipment and trans shipment is not allowed.
10. Payment upon presentation at seller’s bank warehouse delivery receipt and SGS or equivalent
inspection report of quality and quantity
Quantity of Goods:

The unit of measurement in this contract is metric tons of weight (MTW). Months are calendar
months according to the Gregorian calendar.

Quantity of each shipment is in MTW (+/- 5%).

The goods will be delivered within 7 days after the Buyer’s payment instrument acceptance by
the Seller’s nominated bank.

The quality of goods will be confirmed on a certificate issued by an independent international
survey company Alex Stewart/Alfred Knight

Weight for invoicing purposes shall be established by the actual net weight. Weight franchise of
0.5% shall be allowed against Bill of Lading weight.

In case weight is +/- 5%, the Seller/Buyer shall compensate Buyer/Seller for the amount
excluding the franchise on the basis of contracted price.
Quality of Goods:

The electrolytic copper cathodes shall conform to LME (BS6017) Standards and Specifications.

The quality of the goods will be confirmed by a certificate issued by an independent
international survey company Alfred Knight which shall be binding on both parties in all
respects, including, but, not limited to the replacement of faulty goods paid for by the Seller.
Specification:

Copper Cathodes: Cu 99.99% Purity.

Electrolytic Grade A: Shape - Rectangular leaves, Size - 914mm x 914mm.

Thickness: 12mm approx.
All terms and conditions with details shall be defined under the final Sale Purchase Agreement that will be
executed between the Seller and Buyer.
