BYLAWS
ARTICLE I - NAME AND LOCATION
The name of the division shall be Michigan Division, Inc., of the International Association of
Administrative Professionals (IAAP®).
ARTICLE II – MEMBERSHIP & DUES
A. Membership
There shall be four (4) classifications of membership with all rights and privileges as
defined on the International Bylaws Article VI. A student or an associate member shall not
serve as a delegate or alternate at the division or international levels.
B. Annual dues for this division shall be:

ARTICLE III - OFFICERS, QUALIFICATIONS, NOMINATIONS AND ELECTION, TERM AND
DUTIES
Section 1. Officers.
The division officers shall be a president, a president-elect, a vice president, a recording
secretary, a communications secretary, and a treasurer.
Section 2. Qualifications.
A. A candidate for office shall have been a professional member at least two (2) years prior to
the time of nomination and shall have served as a chapter officer or chair of an
international or division committee.
B. A member, upon retirement, may be a candidate for office, after at least five (5) years as a
chapter member, shall have served as a chapter officer or chair of an international or
division committee and been employed full-time at the time of retirement in accordance
with the IAAP definition of an administrative professional.
C. A candidate for the office of president or president-elect shall have served as an officer of
this division for at least one (1) full term or is a current officer of this division and was
elected at the prior division annual meeting.

D. No member shall hold office in any chapter while serving as a division officer. No member
shall hold more than one division office at a time. No member shall serve on an
international committee while serving as a division officer.
Section 3. Nominations and Election.
A. A chapter, by vote of its membership, may nominate one (1) of its qualified professional
members as a candidate for division office. If, however, the slate of officers for the
upcoming year is unable to be filled, any chapter, by vote of its members, may nominate a
second qualified professional member for division office.
B. Division members-at-large, by vote of their membership, may nominate one (1) of their
qualified professional members as a candidate for a division office. If, however, the slate
of officers for the upcoming year is unable to be filled, division members-at-large, by vote
of their members, may nominate a second qualified professional member for division
office.
C. Nominations may also be made from the floor by: 1) a candidate's chapter delegate, or 2)
the division member-at-large delegate or any chapter delegate if the candidate is a division
member-at-large, provided that the qualifications and supporting documents have been
submitted through to, and approved by, the appointed Michigan Division Committee on
Nominations prior to the nominations being made.
D. Evidence of the vote for a chapter or division member-at-large nomination (e.g., minutes,
email or electronic vote) must be provided with the candidates nomination form.
E. Officers shall be elected by ballot by a majority vote at the division annual meeting, except
that if there is but one candidate for each office, the officers may be elected viva voce
(voice vote).
F. In the event there is a tie vote after three (3) consecutive ballots, the officer will be
determined by lot.
Section 4. Term of Office.
A. Term of office shall begin July 1 and continue through June 30 or until successors are
elected.
B. The president and president-elect shall serve one (1) term only. Other officers shall serve
no more than two (2) consecutive terms in the same office. Any officer serving six (6)
months or more in an office shall be deemed to have served one (1) term.
Section 5. Duties.
Division officers shall be obligated to uphold and represent the interests of IAAP and the
profession as a whole. Division officers shall perform the duties prescribed by these bylaws and
by the parliamentary authority adopted by IAAP.
A. The president shall:
(1) Be chief executive officer and official spokesperson for Michigan Division, Inc., IAAP.
(2) Ensure adherence to IAAP and the division bylaws and policies.

(3)
Serve as presiding officer at division meetings and meetings of the board of directors
and official activities.
(4) Be a non-voting member of the board except in the case of a tie (see most current
version of Robert’s Rules of Order, Newly Revised).
(5) Appoint all committees, a historian, a nominations coordinator, and a parliamentary
advisor, subject to the approval of the board of directors.
(6) Be a member ex-officio of all committees except the Committee on Nominations.
(7) Call meetings of the board of directors as necessary.
(8) Keep the international director of the district fully informed of all matters concerning
the division.
(9) Sign checks only in absence of the division treasurer and sign any check payable to
the treasurer.
(10) Be bonded with premiums paid from division funds.
B. The president-elect shall:
(1) In the absence of the president, serve as presiding officer at all division meetings or
at meetings of the board of directors.
(2) In the event of a vacancy in the office of president, succeed to the office for the
unexpired term.
(3) Perform such other duties as may be assigned by the board of directors.
C. The vice president shall:
(1) In the absence of the president and president-elect, serve as presiding officer at all
division meetings or at meetings of the board of directors.
(2) In the event of a vacancy in the offices of president and president-elect, succeed to
the office of president for the unexpired term.
(3) Perform such other duties as may be assigned by the board of directors.
D. The recording secretary shall:
(1) Be responsible for the minutes of all division and board of directors meetings and for
interim reports based on board of directors’ decisions.
(2) Prepare and update a Networking and Resource Manual and post it on the Michigan
Division website in the Members Only section.
(3) Have available at all meetings up-to-date copies of the international and division
bylaws and standing rules.
(4) Perform such other duties as may be assigned by the board of directors.
E. The communications secretary shall:
(1) Conduct the correspondence of the division in accordance with the direction of the
president and/or board of directors.
(2) Give written notice of the annual and special meetings as required in Article VI.
(3) Be responsible for the publication of a Michigan division newsletter.
(4) Maintain and publish a master calendar of all dates of chapter and division
workshops and seminars, as submitted.
(5) Be responsible for Administrative Professionals Week activities within the division.
(6) Perform such other duties as may be assigned by the board of directors.
F. The treasurer shall:
(1)
Be responsible for all funds of the division and for the records of its financial affairs.
(2)
Keep a complete and accurate record of chapters and division members-at-large.
(3)
Be responsible for presenting a financial report at division annual meeting.

Section 6.
Be bonded with premiums paid from division funds.
Prepare a monthly financial report of budget versus actual expenses for the board
of directors and quarterly reports to be made available to the division members and
posted on the web community in the Members Only section within 25 days from the
end of the quarter.
Make accurate and prompt disbursements as authorized by specific action or by a
budget adopted and administered by the board of directors.
Prepare a budget by October 1 to guide the board of directors and team leaders in
all expenditures of division funds to be posted on the web community in the
Members Only section by October 15.
Perform such other duties as may be assigned by the board of directors.
Vacancy
A. In the event of a vacancy in the office of:

President – the president-elect shall succeed to the office for the unexpired term and
shall continue in the office of president for the following year.
President-elect – the vice president shall fill the unexpired term as acting presidentelect, shall not automatically succeed to the office of president, but shall be eligible to
seek election to the office of president.
President and president-elect – the vice president shall succeed to the office of
president for the unexpired term and shall be eligible to seek election to the office of
president for the following term.
A vacancy in any other office shall be filled for the unexpired term by appointment
from the membership of the division by the board of directors.
ARTICLE IV - BOARD OF DIRECTORS
The board of directors shall be the governing body on all matters requiring action between
division annual or special meetings, other than amending the bylaws.
Section 1.
Composition.
The board of directors shall be the officers of this division.
Section 2.
Duties.
A. The board of directors shall adopt an annual budget, which shall be distributed to chapters
during the month of September following the division annual meeting. The board of
directors shall arrange for an annual financial review of the financial records of the
division.
B. The board of directors may, by a three-fourths vote of its membership, remove any officer
or team leader for misconduct or neglect of duty. Before such an action, the officer in
question should be given reasonable notice and an opportunity to be heard. The board of
directors shall request the resignation of such officer from the respective office. If such
resignation is not received by the board of directors within ten (10) days after such
resignation has been requested, the board of directors is empowered to and shall
thereupon declare such office vacant, and such office shall be filled in accordance with the
provisions of Article III, Section 6.

C. The board of directors shall serve as board contact to division committees, chapters, and
division members-at-large.
Section 3.
Meetings.
A. The board of directors shall meet as required to adequately conduct the business of the
division. At least two meetings shall be held each year.
B. The board of directors may transact business in person, by postal mail, courier service,
electronic communication, or by conference call.
Section 4.
Quorum.
The quorum for any meeting of the board of directors shall be a majority.
ARTICLE V - COMMITTEES
Section 1.
Standing Committees.
Standing committees shall be composed of a chair and additional members as deemed
necessary. Appointments shall become effective July 1 for a term of one year.
Section 2.
Duties.
Standing committees and their duties are as follows:
A. The Bylaws and Standing Rules Committee.
(1) Shall maintain conformity in division bylaws and standing rules with the international
bylaws and standing rules.
(2) Shall, by December 1, notify chapter presidents, division members-at-large and
division officers of the February 15 deadline for submitting proposed amendments to
the Division Bylaws and Standing Rules Committee.
(3) May edit/correlate all proposed amendments to the bylaws and standing rules of this
division and submit them together with the committee’s recommendations and
reason for the recommendations to the board of directors, to all division members
through their respective chapter presidents and to division members-at-large.
(4) May propose amendments.
(5) May assist the board of directors in preparing amendments to the international bylaws
and standing rules and submitting them to the International Bylaws and Standing
Rules Committee on behalf of the division.
(6) Shall be responsible for distribution of approved amendments and/or revisions to
division bylaws and standing rules to all division members through their respective
chapter presidents and to division members-at-large.
(7) Shall submit division bylaws and standing rules and/or amendments to the district
representative and the chair of the International Bylaws and Standing Rules
Committee to review for compliance as amended or at least every four (4) years.
(8) Shall review for compliance chapter bylaws and standing rules as amended or at least
every four (4) years.

There shall be a nominations team leader appointed by the president with approval by the
board of directors who shall appoint two (2) members to assist in the nomination process.
The nominations team leader shall carry out the duties prescribed in this section. Board
members and potential board candidates are ineligible to serve on this committee.
(1) No later than November 1, the team leader shall furnish detailed instructions to each
chapter president and to the division members-at-large for submitting names and
qualifications of candidates for division office.
(2) The team leader shall review all candidate submissions for qualifications, timeliness,
completeness of information required, appropriate signatures, and verification of
employment status.
(3) At least sixty (60) days prior to division annual meeting, the team leader shall notify the
division board of directors, chapter presidents, and division members-at-large of the
names and qualifications of all candidates for each division office.
Section 3. Special Committees.
Special committees may be appointed when deemed necessary by the president, subject to
the approval of the board of directors.
Section 4. Responsibilities.
A. All committees, except the Committee on Nominations, shall be directly responsible to the
board of directors and shall submit all plans, prior to execution, to the board of directors for
approval.
B. Team leaders shall submit an annual report of activities to the board of directors by April
30 to be posted on the website prior to the division annual meeting.
ARTICLE VI - DIVISION MEETINGS
Section 1. Scheduling.
A. This division shall hold a division annual meeting and such other workshops, seminars, or
forums as approved by the board of directors to support the objectives of the division in
the spring of each year, preferably the third weekend in May, at a location selected two (2)
years in advance by the board of directors.
B. If an annual meeting cannot be held at the time and place chosen, the division board of
directors shall designate the time and place at which it is to be held.
C: The division shall hold an educational training workshop in the fall, preferably the third
weekend in September, at a location selected two (2) years in advance.
D. If the educational training workshop cannot be held at the time and place chosen, the
division board of directors shall designate the time and place at which it is to be held.
Section 2. Notification.
The secretary shall notify all chapter presidents and the division members-at-large concerning the
time and place of each annual meeting at least three calendar months prior to the scheduled
meeting date.

Section 3. Representation.
The voting power of the members shall be exercised through properly accredited delegates to
the division annual meeting. (All division annual meetings shall be open to students and
prospective members.)
A. Each chapter shall have the right to select from its membership one (1) delegate and one
(1) alternate.
B. Division members-at-large shall meet prior to the opening of the division annual meeting
and elect from their membership, one (1) delegate and one (1) alternate to represent them
at the annual meeting.
C. The board of directors shall exercise voting power of one (1) vote for the entire board,
which shall represent the majority opinion of the board and shall be cast by the presidentelect or such other officer as the board may designate.
Section 4. Business.
The business of the division annual meeting will be:
A. Election and installation of officers.
B. Financial report.
C. Amendments to bylaws and standing rules.
Section 5. Special Meetings.
Special meetings may be called by the board of directors or by one-third of the chapters of the
division whenever deemed necessary to the welfare of the division, provided notice specifying
the time, place and the principal business of the meeting is given to all chapter presidents and
division members-at-large at least fifteen (15) days prior to the date of the special meeting.
Section 6. Quorum.
A quorum for any annual or special meeting shall be a majority of the accredited delegates
from the division officers, chapters, and the division members-at-large.
ARTICLE VII - FINANCIAL REVIEW
Section 1.
A financial review shall be made of the division financial records by a qualified person or
persons appointed by the board of directors. Such financial review shall be completed within
thirty (30) days of the close of the fiscal year, a written report covering the financial review
submitted to the board of directors, and the records transferred to the incoming treasurer. The
election or appointment of a new treasurer shall warrant an external financial review by a
qualified person or persons appointed by the board of directors. The division board of

directors shall post the results of the financial review on the Michigan Division website in the
Members Only section.
Section 2.
In the event of a vacancy in the office of treasurer, a financial review shall be made of the
division’s financial records by a qualified person or persons appointed by the board of
directors. Such financial review shall be completed within fifteen (15) days after receipt of the
records, a written report covering the financial review submitted to the board of directors, and
the records transferred as directed by the board of directors.
ARTICLE VIII - DISSOLUTION
In the event of dissolution, abandonment, or termination of the division, no income,
contribution, or other revenue or funds shall inure to the benefit of any individual or of any
group not affiliated with IAAP, and any and all assets then possessed by the division, after
current indebtedness has been paid, shall go and be delivered forthwith equally to The
Foundation of IAAP and to IAAP for the advancement of IAAP members.
ARTICLE IX - AMENDMENTS
Section 1. Bylaws.
These bylaws may be amended by any of the following methods:
A. At any annual or special meeting, by a two-thirds vote, provided copies of the proposed
amendments shall have been distributed at least forty-five (45) days prior to the meeting to
all division members through their respective chapter presidents and to division membersat-large
B. At any annual or special meeting, by a four-fifths vote, provided copies of the proposed
amendments shall have been distributed to the delegates, division officers, and chair of
the Bylaws and Standing Rules Committee at least one (1) session of the meeting prior to
taking the vote.
C. By unanimous vote, if not distributed previously as required in (A) and (B) of this section.
D. By a referendum. A referendum may be ordered by a two-thirds vote of the board of
directors or by a majority of the chapters. An affirmative vote of two-thirds of the chapters
shall be necessary for adoption.
Section 2. Standing Rules.
May be adopted, amended or rescinded at any annual or special meeting by any of the
following methods:
A. By a majority vote, provided previous notice shall have been distributed at least forty-five
(45) days prior to the meeting to all division members.
B. By a two-thirds vote, provided copies of the proposed amendments shall have been
distributed to the delegates, division officers, and members of the Bylaws and Standing

Rules Committee, who are present, at least (1) session of the meeting prior to taking the
vote.
C. By a four-fifths vote, if not distributed previously as required in (A) and (B) of this section.
Section 3. Corrections.
Automatic grammatical, punctuation, and correlation corrections in these bylaws and standing
rules or amendments thereto, which in no way alter the intent of the respective bylaws and
standing rule, shall be effected by the Bylaws and Standing Rules Committee, subject to the
approval of the board of directors.
Section 4. Enactment.
These bylaws and standing rules and/or amendments thereto shall become effective upon
adjournment of the annual or special meeting at which adopted, unless otherwise specified.

STANDING RULES
A. REQUIREMENTS
1. Division officers shall not serve in any other capacity in IAAP while holding office.
2. All records pertaining to any office and/or committee are the property of the division and
must be transferred, as directed by the board of directors, within fifteen (15) days by the
person vacating for any reason whatsoever.
3. Within fifteen (15) days after expiration of the term of office, all outgoing officers shall
transfer to the incoming officers the books and records for the current fiscal year, which
are necessary for the continuity of the work of the division and all previous years' records
in their custody. The treasurer shall within fifteen (15) days after expiration of the term of
office deliver the books and records of the office to those appointed to conduct the
financial review.
4. Within fifteen (15) days after expiration of the term of office, all committees shall transfer
their files as directed by the board of directors.
B. FINANCES
1. The delegate to the international annual meeting and representative to the incoming
division presidents’ conference shall be reimbursed for the actual and necessary expenses
incurred to include: registration fee, transportation, housing, and daily expenses not to
exceed $50.00 provided funds are available.
2. The alternate to the international annual meeting shall be reimbursed for registration fee
and transportation provided funds are available.
3. All division officers who attend the division annual meeting shall be reimbursed for actual
and necessary expenses to include: registration fee, housing, transportation (equal to but
not exceeding the existing IRS mileage allowance), and daily expenses not to exceed
$25.00
4. Each division officer shall be reimbursed for actual and necessary expenses incurred in
attending meetings of the board of directors to include: transportation (equal to but not
exceeding the existing IRS mileage allowance), housing when necessary, and daily
expenses not to exceed $25.00
5. Each division officer shall be reimbursed for actual and necessary expenses incurred in
making assigned official visits to include: transportation (equal to but not exceeding the
existing IRS mileage allowance), and when distance necessitates staying overnight, one
(1) night's lodging (moderately priced) and daily expenses not to exceed $25.00.
6. With the approval of the board contact, each division team leader shall be reimbursed for
actual expenses incurred in connection with the committee's function, not to exceed the
amount specified in the division budget.
7. The parliamentary advisor for the annual or special meetings shall be reimbursed for the
registration fee, housing, and transportation by the most practical means.
C. REPRESENTATION

1. The current division president shall be the delegate at the international annual meeting. In
the event the division president is unable to attend, the board of directors shall select a
representative in the following order: president-elect, vice president, recording secretary,
communications secretary, treasurer, or an immediate past division officer. The division
board of directors shall select an alternate to the international annual meeting.
2. The president-elect shall be the representative at the incoming division presidents’
conference as scheduled by the international board of directors.
3. The delegate and the alternate to the international annual meeting shall prepare a
combined written report to the membership of this division within sixty (60) days after the
close of the international annual meeting.
D. MEETINGS
1. The minutes of the division annual meeting shall be approved by the outgoing president.
Minutes of division annual or special meetings shall be available sixty (60) days after the
meeting.
2. The division board of directors may hold leadership training for the purpose of informing
chapter officers and team leaders of their respective duties.
3. The division board of directors may hold regional meetings, centrally located, for the
purpose of bringing members up to date on division and international happenings and
exchanging ideas.
E. AWARDS
1. A certificate of award will be presented at the division annual meeting for categories
designated by the Michigan division board of directors. The designated categories for the
following year will be announced by September 1.
2. A pin emblematic of division office shall be presented to each division officer at the time of
installation, to be passed on to the successor. If an officer loses the pin, it must be
replaced at no cost to the division.
3. Each retiring officer shall be presented with a past officer pin and a token commensurate
with length of service to the Michigan division.
4. The division shall present all new Michigan division chapters with an IAAP banner.
