MEMORANDUM OF UNDERSTANDING BETWEEN THE COAST COMMUNITY COLLEGE
DISTRICT (ORANGE COAST COLLEGE) AND THE ORANGE COUNTY HEALTH CARE
AGENCY, BEHAVIORAL HEALTH SERVICES
This Memorandum of Understanding (MOU) is made and entered between the COAST COMMUNITY
COLLEGE DISTRICT (DISTRICT) on behalf of Orange Coast College (COLLEGE) and ORANGE
COUNTY HEALTH CARE AGENCY, BEHAVIORAL HEALTH SERVICES (HCA) to create a
veterans’ behavioral health support program at COLLEGE. The program will focus on early
identification and prevention of mental health and co-occurring issues for veterans enrolled in the
DISTRICT. The center will be referred to as the “OCC Drop Zone”, and it will provide advisement and
referrals to resources, both on and off campus, veterans’ outreach opportunities, psycho-educational
workshops, and support groups. All parties will jointly coordinate their efforts in the following manner to
maximize the benefits of this mutual agreement:
1. COLLEGE will provide an office space located within a student services area to be designated
as the “OCC Drop Zone”. COLLEGE will provide the use of a computer with Internet access, a
printer, routine office supplies and a telephone to support the project.
2. HCA will provide a clinician (Approved Social Worker or Marriage Family Therapist) familiar
with military culture to staff the “Drop Zone” at a minimum of 12 hours per week, with the
option to expand, when mutually agreed, based on the program needs. All costs, including salary,
benefits and liability insurance will be covered by HCA. COLLEGE will provide two parking
permits for staff affiliated with the “Drop Zone”.
3. An advisory group will be formed for the “Drop Zone”. The advisory group will meet once per
month (at a minimum) to review the progress of the program. The advisory group will be made
up of administrators, faculty and staff from both COLLEGE and HCA.

4. An appointed (by COLLEGE), COLLEGE Administrative staff member will serve as the on-site
administrator for the program. All decisions regarding staffing and service delivery for the “Drop
Zone” will be authorized through the site administrator.
5. COLLEGE and HCA agree to work together to develop and define outcome measures to assist in
evaluating the effectiveness of the “OCC Drop Zone”. COLLEGE agrees to work in good faith
to obtain student permission (via signed release) to share academic achievement related data with
HCA.
6. No information other the disclosure of enrollment status shall be shared with staff in the “OCC
Drop Zone”, in compliance with Federal and State regulations including but not limited to the
Family Education Right to Pricy Act (FERPA) and the Health Insurance Portability and
Accountability Act (HIPAA). Students will be asked to sign consent forms in order to release the
status of his or her enrollment between parties.
This effort will be conducted within the following terms and conditions:
1. No funds are obligated under this MOU, and each party shall bear the full cost it incurs in
performing, managing and administering its responsibilities under this MOU.
2. The parties agree to communicate with each other on a regular basis, but at a minimum of once a
month, on subject matter relating to this MOU.
3. DISTRICT agrees to indemnify, defend with counsel approved in writing by the County of
Orange, and hold harmless HCA and its officers, employees, agents, and volunteers from any and
all claims, actions, losses, damages and/or liability arising out of the performance of this
Memorandum of Understanding or from any cause whatsoever which may arise because of the
negligence, misconduct, or other fault of DISTRICT, for any costs and expenses incurred by
HCA on account of any claims therefore except where such indemnification is prohibited by law.

HCA agrees to indemnify and hold harmless DISTRICT and its officers, employees, agents, and
volunteers from any and all claims, actions, losses, damages and/or liability arising out of the
performance of this Memorandum of Understanding or from any cause whatsoever which may arise
because of the negligence, misconduct, or other fault of HCA, for any costs and expenses incurred by
DISTRICT on account of any claims therefore except where such indemnification is prohibited by
law.
4. The OCC will provide and approve all program brochures, flyers, press releases, signage, and
other publicity related to the “OCC Drop Zone”.
5. This agreement shall be effective for a period of one (1) year beginning on the effective date.
This agreement will automatically renew annually unless otherwise indicated in writing by one of
the parties at least thirty (30) days prior to the end of the term.
6. Neither party hereto intends that this MOU shall create rights hereunder in third parties including,
but not limited to, any subcontractors or any clients provided services pursuant to this MOU.
7. This MOU shall constitute the sole and entire binding MOU between the parties as it relates to
the services provided herein. All other prior proposals, offers, discussions, preliminary
understandings, and other communications relative to this MOU, oral or written, shall be
considered superseded, and any such terms, conditions or provisions are effective only to the
extent that they have been negotiated as part of this MOU.
8. Any and all notices, requests, demands and other communications contemplated, called for,
permitted, or required to be given hereunder shall be in writing, except through the course of the
Parties’ routine exchange of information and cooperation during the terms of the work and
services. Any written communications shall be deemed to have been duly given upon actual inperson delivery, if delivery is by direct hand, or upon delivery on the actual day of receipt or no
greater than five (5) calendar days after being mailed by U.S. certified or registered mail, return
receipt requested, postage prepaid, whichever occurs first. The date of mailing shall count as the

first day. All communications shall be addressed to the appropriate Party at the address stated
herein or such other address as the Parties hereto may designate by written notice from time to
time in the manner aforesaid

9. Parties shall notify each other, in writing, within twenty-four (24) hours of becoming aware of
any occurrence of a serious nature, which may expose either party to liability. Such occurrences
shall include, but not be limited to, accidents, injuries, or acts of negligence.
10. All Parties acknowledge that each is an independent contractor to the other, and nothing
contained herein shall be deemed to create an agency, joint venture, franchise of partnership
relation between the parties, and no party shall so hold itself out. No party hereto shall have the
right to obligate or bind any other party in any manner whatsoever, and nothing contained in this
agreement shall give or is intended to give any right of any kind to third persons.

This MOU is effective when signed and will continue in force until terminated in writing by either party
(as specified in item 5 above).
