ADDENDUM TO CONTRACT
This Addendum to Contract, by and between Underground Location
Company d/b/a Iowa One Call (“The Company”) and HenryRussellBruce
(“Agency”), forms an addendum to the Professional Advertising Services
Contract (“Contract”) dated April 9, 2012, and constitutes a part of the
Contract Documents as that term is defined in the Contract.
WHEREAS, the Company requires professional consulting, marketing,
communications and advertising services from time to time;
WHEREAS, on or about April, 2012, the Company issued a 2012-2013
Advertising and Communications Request For Proposal for professional
advertising and communications services (“Services”) for the Company during
the Contract Term September 1, 2012 through August 31, 2015;
WHEREAS, on or about April 9, 2012, Agency submitted to Company a
2012-2015 Advertising and Communications Proposal (“Proposal”) whereby it
proposed certain categories of Services to the Company and accepted all the
terms set forth in the Contract;
WHEREAS, on or about April, 2012, the Company accepted Agency’s
Proposal;
NOW, THEREFORE, in consideration of the mutual covenants and
agreements contained herein and in the Contract Documents, the parties agree
as follows:
1.
Contemporaneous with the execution of this Addendum to
Contract, Agency is delivering to the Company certificates of insurance
evidencing valid insurance coverage in effect as specified in the Contract,
including, but not limited to the coverages as set forth in paragraph 12 of the
Contract and all subparagraphs contained therein.
2.
Agency designates Jim Thebeau as its representative and agent
responsible for Agency’s compliance with the Contract, as set forth in
paragraph 24 of the Contract.
3.
The Company designates Craig Walter and Neal Drefke as its
agents and representatives who may sign approvals and authorizations as set
forth in paragraph 5 of the Contract.
4.
The Contract Term is comprised of three consecutive contract
years as follows: September 1, 2012 through July 31, 2013; September 1,
2013 through July 31, 2014; and September 1, 2014 through July 31, 2015
(individually, “Contract Year”).
5.
The Services to be rendered by Agency to Company are as set forth
in the Contract Documents. Specifically, Company and Agency agree that the
following “Categories of Services” and maximum budgeted cost for each
Category of Service for each Contract Year are as follows:

Company and Agency agree that during each Contract Year, the
Company may determine to increase or decrease Categories of Services and
costs, or allocate some budgeted cost(s) in any one or more Category of
Service(s) to one or more different Category of Service(s). Agency shall submit,
prior to production, the following to the Company for approval: all advertising
plans and campaigns, copy, layouts, artwork, storyboards and scripts, media
schedules, and cost estimates.
The Agency will seek the Company’s
authorization before ordering production materials, making contracts with
suppliers and making reservations or contracts for media space on time and
talent as set forth in paragraph 5 of the Contract. The Company, for
Company’s convenience, shall have the right to request changes or
cancellations, stop any work in progress, and Company’s approval must be
obtained for all terms, conditions and budgets for Services to be performed
under the Contract as set forth in paragraph 5 of the Contract.
