Resolution to approve The “Consortium Agreement” of Ohio School Benefits Cooperative, shall
be amended and replaced in the respect and to the extent set forth below:
Quorum and Adjournment. The voting power of the Consortium, present at any meeting of the
Consortium Members shall constitute a quorum at such meeting. Furthermore, the Consortium
Members present at any meeting, may adjourn the meeting from time to time without notice other
than by announcement at the meeting.
