These Annexures shall form the basis on which QatarEnergy will evaluate CONTRACTOR’s technical, administrative, and financial capability to execute the CONTRACT. 3. CONTRACTOR shall attach any additional information as necessary and required by the “Instructions to Tenderer” for consideration. However, CONTRACTOR is advised to strictly follow all Annexures, and in no circumstances, CONTRACTOR shall modify any part of Annexure. Page 30 of 64 Annexure 13 - QA/QC Procedures CONTRACTOR’s Quality Assurance and Control System dedicated for this CONTRACT shall comply with conform to QatarEnergy Quality System Requirements as required in the following documents which are appended with Appendix A and its Exhibits 04,07 and 21 in addition to the following: 13.1 QP-QAL-STD-004 [Rev. 00] 13.2 QP-STD-Q-003 [Rev.1] CONTRACTOR shall submitted a preliminary Project Quality Plan as part of the bid proposal. in compliance with the above mentioned documents as part of Technical Proposal. CONTRACTOR’s documents in this regard will be reviewed by QatarEnergy and any comments made shall be incorporated by CONTRACTOR. In the event of CONTRACT AWARD, CONTRACTOR shall submit the Project Quality Plan IFC versions no later than three (3) weeks after the EFFECTIVE DATE. CONTRACTOR shall submit the Project specific Quality Plan no later than three (3) weeks after the EFFECTIVE DATE for QatarEnergy review and approval. The quality system shall be formalized in a Quality Manual which documents general policies, procedures and practices of the organization covering all quality related elements, addressing as a minimum the requirements of CONTRACT. Accordingly, irrespective of the pre-approved vessel, CONTRACTOR shall have the obligations to fulfill all QatarEnergy’s site inspections findings during course of the CONTRACT, prior to mobilization of the Vessel to the WORKSITE. Compliance with the inspections provisions is a must and shall be fully performed by CONTRACTOR without any time and cost impact to the CONTRACT. Should the pre-approved vessels not meet the inspection requirements during the course of the CONTRACT, it is the sole obligation of CONTRACTOR to provide QatarEnergy with replacement for QatarEnergy review and approval. CONTRACTOR shall allow ample time for QatarEnergy to review, inspect and approve the proposed replacement vessel as well as adequate time for CONTRACTOR to comply with the inspection requirements thereof. This review may involve review of the Vessel provider and the Vessels proposed. This exercise shall not have any time and cost implication to the CONTRACT. Page 37 of 64 Annexure 17 - HSE Specific Project (as applicable) CONTRACTOR shall provide the Project specific HSE Organization Chart for QatarEnergy review and approval with the relevant personal interviews. QatarEnergy may at any time perform interview to any of the CONTRACTOR’s PERSONNEL to ensure capability of the incumbent based on their credentials. CONTRACTOR shall provide complete details of their HSE organization chart at corporate level and project level clearly identifying the personnel. This shall be submitted immediately along with this Tender for QatarEnergy review. CONTRACTOR shall develop a Preliminary CONTRACT HSE Plan and submit to QatarEnergy during tendering stage to demonstrate that all hazards associated with the WORK have been identified and that adequate control and recovery measures have been determined. CONTRACTOR shall submit the Project specific HSE Management Plan no later than three (3) weeks after the EFFECTIVE DATE for QatarEnergy review and approval. The Preliminary Contract HSE Management Plan shall cover the phases from mobilization through de-mobilization and site restoration, and clearly indicate the specific procedures and standards that will be followed during each phase of the CONTRACT. Preliminary CONTRACT The HSE Management Plan as per QP-REG-S-001 “QP HSE Regulation for Contractors” that shall cover as a minimum: a) Description of HSE Management System and HSE Organization b) Demonstration of full understanding of the CONTRACT HSE requirements c) Demonstration that CONTRACTOR has independently identified and assessed the hazards/ risks anticipated during the execution of the contract d) Setting of HSE objectives and targets for the contract with the overall aim to ensure no harm to people, assets, and the environment e) Description of the process for management of the specific hazards / activities anticipated during the execution of the contract f) Description of the process for measurement and achievement of compliance with QatarEnergy’s requirements Further, without any obligations to CONTRACTOR QatarEnergy may visit proposed fabrication workshop / yard facilities for HSE inspection / audit of as part of evaluation of CONTRACTOR’s proposal prior to award of CONTRACT. All cost and time incurred by CONTRACTOR’s own personnel to facilitate this HSE inspection / audit shall be at CONTRACTOR’s own account. QatarEnergy is not obligated to reveal to CONTRACTOR the findings of this HSE inspection / audit and which are also not to be construed as approval or rejection in any way and for whatever purpose of the facilities. For this visit, CONTRACTOR’s will be requested to issue invitation letter to QatarEnergy to facilitate immigration visa application. COOEC Qingdao yard is the only approved fabrication yard and no other yard is approved to execute this CONTRACT. CONTRACTOR shall attach consent letter to QatarEnergy for the purpose of this visit and confirms to waive its rights to the findings of the HSE inspection / audit Page 38 of 64 Annexure 18 - FEED ENDORSEMENT As per Attachment – 9. Endorsement/Acceptance of FEED Package A. CONTRACTOR shall review and validate the Front End Engineering Design (FEED) provided by QatarEnergy, taking full ownership and responsibility for the design and associated technical documents / drawings as though CONTRACTOR has undertaken the preparation of FEED itself. B. By endorsing the FEED package, CONTRACTOR confirms, with respect to the FEED package, that: i) CONTRACTOR has carefully and thoroughly reviewed the FEED design package and is satisfied with the quality, quantity, adequacy, consistency, and degree of details of the FEED. ii) CONTRACTOR confirms that the FEED Package has been checked and found to be correct, complete, conforming to the Project and QatarEnergy Standards/Specifications and is fit for its intended purpose. Therefore, CONTRACTOR assumes responsibility for any errors, omissions, incoherence, contradictions, discrepancies and/or ambiguities of whatever nature. iii) CONTRACTOR endorses and takes full technical and commercial responsibility associated with the FEED. iv) CONTRACTOR confirms that the FEED is suitable as a basis of the Scope of Work under the CONTRACT and commits not to question the FEED. v) CONTRACTOR waives any right of recourse whatsoever in respect thereof against QatarEnergy. The undertakings under paragraph 4 above shall not apply to any CONFIDENTIAL INFORMATION which, at the time it is received or obtained by QatarEnergy (i) is in the lawful and unrestricted possession of CONTRACTOR; or Page 42 of 64 (ii) is part of the public knowledge or literature, and shall cease to apply to any CONFIDENTIAL INFORMATION which, after it is received or obtained by CONTRACTOR hereunder: (iii) becomes part of public knowledge omission of CONTRACTOR; or or literature through no act or (iv) is disclosed to CONTRACTOR without restrictions on disclosure by a Third Party (other than one disclosing on behalf of QatarEnergy) whose possession of such information is lawful and who is under no secrecy obligation with respect to the same. The foregoing exceptions shall only be effective to the extent that CONTRACTOR can prove the facts. Specific Confidential Information shall not be deemed to be subject to any of the above exceptions merely it is embraced by general disclosures in the public knowledge or literature or in the possession of CONTRACTOR, and any combination of features disclosed shall not be deemed subject to the above exceptions merely because individual features are in the public knowledge or literature or in the possession of CONTRACTOR. 6. Upon completion or termination of THE WORK, or, if it is decided that THE WORK will not be entrusted to CONTRACTOR, upon notification to CONTRACTOR of such decision, CONTRACTOR shall return to QatarEnergy, any CONFIDENTIAL RECORD. 8. Nothing in this Agreement shall be construed as granting CONTRACTOR a license u n d e r intellectual property rights of QatarEnergy or any Third Party, or any rights in respect of the CONFIDENTIAL INFORMATION other than those specifically set out herein. 9. This declaration shall be construed under and governed by the laws of the State of Qatar. 10. The above information shall tally with the information presented in the Article of Association (Annexure – 4 item 4.2.3) and the Information provided in the Commercial Registration/ Commercial License and the Vendor ID of the Bidding Entity that collect the Tender document.
