Between us, Design Solutions LLC and you, Acme Financial Worldwide, Inc.
Summary
We’ll always do our best to fulfill your needs and meet your expectations, but it’s important to have things
written down so that we both know what’s what, who should do what and when, and what will happen if
something goes wrong.
In this contract, you won’t find any complicated legal terms or long passages of unreadable text. we have no
desire to trick you into signing something that you might later regret. What we do want is what’s best for
both parties, now and in the future. So in short:
You, Acme Financial Worldwide, Inc., located at 75 Berwick St, Soho, London W1F 8TG, United
Kingdom, are hiring us, Design Solutions LLC, located at 4321 South Street, Baltimore MD 21010,
USA, to assist with the concept, design and development of a high-fidelity mobile-first microsite
prototype for a fee of $125,000 USD, as outlined in our previous conversations and correspondence and
detailed on the following pages.
Agreements
Acme Financial Worldwide, Inc.:
You have the authority to enter into this contract on behalf of yourself, your company or your organization.
You also agree to stick to the payment terms set out at the end of this contract.
Design Solutions LLC:
We have the experience and ability to do everything we’ve agreed with you, referenced in the next section of
this document titled “What’s Included.” We will absolutely maintain the confidentiality of everything you
give to us or tell us.
What’s Included
Design Solutions LLC will assist with the concept, design and development of a high-fidelity mobilefirst microsite prototype. This initiative consists of the following activities:
1. A One-Day UX Strategy Session to (1) discuss Acme Financial Worldwide, Inc’s
business goals and current issues, and (2) walk through how people use the web portal now.
In addition, we’ll evaluate the current build across the following areas:

• User Expectation & Prediction
• Information Architecture (IA), Language & Labeling
• Navigation Scheme & Method
• Interaction Framework & Task Flow
• Related UI Design Structure
Afterward, you’ll be asked to provide secure access to either (1) a secure user account or
(2) a working prototype of the existing portal, via VPN or another method you prefer.
2. We will develop a candidate content inventory documenting all the content and data
elements that must be included in the mobile version of the prototype for each screen (or
“page”) of the product.
3. Design iteration and low-fidelity prototyping for the mobile-first POC. Work here will
focus on three (3) specific use scenarios:
• Onboarding: User registration, sign in and interactive guidance.
• Learning: Educational resources, policy statements, required reading.
• Enrollment: Enrollment process, contribution amount designation
and investment selection.
4. We will then create high-fidelity, finished, branded User Interface (UI) components and
screens, along with guidelines that dictate how they’re used. This candidate UI is then
applied to the clickable prototype screens
5. During our Final Review Meeting, we will review our assessment and recommendations
with you and your team members.
6. Upon final payment, we will deliver preliminary UX requirements & style guidelines
Documentation to guide internal development efforts after our engagement is completed.

Assumptions / What’s not Included
The estimated fee of $125,000 USD is based on the following assumptions:
1. Prototype work will focus on three (3) specific use scenarios, and will include no more than
16 screens across these 3 paths:
• Onboarding: User registration, sign in and interactive guidance
• Learning: Educational resources, policy statements, required reading

• Enrollment: Enrollment process, contribution amount designation
and investment selection
2. Requested revisions to low-fidelity prototypes, finished UI design or high-fidelity
prototypes are not included in this estimate. These requests will be estimated as requested,
and billed separately at the hourly rate of $250.
3. The high-fidelity prototype format (e.g. HTML/CSS) will be defined at a later date. We
will choose the format we believe is the best match to accurately demonstrate the features and
functionality recommended and specified, and deliver a consistent interactive experience across
multiple viewing platforms.
4. The high-fidelity prototype will contain no production-ready code, and will not be integrated
in any manner with existing Acme Financial databases or systems.
5. Acme Financial will supply stock photography and/or illustration for use where applicable
or desired. Creation, purchase or retouching of stock photography
or Illustration is not included in this estimate.
6. Acme Financial will supply existing copy/text and sample data figures for use in the highfidelity prototype where applicable. Copywriting and creation of sample data is not included
in this estimate.
7. Acme Financial will be responsible for sharing the low- and high-fidelity prototypes with
its customers for testing review. Creation of a secure staging server for this purpose is not
included in this estimate.
Legal and Payments
The work we do is designed to help businesses like yours thrive. However, we cannot be liable to you or
any third-party for damages, including lost profits, lost savings or any and all other incidental,
consequential or special damages, even if you’ve advised us of them.
Finally, if any provision of this contract shall be unlawful, void, or for any reason unenforceable, then that
provision shall be deemed severable from this contract and shall not affect the validity and enforceability of
any remaining provisions.
Confidentiality
we will absolutely maintain the confidentiality of anything and everything you show or tell us during our
time together, and we are happy to sign an NDA agreement. We will treat all confidential Information you
share with us with the same degree of care we apply to our own, and will not disclose it to any other party,
for any reason whatsoever, unless you direct us specifically to do so in writing.
Schedule and Payments
As business professionals yourselves, we’m sure you understand how important it is that you pay the
invoices that we send you promptly, according to the following payment terms:

Initial Deposit of $31,250 prior to the start of any work

Installment payment of $31,250 due upon delivery
of first draft of the low-fidelity prototype.

Installment payment of $31,250 due upon delivery
of first draft of the high-fidelity prototype.

Installment payment of $31,250 due at the completion
of the high-fidelity prototype and prior to delivery of UX
Requirements & Style Guidelines Documentation.
But where’s all the horrible small print?
Either party may cancel this contract in writing at any time. If that cancellation occurs within 10 days of
receipt of your deposit, we will refund 75% of that deposit to you. If the contract is cancelled at any time
past that 10-day period, the full deposit is non-refundable. In the event of cancellation, any deliverables
produced remain with us and will not be delivered.
You can’t transfer this contract to anyone else without our permission, and neither can we. This contract
stays in place and does not need to be renewed. If for some reason one part of this contract becomes invalid
or unenforceable, the remaining parts of it remain in place.
Although the language is simple, the intentions are serious. This contract is a legal document, governed by
and construed in accordance with English Law and shall be subject to the exclusive jurisdiction of the High
Court in London.
