terms and conditions. We also hereby declare and confirm that the offered Copper Cathodes is of
clean origin, clear and free from all liens and encumbrances and not of any criminal origin and
freely movable in Africa and the rest of the world, without perjury nor defrauding and abiding
the laws and rules of the ICC and compliant with Basel III regulations subject to the terms and
conditions provided below:

PHYSICAL APPERANCE:
Length, width and thickness of each sheet shall be equivalent to generally accepted LME
internationally accepted measurements. The Copper Cathode’s surface condition shall be free of
imperfections, defects and excess exposure to outdoor weather.

DOCUMENTS
Seller will provide all relevant supporting documents for clearing the goods, and transporting,
from the refinery warehouse to the loading port.
SELLING PROCEDURE
1). The Buyer signs this SPA as acceptance of the offer, and as acceptance of procedures, terms
and conditions.
2. Seller issues Sales and Purchase Contract for Buyer’s approval or amendments, if any.
3. After mutual agreement, Buyer and Seller sign and seal the Sales and Purchase Contract with
full banking coordinates.
4. After mutual agreement, Buyer and Seller sign and seal the sales and purchase agreement
with full banking coordinates.
5. The Seller provides the Buyer with POP such as copper cathodes pictures with full buyer’s
details written on it.
6.. Buyer shares with the seller the schedule of arrival to Zambia in order for the seller to pick
up him to the airport.
PAYMENT TERM
30% payment shall be made by MT103 TT within 48h after viewing the copper cathodes in the
bonded warehouse.
After receiving the payment, the goods will be delivered in Durban in a period of 7days.
The payment will be transfer to the transportation company” VARLOSTYLE PTY Ltd”
Pre-Shipment Certificate of Quality issued by an international acknowledges Assay Company.
Commodity Certificate of Origin.
Export Authorization.
Copy of Ocean Bill of Lading by the carrier made out to order of Buyer.
One original insurance policy to order of the applicant covering all risks with 110 % of shipment
value.
Certificate of Quality and Quantity issued by ALEXWARD will be giving to the buyer in
Durban/south Africa or alternatively, if such certificate described in item 7. Here of was not
obtained.
8. BL and full export and transit documents will be against the balance payment of 70%
PARTIES OBLIGATION
OBLIGATIONS OF THE SELLER:
The seller agrees and undertakes as follows:
To sell and supply 500 Metric Tons Electrolytic Copper Cathodes at the price mentioned above
to the purchaser that all documents are proper arranged, for the buyer or buyer’s representative
to view the goods at the bonded warehouse l in Zambia, and Deliver it at the port loading
Durban in south Africa.
OBLIGATIONS OF THE BUYER:
The buyer agrees and undertakes as follows:

To pays 30% value of the total consignments after visual inspection and
documenthe1000tons of copper cathodes and 70% on BL.

OBLIGATIONS OF SELLER.

To show the goods and documents in the bonded warehouse and to deliver goods to
Durban also to provide the full seat of export documents and the BL.
