Referral Agreement
This Referral Agreement (the "Agreement") is entered into as of [Effective Date], by and
between Alan Klenor, an individual (the "Referrer"), and Uptick Agency LLC, a Wyoming limited
liability company (the "Company").
WHEREAS, the Company is engaged in [describe the business or industry];
WHEREAS, the Referrer desires to refer potential clients to the Company in exchange for a
referral fee as outlined herein;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties
agree as follows:
1. Referrals
1.1. The Referrer shall identify potential clients (the "Referred Clients") to the Company.
1.2. The Referrer shall provide the Company with the name and contact information of each
Referred Client.
1.3. The Company shall have the sole right to determine whether to enter into a contract with
any Referred Client.
2. Referral Fee
2.1. For each Referred Client that signs a contract with the Company (the "Contract"), the
Referrer shall receive a referral fee equal to 20% of the monthly contract fee value for such
Referred Client (the "Referral Fee").
2.2. The Referral Fee shall be payable within 30 days after the end of each month in which the
Referred Client pays the monthly contract fee to the Company.
2.3. The Referrer shall be responsible for all taxes on the Referral Fee.
3. Term and Termination
3.1. This Agreement shall begin on the Effective Date and continue in full force and effect until
terminated by either party with 30 days' written notice.
3.2. Any obligations that by their nature should survive termination or expiration of this
Agreement shall so survive, including but not limited to payment obligations.
4. Confidentiality
Both parties agree to maintain the confidentiality of all information obtained during the
execution of this Agreement, except as required by law.
5. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of
Wyoming, without regard to its conflicts of law principles.
6. Entire Agreement
This Agreement contains the entire understanding between the parties and supersedes all prior
agreements, understandings, and negotiations between the parties.
