1 INTRODUCTION
The FPFH – NPP (Flexi Power Fuse H – Nokia Power Prioritizer) module is designed for 19” rackmounted applications and offers a controlled distribution of DC bus voltage with integrated overcurrent protection.
The unit consists of two DC input terminals and 6 DC output terminals. Both input terminals are
electrically connected in parallel inside the unit – each input terminal is capable of conducting 120A.
The DC outputs can be turned on or off independently. After power-up of the FPFH – NPP, all
outputs are in their configured state. Factory default value of all outputs is off state.
Each output is capable of delivering currents up to 50A. Each output has an electronic fuse function
implemented. The over current protection will trip the output at currents above the configured
value up to 50A.
In case an output has tripped, it will automatically try to reconnect 4 times with a delay time of 1
second between each reconnection attempt. If the electronic fuse of a specific output has tripped 4
times within one minute, this output will latch into the off state.
A latched output will stay in the off state until it is turned on again by manual control directly via the
web interface, local membrane switch or through FPRB or NOKIA BTS.

2.1 Unboxing the appliance
Before unpacking each box, take care to check the box for external damage!

Mind you have the “right side up” on the box.
Cut open the adhesive tape on the top, open the box and take of the lid.
Take out the accessory kit (rubber seal caps) and set it aside.
Carefully lift the unit (which is packed in a plastic bag) out of the box and set it on a dry, even
surface.

In EMHH Flexi EDGE mechanical module configuration, there are no limitations on input wire

limitations in EMHA Flexi EDGE mechanical module configuration, due to limited space in cable side
entry.

2.7 Preparing power cable installation for “EDGE” mechanical 3U units
Based on the bending radius of the cable, there are different ways to install the power cables. The
limit is the standard bending radius: 8x the outer diameter (OD).
Depending on the installation space, it is necessary to split the cables outside the Flexi Casing.

Special tool (CS76199.08) should be used to strip the cable jackets.
Make sure the insulation of the wires under the jacket is undamaged!

To make it easier to pull rubber sleeves over wire bundles, it may be necessary to use a NOKIA
approved lubrication material (approved by NOKIA).
It is mandatory to use an ESD wristband when working on the FPFH-NPP unit.

2.7.4 Assembly configurations
2.7.4.1
Plinth assembly
1. Connect the ESD wrist strap between the plinth and your wrist.
2. Assemble casing on plinth after install FPFH-NPP according to chapter EMHA Flexi EDGE Mech
Module 3U (470316A) and EMHH FLEXI 3U casing and high COVERS F_B (473187A)
3. Connect FPFH-NPP grounding cable to the plinth.
4. Start with output configuration. See chapter Quick start configuration
5. Based on the plinth, the FPFH-NPP can be assembled on wall & pole as in the NOKIA guideline.
2.7.4.2 Stack assembly
1. First, assemble the FPFH-NPP according to chapter EMHA Flexi EDGE Mech Module 3U
(470316A) and EMHH FLEXI 3U casing and high COVERS F_B (473187A).
1. Place the second FPFH-NPP module according to chapter EMHA Flexi EDGE Mech Module 3U
(470316A) and EMHH FLEXI 3U casing and high COVERS F_B (473187A)
2. Push back unit stop and align with the first module
3. Fix together both of casing with two screws

You may install the unit without casing indoors and outdoors.

o Cut sealing cap IN at required outer diameter. Don’t damage the sealing ring.
o Insert cable to sealing cap IN
o The input cable can be connect to IN 1 and/or IN 2. Start with IN1.
o Insert the cables to connector and fixing with Torx 25 screwdriver (torque 3Nm).
o Push sealing cap IN over connector. Make sure the sealing is undamaged and fits in
place.
o Using strain relief outside for cables
10. Install OUTPUT cable:
o Cut sealing cap OUT at required outer diameter. Don’t damage the sealing ring. See
picture next page:
o Insert cable to sealing cap OUT
o For easy installation start connecting from OUT1 to OUT6, begin with the smallest
diameter at OUT1. See picture below, showing max. split cable configuration.
o Insert the cables to connector and fixing with Torx 25 screwdriver (torque 3Nm).
o Push sealing cap OUT over connector. Make sure the sealing is undamaged and fits
in place.
o Using strain relief outside for cables.

2.8 Connection schemes
The different available interfaces on the FPFH-NPP result in various possible combinations, how the
FPFH-NPP can be connected to external sub-systems in applications.
The purpose of this document is, to give an overview of possible system configurations and their
wiring for use of FPFH-NPP units.

2.8.1 Connection scheme FPFH-NPP with NOKIA-BTS
The FPFH-NPP can be used either as single unit (Figure 2-1) or double unit (Figure 2-2) configuration.
The FSEB Alarm Interface box is directly connected to the BTS.
The RJ45 Alarm port cable is connected from the FPFH-NPP to the FSEB Alarm Interface Box.

The FPFH-NPP can be used either as single unit (Figure 2-7) or double unit daisy chained (Figure 2-8)
on the RS485 bus together with an FPRB system and a Nokia BTS. For this application, the FPFH-NPP
is connected via the HDMI connector to the RS485 bus of the FPRB to be able to integrate the FPFHNPP to the system control.
In this case the SNMP interface on the FPRB can offer control of up to two FPFH-NPP units. The FPRB
works as a bus master on the RS485 bus and controls the connected FPFH-NPP units.

2-10) on the RS485 bus together with an FPRB system and a Nokia Flexi System Module – R4. For this

2.8.7 Chaining connection

Assemble 2 pcs FPFH-NPP according to chapter EMHA Flexi EDGE Mech Module 3U
(470316A) and EMHH FLEXI 3U casing and high COVERS F_B (473187A)
2.
Connect signal cable follow chapter
Connection scheme for use with FPRB and NOKIA BTS or
Connection scheme for use with FPRB and third party BTS
with 2 pcs FPFH-NPP.

Connect input cable:
The Power cable connection is independent to the signal connection. Two different
connections can be applied:
o Connect INPUT cable to each FPFH-NPP with separate cables from FPRB system
or DC power system. Full power load can be used.
In case the sum of loads connected to both FPFH-NPP exceed 120A, this
connection option is mandatory.
o
OPTIONAL connection with master –slave FPFH-NPP units.
Install input cable coming from DC power system on FPFH-NPP master “IN1”.
Connect one end of DC chaining cables on FPFH-NPP master “IN 2”.
Connect remaining end of DC chaining cables on FPFH-NPP slave “IN1”.
Make sure the polarity match for chaining unit.
Important: The overall total current consumption on both FPFH-NPP (master
and slave) must not exceed 120 A in this configuration.

2.9 Quick start configuration
After installation you have to set the OUTPUTs of the unit. Please follow the instructions below:
2.9.1 Turning the outputs on
•
After powering up the appliance, all 6 LEDS on the display will light up for 1 second
•
Afterwards, the display will go dark, meaning that none of the outputs is turned on
•
Press the select button for 1 second and the light of output # 1 will start to slowly blink for
30 seconds. If you do not press the SET button in this timeframe, the display will go dark
again. If the display has gone dark and you press SEL again, it will start blinking again for a
further 30 seconds, thus enabling you to SET the output again.

If you press the SET button now, the light will blink fast for 30 seconds, afterwards it will be
permanently alight. This means you have turned output #1 on.
•
If you repeat these steps, starting out with the select button, you will be able to turn all 6
outputs on (please observe #2 is below #1, #4 is below #3 and #6 is below #5 on the display).
2.9.2 Turning the outputs off
•
Select the output you want to turn off by use of select button (assuming its #1), then press
set. The LED will now blink again for 30 seconds, then extinguish.

Continue to do this with all outputs and they will all be turned off
•
Keep in mind, that after a while of not operating the display, all blinking activity will stop.
Only the lights of outputs that are on will keep shining constantly, as generic example, see

3 MAINTENANCE MANUAL
3.1 Manual maintenance mode
Take caution when performing any maintenance on the FPFH unit!
There may be the danger of an electrical shock!
You must take precaution that all current is switched off and no one else can switch
it on, while you are working!
3.1.1 Disconnect the RS485 IN and ETHNET cables
Before doing anything else, make sure to pull the RS485 IN and ETHNET cables out of the unit, so
that no one can set any outputs to the ON state via remote control.

Outputs that will be worked on, must be in OFF state.
To do this, manually turn them off on the keypad.
•
Select the output you want to turn off by use of select button (assuming its #1), then press

3.2 Configurable maintenance mode
3.2.1 Activate maintenance mode via web interface
To enable the maintenance mode on the web interface, login as admin.
Then select the output in the Output Settings menu to be configured to maintenance mode (i.e.
Output 1).
On the Output configuration page, click the Output Mode drop down list and select maintenance by
web.
If you want to set more than one output into maintenance mode, activate the corresponding
checkboxes on the bottom of the page (i.e. beside Output 1, apply these settings additionally to
Outputs 3 and 4).

Click the Save button to apply the changes. The selected outputs will automatically turn off due to
maintenance mode setting.
After activation of maintenance mode as described, it is safe to work on site on the installation of
the outputs configured in maintenance mode. Any access to turn on these outputs will be blocked.
3.2.2 Turning on single outputs during maintenance mode for test purpose
For onsite test purpose, it is possible to enable outputs by local membrane switch of FPFH-NPP,
which are in maintenance mode.
For details, how to enable and disable outputs by local membrane switch, see section 2.9 Quick start
configuration.
3.2.3 Deactivate maintenance mode via web interface
To disable the maintenance mode on the web interface again, login as admin.
Select the output in the Output Settings menu to be configured to normal mode (i.e. Output 1).

On the Output configuration page, click the Output Mode drop down list and select the appropriate
operation mode (i.e. on, timing-daily, timing-weekly).
If you want to release more than one output from maintenance mode, activate the corresponding

Outputs 3 and 4).
Click the Save button to apply the changes. The selected outputs will automatically change to their
actual configured state.

3.3 Resetting the IP-Address and password

In case you forget the IP-Address and/or the password of the unit, you can set it to their
default values by first pressing “SET”, then “SELECT” and holding both buttons for 10
seconds. The display should not be in the setting mode at this time.
The following values will be reseted to:

The IP-Address to default = „142.120.72.175“
•
User “admin” to default password = “admin”
•
User “user” to default password = “default”
•
Subnet Mask to default subnet mask = “255.255.255.0”

4 USER MANUAL
The FPFH-NPP unit needs to be supplied on one of its inputs with a voltage level of at least -36Vdc to
power up the internal electronics. When the FPFH–NPP starts up the green “OUT STATUS” lights are
illuminated for one second.
The FPFH-NPP supervises the input voltage level. It is possible to enable the outputs if the input
voltage is within the nominal input voltage range only. If the input voltage level falls below the
nominal voltage range while outputs are enabled, all outputs are turned off automatically.
The “OUT STATUS” lights show the actual status of the outputs. When the outputs are on, the
corresponding light is illuminated, if the outputs are off for any reason, the associated lights are off.
To manually control the outputs, a webpage for the FPFH-NPP test interface is implemented – it is
accessible via the IP address 142.120.72.175 when the FPFH-NPP is powered.
To access the FPFH-NPP test interface webpage it is necessary to directly connect a computer to the
“ETHNET” connector via a CAT5 network cable.
Note: The IPv4 address of the computer must be in the same range as the address of FPFH-NPP to be
able to establish connection. For more details see section 4.2.

4.1 LED-indication and manual push button control
The FPFH-NPP offers the option to manually control the output states by a 2-push-button interface
on the front of the product.
4.1.1 Manual output control via push button operation
By pressing the button “Select” a single output number can be selected, starting from Output 1.
With each push on the “Select” button, the next output number in the sequence is selected. When
Output 6 is reached, then the next selectable output is Output 1.
Once an output is selected, the corresponding LED starts to flash

During the initial power-up sequence all LED on the front are lit for one second to indicate successful
power up of the unit. After that the LED change to their standard function to indicate the actual
state of each output.
The table below gives an overview of all possible LED states during operation of the FPFH-NPP.

4.2 Web interface – FPFH-NPP
To access the Graphic user interface (GUI), please connect the FPFH–NPP with a network cable
(Cat5) to a computer.
To be able to establish a connection, the IP address in the network settings of the computer must be
in the same range as the IP address of the FPFH–NPP.
If a connection is established the yellow and green LEDs on the “ETHNET” connector are active.
During data transmission the green led will start flashing.
The default IP-Address of the FPFH – NPP is set to 142.120.72.175 and communication is done on
port 80 (HTTP). Please ensure that this port isn’t blocked from Windows firewall and that your local

FPFH-NPP uses unsecured HTTP connections. Connecting the system to a network requires a secured
VPN connection.
Artesyn is not responsible for any security issues in relation to insufficient secured network access
points, which are in use by the end customer. We strongly urge our customers to take care for
proper and state of the art security measures on their interfaces. Artesyn does not endorse nor

4.5.1.1 How to switch the outputs
The GUI provides seven columns with buttons to control the state of the FPFH – NPP outputs.
To enable a specific output click the enable button and the response will be displayed in the browser
window. Click the disable button to turn off the desired output.
To enable or disable all outputs click the corresponding button on the leftmost column.
For each command a response is sent from the FPFH – NPP to the client. The message test will be
displayed in a box within the browser window.

For your convenience, once you have configured an FPFH unit as needed, there is no need to
configure other units that are to have the same settings by hand. You can download a configuration
file from the unit and import it into others via the web interface.

5 Troubleshooting guide
This section provides information needed to troubleshoot unexpected events or behaviour of
FPFH-NPP. For on-site troubleshooting, please check output status indication lights on the front of
the product. For detailed information of state indications, see section 4.1.3 above
5.1 FPFH-NPP does not power up
Description
Front panel state indication dark.
No access via Ethernet interface.
No response to local membrane switch on the front of the product.
Possible causes
Wrong installation on input terminals IN1 and/or IN2.
Disabled input voltage source.
Actions
Check supply voltage installation for correct polarity on terminals IN 1 and IN 2.
Check supply voltage source for nominal voltage.
5.2 No output voltages, output status indication is dark
Description
Front panel state indication dark.
Access via Ethernet interface is possible.
LED display responses to local membrane switch on the front of the product.
Possible causes
Input supply voltage too low for turn on of outputs.
All outputs configured in OFF state.
Over temperature protection triggered.
Actions
Check actual supply voltage value, if it is above the configured reconnect voltage

Description

actual output state does not turn on as expected.

Check actual supply voltage value, if it is above the configured reconnect voltage
thresholds.
Check for triggered over temperature protection on the web interface.
Check actual ambient temperature condition on site.

5.4 No output, output state indication shows slow blinking light
Description
Front panel state indication is slow blinking once a second.
Access via Ethernet interface is possible.
LED display responses to local membrane switch on the front of the product, the
output can be disabled. But when enabled, the LED is slow blinking and not output
voltage present.
Possible causes
Output is configured in periodic time control, either daily or weekly settings. The
actual clock time is in the off period of these settings.
Actions
Change periodic time control settings on the web pages of FPFH-NPP. To do this,
please follow the user manual for the web interface in section 4.2 above.
5.5 No output, output state indication shows fast blinking light
Description
Front panel state indication is fast blinking with a frequency of 7 Hz.
Access via Ethernet interface is possible.
LED display responses to local membrane switch on the front of the product, the
output can be disabled and re-enabled. But when enabled, the LED is fast blinking
again.
Possible causes
Output current has exceeded the configured trip value of the electronic fuse.
Actions
Check the cable and load on the dedicated output for correct installation.
Check the load on the output for possible failure.
Check the configured trip value of the dedicated output if it matches with the load
connected to this output terminal. This can be done on the web interface, see section
4.5 above.
5.6 Cannot locate or access the product in the Ethernet network
Description
FPFH-NPP connected to an Ethernet network via CAT5 network cable, but the web
interface is not accessible via the network.
Possible causes
The configured IP address or subnet mask of FPFH-NPP might not match with the
address range of the network.
The configured IP address might be blocked by the network switch.
Actions
Check if the configured IP address and subnet mask of FPFH-NPP matches with the
configured address range of the network connected to.
Contact the system administrator for further support.

5.7 Configured IP address settings of FPFH-NPP are unknown
Description
The configured IP address of FPFH-NPP is unknown, therefore the web interface
cannot be accessed.
Possible causes
IP address unknown.
Actions
Reset IP address settings to default values by use of local membrane switch on the
front of the FPFH-NPP. See section 4.1.2 above for more details.
5.8 Configured passwords for user and/or admin are unknown
Description
The configured passwords for user and/or admin of FPFH-NPP are unknown,
therefore the web interface cannot be accessed.
Possible causes
Forgot the password.
Actions
Reset password settings to default values by use of local membrane switch on the
front of the FPFH-NPP. See section 4.1.2 above for more details.
5.9 Cannot locate FPFH-NPP on FPRB system webpages
Description
FPFH-NPP is not accessible on the FPRB system webpages.
Possible causes
FPFH-NPP not powered.
FPFH-NPP not connected to the system bus via RS485 Y-cable.
Firmware version of FPRB does not support FPFH-NPP model.
FPFH-NPP support not activated in the system related parameter of the FPRB web
interface.
Actions
Check installation and wiring of input terminal of FPFH-NPP.
Check for correct connection of FPFH-NPP Y-cable (CS7136002). Please see section
2.8.4 above for further details.
Check firmware version FPRB system.
Check system related parameter of FPRB system for FPFH-NPP support enabled.

5.10 FPFH-NPP does not connect to Nokia FSM
Description
Data interface connection from Nokia Flexi System Module to FPFH-NPP is not
established.
Possible causes
Poor or missing cable connection from FSM to FPFH-NPP.
Actions
Check that HDMI RS485 cable is proper installed on FSM and FPFH-NPP side. On
FPFH-NPP the HDMI RS485 cable shall be connected to RS485 IN terminal.
5.11 FPFH-NPP reporting SPD alarm
Description
FPFH-NPP or base station system controller reports SPD alarm of FPFH-NPP.
Possible causes
Surge protection device got damaged by lightning surge event. SPD device does not
ensure full protection of the installation any longer.
Actions
FPFH-NPP to be replaced in the installation.

ARTESYN EMBEDDED TECHNOLOGIES, INC.
SOFTWARE/FIRMWARE LICENSE AGREEMENT
This Agreement” is entered into between Artesyn Embedded Technologies, Inc. (“ARTESYN”), a Florida corporation with
its principal place of business located at 2900 S. Diablo Way, Suite 190, Tempe, Arizona and CUSTOMER", the recipient of
the computer files disclosed with or identified in this Agreement (“Software”). Under this Agreement, CUSTOMER is
granted a limited license according to the terms and conditions contained herein unless CUSTOMER has a current
agreement with ARTESYN regarding the Software, in which case those mutually agreed upon terms and conditions will
apply instead.
DOWNLOAD OR USE THE SOFTWARE CONFIRMS THAT CUSTOMER AGREEs TO THESE TERMS AND
CONDITIONS!
DEFINITIONS:
HARDWARE means the Artesyn or Astec hardware product the SOFTWARE listed in Schedule A is intended by Artesyn to
run on.
SOFTWARE means computer programs in Object Code format and related documentation listed in Schedule A or supplied
with the HARDWARE, which may be Pre-installed, or not pre-installed, or delivered electronically or by any other method by
ARTESYN or its distributors or other authorized third parties.
1.
GRANT OF LICENSE:
(a)
ARTESYN grants to CUSTOMER a non-exclusive, non-transferable license (i) to execute and use the SOFTWARE,
provided that it is executed and used by CUSTOMER solely in connection with operation of the HARDWARE; (ii) to
sublicense and distribute to CUSTOMER’s end user customers, the SOFTWARE, provided that copies are sublicensed
and distributed by CUSTOMER pre-installed on, and solely for use in connection with the operation of, the
HARDWARE; and (iii) to grant CUSTOMER's end user customers a non-exclusive, non-transferable license to execute
and use the Object Code copies of such SOFTWARE, provided such Object Code copies are executed and used by
CUSTOMER's end user customers solely in connection with operation of the HARDWARE on which such Object Code
copies were pre-installed by ARTESYN.
(b)
The SOFTWARE licensed under this AGREEMENT may contain certain third party software, which, if applicable, is
listed in Schedule A. Such third party software is licensed to CUSTOMER in accordance with the standard license terms
and restrictions of the copyright owner which may be attached hereto, unless the copyright owner has granted to
ARTESYN the right to sublicense the third party software pursuant to this AGREEMENT (in which case this
AGREEMENT applies and the copyright owner will have all of its rights and protections under this AGREEMENT).
(c)
The SOFTWARE may contain certain Open Source Software, which, if applicable, is listed in Schedule A. Such Open
Source Software is licensed to CUSTOMER in accordance with, and CUSTOMER agrees to abide by, the provisions of
the standard license of the copyright owner and not this AGREEMENT. Upon request by CUSTOMER, ARTESYN will
provide to CUSTOMER a copy of the applicable standard license (or specify where that license may be found; and
provide to CUSTOMER a copy of the Open Source Software source code if it is publicly available without charge
(although a distribution fee or a charge for related services may be applicable).

RIGHTS AND LIMITATIONS:

CUSTOMER may not reverse engineer, translate, decompile or disassemble the SOFTWARE.
CUSTOMER may not copy the SOFTWARE except as necessary to use the SOFTWARE on the HARDWARE and to
support its customers.
(c) With reference to any copies it makes of the SOFTWARE, CUSTOMER agrees to faithfully reproduce any copyright
notice(s) and other proprietary legend(s) appearing thereon and to include the same on the copies. Such copyright
notice(s) may appear in several forms, including machine-readable form and CUSTOMER agrees to reproduce such
notice in each form in which it appears, to the extent it is physically possible to do so.
(d) CUSTOMER may not disclose, transfer, provide, or otherwise make available in any form, the SOFTWARE or any
portion thereof to any third party, except as may be permitted under this Agreement. CUSTOMER shall restrict access
to the SOFTWARE to those of its employees requiring access to it for the purpose of carrying out the terms of, or
exercising the rights authorized by, this AGREEMENT. CUSTOMER shall implement such procedures as ARTESYN
may reasonably request from time to time to improve the security of the SOFTWARE in CUSTOMER’S possession.
(e) CUSTOMER may not combine the SOFTWARE with Open Source Software or with other software in such way that the
SOFTWARE becomes subject to an Open Source license or any other license.

SOFTWARE REMAINS ARTESYN'S PROPERTY:
The SOFTWARE is protected by copyright laws and international copyright treaties, as well as other intellectual
property laws and treaties. The SOFTWARE is licensed only in accordance with this AGREEMENT, not sold.
Title to SOFTWARE, all copies and derivative works thereof and all rights therein, including all rights in patents,
copyrights, and trade secrets applicable thereto, shall remain vested in ARTESYN or its licensors.

(c)
If CUSTOMER is compelled to disclose or deliver the SOFTWARE in order to comply with a court order or other legal
requirement, CUSTOMER will provide ARTESYN with prompt notice of such requirement so that ARTESYN may seek a
protective order or other appropriate remedy.
5. TERMINATION: This AGREEMENT may be terminated by CUSTOMER upon one month's prior written notice. ARTESYN
may terminate this AGREEMENT if CUSTOMER is in default of any of the terms and conditions of this AGREEMENT, and
termination is effective if CUSTOMER fails to correct such default within thirty (30) days after written notice thereof by
ARTESYN. Appropriate provisions shall survive termination of this AGREEMENT.
6. MAINTENANCE: ARTESYN shall not be responsible for maintenance or support of SOFTWARE under this AGREEMENT.
8. LIMITED WARRANTY:
(a) For a period of 90 days from the date of delivery to CUSTOMER, ARTESYN warrants that the SOFTWARE as provided
substantially conforms to ARTESYN’s relevant specifications and performs the functions described in the
documentation accompanying the SOFTWARE and any relevant updates thereto. ARTESYN’s warranty obligations
extend to CUSTOMER only, and not to CUSTOMER’s transferees, customers or users of CUSTOMER’s products.
(b) If the SOFTWARE does not meet the Limited Warranty, ARTESYN’s entire liability and CUSTOMER’s exclusive remedy
shall be, at ARTESYN’s option, either (1) repair or replacement of the SOFTWARE; or (2) return of the price paid by
CUSTOMER for the SOFTWARE.
(c) Except for this Limited Warranty, the SOFTWARE is provided on an "AS IS" basis and without further warranty of any
kind. THlS DISCLAIMER OF WARRANTY EXTENDS TO CUSTOMER, TO CUSTOMER'S TRANSFEREES AND TO
CUSTOMER'S CUSTOMERS OR USERS OF PRODUCTS AND IS IN LIEU OF ALL WARRANTIES WHETHER
EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS
FOR PARTICULAR PURPOSE.
(d) ARTESYN does not warrant that the functions contained in the SOFTWARE will meet CUSTOMER'S requirements or
that the operation of the SOFTWARE will be uninterrupted or error free.
(e) ARTESYN does not represent or warrant that SOFTWARE furnished hereunder is free of infringement of any third party
patents, copyrights, or trade secrets.
9. LIMITATION OF LIABILITY:
(a) ARTESYN'S TOTAL LIABILITY HEREUNDER FOR DAMAGES OF ANY NATURE SHALL NOT EXCEED THE TOTAL
PAYMENTS MADE BY CUSTOMER FOR THE SOFTWARE. ARTESYN'S LIMITATION OF LIABILITY IS
CUMULATIVE WITH ALL OF CUSTOMER'S PAYMENTS FOR THE SOFTWARE TO ARTESYN BEING
AGGREGATED TO DETERMINE SATISFACTION OF THE LIMIT. THE EXISTENCE OF MORE THAN ONE CLAIM
OR SUIT WILL NOT ENLARGE OR EXTEND THE LIMIT. CUSTOMER RELEASES ARTESYN FROM ALL
OBLIGATIONS, LIABILITIES, CLAIMS OR DEMANDS IN EXCESS OF THE LIMITATION.
(b) IN NO EVENT SHALL EMEROSN BE LIABLE FOR ANY INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES
ARISING FROM CUSTOMER’S USE OF OR INABILITY TO USE THE SOFTWARE.
10. DISCLAIMER FOR HIGH RISK APPLICATIONS: Unless specifically otherwise agreed in writing by ARTESYN,
CUSTOMER acknowledges that SOFTWARE and HARDWARE are not intended for and will not be used in life support
systems, human implantation, nuclear facilities or systems, or any other high risk applications where product failure could
lead to loss of life or catastrophic property damage. CUSTOMER will indemnify and hold ARTESYN harmless from any loss,
cost or damage, including attorney fees and costs, resulting from CUSTOMER’s breach of the provisions of this paragraph.
11. EXPORT: CUSTOMER agrees that it will not, and that CUSTOMER will inform its customers that they may not, in any form
export, re-export, resell, ship or divert or cause to be exported, re-exported, resold, shipped or diverted directly or indirectly
any Product, parts, software, documentation, technical data or a direct product thereof to any country for which the U.S.
Government, any agency thereof, or any other Sovereign Government, requires an export license or other governmental
approval without first obtaining such license or approval. ARTESYN products with encryption are marketed and distributed in
every country in the world, except those restricted under U.S. law. A number of countries have laws on the books that could
potentially affect the import or use of encryption. Some countries regulate the import or export of strong encryption software
by either a system of waivers, Open General (comprehensive) or individual (specific) licenses. All exporters must observe
the specific licensing processes and policies of those countries. ARTESYN is unable to provide legal advice to its
customers. When in doubt, customers should consult their own legal counsel.
13. NOTICE: All notices in connection with this AGREEMENT shall be in writing and shall be given by certified mail, return
receipt requested at the following address: ARTESYN EMBEDDED TECHNOLOGOES, INC., General Counsel, 2900 S.
Diablo Way, Suite 190, Tempe, Arizona 85282.
14. GOVERNING LAW: This AGREEMENT shall be governed and interpreted by the laws of the State of Delaware in the
United States of America.
15. ASSIGNMENT: This AGREEMENT may not be assigned or otherwise transferred without the prior written consent of
ARTESYN.
16. COMPLIANCE AND AUDIT RIGHTS: Licensee agrees to notify ARTESYN promptly upon discovery of any failure to
comply with one or more Licenses granted under this Agreement, or any failure to comply with any other material term of this
Agreement. To confirm Licensee’s compliance with the terms and conditions of this Agreement, Licensee agrees to allow
ARTESYN to audit Licensee’s use of the Programs, and to provide ARTESYN access to Licensee’s facilities and Computers,
and cooperation from Licensee’s employees and consultants, as reasonably requested by ARTESYN in order to perform
such audit, all during normal business hours, and after reasonable prior notice from ARTESYN. If an audit discloses that
Licensee has failed to comply with one or more Licenses, and such failure to comply could have in part or in whole been
avoided by Licensee having paid additional License fees to expand the scope of the License or Licenses, then Licensee shall
promptly pay ARTESYN such Licensing fees (at ARTESYN’s then current rates) and, if such unpaid License fees exceed 5%

of the License fees paid to ARTESYN for the applicable Programs during the applicable period during which such
underpayment occurred, then Licensee shall, in addition to paying the unpaid License fees, also reimburse ARTESYN the
full cost of such audit.
17. ENTIRE AGREEMENT: This AGREEMENT sets forth the entire understanding between the parties with respect to the
subject matter herein, and merges and supersedes all prior written agreements, discussions, and understandings, express or
implied, concerning such matters, except a Master Software License Agreement, executed by both parties and intended to
be the presiding agreement for the license of this SOFTWARE and, notwithstanding any provisions to the contrary, shall take
precedence over any conflicting terms which may be contained in CUSTOMER's purchase order or ARTESYN's purchase
order acknowledgement form. This AGREEMENT states the entire obligation of ARTESYN in connection with this
transaction.
18. SEVERABILITY: The invalidity or unenforceability of any particular provision of this AGREEMENT shall not affect the other
provisions, and this AGREEMENT shall be construed as if the invalid or unenforceable provision were omitted.
