The intermediatory entities between the O&M Consortium member and the O&M Contractor does not have to be incorporated by the Bid Submission Date, however it will have to be formed by the Closing Date. Please, confirm that the pre-treatment design does not accept integrated DAF / DMGF as just one single process unit. 5 4.5.6 MFS – Outfall Structure Technical Please, provide detail drawing for existing outfall construction Please find attached existing outfall drawing. 6 6.1 MFS Technical As RfT “The seawater shall be treated to produce the potable water quality as per the table below …”. In particular, the Boron concentration is requested as under <0.5 ppm i. Boron limit in potable water shall be considered as ≤ 2.4 ppm in place of ≤ 0.5 as per latest WHO guidelines. Same is corrected and reflected in RFP Addendum 1. (i) Please, indicate / confirm Boron limit to design with. ii. Bidder shall consider Boron limit as 5ppm in raw seawater for Design envelope. (ii) Provide Indicative Typical Seawater conditions for Boron concentration in the Seawater. Bidder to note that the “Phytoplankton count ≤ 100,000 Cells/liter.” 8 1,3 MFS Technical Sea water inlet parameters: Please provide Boron ppm level in the inlet Sea water conditions for design envelop. Currently the tender specifies it is as "for all Sea water conditions" which is not clear. Please refer to response above point no. 6. 9 2. Scope of works - MFS Technical A break tank with sufficient buffer capacity in between pre-treatment and RO: Please provide if any specific tank retention time required or bidder to consider volume as per process design. Specific Retention time is not defined as per RFP. However, bidder shall consider enough retention time in break tank considering operation and capacity of multiple SWRO feed pumps as per bidder’s process design. 10 4.3. Design Life & Redundancy MFS Technical DAF Air Compressors -1 standby unit: Standby DAF air compressor shall be provided common for DAF systems and not for individual DAF units. Please confirm that our understanding is correct. Noted, Bidder understanding is in line with the requirement. Bidder is requested to decide the dosage and frequency of the chlorination to ensure the most optimum operation of the SWRO unit and the plant. 12 4.6.1. / 4.6.2. MFS Technical - The pre-treatment process must be capable of achieving a treated water quality upstream the cartridge filters of SDI of ≤ 4.0 during all times and under all seawater conditions - The pre-treatment process must be capable of achieving a treated water quality of SDI15 ≤4.0 at 95% of the time and ≤5.0 at all (100%) times and at all seawater conditions - SDI15 levels upstream the cartridge filters shall be ≤4.0 during all times and under all seawater conditions. There are two different criteria specified for the SDI limit before RO. Please let us know which one is to be followed. As per membrane manufacturers, the SDI <= 5 is acceptable for membranes Bidder shall follow SDI requirements as specified in clause 4.6.1 (i.e. the pre-treatment process must be capable of achieving a treated water quality of SDI15 ≤4.0 at 95% of the time and ≤5.0 at all (100%) times and at all seawater conditions (Design Envelope, Technical Limits and Correction Limits). This SDI15 requirement shall be met upstream of cartridge filters; if no cartridge filters are required for a well-designed UF plant, upstream of the RO section. Higher SDI values of up to 5.0 shall be allowed at limited times, only, and only where specifically endorsed for the Plant by the membrane supplier. The Company shall provide such endorsement in Part IV of the RFP. SDI15 tests shall be performed in compliance with ASTM D 4189 standard) Further, any discrepancy in the RFP is corrected and the same is reflected in RFP Addendum 1.. Does this mean that plant needs to be designed to produce 10% higher capacity (99 MIGD) or it is applicable for specific equipment like centrifugal pumps, dosing pumps etc and not for the process equipment such as RO skids, GMF, DAF etc. With reference to the clause 4.7.2 of RFP Part II, all mechanical equipment design margin shall have to be over-designed with minimum 110% of the normal expected flow. 14 4.7.6. MFS Technical Piping material for chemical lines: Piping material for chemicals is not specified. We propose to use CPVC piping for all chemicals except H2SO4. For H2SO4, PVDF pipes shall be used. Please confirm Bidder to select the piping material to ensure selecting a piping material that has “Excellent” compatibility with the chemicals to be handled. 15 6.2. Water Quality Specifications - MFS Technical Potable Water Analysis: The potable water boron shall be ≤0.5 ppm which is not required as per WHO guidelines for potable water. Generally boron value shall be <2.4 ppm for potable water and kindly recheck this value & confirm the same. The existing 20 MIGD plant has this limit as < 1ppm. Please refer to response above point no. 6. 16 6.2. Water Quality Specifications - MFS Technical Potable Water Analysis: The residual chlorine level asked in the tender is more than 0.2ppm in the last network point. The network conditions are not known to bidder at this stage. It is better to provide the free chlorine level required at potable water tank outlet. Bidder to note that the distribution pipeline length shall be 25 - 28km approximately. Accordingly bidder may consider 3-4 ppm of residual chorine at the water connection point. However, this is an indicative value, bidder to arrive at the chlorine dosing as per their design and shall be further optimized based on network study. Water Quality Specifications - MFS Technical Potable Water Analysis: Normally calcium hardness shall be equivalent to alkalinity and so Please recheck this value as per ionic balance & confirm the Alkalinity value range required in product water. Alkalinity limit in potable water shall be considered as 40-60 mg/l as CaCO3. Same is corrected and reflected in RFP Addendum 1. 19 ANNEXURES – 2 - MFS Technical Intake & Outfall details: Please provide the existing intake chamber dimensions & Sea water tide levels (Low level, High level, Mean level) Please refer to the 1st round clarification response of point no.11 for seawater intake facility dimensional drawing. Further, please find attached existing outfall drawing and tide level drawing. 20 General Technical Approved Vendor list: Please provide approved vendor list for mechanical, instrumentation & electrical. Also, please specify if there is any restriction on Country of Origin for the supply items There is no project specific “Approved Vendor List”. Bidder to note that make of key interface equipment at Hamriyah Substation already provided in MFS. However, bidder is required to consider reputed make with proven track record in the region for IWP equipment. The list of critical IO can be finalized during Detailed Engineering Stage. Please confirm. Not acceptable. Bidder to follow RFP requirements. 23 4.12.2 - MFS Technical Communication protocol for field Instrumentation with DCS shall be foundation field bus: Considering the ease of maintenance and availability, please confirm if Field Instruments (Transmitters) can be interfaced to DCS via Conventional 4-20mA with HART protocol instead of Foundation Fieldbus. Please confirm. Not acceptable. Bidder to follow RFP requirements. Bidder to submit the datasheets for client/OE approval during execution phase. 3) Management Interface System to monitoring the plant from remote location, (if required) 26 General /Technical Technical General - External Interface Requirement for DCS: Please confirm if the DCS based Control System located in the 90 MIGD Plant will be stand-alone system or it has to be interfaced to any off-site location / SCADA System. DCS interface requirements are specified in RFP. Bidder to follow the same. 27 General /Technical Technical General - System Architecture Drawing.: Please provide the DCS System Architecture Requirement for the 90 MIGD Desalination Plant. System Architecture drawing should be submitted by bidder in order to meet the RFP requirements. 28 Cl. 2.2.2 ITB Eligibility and Qualification Criteria for the EPC Contractor Commercial “an EPC Contractor, which is an incorporated entity, shall have a net worth (as demonstrated in each of the last three years’ financial statements) appropriate for the construction of the Plant and in any case no less than USD 150 million” - This project being an IWP Project and the Developer (Bidder) is responsible with the Client for the financial qualification, we request to amend the financial qualification of EPC Contractor to have Net Worth of USD 50 Million as below: SEWA after further review agrees to change the net worth criteria for EPC Contractor in Section 2.2.2 of the ITB to USD 80 million. This is updated and reflected in the RFP Addendum 1.. "a consortium forming the EPC Contractor each consortium member and any subcontractor having more than 60% scope in EPC works shall have a net worth (as demonstrated in each of the last three years’ financial statements) appropriate for the corresponding scope in EPC works and, in any case, no less than USD 50 million; or" 30 General – Parties to the WPA and 3.2.1 of the RFP Page 36 of the RFP and Legal Bidder’s Clarification It is understood through paragraph 3.2.1 of the RFP that the WPA shall eventually be entered into by the Company and page 12 of the WPA defines the "Project Company" as the Successful Bidder initially and then the Company. However, Page 1 of the WPA lists three (3) Parties to the WPA. Please confirm if there is an intention to have a tri-partite SEWA expects that the WPA will be entered into by the Successful Bidder (who in the case of a consortium, would be each member of the consortium), and then such WPA would be novated to the Project Company once the Developer Holding Company and the Project Company are incorporated. Furthermore, please confirm whether the Developer Holding Company may enter into the WPA? Company may enter into the WPA, and it would then be subsequently novated to the Project Company. Bidder’s Clarification Confirmed, cross reference is updated to refer to clause 20.3 and reflected in RFP Addendum 1. It states that "to make any payments under a final and binding arbitration award of the Tribunal rendered in accordance with clause 20.3(c) hereof to Project Company". Please confirm that this shall reference the entirety of the arbitration clause (20.3) and not just the establishment of the Tribunal? Page 20 32 Applicant Clarification Legal Bidder’s Clarification It is understood from paragraph 2 of Appendix H of the WPA that the Procurer Credit Support will be provided by the Ministry of Finance. However, Appendix L and paragraph 3.2.4 of the RFP state that the same will be provided by Sharjah Finance Department. Please advise as to whom will be providing the Procurer Credit Support? The Sharjah Finance Department will enter into a SEWA Credit Support Agreement on behalf of the Emirate of Sharjah. The reference to "Ministry of Finance" in the WPA is updated and reflected in the RFP Addendum 1. Appendices H and L 33 WPA – 1.1 Definitions – “Early Water Plant” and “Plant” Pages 5 and 11 Legal Bidder’s Clarification As it stands, the definition of Plant cannot include Early Water Plant since it is linked to meeting the Contracted Final Water Capacity which the Early Water Plant does not meet. Please confirm whether a revision to the WPA will be address this apparent inconsistency? No revision is required – the Early Water Plant is defined to be part of the Plant that will provide the Contracted Initial Water Capacity. Hence the fact that the Plant provides the Contracted Final Water Capacity is irrelevant to how the Early Water Plant is defined. Please clarify as to how the Procurer intends to provide site access to the Bidder and Its EPC Contractor following Bid Submission and prior to Closing Date (or the date on which the Musataha Agreement becomes effective)? SEWA shall provide access to the Plant Site and Easement Lands prior to the Closing Date on such terms and conditions as it determines as reasonable based on the nature of the request from the Successful Bidder, and the requested activities. Clause 4.2 of the WPA is updated in the RFP Addendum 1.. Legal Bidder’s Clarification This provision mandates that the Project Company acknowledge and agree that “its obligations to achieve the Project Commercial Operation Date by the Scheduled Project Commercial Operation Date and to pay liquidated damages for delay in accordance with clause 4.10 shall remain valid and enforceable, notwithstanding any delay or disruption caused by a Delay Event.”. The drafting clarifies that time will not be placed at large as a result of a Delay Event. The Company is provided with the right to an extension to a Key Milestone Date pursuant to clause 4.9 of the WPA, and the Company’s relief is available pursuant to such clause. Page 22 35 WPA – 4.9(e)(iv) Extension of Time to Key Milestone Dates Page 26 If the delay or disruption has been caused by a Delay Event (i.e. which is attributable to the Procurer - i.e. a Procurer Risk Event), it is not clear why the Project Company should be required to acknowledge that its obligation to pay liquidated damages is valid and enforceable. Please clarify. 36 WPA – 15.4(c)(iii)– Effect of Force Majeure or Government Action or Inaction Legal Bidder’s Clarification “Group 2 Plants Units” is an undefined term used in 15.4(c)(iii).Please clarify what “Group 2 Plants Units” refers to or otherwise confirm that this will be addressed in a revision to the WPA? References to "Group 2 Plants Units" at Clause 15.4(c)(iii) is deleted in the RFP Addendum 1. Normally, the Project Company should be entitled to claim prior to incurring such increased costs where they are “reasonably expected” to arise. This could present a cash-flow constraint to the Project Company and Lenders are expected to have a problem with this. Please explain deviation compared to the market standard. Until such Increased Costs are actually incurred, there is no concern for Lenders. Legal Bidder’s Clarification Please clarify why 17.1(b) and (d) have been omitted from the list of exceptions under this clause. Please confirm? Limbs 17.1(b) and (d) shall be included in the list of exceptions. Legal Bidder’s Clarification Please clarify why the relevance of this provision given the existence of 17.1(i) and express requirements on the Project Company to comply with applicable Legal Requirements? Limb has been included for completeness – as the Bidder has noted, this does not impose any additional obligations on the Project Company therefore is considered acceptable. Finance Bidder’s Clarification The Procurer’s payment default period has been set to 45 days which is longer than the regional market standard of 30 days. This will be an issue for Lenders. Please clarify deviation from market standard. For operational reasons, SEWA requires a 45 day period and Bidders to consider this in their proposal. Either Party may terminate this Agreement by giving written notice to the other Party if any condition precedent to the Closing Date has not been satisfied by the Scheduled Closing Date, regardless of whose responsibility it is to obtain such CP. In relation to liability on such termination, Bidder should refer to Clause 17.7(c). Legal Bidder’s Clarification Please confirm why this provision refers to representations and warranties being made by the Successful Bidder separately from Project Company, when the definition of “Project Company” is defined as Successful Bidder until the novation? The provisions reflects that the WPA shall be entered into by the Successful Bidder and novated to the Project Company once incorporated. Legal Bidder’s Clarification Please confirm that the references to "19.3" in this clause should instead refer to "19.6”? Confirmed, cross reference is updated in the RFP Addendum 1. Finance The RFP (4.2.3.3(b)) permits a mini-perm financing structure and making certain refinancing assumptions in the base original case for determining SEWA’s IRR at financial close. A refinancing in line with such assumptions should be carved out from this Clause. Another generic way of putting it is by referring to a refinancing which either results in (i) lower margins and/or (ii) an increase of the balance of senior debt on any future date compared to the Schedule set out in Appendix F at Financial Close. Please clarify that this is intended to be rectified. Noted. Clause 21.24 will be updated to carve out refinancings that are assumed in the Financial Model which should be in line with Section 4.2.3.3(b) of the ITB. Termination Costs to be borne by the Project Company under Clause 6.1, referring to termination by the Procurer following a Project Company Event of Default, do not carve out limb (a) of the definition of Termination Costs (in essence, taxes arising out of the termination/transfer). This is a material bankability issue. Please clarify this can be corrected. 6. Regarding the schedule of Maximum Total Senior Debt, please clarify whether either (i) some language would be added to increase them to take into account the refinancing of the Short Term Financing Facilities or (ii) amounts shall be set assuming a refinancing of the Short Term Financing Facilities consistent with the financial model base case upfront. Part 2 (indexation) refers to a Purchase Price Index for parts and accessories for turbines, turbine generators and turbine generator set. This does not seem adequate for a water projects. Please clarify. 1. Kindly note that the reference in "n" in the computation of Purchase Price C will be updated to " thirtieth anniversary of Project Commercial Operation Date" in the WPA. SEWA is kindly requested to confirm. The potable water transfer pump shall be selected such that they are capable of producing pressure ranging between 7-15 Bar.
