known to bidder at this stage. It is better to provide
the free chlorine level required at potable water
tank outlet.
Bidder to note that the distribution pipeline length shall
be 25 - 28km approximately. Accordingly bidder may
consider 3-4 ppm of residual chorine at the water
connection point.
However, this is an indicative value, bidder to arrive at
the chlorine dosing as per their design and shall be
further optimized based on network study.

Appendix L and paragraph 3.2.4 of the RFP state
that the same will be provided by Sharjah Finance
Department. Please advise as to whom will be

Legal
Bidder’s Clarification
As it stands, the definition of Plant cannot include
Early Water Plant since it is linked to meeting the
Contracted Final Water Capacity which the Early
Water Plant does not meet. Please confirm whether
a revision to the WPA will be address this apparent
inconsistency?
No revision is required – the Early Water Plant is
defined to be part of the Plant that will provide the
Contracted Initial Water Capacity. Hence the fact that
the Plant provides the Contracted Final Water Capacity
is irrelevant to how the Early Water Plant is defined.

as to how the Procurer intends to provide site

following Bid Submission and prior to Closing Date
(or the date on which the Musataha Agreement
becomes effective)?
SEWA shall provide access to the Plant Site and
Easement Lands prior to the Closing Date on such
terms and conditions as it determines as reasonable
based on the nature of the request from the Successful
Bidder, and the requested activities. Clause 4.2 of the
WPA is updated in the RFP Addendum 1..
Legal
Bidder’s Clarification
This provision mandates that the Project Company
acknowledge and agree that “its obligations to
achieve the Project Commercial Operation Date by
the Scheduled Project Commercial Operation Date
and to pay liquidated damages for delay in
accordance with clause 4.10 shall remain valid and
enforceable, notwithstanding any delay or
disruption caused by a Delay Event.”.
The drafting clarifies that time will not be placed at large
as a result of a Delay Event. The Company is provided
with the right to an extension to a Key Milestone Date
pursuant to clause 4.9 of the WPA, and the Company’s
relief is available pursuant to such clause.

Legal
Bidder’s Clarification
The Project Company is only entitled to claim for
increased Costs as a result of a Procurer Risk
Event or an Event of Government Action or Inaction
where such costs have been incurred. Normally,
the Project Company should be entitled to claim
prior to incurring such increased costs where they
are “reasonably expected” to arise. This could
present a cash-flow constraint to the Project
Company and Lenders are expected to have a
problem with this. Please explain deviation
compared to the market standard.
Until such Increased Costs are actually incurred, there
is no concern for Lenders.
Legal
Bidder’s Clarification
Please clarify why 17.1(b) and (d) have been
omitted from the list of exceptions under this
clause. Please confirm?
Limbs 17.1(b) and (d) shall be included in the list of
exceptions.
Legal
Bidder’s Clarification
Please clarify why the relevance of this provision
given the existence of 17.1(i) and express
requirements on the Project Company to comply
with applicable Legal Requirements?
Limb has been included for completeness – as the
Bidder has noted, this does not impose any additional
obligations on the Project Company therefore is
considered acceptable.

Bidder’s Clarification
The Procurer’s payment default period has been
set to 45 days which is longer than the regional
market standard of 30 days. This will be an issue
for Lenders. Please clarify deviation from market
standard.
For operational reasons, SEWA requires a 45 day
period and Bidders to consider this in their proposal.

Bidder’s Clarification
Please clarify that the termination right of either
Party shall be applicable only in the circumstances
where the other Party has failed to deliver its
conditions precedents and if such termination is
enforced by the Project Company, the Procurer
shall be liable to indemnify the Project Company or
its Sponsors for actual third-party costs incurred
until the termination date.
Either Party may terminate this Agreement by giving
written notice to the other Party if any condition
precedent to the Closing Date has not been satisfied by
the Scheduled Closing Date, regardless of whose
responsibility it is to obtain such CP. In relation to
liability on such termination, Bidder should refer to
Clause 17.7(c).
Legal
Bidder’s Clarification
Please confirm why this provision refers to
representations and warranties being made by the
Successful Bidder separately from Project
Company, when the definition of “Project Company”
is defined as Successful Bidder until the novation?
The provisions reflects that the WPA shall be entered
into by the Successful Bidder and novated to the Project
Company once incorporated.
Legal
Bidder’s Clarification
Please confirm that the references to "19.3" in this
clause should instead refer to "19.6”?
Confirmed, cross reference is updated in the RFP
Addendum 1.
Finance
The RFP (4.2.3.3(b)) permits a mini-perm financing
structure and making certain refinancing
assumptions in the base original case for
determining SEWA’s IRR at financial close. A
refinancing in line with such assumptions should be
carved out from this Clause. Another generic way of
putting it is by referring to a refinancing which either
results in (i) lower margins and/or (ii) an increase
of the balance of senior debt on any future date
compared to the Schedule set out in Appendix F at
Financial Close. Please clarify that this is intended
to be rectified.
Noted. Clause 21.24 will be updated to carve out
refinancings that are assumed in the Financial Model
which should be in line with Section 4.2.3.3(b) of the
ITB.

Bidder is requested to note that the network study is not

Since the brine discharge is going to take place in
the existing seawater canal and will be mixed with
brine produced by the existing SWRO project and
cooling water from the IPP, we understand that the
requirement to comply with the SEWA discharge
guidelines provided in Annex 8 of the RFP should
be waived because:
• We do not have any control over the discharge of
the other two exiting installations with which it will
be mixed..
• We do not have any possibility to change the
discharge configuration.
In our opinion the requirement indicated in Annex 8
of the RFP of not to exceed 5% increase in salinity
above ambient conditions at the point of discharge,
and 2% salinity increase above ambient conditions
after the mixing zone (500m radius from outfall) is a
requirement to be met when an independent
discharge is made and a discharge with marine
pipe and diffusers is used, and not with a discharge
in a canal mixed with discharges from other
installations.
For calculation purposes of the guaranteed specific

As indicated in RFP Clarifications - Batch 1 No 38,
Boron requirement in potable water will be modified
to <2.4ppm. Please also kindly consider increasing
TDS requirement to <600mg/l, as per latest WHO
guidelines, to allow for remineralization of the RO
permeate.
As per section 1.1 of the Part V-WPA, Initial
Commercial Operation Date (ICOD) date can be
preponed for three months prior to the Scheduled
ICOD. Below is an extract from the WPA:
“Initial Commercial Operation Date or ICOD means
the Day following the date on which the Early Water
Plant has successfully completed its Reliability Test
Run in accordance with the test procedures set
forth in Appendix I, and is capable of operating in
accordance with this Agreement as certified by the
Procurer in accordance with Appendix I, provided
that date shall not be three months earlier than the
Scheduled Initial Commercial Operation Date
without the Procurer's written consent.”
Based on above, Bidder understands that
Scheduled Water Connection Date can be up-to
three months earlier than the Date indicated in
section 1.9 of the RFP Part I-ITB.
SEWA is kindly requested to confirm.
The potable water transfer pump shall be
selected such that they are capable of
producing pressure ranging between 7-15 Bar.
Bidder to provide the guaranteed Specific
power consumption value considering a
potable water transfer pump pressure of 10 Bar
at Water Delivery Point, further bidder to
provide a SPC correction curve for the cases
when potable water transfer pumps are
operated at 10-15 Bar.
And also note that the Form sheet for SPC
correction factor is included in the Addendum 1 to RFP, Part-IV, Form sheet C24.
- Noted for Boron parameter.
- Bidder understanding is incorrect. Bidder shall follow
the RFP requirement for TDS requirement.
The RFP shall be updated to provide the date that the
Scheduled Water Connection Date cannot be earlier
than 01 May 2026 considering it an obligation on
SEWA. The Bidder is free to suggest a Scheduled
Water Connection Date provided it respects such
constraint.

Request SEWA to clarify if a separate Electricity
Supply Agreement is envisaged for the Project.
If yes, kindly suggest if a draft of the agreement
shall be provided from SEWA’s side and the
envisaged timeline for provision of the same.
Bidder understanding is correct.
We note that ITB (clause 9.7.4) requires
maintenance of Development Security by Project
Company until 6 months from Project Commercial
Operations Date.
However, we note that WPA (clause 3.1) requires
maintenance of Development Security by Project
Company until 365 days after the Scheduled
Project Commercial Operation Date.
We request SEWA to kindly clarify the duration for
which the Development Security is required to be
put in place by the Preferred Bidder.
Equity IRR calculation provides that the rate shall
not be modified to reflect a reinvestment rate.
We note that at times due to the nature of varied
cashflow profiles, Microsoft Excel may not provide
any output IRR (via XIRR function), hence resulting
in an error. Consequently, a reinvestment rate is
required to be utilized to determine Equity IRR in
The duration of Development Security would be 365

the same in Addendum 1.
Clause 5.1 to 5.4 of the WPA sets out the principles on
which SEWA will provide electricity to the Project
Company. Hence, a separate Electricity Supply
Agreement is not envisaged for the Project. Further the
tariff appendix sets out how such payments will be
made, and the technical specifications set out interface
details.

We request SEWA to kindly clarify if such a
commitment letter will still be required to be
provided by the Bidder, if the Bidder chooses to
fund its Equity through EBL (Equity Bridge Loan).
We understand that Bidders can provide Fully
Committed Financing Termsheets for EBL prior to
the Effective Date, with an “in-principle” support
from the EBL lenders at the time of bid submission.
However, we note that para 4 of the Commercial
Form Sheet D Section 2 (Bank Acknowledgment
Letter for Equity Bridge Loan) – (which is required
to be submitted at the time of Bid submission)
refers to requirement of a firm “commitment” and
also a requirement of a Commitment letter at the
bid submission stage itself (and does not have any
reference of requiring “in-principle” support/
preliminary approvals).
SEWA Response
Confirmed. Contract Price is exclusive of VAT.
If Bidder secures committed EBL, Bidder is not required
to submit the Equity Commitment Letter.
But if Bidder obtains any uncommitted EBL term sheets,
these need to be accompanied by an Equity
Commitment Letter confirming the commitment of the
Shareholder to repay the Equity Bridge Loan on the
Equity Injection Date.
For a committed Bank Acknowledgement Letter,
Paragraphs 4 and 5 are relevant (Paragraphs 6 and 7
can be deleted).
For in-principle approval from bank for the EBL,
paragraphs 6 and 7 are relevant (Paragraphs 4 and 5
can be deleted).

Reference to the definition of Scheduled
Provisional Acceptance Date, it is mentioned in the
ITB document that the definition is provided as part
of WPA. However, we note that the definition of
“Scheduled Provisional Acceptance Date” is not
captured in WPA.
Request SEWA to please provide the same as part

Reference to the item #10 which is given as
Scheduled Provisional Acceptance Date in this
clause, we presume that this date should be
referring to “Scheduled ESF Provisional

(clause 1.1 definitions).
Request SEWA to suggest/ confirm on the above.
The definition of “Equity Injection Date” (in WPA)
suggests Equity shall be injected not later than the
Project Commercial Operation Date.
However, ITB (clause 4.2.2) mentions EBL
repayment date (through equity injection) should
occur on or prior to the 5th anniversary of
Scheduled PCOD.
Request SEWA to kindly confirm if the WPA shall
be updated to align with the requirements
mentioned in the ITB.
