Buyer's UCC Article 2 Default Remedies After Acceptance Did the buyer properly revoke acceptance? NO Are the goods defective or non-conforming? YES NO No damages are recoverable. YES NO Buyer can elect one of these two remedies: Buyer can collect "the loss resulting in the ordinary course...as determined in any manner which is reasonable." (UCC § 2-714(1).) Buyer's damages can include breach of warranty, calculated as the difference in value between the goods as received and the goods as warranted (often the contract price). (UCC § 2-714(2).) Buyer can also recover incidental and consequential damages. (UCC § 2-715(1)-(2).) Buyer can withhold all or part of the price (by deducting from the price damages resulting from the seller's breach) if buyer gives reasonable notice to seller. (UCC § 2-717.)
