CONTRACT & AGREEMENT:
All orders placed by customers are subject to acceptance of the Company’s terms and conditions of trading stated
hereafter and as amended from time to time. Any variation to these terms and conditions will only be valid if
specifically accepted in writing by the company.

PRICING & GST:
Prices are determined according to Sonoma’s set price list on the day of invoicing, unless otherwise agreed with
Sonoma. Cakes and pastries are subject to GST, bread is not subject to GST. If applicable, GST will be applied at the
time of invoicing.

ORDERING:
SONOMA SOURDOUGH
Orders must be placed before 4:00pm two (2) days prior to delivery.
All orders for Monday and Tuesday delivery must be placed before 4:00pm on Saturday.
LA FARINA / PASTRY
Orders must be placed before 2:00pm one (1) day prior to delivery.
All orders for Monday and Tuesday delivery must be placed before 4:00pm on Saturday.
SOURDOUGH ROLLS / MUESLI
Orders must be placed before 2:00pm one (1) day prior to delivery.
All orders for Monday and Tuesday delivery must be placed before 4:00pm on Saturday.
All orders placed after 4:00pm on Saturday through to Sunday will be received and processed Monday morning for
earliest possible delivery on Wednesday.
Office is CLOSED on SUNDAY.

CANCELLATION OF ORDERS:
SONOMA SOURDOUGH cancellations must be placed by 4:00 pm – two (2) days prior to delivery date.
LA FARINA / PASTRY cancellations must be placed by 2:00 pm – one (1) day prior to delivery date.
SOURDOUGH ROLLS / MUESLI cancellations must be placed by 2:00 pm – one (1) day prior to delivery date.

RISK AND OWNERSHIP:
The Customer shall bear all risk of loss or damage to the goods upon delivery. The Company is not responsible or
liable for lost or stolen goods which have been delivered at the Customer’s direction. Any replacement goods supplied
by the Company must be paid for in full by the Customer. Notwithstanding the above, title to all goods shall only
transfer to the Customer upon payment in full of all monies owing by the Customer to the Company.

DELIVERY:
Minimum order for delivery is $50.00 + GST. Any order under $50.00 + GST will not be processed.
Delivery Fee of $7 + GST will be applied to all orders below $100
Customers are obliged to arrange for a safe/secure delivery area and notify Sonoma of the exact location in advance.
Sonoma is not responsible / liable for stolen goods.

CLAIMS:
All goods should be inspected upon arrival or as close to arrival as possible. Any damaged or shortage/non-receipt of
goods must be reported to Sonoma on the day of delivery (ideally before midday). We do not process credit returns for
unsold goods. Damaged goods must be returned via our delivery driver the next day unless alternate arrangements are
made with the Company.

PAYMENT:
Customers will receive an invoice with each delivery which is considered to be proof of delivery.
Please ensure all invoices are passed onto your accounts department for payment. All accounts are due within seven
(7) days unless otherwise agreed. Failure to meet these terms may result in accounts being placed on stop credit and
future orders suspended until the account is brought back within its terms.

CONFIDENTIALITY:
Confidential information of Sonoma Baking Company Pty Ltd means:
‘all information relating to Sonoma Baking Company Pty Ltd Products, including, but not limited to, trademarks, trade
names, patents, copyright, trade secrets, know how, techniques, business and marketing plans, projections,
arrangements and agreements with third parties, customer information and customer information proprietary to
customers, formulae, customer lists, pricing, concepts, designs, plans, models, commercial information, information
about the dealings and personal financial affairs of the individual directors or proprietors of Sonoma Baking Company
Pty Ltd company, and any other information relating to Sonoma Baking Company Pty Ltd Products’.
The Customer shall not at any time or for any reason, whether during the term of this agreement or after its
termination, divulge any confidential information of Sonoma Baking Company Pty Ltd Products to any third party, and
they hereby indemnify Sonoma Baking Company Pty Ltd, and any of its related entities, against any loss or damage they
may suffer as a result of the breach of confidentiality.

PERSONAL GUARANTEE – “THE AGREEMENT”:
On (date) signed below, the signing applicant and Sonoma Baking Company entered into an agreement for Sonoma Baking
Company to supply baked products to the Customer for the Customer’s benefit. The person who signs this agreement is
responsible for paying Sonoma Baking Company Pty Ltd. This is a personal guarantee if the Customer goes into
liquidation or is otherwise unable to pay. The person signing this contract is responsible for paying us, Sonoma
Baking Company Pty Ltd.
I have read and understood the above Terms & Conditions of Trading and agree to be bound by the above
‘Terms & Conditions of Trading’ each time I place an order with the Company.
