It is divided in to two modules. The course covers both substantive as well as procedural rules of company/corporate law; theories and policies of company/corporate Law. It covers legal personality, its history, features and other rights and duties. The objectives are to inculcate a critical appreciation of issues and to prepare students for professional practice. The course is absolutely necessary for students to grasp rules of company/corporate law to prosper in legal profession specially in corporate sector. Learning Objectives At the Conclusion of the Course, Students will be able to: 1. Understand applicability of general principles of company/corporate law. 2. Understand history of company/corporate law. 3. Understand rules regarding legal personality. 4. Understand features of company/corporate law. 5. Understand difference between company and firm. 6. Understand types of firm and types of companies. 7. Understand basic documents of a Company. 8. Demonstrate working knowledge of registration process of a Company. 9. Understand share capital, shareholders, board of directors, their rights and responsibilities. 10. Understand process of Meetings of a Company, Resolutions passed in a Meeting. 11. Understand process of an Audit of a Company, Registers kept by a Company, Books of Accounts, and Financial Statements. 12. Understand Investigation Process, registration of Mortgages-Charges, Mediation-Arbitration processes. 13. Understand Winding Up process of a Company. Teaching Methodology 1. Early departures are not allowed. 3. You must turn off your cell phones or any gadget that disturbs the sanctity of the classroom. 4. Intellectual discussions including mundane gossip in class is not allowed unless permitted. 5. Taking notes are imperative in order to pass the class. 6. You are responsible for the contents of the lectures you missed. 7.
