2. Compensation
The following outlines the total compensation by

2.3 Payment Schedule: A

the contract is signed by both parties. The balance of the speaking fee will be due

3. Performance
Speaker will present the session set forth in the Agreement and shall:
3.1 Agree that Speaker is acting as an independent contractor and is solely responsible for any and
all federal, state and local taxes and fees imposed in connection with Speaker's services; 3.2 Acquire third party permissions as needed for materials submitted.
3.3 Agree that none of the material contained in the presentation will violate or infringe upon the
proprietary or statutory rights of any person or entity, including but not limited to copyright, trademark,
patent or intellectual property rights. Speaker agrees that the presentation material does not constitute
an invasion of anyone's right to privacy; and will not libel, slander or defame anyone in making
the presentation.
3.4 Agree that presentation and materials will not include any form of promotion of Speaker, Speaker’s
organization, Speaker’s products/services in any way and will exclude Speaker’s marketing materials,
order forms, book promotion, etc.
4. Recording and Distribution of Educational Sessions

continuing education program, sessions may be recorded and made available to participants, members and other
industry professionals in various formats (including, but not limited to, audio, video, live streaming, archived
sessions, etc.) In the event that attendees capture and/or stream audio and video (“Capture”),

is not responsible for such Capture or for any subsequent use or posting of such Capture.
4.1 Speaker agrees to allow session to be included in
BUSINESS NAME
live stream event.
4.2 Speaker agrees to allow session to be included in rebroadcasts to multiple global audiences
within their time zones following the event.
4.3 Speaker agrees to allow
BUSINESS NAME
to capture presentation for inclusion in conference proceedings and distribution for one year
from the date of session.
4.4 Speaker agrees to allow
BUSINESS NAME
to use and distribute captured content in part or whole in
BUSINESS NAME
products & digital channels (including, but not limited to,
BUSINESS NAME
website, Facebook Live, YouTube Live) for one year from the date of session.
4.5 Speaker agrees to participate in an online chat/similar activity if session is rebroadcast afterwards.
4.6 Speaker agrees to allow
BUSINESS NAME
to post presentation materials for the virtual participants before/during and after the conference.
4.7 Speaker agrees that after [insert agreed upon time – e.g., one year], to revisit usage terms with

for a mutually agreed upon amount of time should

want to continue to use and distribute the captured session content.
5. Statements

believes in the following philosophies and requests that each Speaker consider and abide by the
statements below to the best of their ability.
5.1

is dedicated to the principles of inclusion.
5.2

takes a firm stand on ethics and operates in accordance with the highest ethical standard
of professional and personal conduct.
6. Term
This Agreement is in effect until cancelled by either party as set forth in the Agreement;
or until the Speaker has completed the delivery of the session(s).
7. Cancellation
Cancellations must be made in writing.
7.1 Force Majeure
Notwithstanding any other provision of this Agreement, in the event that the performance of any obligation under
this Agreement by either Party is prevented due to Acts of God, exchange controls, import or export controls, any
other Government restriction, wars, hostilities, blockades, civil disturbances, revolutions, strikes, terrorist attacks,
threat of terrorist attacks, national health emergencies which impede travel and/or prevent public gatherings,
lockouts or any other cause beyond the reasonable control of a Party, such Party shall not be responsible to the
other Party for failure or delay in its performance of its obligations under the terms of the Agreement. Each Party
shall promptly notify the other Party of such force majeure condition. Speaker will refund all payments in the
event of a cancellation described in this Section.
7.2
Cancellation by:

7.3 Cancellation by Speaker: In the event of a breach by the Speaker of any terms of this Agreement,
or failure to appear at the program for any reason other than 7.1 above, the Speaker will use their best
effort to provide a comparable speaker that is acceptable to

8. Mutual Hold Harmless Clause
Each party shall indemnify and hold harmless the other party and its respective officers, directors, employees and
volunteers from and against damages, liabilities and reasonable costs and expenses, including reasonable legal
fees incurred in connection therewith arising from the negligence, misconduct or breach of this agreement of the
indemnifying party or its agents or employees.
9. COVID-19 Release and Waiver
Speaker agrees to assume all risks and accepts sole responsibility for any injury or illness (including without
limitation personal injury, illness, death, disability, damages, liabilities and reasonable costs and expenses,
including medical expenses and costs and legal fees) to Speaker that Speaker may experience or incur in
connection with the Engagement. Speaker hereby releases, covenants not to sue, discharges and holds harmless

from any and all claims relating in any way to COVID-19 that might arise from, during or after the Engagement.

10. Arbitration
Any and all claims, controversies disputes, actions or demands arising out of or in any way related to the
Agreement or the enforcement thereof, shall be subject to exclusive jurisdiction of courts seated in

11. Governing Law
This Agreement shall be governed by, and be construed in accordance with, the internal laws of
COUNTRY OR LOCAL JURISDICTION
without giving effect to any choice or conflict of law provision.
12. Effectiveness
This Agreement shall not become effective until signed by both Parties.
13. Modification of Agreement
This Agreement may be supplemented, amended, or modified only by the mutual agreement of the parties.
No supplement, amendment, or modification of this Agreement shall be binding unless it is in writing and
signed by all parties.
14. Severability
The provisions of this Agreement are severable, and the invalidity of one or more provision shall not effect or limit
the enforceability of any remaining provision. Should any provision be held unenforceable for any reason, then such
provision shall be modified and enforced to the maximum extent permitted by law, and if such provision cannot be
modified, it shall be severed.
16. Authority
Each signatory to the Agreement expressly warrants that they have the authority necessary to execute this
Agreement and thereby bind the Party on whose behalf each signatory purports to execute this Agreement.
