(a) when the whole of the price has not been paid or tendered or (b) when a bill of exchange or other negotiable instrument has been received as conditional payment, and the condition on which it was received has not been fulfilled by reason of the dishonor of the instrument or otherwise. Suppose that goods worth BDT. 500 are sold. The seller is deemed to be an unpaid seller under any of the following circumstances: I. The whole of the purchase price (BDT. 500) is not paid on the due date. II. If payment is made in the form of a negotiable instrument (bill of exchange or check) and the instrument is dishonored.
