This is a Letter of Intent submitted by Suffolk Medical Supplies Limited as the
direct buyer for the purchase of personal protective equipment. We would like to
reserve various amount of units to be transacted as follows.
TRANSACTION TERMS
The terms, obligations, and conditions of this Letter of Intent shall be subject to the
definitive Purchase Sale Agreement but not limited to a Purchase Sale Agreement,
confidentiality and Non-Circumvention Agreement and an Irrevocable Master Fee
Protection Agreement.

The parties to this Letter of Intent agree and accept the entirety of this Letter of
Intent as legally nonbinding for the actual purchase, whereas transaction details and
transaction of the actual purchase shall be in accordance with the definitive
Purchase Sale Agreement to which this Letter of Intent serves.
Both parties agree and accept to proceed with entering into a definitive Purchase
Sale Agreement once parties are satisfactory with all agreed due diligence
conducted.
