This HVAC Contract is issued pursuant to the Preventative maintenance Service Agreement between
[Client Name] (“Client”) and Daju Business Investment Limited (“Contractor”), effective [Click to
select date] (the “Agreement”). This HVAC Contract is subject to the terms and conditions contained
in the Agreement between the parties and is made a part thereof. Any term not otherwise defined
herein shall have the meaning specified in the Agreement. In the event of any conflict or inconsistency
between the terms of this HVAC Contract and the terms of this Agreement, the terms of this HVAC
Contract shall govern and prevail.
This HVAC Contract # [000] (hereinafter called the “HVAC”), effective as of [Click to select date], is
entered into by and between Contractor and Client, and is subject to the terms and conditions
specified below. The Exhibit(s) to this HVAC, if any, shall be deemed to be a part hereof. In the event
of any inconsistencies between the terms of the body of this HVAC and the terms of the Exhibit(s)
hereto, the terms of the body of this HVAC shall prevail.

Scope of Work
Contractor shall provide the Services and Deliverable(s) as follows:
Service at Site
This service will be carried out at site and will involve general cleaning of indoor and outdoor units as
well as checking of incoming power, power terminal, fan terminal, electrical control terminal, airflow,
temperature, drainage system. In case of any repair work required during the course of conducting the
service, our office will inform the client the necessary repair work done.
Major Services at Site
This service will be carried out at site and will involve pressure cleaning of indoor and outdoor with
bio-cleaning liquid specially meant for cleaning Air Conditioning equipment as well as checking of
operation of fan motor and the other moving parts, incoming power, power terminal, fan terminal,
electrical control terminal, airflow, temperature, drainage system. In case of any repair work required
during the course of conducting the service, our office will inform the client the necessary repair work
to be done,
Major Services at the Workshop
This service will involve removal of Indoor and Outdoor units from the site to the workshop, where
the units will be dismantled and thereafter pressure cleaned with bio-cleaning liquid specially meant
for cleaning Air Conditioning Equipment as well as checking of fan motor and other moving parts,
body condition of indoor & outdoor units, incoming power, power terminal, fan terminal, electrical
control terminal, airflow, temperature, drainage system. Thereafter, the equipment will be assembled,
tested and will be sent back to the site to be reinstalled. In case of any repair work required during the
course of conducting the service, our office will inform the client the necessary repair work to be
done.

Client Responsibilities
The Client shall operate the equipment according to the manufacturer’s requirement and provide the
environment for contractor to work.
Fee Schedule
This engagement will be conducted on a Type of service & Equipment basis. The total value to this

The service will be performed during working hours between Mondays to Fridays.
Payment Arrangement
Payment will be implemented in four terms in which will be scheduled after every three months.
Upon completion of this Performance Period, Contractor and Client will have the option to renew
this agreement for an additional then-stated number of services at the then-current rate for those
resources identified.

Repair Expenses / Invoice Procedures
This annual service agreement excludes any repair work and supply of spare parts. These
works can be carried out by the Contractor upon the Client’s acceptance of separate
quotations for provision of such work on each specific occasion where such need arises.
Transportation and Accommodations costs for our technicians for any up country locations
are not included in this agreement, it will be charged on actual basis
Client will be invoiced all costs associated with Repair expenses (including, without limitation, costs
and expenses associated with meals, lodging, local transportation and any other applicable business
expenses) listed on the invoice as a separate line item. Reimbursement for Repair expenses in
connection with performance of this Contract, when authorized and up to the limits set forth in this
Contract, shall be in accordance with Client’s then-current published policies governing travel and
associated business expenses, which information shall be provided by the Client Accountant.
Completion Criteria
Contractor shall have fulfilled its obligations when the schedule of the last service is complete and
deemed to have come into full force and effect from the date of receipt of the contract document
approved and signed by the client with the accordance of the other terms of the contract.
Contract Renewal and Termination
Either party being the client or the Contractor may wish to terminate the contract by giving (30) thirty
days’ written notice, then 50% of the remaining contract value shall be paid by the either of the party,
being the defaulter.
The Client and the Contractor may by mutual consent renew the agreement upon expiry of its present
term. The Contractor together with the consultation of the client is however free to review and revise
its terms and conditions upon expiry of this agreement
