Establishing a company is essential for entrepreneurs as they
must comply with all legal requirements and enter the business
market.
How to register a limited liability company
Incorporating your business online in just four steps ensures a
perfect business start without legal hassle.
Step 1: Obtain a digital signature certificate.
The first procedure is to obtain a DSC for the personnel involved
in establishing a private company in India. DSSC requirements
arise to fill out the electronic form of the MCA online portal. This
is because the ministry regulates procedures for establishing a
company and registering other applications online. Digitally
signed certificates, commonly known as DSCs, are issued by a
certificate authority in token form and are valid for one or two
years.
Such shareholders will need to deploy a DSC to submit e-MOA
and e-AOA, but the proposed director will need to apply online
and obtain a DIN in the next step.
List of Digital Signature Certificate Documents:
• A photo of the applicant's passport size.
• Proof of the applicant's self-certified address. Y
• Applicant's self-certified PAN card.
Step 2: Get the director's ID number.
The Director Identification Number (DIN) is a unique number
assigned by the Ministry of Internal Affairs and Communications
to the person requesting a DIN assignment. The ministry will
assign a lifetime number unless it is surrendered or withdrawn.
The directors of the company obtain a DIN and keep them
intimate when the company is established. Therefore, the
acquisition of DIN must be appointed to the board of directors of
any company. The acquired director identification number can
also be used for appointments to other companies and
appointments as a designated partner of LLP.
What documents are required to apply for DIN?
• A photo of the applicant's passport size.
• Proof of the applicant's self-certified address. Y
• Applicant's self-certified PAN card.
Step 3: Book your name
Before applying to establish and Private limited company
registration in Delhi, the proposed company's name will be
booked. A reservation request for a limited liability company
name is made on e-Form INC-1 by paying the required fee.
The designated expert must search for the availability of the
name before completing the application so that the applicant can
request the name accordingly. The registrar has 100% discretion
to approve the name request.
The name must be able to provide the company with a different
ID.
It should be short and straightforward.
The name must not contain words that are offensive to public
order and morals or are prohibited.
It must not infringe the trademark or be similar or identical to the
registered company / LLP.
If the request is approved, the registrar must book the same
name for 60 days. Orientation promoters with experts must apply
to establish a company within the prescribed 60 days. If you do
not submit it, your reservation name will expire, and you will
request a new name reservation within 60 days.
Step 4: Certificate of establishment
After submitting Form INC-1 to reserve the proposed company's
name, you will be asked to issue a certificate of the
establishment. Applying for an online company registration must
also be done by submitting a simplified form for establishing a
company, the SPICe form online.
Documents attached to the application form
 Utility bills and NOCs for owners of the company's
registered office address.
 If the site is rented, a rental contract and rental receipt with
the owner of the registered office.
 Affidavit to serve on the board of directors of the company
in the DIR-2 form.
 Affidavit and first (its) subscriber and director declaration in
INC-9 format (formally Frank and notarized);
After reviewing and confirming the legal entity establishment
certificate application on the SPICe form, the registrar can
satisfactorily issue a legal entity establishment certificate,
including a sticker and electronic signature. The corporate
establishment certificate (CoI) issued includes the date of
establishment and the company's taxpayer number (PAN).
