OYE MERCHANT AGREEMENT
This Agreement is for the Merchant Program between OYE service (“OYE”) and ____________________
(“Partner”). This Merchant Program applies to all Products / services provided to and/or listed on
oye.com.my effective on the same day of the account creation.
Effective Date: / 7/2021
Expire Date: 2022 Year (Automatic Renewal)
Terms & Condition for Merchant Program:
(A) Responsibilities and Undertakings of Partner
As a Vendor you must list the true and correct name of your business on the Services. If there is a
change to that business name, Vendors must promptly update the Services and may need to
provide additional documentation for proof of name change. Vendors who engage in the sale of
goods and services must have a valid business operations license, as applicable. If you or your
company experiences a dissolution, merger or other significant change in personnel (e.g., sale of
company), then we, in our sole discretion, have the right to determine whether to keep active,
transfer or terminate your account, including all content previously associated with such account.
(B) Responsibilities and Undertakings of OYE
OYE is responsible for promoting and listing the Partner’s Product / services on vendor list and
provides promotional support to increase bookings of Partner.
(C) Good Faith of Partnership Program:
If you are a Vendor, you further expressly agree not to:




Violate any applicable domestic and international laws, statutes, ordinances and regulations
regarding your use of the Services and your listing, shipping, transporting, and solicitation
of offers to ship and transport items.
Include promotional text or endorsements in your storefront name or your storefront
picture(s);
Discourage, either through the Services or otherwise, any Member from hiring other
Vendors of the Services; or
“Farm” out Member leads (i.e., taking Member leads provided to you and transferring them
to others that are not Vendors of the Services).
We reserve the right to suspend any User’s access to the Services and/or cancel the contract of any
vendors that violates these rules.
(D) Delivery of Services and Products:
 The vendor hereby agree that the products and services ordered and paid for by the
Customers, shall be delivered and rendered to the Customers within the “Delivery Timeline”,
which is the Actual Wedding Date or as agreed between Partner and Customer.
 In the event vendor fails, refuses and/or neglect to deliver the products/services so ordered
and paid for by the Customer within the Delivery Timeline, OYE reserve the right to issue
Vendor a full refund payment and a notice to terminate this Agreement.
 Vendor hereby agrees that OYE shall have irrevocable, worldwide, royalty-free and nonexclusive license to reproduce, adapt, modify, translate, publish, publicly perform or display,
distribute any content or materials (in whole or in part) of Vendor’s products / services
offered to OYE and to incorporate such content or materials in any format for the purpose
of display, promote, and distribute Partner’s products/services.
 Vendor further warrants that all Vendor’s products/services shall comply with all the
relevant laws and regulations in Malaysia.
 In the event of any claims is made against OYE arising out of or in connection with Vendor’s
products/services or in relation to the damages caused by the use of Vendor’s
products/services, Vendor shall keep OYE indemnified and to hold OYE harmless from and
against all actions, damages or other compensation awarded against OYE in connection
with the claim or paid or agreed to be paid by OYE and/or Partner in settlement of the claim
and against all legal or other expenses (on solitor-client) basis incurred by OYE in or about
the defence or settlement of the claim.
Non-Disclosure
Vendor hereby undertakes and agree to keep confidential and shall not disclose and/or inform any third
party whether indirect or direct in relation to any arrangement, understanding and agreement made
between OYE and Partner details, information and/or documents pertaining to this Agreement unless
otherwise instructed by OYE or authorized representative, failure of which OYE shall be entitled to claim
damage against Partner without prejudice to other rights and remedies available to oye.com.my
