3/13/2021 CONSTITUTION VISION: To be a Christ-centered Self-Help Group that is passionate about supporting each other socially, spiritually, financially and living out God’s purpose for their lives. MISSION: a) Promoting unity and goodwill amongst the members and their families. b) Supporting each other socially, spiritually, financially or otherwise during a time of need. c) Uniting members in development agendas in the community especially in our villages. d) Promoting economic interest and general welfare of the members CONSTITUTION OF TEGAAT SELF-HELP GROUP __________________________________________________________________________________________________ ARTICLE 1: NAME OF THE GROUP The Name of the group shall be; TEGAAT SELF-HELP GROUP (In the constitution referred to as the “GROUP”) and the Head Office location shall be at the N’GELEL-TARIT CHURCH OF CHRIST BUILDING RM 1. P.O. BOX 2828-30100 ELDORET. ARTICLE 2: AIMS AND OBJECTIVES a) b) c) d) To promote unity and goodwill amongst the members and their families. To support each other socially, spiritually, financially or otherwise during a time of need. To unite members in development agendas in the community especially in our villages. To promote economic interest and general welfare of the members ARTICLE 3: MEMBERSHIP i. ii. iii. iv. v. Members of the association will be drawn from Katanin B village, Sigot village, Kapkorio village and Naiberi village upon payment of a non-refundable registration fee of Kshs.100/= and a share capital of Kshs. 1000 or any other amount that maybe agreed upon by the group through consensus from time to time. Any new registration from other interested persons shall be considered upon application and payment of a non-refundable registration fee of Kshs. 1000/- and a share capital of Kshs. 1000/- or any other amount that maybe be agreed upon by the group through consensus from time to time. The management committee on the advice from the organizing secretary will reserve the right to accept or reject any application for new membership The monthly subscriptions shall be uniform to all members at all times and may be reviewed from time to time in a general meeting at the request of more than 66% of the members of the group. Membership of the group shall cease with effect from the date of a member’s: a) Death b) Withdrawal c) Expulsion from Group d) Becoming certifiably insane e) Transfer of shares f) Being declared bankrupt in a Court of Law 1|P age “Great things happen when we come together” i. Any member can be expelled from membership if the committee so recommends and if a General meeting of the Group shall resolve by two thirds majority that such a member should be expelled on the grounds that his/her conduct has adversely affected the reputation and dignity of the Group. ARTICLE 4: NOMINEES i. Every member shall nominate a nominee in writing as his/ her nominee to whom, on his/ her death, deposits shall be vested and such appointments shall be attested by two witnesses who are members of the group. ii. In the event of death of a member, the group after satisfying itself and after obtaining such documentary proof of the death of a member as it may consider necessary, shall pay to the nominee the value the value of the deceased member’s deposits, after deducting such sums as may be due by the member to the group, as soon as possible. ARTICLE 5: SOURCES OF FINANCE Finances of the group self-help group will be realized primarily from:i. ii. iii. iv. Membership registration fee Monthly contributions Share capital contributions Fines from late comers and absentees in meetings Other Sources of income will be:a) Harambees or fund raisings b) Group business venture e.g. Car wash or tree nursery or c) Any other income generating activity The finances of the project shall be deposited in savings account with the bank preferred by members. ARTICLE 5: MEMBER’S RIGHTS AND OBLIGATIONS/BENEFITS 1) Every member has a right to information concerning the group at any time. 2) One thousand shillings (Kshs. 1000/= shall be contributed by each member in case of death of a MEMBER/SPOUSE/CHILD. This is mandatory to all members of the group. 3) Every member shall contribute a mandatory Five hundred Shillings (Kshs. 500/=) in case of death of a nuclear family member. This is mandatory to all members of the group. 4) Every member shall also contribute five hundred shillings (Kshs. 500) for a wedding/prewedding of a member or member’s child ONLY. This is mandatory to all members of the group. 5) In case of death of a member, the share capital of that member shall be given to the preferred beneficiary from that member family. 2|P age “Great things happen when we come together” ARTICLE 6: OFFICE BEARERS a) The officials of the group shall consists of; i. Chairman ii. Deputy Chairman iii. Secretary iv. Deputy Secretary v. Treasurer b) All office bearers shall be fully paid up members of the group, who shall be entitled to some allowances which will be approved by the members. c) All office bearers shall be elected at an Annual General Meeting (AGM) to be held each year and shall hold the office till the succeeding AGM. d) Any office bearer who ceases to be a member of the Group shall automatically cease to be an office bearer thereof. e) Office bearers may be removed from office as is laid down for expulsion of members in rule 3(v), 3(i) and article 11 and vacancies created filled by persons elected in General meeting resolving the expulsion. The management committee may co-opt on temporary basis any member to fill such vacancy in event of such occurrence. ARTICLE 7: DUTIES OF OFFICE BEARERS 7.1 Chairman The Chairman shall unless prevented by illness or other sufficient cause, preside over all meetings of the committee and at all General meetings The Chairman, or in his absence, the Vice-Chairman shall preside at every General Meeting. In their absence, any member elected by majority of those present shall preside. 7.2 Vice-Chairman The vice-chairman shall perform any duties as assigned to him/her by the chairman. In the absence of the chairman the vice-chairman shall chair all session. He shall deputize the chairman in all occasions. 7.3 Secretary The Secretary shall deal with all the correspondence of the Group under the general supervision of the committee. In case of urgent matters where the committee cannot be consulted, he shall consult the chairman or if he is not available the vice-chairman. The decision reached shall be subject to ratification or otherwise at the next committee meeting. He/she shall issue notices convening all meetings of the committee and all General meetings of the Group and shall be responsible for keeping minutes of all such meetings and for the preservations of all records of proceedings of the Group and the Committee. 3|P age “Great things happen when we come together” 7.4 Assistant Secretary In the absence of the Secretary, the Assistant Secretary shall perform all the duties of the Secretary and such other duties as shall be assigned to him by the Secretary or the Committee whether the Secretary is present or not. In the absence of the secretary shall perform the duties of the secretary. 7.5 Treasurer The Treasurer shall receive and disburse, under the direction of the committee, all monies belonging to the Group and shall issue receipt for all moneys received by him or her and preserve vouchers for all moneys paid out. The Treasurer is responsible to the committee and the members that proper books of account of all moneys received and paid by the Group are written up, preserved and available for inspection. The treasure shall ensure that all payment and expenditures are duly authorized. The treasurer shall ensure compliance with all directives of the management committee. 7.6 Assistant Treasurer The assistant treasurer shall perform such duties as may be specifically assigned to him/her by the Treasurer or by the committee In the absence of the Treasurer shall perform the duties of the Treasurer. ARTICLE 8: SIGNATORIES OF THE GROUP’S BANK ACCOUNT The signatories to the account shall be; 1. The Chairman 2. The Secretary 3. The Treasurer N/B. All of them shall be mandatory signatories for any withdrawal to be effected. ARTICLE 9: MEETINGS There shall be; i. ii. iii. iv. v. vi. vii. General meetings held on a monthly basis(every 1st Saturday of the month) Executive meetings shall be held at any time as maybe be determined by the members. Special/emergency meetings shall be held as and when there is an emergency. Annual general meetings shall be held every year not later April of every year. All meetings are mandatory and a member will be allowed two consecutive apologies for not attending the meetings. One who arrives late for the meeting after 7:50pm will pay Kshs.50/- and one who is absent with or without apology shall also pay Kshs. 50/The quorum for the meeting will be simple majority of registered members (2/3) 4|P age “Great things happen when we come together” ARTICLE 10: CONSTITUTIONAL AMENDMENT Any amendment to this constitution can only be carried out in a general meeting comprising of atleast two thirds(2/3) of the paid up members and the department social services duly informed of such an amendment that have been effected. ARTICLE 11: CESSATION OF MEMBERSHIP A member shall be assumed to have resigned or have left the group if; a) His/her monthly contributions shall not have been remitted to the self-help group for three consecutive months without any logical explanation b) His/her shall have resigned from membership in writing to the secretary, who must respond in writing within fourteen days upon receipt of the letter. c) He/she shall be deemed by the executive to be unsuitable for continued membership due to any /all of the following reasons; a. Gross misconduct, indiscipline, disrespect or comes to the meetings when he/she is drunk or any other disciplinary case justifiable by members or executive. b. Inconsistent monthly contribution c. Unstable mental condition NOTE: In the first two cases above, namely a & b the affected members shall receive one verbal warning followed by one written warning before membership is revoked by approval of full members. In case of such an eventuality, the affected member shall get back half of his shares, after deduction of any accruing debt to the group from the member. ARTICLE 12: INSPECTION OF ACCOUNTS AND LIST OF MEMBERS The books of accounts, all other documents relating thereto, and a list of members of the Group shall be availed for inspection at the registered office of the Group by any officer or member of the Group on giving not less than 7 days notice in writing to the Group. ARTICLE 13: CUSTODY OF THE CONSTITUTION The Secretary of the group shall be the custodian of the constitution. 5|P age “Great things happen when we come together” ARTICLE 14: DISSOLUTION OF THE SELF-HELP GROUP a) The Group shall not be dissolved except by a resolution passed at a general meeting of the members by a vote of two-thirds 2/3 of the members present. The quorum of the meeting shall be as shown in rule 9(vii). If no quorum is obtained, the proposal to dissolve the Group shall be submitted to a further General meeting, which shall be held one month later. Notice of this meeting shall be given to all members of the Group at least 14 days before the date of the meeting. The quorum of this meeting shall be the number of members present. b) Provided, however, that no resolution shall be effected without prior permission in writing to the registrar, obtained upon application to him made in writing and signed by the three office bearers. c) When the registrar has approved the dissolution of the Group, no further action shall be taken by the committee or office bearers of the Group in connection with the aims of the Group other than to get in and liquidate for cash all the assets of the Group. Subject to the payment of the debts of the Group, the balance shall therefore be distributed in such other manner as may be resolved by the meeting at which the resolution for the dissolution is passed. 6|P age “Great things happen when we come together”
