ENROLLMENT FORM
THIS ENROLLMENT FORM is made as of the date set forth on the signature page below (the “Effective Date”), by and
between Kenect, LLC, a Utah limited liability company, (“Kenect” or “Company”) and the client (“Client”), being the entity
or individual referenced in the signature line as being the ’Client.’ This Enrollment Form is governed by Kenect’s Terms of
Service (available at: https://kenect.com/terms-of-service/) which may be updated from time-to-time, and such Terms of
Service are explicitly incorporated herein. If Client is a Covered Entity, the Terms of Service include, and Client agrees to
be bound by, the Business Associate Agreement addendum included therein. (The Enrollment Form and Terms of Service
are collectively referred to herein as the “Agreement”).
1.
Services. Client hereby subscribes to Company’s services (the “Services”) and provided via Company’s
proprietary web-based software application, as designated below. The Services shall only be provided to the
locations as set forth and numbered below (the “Number of Locations”), which may be updated from time to
time by the written agreement of the parties. Company also agrees to provide Client certain setup services
to assist with Client’s usage of the Services (the “Setup Services”).
2.
Fees. Client shall pay: (a) the Annual Fee (the “Annual Fee”), as set forth below, in accordance with the terms
of this Agreement and (b) a one-time Setup Fee, as set forth below, for the Setup Services (the “Setup Fee”,
and together with the Annual Fee, the “Fees”). The one-time Setup Fee shall be paid by Client via credit card
on the date hereof. The Annual Fee shall be paid by Client via credit card on the date hereof and on the same
date of every subsequent year of the Agreement. Any Fees not paid when due shall accrue interest at a rate
of 12% compounded monthly, or the maximum lawful amount, whichever is less.
3.
Term. The term of the Agreement shall begin on the Effective Date and, unless terminated as provided herein,
shall continue for an initial period of 12 months (the “Initial Term”). Following the Initial Term, the Agreement
will automatically renew for successive 12-month periods (each, a “Renewal Term”) unless Client provides
written notice to the contrary at least 30 days prior to the end of the then-current term, in which case, the
Subscription Term will terminate automatically without penalty at the end of such term. The Initial Term and
the Renewal Term are collectively referred to as the “Subscription Term”.
