I, Joseph Mozart Jarreau, Jr., husband of Murrell Jean Komegay Jarreau, a citizen and resident of Pointe Coupee Parish, Louisiana, being of sound and disposing mind and memory, but aware of the uncertainties of life, make and ordain this my Last Will and Testament, revoking all others.

I have four (4) children, Vickie Ann Jarreau Jambon, Stacie Gene Jarreau

Kraft, James Wayne Jarreau and Joseph Mozart Jarreau, Ill, who are all over the age of twenty-three (23) years and do not suffer from any incapacity, either physical or mental.

I bequeath and devise unto my wife, Murrell Jean Kornegay Jarreau, all property owned by me, or in which I have an interest, at the time of my death, both community and separate, real, personal and mixed.

In the event my wife predeceases me, I bequeath and devise all property which I own at the time of my death to Vickie Ann Jarreau Jambon, Stacie Gene

Jan-eau Kraft, James Wayne Jarreau and Joseph Mozart Jarreau, III, in indivision and in equal proportions.

4.

As to any equipment which I own with my son, Joseph Mozart Jarreau, III, it is my desire that his sisters and brother allow Joseph to purchase my interest in said equipment from them, at a reasonable price.

5.

In the event that one or more of my legatees predecease me and is survived by a descendant or descendants, who are entitled to inherit from me by representation,

I direct that the above bequest to my legatees be read as though the person or persons who inherit from me by representation were named in the place of the person or persons being represented, it being my desire to die testate in all respects and that my property pass to my descendants per stirpes.

In the event that I and one or more of my legatees die in a manner or at a time such that there is insufficient evidence to determine who died first, for the purpose of this will it shall be presumed that I survived. ate. .1

I name and appoint my wife, Murrell Jean Kornegay Jarreau, as

Independent Administrator of this will. In the event my said wife is unwilling or unable to act or to continue to act as Independent Administrator, then I name and appoint

Stacie Gene Jarreau Kraft, as Independent Administrator of this will. My Independent

Administrator shall serve with seizin and without the necessity of posting any bond or security whatsoever.

THIS LAST WILL AND TESTAMENT containing two (2) pages has been executed in New Roads, Louisiana on this 16th day of March, 2004.

THIS LAST WILL AND TESTAMENT has been signed on each of its pages by the Testator, Joseph Mozart Jarreau, Jr., in our presence and declared by the said

JUDGMENT OF POSSESSION

Considering the Petition of Possession and the Affidavit of Death and Heirship and other pleadings filed herein; the notarial Last Will and Testament of Joseph Mozart Jarreau, Jr.

(hereinafter sometimes referred to as "decedent") and the probate thereof; and it appearing that no inheritance taxes are due to the State of Louisiana by this succession or legatee of this succession; and the law and evidence being in favor of petitioner, for the reasons this day orally assigned:

IT IS ORDERED, ADJUDGED AND DECREED that any further administration of this succession be and the same is hereby dispensed with.

IT IS FURTHER ORDERED, ADJUDGED AND DECREED that Murrell Jean

Kornegay Jarreau, Independent Administrator of this succession, is hereby released and discharged as Independent Administrator of this succession; provided, however, that the said

Murrell Jean Kornegay Jarreau is authorized and empowered to continue to act as Independent

Administrator of this Succession in connection with the handling of any and all matters pertaining to the filing, audit, review or amendment of any inheritance, income or other tax return, which has been or will be filed by her on behalf of this Succession.

IT IS FURTHER ORDERED, ADJUDGED AND DECREED that Murrell Jean

Kornegay Jarreau, be and she is hereby recognized as the surviving spouse in community with her late husband, Joseph Mozart Jarreau, Jr., and as such, is entitled to and is hereby sent into possession of, as owner, an undivided one-half (/2) interest in and to all of the property belonging to the community of acquets and gains which existed between them, and being more fully described hereinbelow.

IT IS FURTHER ORDERED, ADJUDGED AND DECREED that Murrell Jean

Kornegay Jarreau is further recognized, as universal legatee under the Last Will and Testament of the decedent, and as such, as being entitled to and placing her in possession of all property owned by the decedent, or in which he owned an interest, in full ownership, and being more fully described hereinbelow, to-wit:

I. COMMUNITY REALTY:

A certain tract of land, with all the buildings and improvements thereon, situated in the Parish of Pointe Coupee, State of Louisiana, having a front of

89.6 feet on False River by a depth of 70 arpents, more or less, the sidelines opening toward the rear according to titles; said property being bounded in front or East by said False River, above or North by Lot No. 2, as shown on the hereinafter referred to map of survey, being the property of Ernest Kaufman, or assigns, in the rear or West by lands, now or formerly, belonging to St. Vincent de Paul Society, and below or South by property of Mrs. Anatole Gosserand, et al.

Said tract of land is more particularly shown on a map of survey made by H.E.

Landry, C.E. and Surveyor, dated February 15, 1947, a blueprint copy of which map of survey is recorded with an Act of Partition filed at Conveyance Book

22, Entry No. 45 of the conveyance records of the Parish of Pointe Coupee,

Louisiana, of date August 7, 1948, said sale to include the land between La.

Highway I and False River, being the same property as per Act appearing in

Conveyance Book 59, Entry No. 315, in the office of the Clerk and Recorder,

Parish of Pointe Coupee, State of Louisiana.

Being the same property acquired by Joseph Mozart Jarreau, Jr., while married to Murrell Jean Komegay Jarreau, by Act of Cash Sale from Lena Matherne

Leonard, et al, dated October 18, 1965, and filed and recorded at Conveyance

Book 62, Entry No. 264 of the records of Pointe Coupee Parish, Louisiana.

The municipal address of the above described property is 9149 False River

Road, New Roads, LA 70760.

SUBJECT TO:

(1) Right of Way Permit and Servitude Agreement by Joseph Mozart Jarreau in favor of City of New Roads, dated September 5, 1997, and filed and recorded at Conveyance Book 436, Entry No. 194 of the records of Pointe

Coupee Parish, Louisiana.

(2) Oil, Gas and Mineral Lease by Joseph M. Jarreau, Jr. and Murrell Jean

Kornegay Jarreau in favor of Energy Production Corporation, dated

October 23, 2009, and being filed and recorded at Conveyance Book 558,

Entry No. 169 of the records of Pointe Coupee Parish, Louisiana.

Servitude and Right-of-Way Agreement by Joseph M. Jarreau, Jr. and

Murrell Jean Kornegay Jarreau in favor of Energy Production

Corporation, dated September 28, 2010.

(4) Any and ail valid and unprescribed easements, rights-of-way, servitudes, mineral leases and mineral reservations affecting the hereinabove described property.

COMMUNITY PERSONALTY.

( 1 ) The sum on deposit in Checking Account No. 304077 in Guaranty Bank

& Trust Company in the names of Joseph or Murrell Jarreau.

(2) The sum on deposit in Money Market Checking Account No. 11001084 in Guaranty Bank & Trust Company in the names of Joseph or Murrell

Jarreau, bearing interest at the rate of 0.250%.

(3) The amount on deposit in Time Certificate of Deposit No. 4047281 issued by Guaranty Bank and Trust Company, in the name of Joseph

Mozart Jarreau, Jr. POD, dated August 28, 2009, in the principal amount of $200,000.00, bearing interest at the rate of 2.960%.

(4) The sum on deposit in Savings Account No. 82008078 in The Cottonport

Bank in the names of Joseph Mozart Jarreau or Murrell K. Jarreau, bearing interest at the rate of .25%.

(5) The amount on deposit in Time Certificate of Deposit No. 9002589 issued by The Cottonport Bank, in the name of Joseph Mozart Jarreau and

Murrell K. Jarreau, dated October 20, 2009, in the principal amount of

$200,000.00, bearing interest at the rate of 1.10%.

(6) The amount on deposit in Time Certificate of Deposit No. 9000792 issued by The Cottonport Bank, in the name ofJoseph Mozart Jarreau, dated July

Being the entire riverbank portion of the same property acquired by Joseph

Mozart Jarreau (Jr.), husband of Murrell Jean Kornegay Jarreau, from Lena

Matherne Leonard, et al, by act of sale recorded on October 20, 1965 under Entry

No. 264 of Conveyance Book 62, records of Pointe Coupee Parish, Louisiana.

Vendor, Murrell Jean Kornegay Jarreau, inherited all of the interest of Joseph

Mozart Jarreau, Jr. in said property as will appear by reference to the judgment of possession rendered and signed on May 21, 2012 in the matter of his succession proceedings, bearing Number 44,457 on the probate docket of the 18th Judicial

District Court in and for Pointe Coupee Parish, Louisiana, and filed and recorded under Entry No. 179 of Conveyance Book 585, records of said parish.

Right of First Refusal: Vendor does hereby reserve, and Purchasers do hereby grant unto Vendor, a right of first refusal over the property hereinabove described and herein conveyed. Said right of first refusal shall be governed and controlled by Louisiana Civil Code articles 2625 through 2630.

TO HAVE AND TO HOLD the said property unto the said Purchasers, their successors and assigns, free from any mortgages or liens, forever.

Pointe Coupee, State of Louisiana, having a front of 89.6 feet on False River by a depth of 70 arpents, more or less, the sidelines opening toward the rear according to titles; said property being bounded in front or East by said False River, above or North by Lot No. 2, as shown on the hereinafter referred to Map of Survey, being the property of Ernest Kaufman, or assigns, in the rear or West by lands, now or formerly, belonging to St. Vincent de Paul Society, and below or

South by property of Mrs. Anatole Gosserand, et al.

Said tract of land is more particularly shown on a Map of Survey made by H.E.
