UK Models Management Partnership Agreement (THIS PARTNERSHIP
AGREEMENT effective as of the 11 day of January)
Jayesh Singh residing at the address Clock Tower around lake Pichola Udaipur, Rajasthan India, and Reneta,
residing at the address [PARTNER 2 ADDRESS], referred to as “The Partner (Model Booker at UK Models
Management)”, agree to the following terms and conditions:
The UK Models Management agrees to establish itself as equal business partnership business of UK Models
Management with Miss. Reneta Model Agent at UK Models Management Partners agree that the business shall
be hereinafter named UK Models Management The business (Agency) is located at Udaipur City, India in the
State of Rajasthan as well small branch at High bury Highbury & Islington, London.
Costs:
The partnership is responsible for cost sharing regarding business work.
Profits:
The Partners agree that shall maintain the title of UK Models Management within the business. The Partners
agree to the equal 50% distribution of profits gained from the business. Any assets contributed to the business
by either Partner shall remain the property of that Partner.
Accounting:
Books and Records.
1. Complete and accurate books of account shall be kept at the principal place of business of the Partnership
and shall show the condition of the business and finances of the Partnership, and each Partner shall have
access to, and may inspect and copy, any part thereof. Complete, accurate records shall be kept for all
partnership accounts. These records may be viewed by UK Models Management at any time.
New Partners:
This will be the UK Models Management policy on accepting new partners:
1. The Partners agree that the partnership will commence on [DATE] and will continue until [DATE] or until
both Partners agree to dissolve the partnership on mutual terms.
2. Partnership can be terminated by UK Models Management if in case of Partner unprofessional behavior and
work at any time within duration of partnership time.
3. The Partners agree that they will both maintain equal standings within the business. No partner shall
determine any course of action for the business without the express agreement of the other Partner. The
Partnership will be maintained by devoting an equal amount of time and effort by both Partners. No Partner
shall exceed spending without the express agreement of the other Partner.
4. The net profits of the business shall be divided between the partners in the proportion of the capital and they
shall bear all losses including loss of capital in the same proportion.
5. Each partner shall(1) Be just and faithful to other partners in the transactions relating to partnership business;
(2) Pay his separate debts and indemnify the other partners and assets of the firm against the same and all
other proceedings, costs, claims or demands in respect thereof;
(3) Give full information and truthful explanations of all matters relating to the affairs of the partnership to all the
partners at all times
6. No partner shall without the consent of the other partners(1) Engage in any other business directly or indirectly.
(2) Draw, accept or endorse any bill of exchange or promissory note on account of the firm.
(3) Each partner, shall be entitled to weeks holiday in each year and all the partners shall make choice of the
holiday alternatively with consent of UK Models Management.
Dispute Resolution and Jurisdiction
1. Any dispute, controversy or claims arising out of or relating to this Agreement
or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the
provisions of the [Indian] Arbitration and Conciliation Act, 1996.
The undersigned agree to all of the terms and conditions of this UK Models Management Partnership
Agreement pertaining to the business UK Models Management.
