LiteSheet Solutions, LLC
LiteSheet Limited Warranty
Limited Warranty. Subject to the terms, conditions, limitations, and exclusions in
this Limited Warranty, LiteSheet Solutions, LLC (“LITESHEET”) warrants that a
LITESHEET product purchased directly from LITESHEET or from an authorized
LITESHEET Distributor (“Product”) is free from defects in material and workmanship
that would cause the Product to fail to operate in accordance with the Product’s
performance specifications (“Specifications”) for the applicable warranty period
described below from the date the Product was first purchased by a retail purchaser
(“Purchaser”). A Product shall not be considered defective solely as a result of the
failure of individual LED components to emit light if the number of inoperable
components is less than 50% of the total number of LED components in the Product.
Limitation of Warranty. THE ABOVE LIMITED WARRANTY IS THE EXCLUSIVE
WARRANTY FOR THE PRODUCT. LITESHEET DISCLAIMS ALL OTHER
WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, ARISING BY
COURSE OF DEALING OR PERFORMANCE, CUSTOM, USAGE IN THE TRADE
OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED
WARRANTIES FOR MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, NON-INFRINGEMENT, OR OTHERWISE.
PURCHASER’S
EXCLUSIVE REMEDY FOR ANY NONCONFORMITY OR DEFECT IN ANY
PRODUCT SHALL BE ONLY AS EXPLICITLY SET FORTH HEREIN.
Limited Warranty Duration. Product will have a Limited Warranty for one (1) year
unless otherwise specified for each Product as set forth on Exhibit 1 hereto,
from the date the Product was purchased by Purchaser (the “Limited Warranty
Period”).
Limitation of Liability. UNDER NO CIRCUMSTANCES SHALL LITESHEET’S
AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH A
DEFECTIVE PRODUCT, IN CONTRACT, TORT, OR ANY OTHER LEGAL
THEORY, EXCEED THE PURCHASE PRICE OF THE PRODUCT TO WHICH
SUCH LIABILITY RELATES. IN NO EVENT SHALL LITESHEET BE LIABLE FOR
SPECIAL, INCIDENTIAL, CONSEQUENTIAL, INDIRECT OR COMPENSATORY
DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES RESULTING FROM
LOSS OF USE, PROFITS, BUSINESS OR GOODWILL.
Exclusive Remedy. If during the applicable Warranty Period LITESHEET
determines the Product is defective in material and workmanship, LITESHEET will,
in its sole discretion, refund the Product purchase price, repair the Product, or
replace the Product. LITESHEET reserves the right to utilize new, reconditioned,
refurbished, repaired or remanufactured products or parts in the warranty repair or
replacement process. Such products and parts will be comparable in function and
performance to an original product or part, as determined by LITESHEET in its sole
discretion. LITESHEET’S repair, replacement, or refund of the defective Product is
the sole and exclusive remedy for the Purchaser for any defect in materials or
workmanship.
Entire Agreement. This Limited Warranty contains and represents the only warranty
extended by LITESHEET for the Product. No officer, employee, agent, or affiliate is
authorized to make any other warranty beyond those made in this Limited Warranty.
Conditions of Limited Warranty. LITESHEET’s warranty coverage for the Product
is subject to the following terms and conditions: (1) the Purchaser must provide
written notice to its authorized LITESHEET Distributor within 30 days of discovering
a claimed defect to the Product; (2) the Product must be installed according to
LITESHEET’s printed installation instructions and must comply with any applicable
standards or codes, including, without limitation, those standards or codes of the
National Electrical Code, the Standards for Safety of Underwriters Laboratory, Inc.
(UL, ETL, or CSA Listed), the Standards of the American National Standards
Institute (ANSI); (3) the Product must be installed, operated and maintained within
the electricity operating range, electrical values, and environmental conditions
identified in the Product’s Specifications; (4) a Purchaser, upon discovering a
claimed defect, must immediately provide, at Purchaser’s own expense, protection of
all property that could be affected until the claimed defect is remedied if applicable.
Before undertaking any permanent repair to the Product, Purchaser must allow
LITESHEET or its agents to inspect and examine the Product as it was installed; (5)
any repairs to the Product undertaken by Purchaser without prior authorization from
LITESHEET may void the warranty; (6) this warranty is valid only to products
purchased directly from LITESHEET or LITESHEET's authorized distributors; and (7)
this limited warranty may only be used by the original retail purchaser, and is nontransferable and non-assignable.
Modification Or Discontinuation. LITESHEET reserves the right to discontinue or
modify the Product, without notice, at any time. In the event that repair or
replacement of the Product is not possible, LITESHEET will repair or replace the
Product with a product of commensurate value and capabilities. This warranty is
effective for purchases of Product on or after the effective date set forth below.
LITESHEET reserves the right to modify this warranty from time to time. Any
modification of this warranty shall be effective for all orders placed with LITESHEET
on or after the effective date of such revised warranty.
EXHIBIT 1 LiteSheet products are normally covered by a 1 year limited warranty.
The products listed in Exhibit 1 have a longer limited warranty as outlined on the
table. The products with a 10 year warranty may have an additional 5 years added
to the duration with the purchase of an extended warranty. The length of the limited

5 year warranty include the “/5” mark in the model number on the serial number
label. Products with a 10 or 15 year warranty will have a “/10”, and “/15” mark on the
label respectively.
Exclusions from Coverage. This Limited Warranty does not cover damage or
defects resulting from or in any way attributable to: (1) improper shipping, storage,
handling, installation, operation or maintenance of the Product or any associated
systems or components; (2) any modifications or alterations of the Product after
LITESHEET ships the Product; (3) neglect or abuse of the Product; (4) any use of
the Product other than for the purpose for which it is designed; (5) any unauthorized
repair of the Product; (6) acts of God including, but not limited to, severe weather,
fire, flood, unusual climate conditions, or other natural phenomena; (7) lack of proper
maintenance of Product or systems on which Product depends for performance; (8)
power surges, power spikes, improper power supply, electric current fluctuations,
