For Item No.11: Fish plate for 52 kg rails B G track as per RDSO Drg No T-090M.
(C)Detail Technical Specifications Sr.No. (12) & (13). WTPS:
Seasoned Sal Wood Sleeper size 10 feet x10 inch x10 inch & 16 feet x10 inch x 6 inch as
per I.R.S. specification without any crack/holes and knot in the sleeper with end binding
with G.I. wire and coal tar coating and paint on sleeper to protect white ant.
NOTE:(1) The estimated cost of this tender is Rs.63,39,400.00.
(2) Party has to pay Tender Fee Rs.5000/-(Rs. Five Thousand only) (Non Refundable) by
way of Demand Draft in favour of Gujatat State Electricity Corporation Ltd, payable at
Vadodara.
(3) It is mandatory for Vendors to have Vender registration certificate of GSECL. For new
Vendor require Vendor Registration fee (non refundable) shall be paid prior to opening
Technically. Otherwise their offer will not be considered. The price bids will be opened
subject to acquire of their valid Vendor registration for the quoted items before price bid
opening date.
(4) The following clauses of Commercial Terms & Conditions are to be considered as
under:
(i) Cl.No.3- New parties - The parties, who have not supplied to GEB/GSECL and its sister
Co’s but have supplied to other SEB’s / Government Organizations, will be considered as
new supplier / party. New party has to furnish the proof of execution of orders. It should also
get itself registered as a vendor with GSECL As far as possible, only manufacturers will be
considered and no traders shall be encouraged. The firm who have supplied to GSECL or
other firms should furnish a self certified list of orders executed for similar tender items
(similar items means, materials of any type that is used for P-way ) indicating quantity
supplied along with performance certificates for the items supplied. This is a MUST.

(ii) Cl.No.(2)&(3)- Parties must have Vendor Registration for specific Tender items.
(iii) Cl.No.11. EARNEST MONEY DEPOSIT:
EMD at the rate of 1% of the value of the estimated cost is payable. The EMD is payable by
Demand Draft in favour of the Gujarat State Electricity Corporation Limited on any
Scheduled / Nationalized Banks . It can also be furnished by way of an irrecoverable Bank
Guarantee from any nationalized Bank in a standard format prescribed by the GSECL
(Format given in this tender document).
And if this amount is more in respect of tender value of Rs.1 Crore, it should be
partially (50%) in cash or by DD in favour of Gujarat State Electricity Corporation Ltd
on any Scheduled Bank in Vadodara and balance 50% by Bank Guarantee from any
Scheduled / Nationalized Banks except Cooperative Banks, in a standard format
prescribed by the GSECL (Format given in this tender document). Cheques are not
acceptable. CORPORATE GUARANTEES NOTALLOWED.
Small, cottage & tiny Industrial units registered under Small Scale Industries of
Gujarat State & holding subsequent registration with CSPO/NSIC/DGS&D registration
will, however, be considered for exemption from payment of EMD subject to furnishing of
the authenticated notary certified copy of the certificate of Registration with Small Scale
Industries/NSIC. The SSI/NSIC certificate should indicate the manufacture of items
offered under this tender. Provisional SSI/NSIC Registration Certificates are NOT
allowed.
(iv )Cl.No 12 – As per directive of Government of Gujarat, Successful Tenderer shall
have to pay Security Deposit before placement of order, therefore Successful
Tenderer must have to pay Security Deposit with acceptance of Letter of Intent with
in seven days. Detailed order will be placed only after submission and verification of
security deposit. Security Deposit/ Performance guarantee shall be paid by all the bidders
irrespective of whether they are SSI unit or exempted by NSIC.
(v) Cl.No.11,12&46 for of EMD/SD/PBG - GSECL will accept the bank guarantees of the
following banks,
(A) Guarantee issued by following banks will be accepted as S.D/EMD payment.
1.All Nationalize banks including the public Sector Bank IDBI Ltd.
2. Private Sector i.e. Axis Bank, ICICI Bank, HDFC Bank.
(B) Guarantees issued by following Banks will be accepted as SD/EMD for period
up to March 31,2014.
1. Commercial Banks:
(i). Kotak Mahindara Bannk, (ii). Yes Bank, (iii). Indusland Bank.(iv).Ratnakar Bank.
2. Regional Rural Banks of Gujarat:
(i). Dena Gujarat Gramin Bank.
3.Co-Operative Banks of Gujarat: (i). The Kalupupr Commercial Co-Operative Bank
Ltd. (ii). Rajkot Nagarik Sahakari Bank Ltd. (iii). The Ahmedabad Mercantile CoOperative Bank ltd. (iv). The Mehsana Urban Co-Operative Bank Ltd. (v). Nutan
Nagrik Sahakari bankLtd.
The Bank Guarantee covering execution of the contract(Security Deposit )will be returned
only on successful Execution of contract and on receipt of the Bank guarantee towards
warrantee/guarantee where ever applicable.
(vi) Cl. No. 45- Guarantee: - The Guarantee shall be as per Clause No.45 of the
Commercial Terms & Conditions for 18/12 months as applicable.

(vii) .Cl. No.46-Performance Guarantee:As per GUVNL circular No. GUVNL/Tech/2040,Dtd.03.10.2013,the exemption in payment
of EMD and relaxation in payment of Performance Guarantee towards execution
period (Security Deposit) and towards Guarantee/warrantee period shall be given to
Small, Cottage & Tiny industrial Units registered under Small Scale Industries of
Gujarat State and holding subsequent registration with CSPO/NSIC/DGS&D
registration certificates for the ITEMS under the tender.
So the performance Guarantee Clause No. 46, is modified as under.
“The successful bidder shall have to submit the performance guarantee in the form of Bank
Guarantee to cover the entire execution and Guarantee period wherever applicable for the
items to be purchased, as tabulated hereunder. The Performance Bank Guarantee covering
the execution of the contract will be returned ONLY on successful execution of the contract
and on receipt of the Bank Guarantee towards Warrantee, whereas the Bank Guarantee
towards warranty will be retained till completion of the Guarantee period. These Bank
Guarantees shall be applicable for all the bidders irrespective whether they are SSI/NSIC
units.”
The above Performance Guarantee, to be submitted by successful tenderer towards
execution period, is for the satisfactory execution of the contract. Whereas the Performance
guarantee, to be submitted by successful tenderer, towards gurantee/warrantee is for
satisfactory performance of the materials which should be valid for 12 months from the date
of commissioning OR 18 months from the last date of delivery of supply whichever is earlier
OR whatever applicable as per technical specifications.
Bidders with Small, Cottage and tiny Industrial units of Gujarat State, shall have to submit
performance bank guarantee amount / BG towards execution of supply within 30 (thirty
days) from the date of order. The Performance Guarantee towards execution submitted
should cover the complete execution period specified in the order with a 3 month extra
validity period. The bank guarantee towards execution of contract shall be kept live till the
submission of bank guarantee towards equipment warranty. Performance bank guarantee
towards equipment warranty (amount / BG) shall have to be submitted prior to the last
stage of supply.

For all the cases the, Performance Guarantee amount will have to be paid either in the form
of Bank Guarantees / Demand Draft. The Performance Guarantee submitted should be for
the full period which covers complete execution period (including acceptance of materials)
& for full Guarantee Period. Further performance Guarantee should have clear one time
validity for the full period. However, in case of expiry of BG before the required completion
of Guarantee Period, the same should be got extended / renewed, at least one month
before it’s expiry, till the completion of execution / Guarantee Period, by the bidder.
(viii) Cl. No.24. REPEAT/ADDITIONAL ORDERS:
The GSECL reserves the right to place repeat orders / additional orders on the successful
tenderers up to 50% of the original quantity of the A/T at the same prices, terms and
conditions stipulated in the original contract within 04 months from date of receipt of order.
In special circumstances the GSECL will reserve the right to place repeat order / additional
order up to 100% quantity mutually agreed upon.
(5) Penalty:Any delay that take place in supply and/or erection, testing and commissioning activities
beyond contractual cutoff date/stipulated period in the order shall be subject to penalty (not
liquidated damages) at the rate of ½% of contract price/order price per week or part thereof
subject o a maximum of 10% of the total contract value/order value (i.e. End Cost including
Taxes & Duties).
Due consideration will be given for waival / levy of penalty only for the reason absolutely
beyond your control (viz Force Majeure conditions) for which documentary evidence will

have to be provided. The request for extension in delivery giving reasons and supporting
documents shall have to be made within 1-month on completion of the supply.
(6) Payment Terms:Payment shall be made by the GSECL, either directly to you or to suppliers
Banker for the materials supplied as per GSECL’s standard payment terms
and conditions i.e. 80% of Ex-Work price including 100% of F&I, Taxes &
duties, on receipt on TRC within 30 (Thirty) days on verifying required
documents as per A/T conditions and balance 20% within 45 days on receipt of
S.R. Note from the consignee.
(7)The GSECL reserves the right to reduce/enhance the tender quantity as per requirement
at the time of finalization of tender.
(8)The delivery period should be 03 (Three)
the date of placement of Order..
Months inclusive of sample approval from
(09) Pre dispatch Inspection Clause applicable for this Tender as per clause No. 55 is
as under :(1) All Concrete Sleepers are to be got inspected from “RAILWAYS only” before
dispatch.
(2) All other supplies (ie, except Concrete Sleepers) are to be got inspected
from “RAILWAY Authorities OR M/s RITES” (Rail India Technical and
Economics Service Ltd.) before dispatch of the stores.
The copy of inspection note duly certifying that material is 100% checked and stamped on
each Nos. should be attached with delivery Challan of the goods.
However the expenditure for RAILWAYS / M/s RITES will be borne by M/s GSECL. The
same will be reimbursed to supplier from C.O,Vadodara on submission of documentary
evidence of RAILWAYS / M/s RITES. However original Bills/documents should be
submitted to C.E (Gen),GSECL,CO,Vadodara.
(10)The GSECL would prefer the offer from manufacturers directly. If Trader will
participate then Traders shall have to furnish relevant test certificate from
Manufacturer along with Raiways / M/s RITES (Rail India Technical and Economics
Service Ltd.) inspection certificate.
(11) The Materials shall be supplied at respective TPS.
(12) Party shall have to submit Order copies executed during the last 05 years ( from
the due date of Tender) for the similar materials(similar items means, materials
of any type that is used for P-way ) supplied to Railway and other Government /
Semi Govt.Organizations / other SEBs & Power Generating Companies, worth
minimum 50 % of the Estimate cost .

(13) ARBITRATION:
[A]: Arbitration clause for supply orders/tenders:All questions, disputes or differences whatsoever which may at any time arise between the
parties to this agreement touching the agreement or subject matter thereof, arising out or in
relation there to and whether as to construction or otherwise shall be referred to the decision of
the Sole Arbitrator, appointed by the Chairman and MD, GSECL, for that purpose, who shall be
a retired High Court Judge or retired District and Sessions Judge, and the decision of the said

Arbitrator shall be final and binding upon the parties. Reference to the arbitrator shall be
governed by the provisions of the Arbitration & Conciliation Act, 1996 as amended from time to
time and the rules made there under. The Arbitration proceedings shall be conducted at HO
GSECL, Vadodara or at such places as the Sole Arbitrator may be determined. The award of
Sole Arbitrator shall be final and binding upon the parties.”
(14) JURISDICTION:All questions, disputes or differences arising under out of or in connection with the
Tender/Contract if concluded shall be subject to the exclusive jurisdiction of the court under
whose jurisdiction the place from which the tender /Acceptance of tender is issued, is situated.
I/We agree to supply the article noted above at the rates herein tendered by me/us subject to
the condition of ‘tender and supply above given at the tender inquiry which I/We have carefully
read and which I/We have thoroughly understood and to which I/We agree .I /We hereby agree
to keep this offer open for 120 days after the returnable date of the tender and shall bound by
communication of acceptance dispatched within the prescribed time.
Following clauses of Standard Commercial Terms & Conditions are not applicable for
this Tender :----- Clause No.3;24 ;28 ;32;33 ;34;54;55 ;57;58 ;62. But specified in Schedule-A will be
applicable.
