An application to become a Trade Ally is provided in Appendix A. 1.1 EXPECTATIONS OF MEMBERSHIP Commercial Trade Allies are expected to adhere to all the requirements contained in the Trade Ally Application and Agreement provided in Appendix A and summarized here. Briefly, Trade Allies are expected to: • Fully understand and accurately inform customers about Santee Cooper’s Rebate Program, • Assist customers in the application process by providing current application forms and supporting documentation necessary to complete the application and qualify for a rebate, • Assist with customer inquiries about the program and, where more information is necessary, direct commercial customers to o Telephone at 843-347-3399, x3910 o E-mail at commercial.energy@santeecooper.com o Web at www.ReducetheUse.com • Use Santee Cooper’s corporate name, trademark, trade name, logo, identity, or any affiliation on marketing or materials (printed or electronic copy) only within the scope of approved Trade Ally member activities and only with Santee Cooper’s prior written consent, and • Cooperate with Santee Cooper and its Trade Ally Representative(s) to address and/or resolve customer concerns. 1.2 BENEFITS OF MEMBERSHIP Most measures in the Santee Cooper Commercial Prescriptive and Custom Rebate Programs do not require installation by a Santee Cooper Trade Ally. Becoming a Trade Ally offers a number of advantages, including but not limited to: • Improved Business Visibility – Trade Ally’s contact information will be listed on Santee Cooper’s dedicated energyefficiency website, www.ReducetheUse.com. • Program Training – Trade Allies have the opportunity to participate in training designed to increase both technical and sales expertise, specifically related to the rebate programs. Santee Cooper’s Rebate Program training include, but are not limited to, equipment eligibility, rebate amounts, the application process, and the anticipated customer energy and cost savings associated with qualifying high-efficiency equipment. • Notification of Program Updates – The Trade Ally will receive notice of Rebate Program changes, updates, applicable advertising campaigns, and special promotions. • Program Support – Trade Allies can utilize the services of the Trade Ally Representative to answer questions about Santee Cooper’s program, inquire about equipment and customer eligibility, estimate cost and energy savings, and provide the Trade Ally support in addressing customer concerns about the program or rebates. 1.3 CONTACT INFORMATION All questions about Santee Cooper’s Rebate Program and the Trade Ally program should be directed to the Santee Cooper Trade Ally Representative as follows: o Telephone: 855-259-0077 (toll-free) o E-mail: SCTradeAlly@nexant.com o Web: www.RTU4Business.com Version 20141025 Santee Cooper Commercial Trade Ally Section 2 Requirements and Certification Trade Ally will recommend and/or install energy-efficient equipment or measures that meet the Program guidelines and are in accordance with accepted industry standards. The required certifications and training for Trade Allies to participate are given in Table 1. Proof of Insurance shall show the minimum coverage recited above with an insurance company acceptable to Santee Cooper. • $300,000 (three hundred thousand dollars) of general automotive liability insurance on any vehicles used to provide Service. • The insurance policy shall contain a provision that the coverage afforded under the policies will not be cancelled or nonrenewed until at least thirty (30) days prior written notice has been given to Santee Cooper. • Provide proof of Workers’ Compensation Insurance. • Three (3) similar commercial or industrial installation references for verification by Santee Cooper. Include customer name, address, and contact phone number. Commercial Building Envelope Contractors will be required to meet/have: • Requirements for All Contractors in the Trade Ally Network as listed above. Commercial HVAC Contractors will be required to meet/have: • Copy of current South Carolina LLR Mechanical Contractor's License. A General Contractor's license is not sufficient. • Requirements for All Contractors in the Trade Ally Network as listed above. Version 20141025 Santee Cooper Commercial Trade Ally Motor Controls Contractors will be required to meet/have: • Copy of current South Carolina LLR Electrician’s License. • Requirements for All Contractors in the Trade Ally Network as listed above. Refrigeration Contractors will be required to meet/have: • Copy of current South Carolina LLR Refrigeration Contractor’s License. • For those replacing motors, copy of current South Carolina LLR Electrical Contractor’s license. • Requirements for All Contractors in the Trade Ally Network as listed above. Commercial Lighting Contractors will be required to meet/have: • Copy of current South Carolina LLR Electrician’s License. • Requirements for All Contractors in the Trade Ally Network as listed above. Appliance Vendors and Equipment Dealers will be required to provide: • A list of rebate eligible products that vendor/dealer sells. Version 20141025 Santee Cooper Commercial Trade Ally Section 3 3.1 Additional Information STRATEGY FOR REGULAR COMMUNICATION WITH TRADE ALLIES A periodic newsletter will be sent to participating Trade Allies with status updates on the Santee Cooper Rebate Program, Frequently Asked Questions, information on upcoming training and educational opportunities, and alerts to any upcoming program changes or updates. The newsletter will be distributed via e-mail to the point(s) of contact identified by the Trade Ally. 3.2 QUALITY ASSURANCE PROTOCOLS Santee Cooper will conduct random inspections to verify the accuracy and validity of equipment and work submitted for rebates through its Rebate Program. Projects are selected at random, except where program guidelines dictate that an inspection is required. Santee Cooper, at its sole discretion, may inspect the associated facility prior to or after approving the Rebate Reservation Request, Project Application, or Lighting Workbook to confirm facility or measure eligibility, or to verify appropriate measure installation. This inspection may include a telephone survey and/or site visit. Discrepancies from information listed on request, application, workbook, or incorrect measure installation may delay or stop rebate payment. For program evaluation and quality control purposes, Santee Cooper reserves the right to inspect and/or install temporary monitoring equipment on any rebated measure prior to installation and at any time up to two years after work is completed. 3.3 INDEMNIFICATION Contractor agrees to indemnify, save harmless and defend Santee Cooper, its agents, servants, and employees, and each of them against and hold it and them harmless from any and all lawsuits, claims, demands, liabilities, losses and expenses, including court costs and attorneys’ fees, for or on account of any injury to any person, or any death at any time resulting from such injury, or any damage to any property, which may arise or which may be alleged to have arisen out of or in connection with the work performed by the Trade Ally for Santee Cooper’s customers. Company name Contact name and phone City Version 20141025 Page 2 of 4 Santee Cooper Business Rebate Program 2015 Trade Ally Application & Agreement Agreement between Santee Cooper and (Trade Ally) (Business Address) (City State, Zip) Santee Cooper sponsors the Santee Cooper Trade Ally Program to encourage the sales and installation of energy-efficient equipment in commercial facilities in Santee Cooper’s service territory. This Agreement sets forth the terms and conditions for Trade Ally Program participation. 1. Santee Cooper Marketing and Sales Support. a. Santee Cooper, under the terms and conditions of this Agreement, may offer marketing and sales support to the Trade Ally. b. Santee Cooper may provide seminars on energy-efficiency technologies and program participation procedures for the Trade Ally. c. Contact and participation information for the Trade Ally will be listed on the program website. 2. Responsibilities of Trade Ally. a. Trade Ally will provide proof of Commercial General Liability Insurance providing for a total aggregate of at least $2 Million or equivalent approved by Santee Cooper. The Contractor shall furnish Santee Cooper with an original copy of Proof of Insurance with Santee Cooper named as an additional insured. $300,000 (three hundred thousand dollars) of general automotive liability insurance on any vehicles used to provide Service. Provide proof of Workers’ Compensation Insurance. c. Trade Ally will recommend and/or install energy-efficient equipment in a workmanlike manner and in accordance with accepted industry standards. In the event that any applicable statute, regulation, ordinance or code conflicts with those standards, it shall have precedence over those standards. d. Trade Ally will provide customers with program information consistent with the program requirements. Trade Ally understands the eligibility requirements of the program and agrees to provide customer support so the customer can make an informed program choice. In the event that any statute, regulation, ordinance, and/or code conflicts with any program requirement, Trade Ally shall give precedence to those over the program requirements. The Trade Ally further understands that they must inform the customer of this and the impact this has on the energy efficient measure qualifying for the program’s rebates. e. Trade Ally who is not the installing contractor and who, upon request, recommends installation contractor(s), will recommend (in writing) only those installation contractors who are appropriately licensed to do the work. f. Trade Ally will not use Santee Cooper’s corporate name, trademark, trade name, logo, identity, or any affiliation on Trade Ally marketing or other materials (printed copy or electronic) for any reason, including, without limitation, soliciting customers, without Santee Cooper’s prior written consent. g. Participation in Santee Cooper’s Trade Ally Program does not guarantee a Trade Ally will receive any referrals under this Agreement. h. Trade Ally agrees to defend, and hold harmless Santee Cooper, its agents and employees from and against all claims, losses, damages and expenses, including, without limitation, attorney fees at trial and appeal, on account of injury to person or property or in any way arising out of or related to the performance of this Agreement. Trade Ally agrees that at no time, shall Trade Ally represent itself as an agent or representative of Santee Cooper. Under this Agreement, Trade Ally will act as an independent contractor to provide services to the customer, and neither Trade Ally nor any Trade Ally employee(s) shall be considered, for any purpose, to be an employee, agent, partner or representative of Santee Cooper, and neither Trade Ally nor any Trade Ally employee(s) shall have any power or right to bind Santee Cooper to any obligation, or act on behalf of or in the name of Santee Cooper in dealing with customers or third parties. The parties will not exercise any control or supervision of each other or be responsible for each other in the performance of any service. 3. Termination of Agreement. a. Trade Ally may terminate this Agreement by providing 30 days written notice prior to termination. b. Santee Cooper reserves the right to terminate this Agreement for any reason, including, without limitation, if any of the following occurs: 1. Trade Ally fails to comply with any program requirements, rules, or guidelines; 2. Trade Ally misrepresents Santee Cooper’s program to customers and/or other parties; 3. Trade Ally knowingly provides false or incorrect information to Santee Cooper, customers, and/or other parties; or 4. Santee Cooper’s rebate program is terminated for any reason. c. Santee Cooper will review Trade Ally status each year. In addition to the termination provision in section b above, Santee Cooper reserves the right to terminate this Agreement if, upon such annual review, Santee Cooper determines (1) Trade Ally has not completed at least one project installation in the past twelve months, (2) Trade Ally has not submitted at least one valid new project in the past twelve months, (3) Trade Ally does not have at least one active project as of January 1st of the current year, or (4) Trade Ally does not attend mandatory program events. d. If Trade Ally’s participation is terminated for any reason, Santee Cooper will provide customer incentives for qualifying equipment that has been purchased and installed under the terms of a fully executed rebate agreement prior to the termination date of the Trade Ally. Customer rebates for equipment purchased from or installed by the terminated Trade Ally after the termination date will be paid only after passing a final inspection conducted by Santee Cooper. e. If Santee Cooper terminates this Agreement pursuant to section 3b(1), (2), (3), or (4) above, Trade Ally will be ineligible from participating in the Santee Cooper Trade Ally Program. If Trade Ally is excluded from program participation, any rebate agreements submitted by customers purchasing equipment from this Trade Ally may not be honored. f. Santee Cooper and its agents shall not be liable for any commitments that are not in compliance with Program Requirements. Further, Santee Cooper and its agents shall not be liable for any rebates if Trade Ally has provided incorrect information about the amount or conditions associated with receiving such rebate, or for rebate ineligibility resulting from equipment that is mislabeled or misrepresented by the Trade Ally. ❏Trade Allies requesting a waiver of the program insurance requirement, please check this box to indicate that no on-site work at customer facilities will be performed and acknowledges that if work is done onsite by Trade Ally or sub-contractor bound to this Trade Ally, this Agreement will be terminated.
