The meeting of the Jefferson Parish School Board was called to order

Resolution for Sales Tax Refunding School Bonds
The following resolution was offered by Mr. Floyd and seconded by
Dr. Licciardi:
RESOLUTION
A resolution giving preliminary approval to the issuance of not
to exceed Twenty Six Million Dollars ($26,000,000) of Sales Tax
Refunding School Bonds (¼%), in one or more series, of the
Parish School Board of the Parish of Jefferson, State of
Louisiana; making application to the State Bond Commission for
approval of said Bonds; and providing for other matters in
connection therewith.
WHEREAS, pursuant to the provisions of Chapter 14-A of Title 39 of
the Louisiana Revised Statutes of 1950, as amended, and other
constitutional and statutory authority, the Parish School Board of the
Parish of Jefferson, State of Louisiana (the "Issuer") has heretofore
issued $33,000,000 of Sales Tax School Bonds (¼%), Series 2002, dated
March 1, 2002 (the "Series 2002

Bonds"); and
WHEREAS, in order to provide debt service savings to the Issuer, the
Issuer desires to refund all or a portion of the Series 2002 Bonds,
pursuant to the provisions of Chapter 14-A of
Title 39 of the Louisiana Revised Statutes of 1950, as amended, and other
constitutional and statutory authority (the "Act"), through the issuance
of its refunding bonds; and
WHEREAS, pursuant to the Act, and subject to the approval of the
State Bond Commission, the Issuer desires to accomplish the refunding by
authorizing the issuance of not exceeding Twenty Six Million Dollars
($26,000,000) of its Sales Tax Refunding School Bonds (¼%), in one or
more series (the "Bonds"), to be payable from and secured by an
irrevocable pledge and dedication of the net avails or proceeds of the
Issuer’s special one-fourth of one percent (¼%) sales and use tax now
being levied and collected by the Issuer (the “Net Revenues of the Tax”),
pursuant to Article VI, Section 29 of the Louisiana Constitution of 1974
and pursuant to an election held in the Issuer on June 28, 1980, subject
only to the prior payment of the reasonable and necessary costs and
expenses of collecting and administering the sales tax; and
WHEREAS, other than the Series 2002 Bonds, the Issuer has no
outstanding bonds or other obligations of any kind or nature payable from
or enjoying a lien on the Net Revenues of the Tax herein pledged; and
WHEREAS, the Issuer desires to make formal application to the State
Bond Commission for approval of the issuance of the Bonds;

THEREFORE, BE IT RESOLVED by the Parish School Board of the
Jefferson, State of Louisiana (the “Parish School Board”),
the governing authority of the Parish of Jefferson, State of
for school purposes, that:
SECTION 1. Preliminary Approval of the Bonds. Preliminary approval
is given to the issuance of not exceeding Twenty Six Million Dollars
($26,000,000) of Sales Tax Refunding School Bonds (¼%), in one or more
series (the "Bonds"), of the Issuer, to be issued for the purpose of
refunding all or a portion of the outstanding Sales Tax School Bonds
(¼%), Series 2002 (the
“2002 Bonds”), dated March 1, 2002, and paying the costs of issuance of
the Bonds, said Bonds to be payable from and secured by an irrevocable
pledge and dedication of the net avails or proceeds of the Issuer’s
special one-fourth of one percent (¼%) sales and use tax now being levied
and collected by the Issuer (the “Net Revenues of the Tax”), pursuant to
Article VI, Section 29 of the Louisiana Constitution of 1974 and pursuant
to an election held in the Issuer on June 28, 1980, subject only to the
prior payment of the reasonable and necessary costs and expenses of
collecting and administering the sales tax. The Bonds shall bear interest
at a rate or rates not to exceed five percent (5%) per annum, to be
determined by subsequent resolution of this Parish School Board at the
time of the sale of the Bonds, and shall mature in annual installments
due no later than March 1, 2022. The Bonds shall be issued in fully
registered form, shall be sold to the purchasers thereof at a price of
not less than 97% of par, plus accrued interest, and shall have such
additional
terms and provisions as may be determined by this Parish School Board.
SECTION 2. Employment of Bond Counsel. This Governing Authority
finds and determines that a real necessity exists for the employment of
special bond counsel in connection with the issuance of the Bonds, and
accordingly the law firm of Foley & Judell, L.L.P., of New Orleans,
Louisiana, is hereby employed as special bond counsel to the Issuer to do
and perform comprehensive legal and co-ordinate professional work with
respect to the issuance and sale of the Bonds. The fees to be paid said
attorneys shall be in accordance with the Attorney General's Guidelines
for Fees and Services of Bond Attorneys for comprehensive legal and

coordinate professional work in the issuance of revenue bonds, plus outof-pocket expenses incurred in connection with the issuance of the Bonds.
Bond Counsel shall also assist in the preparation of an Official
Statement containing detailed and comprehensive financial and statistical
data required with respect to the sale of the Bonds, and the costs of the
preparation, printing and distribution of such
official statement shall also be paid from the proceeds of the Bonds.
Said Official Statement may be submitted to such nationally recognized
bond rating service or services as may be recommended by bond counsel,
together with a request that an appropriate rating be assigned. A
certified copy of this Resolution shall be forwarded to the Attorney
General of the State of Louisiana for his approval of the employment and
of the fees herein designated.
SECTION 3. State Bond Commission. Application is hereby made to the
State Bond Commission, Baton Rouge, Louisiana, for approval of the
issuance and sale of the Bonds and for consent and authority to proceed
with the issuance and sale of the Bonds as provided above, and Bond
Counsel is directed to make application to the State Bond Commission in
accordance with the
foregoing on behalf of the Parish School Board.
By virtue of applicant/issuer’s application for, acceptance and
utilization of the benefits of the Louisiana State Bond Commission’s
approval(s) resolved and set forth herein, it
resolves that it understands and agrees that such approval(s) are
expressly conditioned upon, and it further resolves that it understands,
agrees and binds itself, its successors and assigns to, full and
continuing compliance with the “State Bond Commission Policy on Approval
of Proposed Use of Swaps, or other forms of Derivative Products Hedges,
Etc.”, adopted by the Commission on July 20, 2006, as to the borrowing(s)
and other matter(s) subject to the approval(s), including subsequent
application and approval under said Policy of the implementation or use
of any swap(s) or other product(s) or enhancement(s) covered thereby.
SECTION 4. Appointment of Investment Banker/Underwriter. Morgan
Keegan & Company, Inc., of New Orleans, Louisiana, is hereby appointed as
investment banker/underwriter in connection with refunding the 2002
Bonds, any compensation to be subsequently approved by the Issuer and to
be paid from the proceeds of the Bonds and contingent upon the issuance
of the
Bonds; provided that no compensation shall be due to said investment
banker/underwriter unless the Bonds are sold and delivered.

Resolution for Revenue Bonds (Taxable QSCB)
The following resolution was offered by Mr. Floyd and seconded by
Dr. Licciardi:
RESOLUTION
A resolution providing for the issuance and sale of not exceeding
Twenty One Million Eight Hundred Ninety-One Thousand Dollars
($21,891,000) of Revenue Bonds (Taxable QSCB) of the Parish
School Board of the Parish of Jefferson, State of Louisiana; and
providing for other matters in connection therewith.
WHEREAS, this Parish School Board, acting as the governing authority
of the Parish of Jefferson, State of Louisiana (the “Issuer”) for school
purposes, adopted a resolution on June 2, 2010, giving preliminary approval
to the issuance of not exceeding $21,891,000 of Revenue Bonds (Taxable
QSCB) of the Issuer (the “Bonds”); and
WHEREAS, the Louisiana State Bond Commission on July 15, 2010 is
anticipated to approve the issuance of the Bonds by the Issuer; and
WHEREAS, the Issuer has received an allocation of $21,891,000 pursuant
to the QSCB code provisions;
NOW, THEREFORE, BE IT RESOLVED by the Parish School Board of the
Parish of Jefferson, State of Louisiana (the “School Board”), acting as the
governing authority of the Parish of Jefferson, State of Louisiana, for
school purposes, that:
SECTION 1. Authorization and Sale of the Bonds. The Bonds are hereby
authorized to be sold by private placement to one or more institutions (the
“Purchaser”) provided the details of
the Bonds are in accordance with the provisions of this resolution, and in
particular that: (I) the principal amount of the Bonds does not exceed
$21,891,000 (ii) the term of the Bonds does not
exceed the lesser of 16 years or the term provided by the federal
government at the time of the sale and (iii) the Bonds are sold as

qualified tax credit bonds that are either non-interest bearing or bear
interest at a rate not exceeding 1% per annum. The Superintendent is hereby
authorized to sign a Commitment Letter or Bond Purchase Agreement providing
for the sale of the Bonds to the
Purchaser, in form and substance satisfactory to Bond Counsel to the School
Board, meeting the requirements set forth above, which Commitment Letter or
Bond Purchase Agreement shall constitute the sale of the Bonds.

A resolution giving preliminary approval to the issuance of not
to exceed Five Million Dollars ($5,000,000) of Limited Tax Bonds
of School District No. 1 of the Parish of Jefferson, State of
Louisiana; providing certain terms of said Bonds, making
application to the State Bond
Commission for the approval of said Bonds, and providing for
other matters in connection therewith.
NOW, THEREFORE, BE IT RESOLVED by the Parish School Board of the
Parish of Jefferson, State of Louisiana (the “Parish School Board”), acting
July 7, 2010

as the governing authority of School District No. 1 of the Parish of
Jefferson, State of Louisiana, that:
SECTION 1. Preliminary Approval of Limited Tax Bonds. Preliminary
approval is given to the issuance of not exceeding $5,000,000 of Limited
Tax Bonds (the “Bonds") of School District No. 1 of the Parish of
Jefferson, State of Louisiana (the “Issuer”), pursuant to Section 742.2 of
Title 39 of the Louisiana Revised Statutes of 1950, as amended, and other
constitutional and statutory authority, for the purpose of acquiring
technology equipment for educational and instructional purposes and paying
the costs incurred in connection with the issuance thereof (the “Project”),
said Bonds to be payable from an irrevocable pledge and dedication of the
funds to be derived by the Issuer from the levy and collection of a special
tax of one (1) mill authorized for the continuation and expansion of the
Technology Department to include additional personnel, acquiring and
maintaining equipment and supplies for educational and instructional
purposes (such rate being subject to adjustment from time to time due to
reassessment) which the Issuer is authorized to impose and collect in each
year through the year 2017 pursuant to an election held on March 31, 2007.
The Bonds will be issued at an interest rate not
exceeding 5% per annum, and shall mature no later than March 1, 2018. The
Bonds shall be issued in fully registered form, shall be sold to the
purchasers thereof at a price of not less than par, plus accrued interest,
if any, and shall have such additional terms and provisions as may be
determined by the Issuer.
SECTION 2. State Bond Commission Approval. Application be and the same
is hereby formally made to the State Bond Commission, Baton Rouge,
Louisiana, for its consent and authority to issue and sell the Bonds, and a
certified copy of this resolution shall be forwarded to the State Bond
Commission on behalf of the Issuer, together with a letter requesting the
prompt consideration and approval of this application. By virtue of
applicant/issuer’s application for, acceptance and utilization of the
benefits of the Louisiana State Bond Commission’s approval(s) resolved and
set forth herein, it resolves that it understands and agrees that such
approval(s) are expressly conditioned upon, and it further resolves that it
understands, agrees and binds itself, its successors and assigns to, full
and continuing compliance with the “State Bond Commission Policy on
Approval of Proposed Use of Swaps, or other forms of Derivative Products
Hedges, Etc.”, adopted by the Commission on July 20, 2006, as to the
borrowing(s) and other matter(s) subject to the approval(s), including

SECTION 3. Bond Counsel. The Parish School Board finds and determines
that a real necessity exists for the employment of special bond counsel in
connection with the issuance of the Bonds. Foley & Judell, LLP, Bond
Counsel, is hereby requested to do and perform comprehensive legal and
coordinate professional work as bond counsel with respect to the issuance
and sale of the Bonds. Said Bond Counsel shall prepare and submit to the
Parish School Board for adoption all of the proceedings incidental to the
authorization, issuance, sale and delivery of such Bonds, shall counsel and
advise the Issuer as to the issuance and sale thereof and shall furnish its
opinion covering the legality of the issuance of the Bonds. The fee of said
Bond Counsel shall not exceed the maximum fee allowed by the Attorney
General's fee guidelines for comprehensive, legal and coordinate
professional work in connection with the issuance of revenue bonds and
based on the amount of said Bonds actually issued, sold, delivered and paid
for, plus "out-of-pocket" expenses, said fees to be contingent upon the
issuance, sale and delivery of said Bonds. That pursuant to instructions
from the Parish School Board, said Foley & Judell, LLP shall also assist in
the preparation of an official statement containing detailed and
comprehensive financial and statistical data with respect to the sale of
the Bonds and the costs of the preparation and printing of said official
statement shall be paid from the proceeds of the issue for which it has

been prepared. A certified copy of this resolution shall be submitted to
the Attorney General of the State of Louisiana for his written approval of
said employment and of the fees herein designated, and the Finance Director
is hereby empowered and directed to issue vouchers to said Bond Counsel in
payment for the work herein provided for upon completion of the work herein
specified and under the conditions herein enumerated.
SECTION 4. Declaration of Official Intent. Prior to the delivery of
the Bonds, the Issuer anticipates that it may pay a portion of the costs of
the project from available funds. The project includes specifically the
continuation and expansion of the Technology Department to include
additional personnel, acquiring and maintaining equipment and supplies for
educational and instructional purposes. Upon the issuance of the Bonds,
the Issuer reasonably expects to reimburse any such expenditures of other
available funds from a portion of the proceeds of the Bonds. Any such
allocation of proceeds of the Bonds for reimbursement will be with respect
to capital expenditures (as defined in Reg. 1.150-1(b)) and will be made
upon the delivery of the Bonds and not later than one year after the later
of (I) the date such expenditure was paid or (ii) the date on which the
project was placed in service. This Section is intended to be a declaration
of official intent within the meaning of Reg. 1.150-2.

First Readings
The following First Reading was submitted by Mr. Floyd:
Move that the library at Higgins High School be named in honor of
Joan Marie Harris Smith.
While most educators are extremely content to see their students
succeed and excel, some go even further to make the world around
them a better place. Joan Harris Smith was the kind of educator who
went not only above and beyond the call of duty, but who made it her
duty to be a change agent for the betterment of all mankind.
Joan Harris Smith was a retired educator whose love for children and
her West Bank neighborhood flourished into a second career as a
community activist, died recently at her Marrero home at the age of
67. She was a proud alumnus of Southern University at Baton Rouge.
Mrs. Smith, taught in the Jefferson Parish Public School System for
33 years at John Ehret High and L. W. Higgins high schools in
Marrero. Most of her career was spent as the librarian at Higgins,
where many students attribute their success in their academic
achievements to her. Mrs. Smith was so involved in civic affairs
that she recently pulled double duty as president of both the West
Jefferson Civic Coalition and Westminister Civic Association.
“She did so much” said Charles Miller who along with Mrs. Smith and
others created the coalition in 2003.
That same year, she met John Young, who was running for Jefferson
Parish Council. He described her as a “selfless worker” who has
always had the well-being of her community and young people at
heart.
“Everyone who met her loved her. She wasn’t afraid to speak her
mind,” Young said. “You knew where you stood with Ms. Joan.”
For a decade, Mrs. Smith was a member of the auxiliary board of
Cuillier Career Center in Marrero. The school provides hands-on
experience in a number of trades for high school students, including
carpentry, culinary arts, automotive repair, masonry, and
horticulture. Mrs. Smith worked hard to get the word out about the
school, which she pegged as one of the area’s “best-kept secrets”,
said Principal Rita Foster.
“She felt that more kids should be there because there are so many
kids out on the street”, Foster said. “We often talked about how
everybody is not going to college. She tried to provide
opportunities for all children along with improving the community.”
Mrs. Smith also was a member of Cops and Clergy and Household of
Faith Church. She hosted a radio talk show called “Let’s Talk About
It with Joan Smith.”
From the lives of many students she impacted through her work as an
educator to the many community groups and neighborhoods that were
beneficiaries of her endearing commitment to public service, we are
all the better because Joan Marie Harris Smith passed this way.

Over the past several months, irregularities have occurred
concerning Police on Campus, new Board Room renovations, and salary

Inspector General would put an end to this practice and provide more
accountability to the public.

Directives
Mr. St. Pierre and Dr. Licciardi directed the Superintendent to
check into the teachers who retired and returned to work, if not in an
area of need, we are laying off people who will not get a check but

the union to come to some agreement as to what we can do in this matter.
Dr. Licciardi asked for a report in reference to a motion she
authored regarding after school, extra curricular activities during week
nights.
Mr. Morgan issued a directive to Mr. Katsanis for Harry Rosenberg to
appear at the August 4, 2010, Board meeting and give a report on the
status of the investigation concerning Police on Campus.
Mr. Katsanis said he will ask Mr. Rosenberg to do this.
Moved by Mr. Marino to reconsider Mrs. Moran’s second reading to
consider reinstating 50 classroom teachers who have been laid off due to
the Reduction in Force Policy recently implemented. Funds to pay for the
reinstatement of certified instructional staff should come from the fund
balance in the amount of $2,800,000.00.
Mr. Katsanis asked the Board attorney, Mr. Fanning, if Mr. Marino
could bring the motion back, since he abstained.
Mr. Fanning said he could.
Approved reconsideration of the motion and the reinstatement of 40
teachers at a cost of $2,160,000.00. The funding source will be the fund
balance. These teachers will be put back in the areas where cuts were
made, middle and high schools. The PTR will be moved from 29 to 27.
Additional teachers will also be reinstated at the appropriate time due
to attrition.

Board Attorneys, on behalf of the School Board, submit a claim with
British Petroleum (BP) along with supportive documentation as
compiled and attested to by our outside auditor Rebowe and Company.
