SWD Urethane offers a No Dollar Limit (NDL) System Limited Warranty in five (5), ten (10), fifteen (15) and twenty (20) year terms. Specific conditions and limitations are identified in the warranty documents. NDL System Limited Warranties follow the same warranty process as a regular System Limited Warranty, but have a separate fee schedule. Restoration coatings are available in five (5), ten (10) and fifteen (15) year terms for both Material Limited Warranties as well as System Limited Warranties. Material Limited Warranties do not require an inspection or additional fees, but must be registered with SWD Urethane via the Pre-Project Submittal form. System Limited Warranties require third party inspections and additional fees, and must be pre-approved by SWD Urethane via the Pre-Project Submittal form. The following processes outline how to properly register each type of warranty. Material Limited Warranties Material Limited Warranties must be registered with SWD Urethane by submitting a completed PreProject Submittal Form within 10 days of the job competition. System Limited Warranties There are three key stages to the System Limited Warranty process; pre-project submittal, inspection, and final project approval. All forms must be complete and submitted to SWD Urethane in the stage required for the warranty to be issued. Pre-Project Submittal A pre-project submittal form must be submitted, approved by SWD Urethane and received by the Qualified Contractor prior to the start of application of any of the roofing materials. The pre-project submittal form must be entirely completed, signed and submitted – no substitute forms or partial submissions will be accepted. Additionally, the Manufacturer/Contractor Warranty Agreement is considered an integral part of the warranty registration process and must be signed and submitted with the pre-project submittal. SWD Urethane will review the pre-project submittal form and may make certain recommendations regarding substrate conditions, surface preparation or other roofing conditions. These recommendations, if made, are required to be addressed for the warranty to be issued. SWD Urethane will review the pre-project submittal form, make any necessary recommendations and respond to the Qualified Contractor within 7 business days of receiving the submittal. Inspection The Qualified Contractor will notify SWD of the expected project completion date and request the warranty inspection by sending the following to SWD Urethane: Request for Inspection form Full warranty payment Signed warranty document Media Release form (if applicable) Job photos 6 SWD Urethane 540 S. Drew St., Mesa, AZ 85210 800-828-1394 swdurethane.com Limited Warranty Program Roofing Systems and Coatings SWD Urethane will administer a qualified third party inspection of the final condition of the roof, with the Qualified Contractor present. Some jobs may require partial inspections as the job progresses while others may be inspected after job completion. The inspection will be performed by a qualified third party consultant or roof inspector according to NRCA and SWD Urethane standards for roof installations and applications. The Qualified Contractor must correct any conditions identified in the inspection as necessary for the warranty to be issued, including, but not limited to: Specification deficiencies, including inadequate specification measurements of thickness of foam or coating. Foam application problems, such as off-ratio foam, voids, blistering or adhesion issues. Coating application problems, such as pinholes, mudcracking or spiderweb cracking in the coating. Standard roofing issues, such as drainage problems, penetration and detail flashing and/or seals, or substrate problems. A second inspection may be required to ensure the correction of any deficiencies prior to the issuance of the warranty. If there are no deficiencies, the inspection report will be signed and sent to SWD Urethane for final approval. No inspection will be ordered until the warranty costs have been paid. Secondary or follow-up inspections may require additional inspection costs, paid by the Qualified Contractor, depending on the nature of the deficiency noted. SWD Urethane must receive payment in full, all required warranty documentation and the final inspection report before issuing any warranties. Drew St., Mesa, AZ 85210 800-828-1394 swdurethane.com Limited Warranty Program Roofing Systems and Coatings Warranty Extensions System Limited Warranties are eligible for five (5) year warranty extensions. To qualify for a five year warranty extension, the roof must be inspected by either a Qualified Contractor or a SWD Urethane certified professional roof inspector, the inspection report sent to SWD Urethane for review and approval, and an administrative fee paid to SWD Urethane. To request a warranty extension, please contact SWD Urethane or your Qualified Contractor. The fees for a warranty extension are the cost of the inspection plus a $250 administrative fee. QUALIFIED CONTRACTOR DEFINITION System Limited Warranties will only be issued for those jobs performed and installed by a SWD Urethane Qualified Contractor. A Qualified Contractor is one who has: Submitted a Qualified Contractor Application Signed the Manufacturer and Contractor Agreement for the job A current insurance certificate on file with SWD Urethane Submitted a SWD Urethane Credit Application and is current on their account The SWD Qualified Contractor signs and submits a Manufacturer and Contractor Agreement as part of the Pre-Project Submittal. The Manufacturer and Contractor Agreement is a contract ensuring mutual cooperation to sell and apply the SWD Roofing System and related Warranty. The agreement is written in simple, direct terms and states the duties and responsibilities of both parties. 8 SWD Urethane 540 S. Qualified Contractor submits Pre-project Submittal form and Manufacturer and Contractor Agreement to SWD Urethane. SWD Urethane makes any necessary recommendations for project approval. Qualified Contractor performs the work installing the SWD Urethane Roofing System according to the published SWD Urethane Application Instructions and incorporating any recommendations made in the project approval. Qualified Contractor submits the Request for Project Inspection form, job photos, signed warranty document, Media Release form, and remits warranty payment to SWD Urethane. Job is inspected; deficiencies, if any, are corrected by Qualified Contractor. Job inspection report is sent by Inspector to SWD Urethane for final review. Best Efforts: The Parties agree to utilize their best efforts to promote and sell the System for use on this Project and to successfully apply the same. The parties further agree that best efforts shall include the offer of the Warranty to the Owner and agree to execute said Warranty and to deliver it to the Owner upon the proper completion of the Project and the satisfaction of all conditions as expressed in the Warranty. The Contractor agrees to have special skill, knowledge and training in the application of the System. The Contractor further agrees to apply the System in accordance with the Manufacturer’s written instructions and specifications and further agrees that any application of the System not in accord with such instructions will be promptly brought into accord, at the Contractor’s sole expense. 2. Materials: The Manufacturer will supply the appropriate amount of the System component products to properly apply the system. The appropriate amount of material shall be determined from the specifications on this Project. The Manufacturer shall have the right of final approval for all materials and specifications. 3. Standard Warranty: The Manufacturer warrants products to be free of defects so long as the products are stored and shipped in accordance with the Manufacturer’s label directions and printed instructions. Liability shall be limited to the prompt replacement of material proven defective, according to SWD’S standard terms and conditions of sale. 4. Manufacturer’s Instructions: The Manufacturer shall provide appropriate instructions for applying the System, including application instructions (see Exhibit A), instructions or requirements listed on container labels or technical data sheets or specific instructions provided via correspondence or verbally as part of the warranty process. Should the Contractor fail to comply with said instructions, then the Contract shall be liable and accountable for the cost of repairing the System according to the terms of the Warranty so as to put it in compliance with said instructions and specifications. The Contractor agrees that he fully understands the instructions and specifications for the storage and application of the System, and that he will fully comply with said instructions and specifications. 5. Minimum Warranty Cost: There is no minimum area that will be considered for the 10 Year System Warranty, however, there is a minimum charge of $1,250.00 for projects at or below 25,000 square feet. 6. Pre-Project Submittal: Prior to the start of the application, the Contractor shall submit to SWD URETHANE a completed and signed PreProject Submittal. If required, recommendations will be made at this time regarding substrate conditions, surface preparation, specifications, etc. This form must be submitted prior to the start of job; otherwise Warranty will not be issued. 7. Completion, Request for Inspection Notification: Upon project completion, the Contractor shall submit to SWD URETHANE a completed and signed Project Completion, Request for Inspection Notification. Upon receipt of this form SWD URETHANE will arrange for an approved Consultant to meet with the Contractor at the jobsite to conduct a full inspection. It is not necessary for a SWD URETHANE representative to be present at this time. The Consultant will have all qualifications and full authority to conduct the completed project inspection. The Contractor must correct any voids, pinholes, insufficient system component thickness or any other deficiencies. A second inspection may be required to confirm these corrections. If there are no deficiencies, the Completed Project Inspection Report Form, or Consultant’s equivalent, will be signed and submitted to SWD URETHANE for final approval. 8. Contractor Not an Agent: The Contractor shall not be construed as an agent for the Manufacturer. The Manufacturer shall not be obligated under any contracts or statements made to third parties by the Contractor. No third party shall be deemed an agent of SWD for purposes of notice of claim in this Warranty, inclusive of payment of the warranty premium. 9. Terms: The Contractor agrees to specific condition for issuance of a SWD URETHANE ten (10) Year System Limited Warranty to the following: a. The Contractor solely at his expense agrees to provide entire remedy as provided for in the Warranty to repair deficiencies in the roof system for a period of one (1) year from date of Warranty issuance. Deficiencies in the installed roof system include but are not limited to roof leaks and/or foam and coating delamination resulting from faulty workmanship. The Contractor solely at his expense agrees to provide all labor and non-SWD materials to remedy deficiencies in the installed roof system, as provided for in the Warranty, for the period of year two (2) and three (3) from the date of Warranty issuance. SWD agrees at its expense to provide SWD materials to effectuate these repairs. Deficiencies resulting from proven product defects in the installed roof system are specifically excluded from this consideration. Additionally, color variances in the installed coating resulting from ordinary weathering, pollutants, etc. do not constitute a deficiency in the roof system nor do they qualify for the product defect waiver state above. c. SWD agrees to provide all materials and labor and the Contractor agrees to perform repairs which may become necessary under the warranty for water leaks occurring in years four (4) through ten (10). SWD further agrees to reimburse the Contractor for this direct cost for the aforementioned non-SWD materials and labor inconclusive of a 10% mark-up for overhead. It is further agreed that SWD must be provided notice of a potential claim as soon as it is received by the Contractor and SWD agrees to provide notice to the Contractor of a potential claim as soon as it is received. It is further agreed that the Contractor must afford SWD the first right to provide the materials in suitable quantities to perform the repairs. The Contractor agrees to provide SWD with a written summary of the repairs performed, separated in accordance with the following: Materials (Non-SWD) SWD Products Labor Overhead at 10% 10. Breach of Contract: If either party fails to perform any of these terms and conditions, then this non-performance shall be treated as a material breach of this Agreement, and the party shall be allowed appropriate remedies as well as contract damages. 11. Venue: In the event that an action at law is brought by either party to enforce any of the terms of this agreement, it is agreed that any such litigation shall be commenced in Maricopa County, State of Arizona. 12. Authority: The parties hereto represent and covenant that they shall cause this Agreement to be signed pursuant to the authority granted by the Board of Directors of the respective corporations so as to empower the individuals signing on behalf of the corporations to so act.
