Any other business 4 IEEE Malaysia Section 26th Annual General Meeting January 30, 2016 MINUTES OF MEETING 1.0 Welcoming Address by 2014 Section Chair 1.1 The 2014 Section Chair, Dr Norliza Mohd Noor welcomed all members to the 25th Annual General meeting. The 2014 Executive Committee was introduced to the members and the agenda of the meeting was informed to the members. 1.2 The Chair shared the vision of the Section for 2014 which emphasize on increasing memberships and their participation; enhancing Section and Chapter activities and visibilities; enhancing Student Branch activities, active participation with all level of communities and healthy financial standing. Dr Norliza highlighted that reflecting the global nature of IEEE, R10 and R8 are now the two largest IEEE Regions. 1.3 Members were informed that total grants awarded to IEEE Malaysia Section in 2014 are USD 4,800.00 for 13 different projects. These grants were distributed to successful chapters and members. 1.4 The chair also congratulates Dr Lee Yoot Khuan from Universiti Teknologi MARA recipient of R10 Educational Activities Award (Informal Education) for year 2014. 1.5 The chair also announced that IEEE Malaysia hosted the IEEE Region 10 Meeting that has been held in Kuching, Sarawak on 2nd and 3rd March 2014. 1.6 There are total of 42 conferences have been successfully organized by Malaysia Technical Chapters in 2014. 1.7 Malaysia hosted the IEEE Region 10 Technical Symposium 2014 (TENSYMP). This conference was held from 14th – 16th April 2014. There are 135 participants and delegates (55.7% overseas) with 156 accepted papers. 1.8 Future planning includes bidding for 2016 TENCON and setting up permanent office for IEEE Malaysia Section. 2.0 To accept minutes of the 24th Annual General Meeting and matters arising The minutes of the 24th IEEE Malaysia Section Annual General Meeting was presented to the members. The minutes proposed to be accepted with amendments by Michael Joseph and seconded by M. Zain Abdullah. 3.0 To receive 2014 Section Annual Report 3.1 The Section Chair, Norliza Mohd Noor presented the Annual Report. Among the highlights were: There was an increase in total number of active members by 9.97% compared to 2014. This is contributed from increases in the number of active members in all grades except Affiliate and Associate. In 2014, the Section and Chapters were very active in promoting conferences. A total of 42 sponsored conferences compared to 26 conferences in 2013 were held. 5 IEEE Malaysia Section 26th Annual General Meeting 3.2 4.0 January 30, 2016 In addition, the section has also organized the following events: o Leadership Training Camp to provide the Chapter Chairs comprehensive information to run the chapters. o Workshops to assist members to elevate to Senior Member grade. As a result, the number of senior member has increased from 247 in 2013 to 291 in 2014 (17.8% growth). o IEEE National Final Year Project Symposium to provide opportunity for final year undergraduate students to showcase their projects and to engage industry participation in the activities of higher education institutions. 2014 also observed the formation of one new chapter, two new student branches and four student branch chapters. There are IEEE Malaysia Section Computational Intelligence Society Chapter, Asia Pacific Univ of Tech and Innovation, INTI International University, Curtin EMBS Student Chapter, Asia Pacific Univ of Tech and Innovation Communications Society Student Chapter, INTI International University Computer Society Student Chapter and UiTM Power & Energy Society Student Chapter Kalai Selvan Subramaniam proposed the 2014 Annual Report to be accepted and seconded by Razali Budin (TAMCO). To accept 2014 Treasurer’s Report 4.1 The treasurer, Badrul Hisham Ahmad presented the Financial Report for two accounts as follows: 4.1.1 IEEE MALAYSIA SECTION ACCOUNT: The total cash in hand and bank balance ending 31st December 2014 is RM79 539.36. 4.1.2 IEEE MALAYSIA STUDENT ACCOUNT: The total cash in hand and bank balance ending 31st December 2014 is RM2 957.25. 4.2 A few comments were raised and they were as follows: 4.2.1 Hamzah Asyrani proposed Section to list all the conferences that pay their conference surplus to the Section. 4.2.2 Christopher Chew raised concern about Section’s fixed deposit income that is taxable as per public ruling. 4.2.3 Razali Budin enquired whether Section need to register for GST if section’s revenue exceed RM500 000. 4.3 Dennis M Wong (Swinburne) proposed the 2014 Treasurer’s report to be accepted and seconded by Harun (UKM). 6 IEEE Malaysia Section 26th Annual General Meeting 5.0 Amendment of IEEE Malaysia Section Constitution 5.1 5.2 6.0 January 30, 2016 Section Excom for Professional Activities, Franklin Joseph, presented the proposed amendments to the Section constitution. The proposed amendments cover the setting up of subsection, chapter, student branches, affinity group accounts and standard naming conventions to be adopted, new clause requiring compliance to prevailing tax laws, and revision to the election process. Prof Burhanuddin (past chair) indicated that the amendments would need to be circulated at least 28 days before the AGM to allow members to read and comment. He suggested that the proposed amendments to be postponed until the next AGM and to comply with the early notification clause for amendments. Dissolution of 2014 Executive Committee. Norliza Mohd Noor as the Section Chair thanked the Executive Committee for their hard work and untiring commitment. Over the 30 years we have held many major events ranging from conferences and technical talks to social events. From these activities, the presence of IEEE in the Malaysian public has been enhanced tremendously. 2015 has observed the formation of two new Chapters, Dielectrics and Electrical Insulation Society Malaysia Chapter (DEIS) and Oceanic Engineering Society Chapter (OES). In addition, petition request to form Nilai University Student Branch and UTM PES Student Chapter was approved in 2015. With these additional chapters and student branch/chapter, there are 24 technical chapters, 2 affinity groups, 20 student branches and 5 student branch chapters as of end 2015. IEEE Malaysia Section this year emphasized on the students’ activities and a big portion of the financial resources was spent on supporting 3 main events namely Leadership training camp for student volunteers, Malaysia Student Congress and Undergraduate Final Year Project Competition. IEEE Malaysia also provided support for 4 volunteers to represent IEEE Malaysia in R10 Student/Young Professional/WIE Congress in Sri Lanka. 19 IEEE Malaysia Section 26th Annual General Meeting January 30, 2016 It was also a great year for us since members of IEEE Malaysia received numerous grants as shown in Table A.1. Furthermore, our volunteers are recognised by the awards given either from Region 10 or IEEE as described in section B.4.5.1 and B.6. In terms of membership, statistic for 2015 shows there was a decline in the number of active members. However, the number of senior members has increased from 291 in 2014 to 345 in 2015 (18.6% growth). This is due to efforts taken by Section and several chapters in organising a workshop to assist members to elevate to Senior Member grade. This initiative has enabled IEEE Malaysia Section to emerge as 3rd best Section in the Senior Member elevation category and receive USD150 from R10. Another initiative introduced in 2015 was the special corporate rates for IEEE members from Berjaya Hotel and Resorts. We are also proud of the appointment of our past chair, Dr Norliza Mohd Noor as R10 Individual Benefits & Services Coordinator, and MGA Unit Operation Support Committee Technical Chapter Representative. These appointments acknowledged her active participation and involvement in IEEE. A.2: Financial Report As given in Treasurer’s report 23 IEEE Malaysia Section 26th Annual General Meeting January 30, 2016 PART B - ORGANIZATIONAL ACTIVITIES B.1 Membership Development Activities B.1.1: The objectives of the Membership Development Committee (MDC) of IEEE Malaysia are as follows: - To promote qualified Members to Senior Members - To increase the number of professional and student members within Malaysia Section - To retain as many members as possible B.1.2: Figure B.1 presented the trends of total active IEEE members in Malaysia from 2008 until 2015. As shown in the figure, the total number of active members as of 31st December 2015 is 3479. In general, the number of active members for IEEE Malaysia in 2015 decreased by 3.54% as compared to 2014. The highest percentage of grades is Member followed by Graduate, Student and Senior as shown in Figure B.2. B.3 Professional and Continuing Education Activities B.3.1 Professional Activities /Industrial Relation B.3.1.1 IEEE Malaysia members contributed professionally at the national level this past year. Mahamod Ismail and Hafizal Mohamad continue to serve on the Technical Advisory Committee at the Multimedia and Communication Commission (MMCC). Franklin Joseph serves as the Vice Chair of the Sectorial Training Committee (STC) under the Human Resource Development Department for the electrical, electronics and machinery sub-sector. The STC is tasked to develop a common national standard of skill sets industry-wide. B.3.1.2 The proposed efforts for a joint award with Institute of Engineers Malaysia (IEM) with the purpose of recognizing and complimenting the efforts of young engineers and scientist in Malaysia who contributes to the betterment of humanity are ongoing. 28 IEEE Malaysia Section 26th Annual General Meeting January 30, 2016 B.3.2 Educational Activities B.3.2.1 IEEE Malaysia Section Leadership Camp for Chapter Leaders (Part I) was held with the aim to enhance leadership training and share experiences with new Chapter Chairs, Secretaries and Treasurers for running of the Chapters. This was held on the 14th March 2015, Bluewave Hotel, Shah Alam, Malaysia. The speakers were Dr Norliza Mohd Noor, Dr Zuhaina Zakaria, Dr Rozita Jailani, Christopher Chew and Dr Syed Abdul Rahman Syed Abu Bakar. B.3.2.2. IEEE Malaysia Section Leadership Camp for Chapter Leaders (Part II) was held at the 2nd Chapter Chairs Meeting, 15th August 2015, Intekma Resort & Convention Centre, Shah Alam, Malaysia. This time, the training was targeted at Education Activities, Chapter Account and Amendment to Constitution. The speakers were Dr Zuhaina Zakaria, Christopher Chew, Franklin Joseph and Dr Lee Yoot Khuan. B.3.2.3 Promoting Education Activities has also been conducted for Student Leaders by Dr Lee Yoot Khuan, during 2015 IEEE Malaysia Section Leadership Camp for Student Leaders, 22nd August 2015, Universiti Kebangsaan Malaysia, and for all IEEE Student Members at the 2015 IEEE Malaysia Student Congress, 7th November 2015 in Universiti Putra Malaysia. B.3.2.4 IEEE Malaysia Section has garnered 8 out of the 17 proposals being approved for 2015 R10 EAB Support Fund, Asia Pacific region. The total grant stood at USD2450, with projects falls into the Education Outreach (6) and Professional Activity (2) category. Proposals from Malaysia totalled at 13, which makes a remarkable success rate of 62%. This showed success of the Malaysia Section in raising awareness of the members of Education Activities. B.4 Students Activities B.4.1: With one new student branches formed in 2015, there are now 20 Student Branches (SB) under IEEE Malaysia Section. The newly formed SB is Nilai University. The aim of the camp is to provide information on the roles of student branch as well as sharing experiences between student branches. Over 48 representatives from 11 student branches in Malaysia Section attended the camp and shared their experiences in promoting IEEE and organizing activities in their respective student branch. Total expenditure paid by IEEE Malaysia Section: RM4,360.52. B.4.3.3 The 2015 IEEE Malaysia Student Congress was hosted by UPM Student Branch. The Congress was held at the Faculty of Engineering, Universiti Putra Malaysia on the 7th November 2015 and participated by 134 IEEE Student/Postgraduate Members. Among the sessions are IEEE Talk by IEEE Malaysia representative, student leaders, IEEE Final Year Undergraduate Project Exhibition and award ceremony. B.4.3.4 2015 IEEE Final Year Project (FYP) Competition was held between June-July 2015 This year is the 2nd edition which is initially initiated in 2014. The aim of the event is to provide opportunity for final year undergraduate students to showcase their research and development. This activity that has been successfully conducted with the cooperation between Malaysia Section and 13 IEEE Chapters. The activity is divided into two parts; i) FYP online Submission ii) FYP exhibitions. Prize money sponsored by chapters: RM 6,700.00 B.4.3.5 The IEEEXtreme Global Programming Competition is a global challenge in which teams of IEEE Student members compete in a 24-hour time span against each other to solve a set of programming problems. The 2015 edition took place on 24 October 2015. 114 students (38 teams) from various universities in Malaysia took part in the competition i.e. Curtin University-Sarawak (10 teams), IIUM (1 team), UKM(1 team), MMU(1 team), Nilai University (3 teams), UTP (3 teams), UPM (4 teams), Swinburne University Of Technology (3 teams), University of Nottingham - Malaysia Campus (1 team) and USM (11 teams). IEEE Malaysia sponsored food and beverage for each team for the 24 hour competition. The Affinity Group has co-organized a number of technical, professional and educational talks at various Institute of Higher Learnings (IHLs) in Malaysia. The members have also been actively promoting IEEE via five different membership development programs targeting at the future young professionals and engineers. Together with other IEEE society, IEEE Malaysia YP has also involved in Final Year Project moderation at three different universities, namely UPM, UKM, and UTHM. In addition, two student visits to 35 IEEE Malaysia Section 26th Annual General Meeting January 30, 2016 the industries have been organised, each at every half of the year, in order to provide students with early exposures and realistic expectations from the actual work world. Apart from that, during the fasting month of Ramadhan, IEEE Malaysia YP has organized a charity event by visiting and celebrating young patients at Hospital Serdang, Selangor. The Affinity Group have also took the initiative to be the main organizer for IEEE Malaysia Bowling tournament which have brought together delegates from various IEEE societies in Malaysia in a fun social sport event. The members hope to ride on 2015 momentum and look forward to more exciting and beneficial activities in the year 2016. One of the main events planned for 2016 is to be the co-organizer for IEEE International Conference on Advances in Electrical, Electronics and System Engineering (ICAEESE’2016) which will be held at the end of the year 2016 at Putrajaya, Malaysia. International rapport with IEEE Region 10 representatives is formed by attendance to 2015 IEEE R10 SYW Congress in Sri Lanka and through this, more global impact activities will be organized in the future. B.5.2 Women in Engineering (WIE) There were two major events that were successfully conducted by IEEE WIE, which are the Hiking at Broga Hill and IEEE WIE Award and Essay Competition for High Schools. The Hiking activity at Broga attracted non-WIE members. The IEEE WIE Award and Essay Competition for High Schools were aimed at high school students. The theme of the essay completion is on famous female scientists or engineers. A participant is required to select a female scientist/ engineer that has inspired her. The project was awarded the R10 fund. B.6 Awards & Recognition Activities B.6.1 Award constituted by the R10 - 2015 IEEE R10 Outstanding Individual Award for Humanitarian Technology Activities (HTA) This is a new R10 award introduced in 2015 to recognize professional members of IEEE who have made an outstanding contribution to the society through their dedicated work in supporting the livelihood of the people through humanitarian technologies. The website, http://www.ieeemy.org is being improved for easy navigation and userfriendliness. There are nine tabs: Home - Besides the general information, contains upcoming events and the latest posts; Events & Activities; Chapters - 15 with links to respective websites; IEEE Students - 19 student branches yet to be linked to their respective websites; Executive Committee; Membership - key values of IEEE membership; Organizing Conference - IEEE Malaysia Conference Procedure for Chapter Chairs; and Contact. IEEE Malaysia Section's homepage has been updated with 231 new contents including announcement, events and activities. Through 1 Jan 2015 to 31st December 2015, the website has been visited 21,902 times. The most visitors are from Malaysia (64.46%) and followed by India (6.77%), USA (3.63%), Indonesia (1.7%), Japan (1.31%), Singapore (1.23%) and etc. The source of website visitors are from search engine (57.68%), direct (32.57%), refferal (7.59%) and social media (2.14%). The section also provides hosting for 11 chapters and student branches. 9 conferences website also utilizing section hosting. Total bandwidth usage for all website hosting is 310.15 Gig. B.7.3 Newsletter Quarterly newsletter functions as a touch-base with the activities of section, student branches and chapters primarily for the awareness of all members in the Malaysia section. The newsletter reflected news that was either covered first-hand by the editor or contributory news from the chapter representatives and student counselors. IEEE Malaysia WIE Affinity Group awarded best projects at UNITEN and UTP and social awareness activities (page 6, June 2014) B.7.5 30th Anniversary Commemorative Publication IEEE Malaysia Section is publishing a special 30th Anniversary Commemorative Publication this year. Data compiled include the historical data on Malaysia section, specifically on the leadership portfolios and achievements. Data collected are from three main sources. IEEE Asia Pacific database. The individual section chairs—past and current. Various annual reports available in the archive and on the web. The publication also features the 25 active technical chapters in Malaysia. Each chapter history is compiled and edited by an appointed associate editor. A small library and a computer lab have been established by UKM sponsorship at this school to support the children and student for the continuation of the learning process. C.2 Relationship with National Societies The Section has good relations with national professional bodies or societies. Several conferences organized by the Section were either co-organized with these bodies or participated by their members. IEEE Malaysia Section and the Institute of Engineers Malaysia (IEM) has already agreed on a joint awards IEEE-IEM to recognized individuals and corporations’ contribution for the betterment of the engineering community. C.3. Collaboration with other IEEE Sections There is no collaboration with other IEEE Sections in 2015. C.4 Support extended to Sub-sections & Society Chapters within the Section IEEE Malaysia Section conducts 5 meetings in a year with the Section Executive Committee and twice a year with Chapter Chairs. During the meeting with chapter chairs at the beginning of the year, all chapters are required to present their plans and financial standing. At the second half of the year, chapters are required to report their activities. 39 IEEE Malaysia Section 26th Annual General Meeting January 30, 2016 Section will distribute grant of amount RM1000 to all chapters, which will be disbursed RM500 each in two installments. All Student Branches will also receive financial incentives from section. C.5 Best Practices of your Section (which you would like to share with other Sections for the benefits of members) Each year, IEEE Malaysia organized a leadership camp for new chapter chairs, secretaries and treasurers. In this camp, the volunteers were given training on section management, vtools, SAMIEEE and other key information to assist them in organizing their activities. C.6 Problems anticipated and suggestions for solutions, if any The decrease in membership especially members needs to be addressed more aggressively by all concerned. All chapters also need to be more pro-active in attracting members by increasing their presence through organizing more high-impact activities. PART D - GOALS AND PLANS D.1 Continuation of project/activity in progress and their implementation plans The Section will continue to support all activities that already in the pipeline from the previous years. The Section will monitor the activities to ensure that the implementation of all activity is according to the IEEE By-laws and benefits the members. At the same time the Section will continue with activities that will nurture the IEEE Malaysia Student Branch so that they remain active and relevant to their community. Section will encourage more participation from Student Branches in embarking community work and social responsibility especially to the underserved community. D.2 Goals and Future Plans The IEEE Malaysia Section goal is to be the leader of technical society for electrical and electronic engineers in the country. We hope to increase the visibility of IEEE among the public and to enhance benefits to members by providing members with access to high quality technical information through lectures, short courses, workshops and conferences. We are also putting more efforts in promoting community services Malaysian-wide by increasing cooperation with the industry and society at large. Section has embarked on IEEE SIGHT project with the underserved community in the local area, and will continue 40 IEEE Malaysia Section 26th Annual General Meeting January 30, 2016 to do so and expand the effort to the regional area. The Section also plans to attract more members and upgrade the membership status of its members. Efforts to increase student members and student branches will be carried out more actively. D.3 Any innovative ideas to make IEEE more creative and value added for sustaining the membership retention and recruitment goals. Sharing stories in social media on why an individu joined IEEE such as #IEEEMyStory could attract new members in knowing more about IEEE. Arief Mohd Rizal Arshad IEEE Malaysia Section 26th Annual General Meeting January 30, 2016 APPENDIX B PROPOSAL FOR AMENDMENTS TO THE IEEE MALAYSIA SECTION CONSTITUTION PREAMBLE Our constitution was accepted by the Registrar of Societies (RoS), Malaysia, in 1987. Since then, we have made one amendment to the constitution in 2007. Since circumstances have changed from our inception, and since IEEE requires that our constitution (or bylaws in IEEE jargon) should be updated every 5 years or so, it is proposed that we review our constitution from time to time, starting with this one. OBJECTIVES The objectives of the amendment are, among other things, to align it with the bylaw recommended by IEEE being a regional unit of the said organization, while maintaining the local requirement by the Registrar of Societies, Malaysia. JUSTIFICATIONS To update some clauses to make it aligned with that of the IEEE, To propose a biennial election process where office bearers hold office for 2 years, To formalize the setting up of sub-sections, chapters and student branches, To introduce a more streamlined naming convention in the management of finances. FORMAT The document is presented in 2 columns. The first column is the present constitution while the second one is the proposed amendment wherever relevant. If there are no amendment proposed the associated second column is left blank. If there are additional texts to be made to the present constitution, these are highlighted in bold italics. If there are clauses that are proposed to be deleted, this will be indicated with a strikethrough across the clauses concerned. The clauses that are affected with the amendments are underlined. RECOMMENDATIONS Distinguished members are kindly requested to go through this proposal, make comments and suggestion, and finally approve the proposed amendment 49 IEEE Malaysia Section 26th Annual General Meeting January 30, 2016 INSTITUT JURUTERA ELEKTRIK DAN ELEKTRONIK, CAWANGAN MALAYSIA [THE INSTITUTE OF ELECTRICAL AND ELECTRONICS ENGINEERS, MALAYSIA SECTION] ORIGINAL TEXT 1. PROPOSED AMENDMENT NAME The organization shall be known as Institut Jurutera Elektrik dan Elektronik Cawangan Malaysia [The Institute of Electrical and Electronics Engineers, Malaysia Section]. 2. INTERPRETATION In these rules unless there be something in the subject of context inconsistent therewith : “Section” means the Institut Jurutera Elektrik dan Elektronik, Cawangan Malaysia [Institute of Electrical and Electronics Engineers, Malaysia Section]. “IEEE” means the Institute of Electrical and Electronics Engineers Inc, 445 Hoes Lane, Piscataway, New Jersey, 08855 USA. “Institute” means the IEEE. “President” means the President of IEEE. 3. PLACE OF BUSINESS Its place of business shall be at Faculty of Engineering, University Putra Malaysia, 43400 Serdang, Selangor Darul Ehsan or at such other place to be determined by the Section Executive Committee from time to time subject to the approval of the Registrar of Societies 4. PURPOSES Its purposes are: (a) Scientific and educational, directed towards the advancement of the theory and practice of electrical engineering, electronics, radio and allied branches of engineering and the related arts and sciences; means to these ends include, but are not limited to, the holding of meetings for the reading and discussion of professional papers, and the publication and circulation of works of literature, science and art pertaining thereto; (b) Professional, directed towards the advancement of the standing of the members of the professions it 50 Its place of business shall be at the Faculty of Electrical Engineering, Universiti Technology MARA (UiTM), 40450 Shah Alam, Selangor or at such other place to be determined by the Section Executive Committee from time to time subject to the approval of the Registrar of Societies IEEE Malaysia Section 26th Annual General Meeting January 30, 2016 serves; means to this end include, but are not limited to, the conduct and publication of surveys and reports on matters of professional concern to the members of such profession, collaboration with public bodies and with other societies for the benefit of the engineering professions as a whole, and the establishment of standards of qualification and ethical conduct. (c) In fulfilling these purposes, the Section shall be divided into: i. Sub-Sections - to promote networking and closer interaction. ii. Chapters – to promote professional development. iii. Student branches – to promote educational development. 5. MEMBERSHIP (a) The Section has its membership IEEE members who are for the time being residing in Malaysia. (b) The IEEE membership consists of the following grades in descending order of rank: i. Honorary Member ii. Fellow iii. Senior Member iv. Member v. Associate vi. Student vii. Exchange All admission and transfer between the grades is administered by IEEE in accordance with the By-Laws of IEEE. Admission to membership in IEEE in any grade shall not be affected by the race, religion, nationality or sex of the applicant. The membership of different classes of as above shall be registered with IEEE Malaysia Section on submission of the prescribed application forms (subject to their status of current membership with IEEE). A person who is currently undergoing studies of training in the field of electrical engineering is eligible to become a Student member of the IEEE. A person who is normally a graduate in the field of electrical engineering or areas related to it and has shown adequate ability in a professional capacity as an engineer is eligible to be a Member of the IEEE. A person who is not a Student Member and who has not adequately met the requirements for the grade of Member of 51 (c) The IEEE membership consists of the following grades in descending order of rank: viii. Honorary Member ix. Fellow x. Senior Member xi. Member xii. Graduate Student Member xiii. Associate xiv. Student xv. Exchange A Graduate Student member must carry at least 50% of a normal full-time academic program as a registered graduate student in a regular course of study in IEEEdesignated fields. The total cumulative period for a member to hold the Student member grade and/or the Graduate Student member grade is limited to eight years. IEEE Malaysia Section 26th Annual General Meeting IEEE may be eligible for the grade of Associate Member of IEEE. Exchange members are members in good standing of a technical or scientific society recognized by IEEE Executive Committee for Exchange Membership privileges provided such privileges are reciprocally offered to IEEE members the society recognized. An exchange member shall be for over a period not exceeding 3 years and shall have the rights and privileges of members except the right to vote and hold office. The grades of Senior Member, Fellow are higher grades than Member of IEEE and are eligible for admission or transfer on the basis of seniority and peer recommendation. Honorary Members are persons of distinction elected to the position. (d) All members of the grade of Member, Senior Member, Fellow and Honorary Member are eligible to vote and are termed voting members. 6. DUES AND FEES The annual subscription payable to IEEE is as the annual rate determined by IEEE subject to revision from time to time. 7. PROHIBITIONS (a) Gambling of any kind whether for stakes or not, is forbidden on the Section’s premises. The introduction of materials for gambling or opium smoking and of bad characters into premises is prohibited. (b) The funds of the Section shall not be used to pay the fines of members who have been convicted in court. (c) The Section shall not attempt to restrict or in any other manner interfere with trade or prices or engage in any trade union activity as defined in any written law relating to trade unions for the time being in force in Malaysia. (d) The Section shall not hold any lottery, whether confined to its members or not, in the name of the Section or its office-bearers, Section Executive Committee or members. 52 January 30, 2016 Graduate Student members, upon graduation or upon reaching the total cumulative eight-year limit as a Graduate Student member (whichever occurs first), will be transferred automatically to member grade. All members of the grade of Graduate Student Member, Member, Senior Member, Fellow and Honorary Member are eligible to vote and are termed voting members. IEEE Malaysia Section 26th Annual General Meeting (e) The Section shall not indulge in any political activity or allow its funds and/or premises to be used for political purposes. (f) No university or university college student shall be admitted as a member of this Section without the prior written approval of the relevant officers of the university or college concerned. 8. DISSOLUTION (a) The Section shall not be dissolved except with the consent of not less than three-fifths of the voting members of the Section for the time being resident in Malaysia expressed, either in person or by proxy at a general meeting convened for the purpose. The IEEE Regional Activities Board (RAB) may dissolve any Section for any reason deemed sufficient by RAB. (b) In the event of the Section being dissolved as provided above, all debts and liabilities legally incurred on behalf of the Section shall be fully discharged, and the remaining funds and assets in the custody of the Section shall be disposed of in such manner governed by IEEE bylaws (c) Notice of dissolution shall be given within seven days of the dissolution to the Registrar of Societies in Malaysia. 9. MEETING (a) The Section shall hold Section Executive Committee meetings for the transaction of the regular business of the Section and for the presentation of papers and their discussion, and shall engage in such other activities as necessary, suitable and proper for the fulfillment if its objectives. (b) Notice for Section, committee meetings shall be at least seven days, and the quorum shall be more than half the Section Executive Committee membership. (c) The total number of meetings in the Calendar year shall not be less than 5, or as defined by IEEE bylaws 10. PRIVILEGE Any voting member of the Section shall be entitled to enjoy the rights and privileges of membership of the Section. 53 January 30, 2016 IEEE Malaysia Section 26th Annual General Meeting 11. January 30, 2016 REGISTER OF SECTION The name of every person in the Section together with the grade of membership and address shall be maintained in a Register by the Honorary Secretary of the Section or the Chair of the Membership Development Committee (MDC). 12. FISCAL YEAR The operating fiscal year of the Section shall be from January 1 to December 31 of every year. 13. SECTION MANAGEMENT The Section Executive Committee shall manage and supervise the property and affairs of the Section in accordance with the rules of the Section. 14. SECTION COMMITTEE (a) The Section Executive Committee shall consists of a group of members elected from the said section who shall number not less than five and not more than ten. (b) The Section Executive Committee shall be entitled to co-opt not more than five voting members to become ordinary Committee members if and when required. 15. ANNUAL GENERAL MEETINGS (a) Annual General Meetings shall be held to : (i) To receive the Committee’s report on the working of the Section during the previous year; (ii) To receive the Treasurer’s report and the audited accounts of the Section for the previous year ; (iii) To elect a Committee and to appoint auditors for the ensuing year ; (iv) To deal with such other matters as may be put before it. An Annual General Meeting shall be held in the month of January (preferably in the first half) each year at such time and place as the Section Executive Committee may determine. The Notice convening the Meeting shall state the time and place thereof and the business to be (b) 54 An Annual General Meeting shall be held no th later than the 15 of February of each year at such time and place as the Section Executive Committee may determine. SPECIAL GENERAL MEETINGS (a) Special General Meetings may be held at any time for any specific purpose relating to the business of the Section A Special General Meeting shall be convened – (i) pursuant to a resolution of the Section Executive Committee, or (ii) on a requisition signed by at least ten voting members of a Section stating the purpose for which the meeting is to be held, which requisition shall be posted or delivered to the Honorary Secretary. The Honorary Secretary shall, not less than twenty-eight days prior to the date of any Special General Meeting, send to every member of the Section, by prepaid ordinary post, or where appropriate via email or fax, notice of the date, time, place and business of such meeting. A Special General Meeting requisitioned by the members shall be held within 30 days of the receipt of such requisition by the Hon. Secretary. No resolution upon any matter related to the regulating or governing of the Section shall be deemed to be carried at a Special General Meeting unless carried by at least three-fourths majority of the Section members present in person or by proxy and voting. (b) (c) (d) The Honorary Secretary shall, not less than twenty-eight days prior to the date of any Special General Meeting, send to every member of the Section, by prepaid ordinary post, or where appropriate via email or fax, and/or any other electronic means as agreed by the Section Executive Committee, notice of the date, time, place and business of such meeting. 17. OFFICERS OF SECTION (a) The Executive Committee of the Section shall comprise of officers for : i. ii. iii. iv. v. vi. vii. Chair Vice Chair Honorary Secretary Joint Secretary Honorary Treasurer Immediate Past Chair 4 Ordinary Committee Members The Executive Committee (ExCom) of the Section shall comprise of officers for: i. ii. iii. iv. iv. v. vi. (b) The office bearers of the Section and every officer performing executive functions in the Section shall be Malaysian citizens. TERMS OF OFFICE All Section officers shall be elected annually. The terms of office for all officers shall normally be one year, but in any case shall continue until their successors are duly elected and take office. A plurality of the votes cast shall be necessary for election. No officer may serve in the same position for more than two consecutive years. 19. INDEMNIFICATION OF OFFICE BEARERS To the extent permitted by law, the Section shall indemnify any office-bearer and person managing or assisting in the management of the Section, against judgment, fines, legal fee and legal settlement amounts, to which the office bearer and person is made a party by virtue of such service; PROVIDED that such indemnification is not otherwise prohibited by law [refer Societies Act 1966]. 20. BALLOT FOR ELECTION (a) All Section Executive Committee officers shall be elected at each Annual General Meeting of the Section. (b) The Section shall, not later than 28 days prior to the date of the proposed Annual General Meeting, invite the said Section members to nominate as candidates for election to hold office in the Section Executive Committee in the ensuing twelve months. (c) Nominations shall be required to be in writing and shall be signed by one voting member of the Section as proposer; and shall contain an endorsement signed by the candidate that he accepts nomination. (d) Nominations shall be posted or delivered to the Honorary Secretary of the Section prior to the commencement of the Annual General Meeting. (e) If the said nominations are equal to the number of those to be elected to the Committee, then the persons so nominated shall be deemed to be elected. (f) If the said nominations fall short of the number of 56 All Section Executive Committee officers shall be elected biennial at an Annual General Meeting of the Section with exception of the Chair who shall be occupied by the Chair Elect when the position is vacant. . If there is still a shortfall of nominations then. Provided that there shall be at least half in number of the total nominations who are members of the Section, then no ballot shall be conducted and the candidates nominated shall be declared to be elected and shall constitute the Committee, and all vacancies in consequence thereof shall be deemed casual vacancies to be filled as hereinafter provided. If the nomination of members received be less than half in number of the total nominations, then all nominations shall be deemed invalid and no ballot shall be held and in lieu thereof the retiring member of the Committee shall be deemed to have been nominated exclusively and shall be declared elected and shall constitute the Committee for the ensuing year or until such time as a supplementary election conducted so far as possible in the manner hereinbefore set out shall be required and held prior to the next ensuing Annual General Meeting on the requisition in writing of not less than twelve voting members of the Section. (g) If the said nominations exceed the number to be elected, then an election shall be conducted at the Any member entitled to vote, who cannot Annual General Meeting, either by a show of hands, attend the meeting in person, may appoint a or by ballot, as directed by the Chair for the time proxy to vote on his/her behalf. (i) The appropriate number of candidates obtaining the highest proportion of votes shall be elected, but in the event of any deadlock arising because of equality of votes as between any candidates, a revote shall be conducted whether by show of hands or ballot. (j) The Section ExCom may decide to conduct electronic balloting (e-ballot) for election, the following timeline shall be adhered to: i. all nominations, complete with signature to be submitted three [3] months prior to the Annual General Meeting. ii. e-ballot will be conducted one [1] 57 IEEE Malaysia Section 26th Annual General Meeting January 30, 2016 month prior to the Annual General Meeting. iii. results of e-ballot will be announced during the Annual General Meeting. 21. VACANCIES (a) Any vacancy on the Section Executive Committee occurring during a year shall be filled by the Committee within two months after such vacancy shall have occurred, unless the minimum number of members on the Committee are in excess of seven. A person appointed to fill such vacancy shall hold office only until the conclusion of the Annual Meeting next following his appointment. (b) The Honorary Secretary of the Committee shall, within fourteen days of any change of membership of the Committee, notify the Regional Activities Department of the IEEE. 22. PROCEEDINGS AT GENERAL MEETINGS (a) The Chair shall preside at all General Meetings of the Section at which he is present. In his absence, the Vice Chair shall preside, but in his/her absence, the meeting shall elect a member of the Committee, or failing him/her, any member of the Section to be Chair. (b) The Chair shall have a casting vote as well as a deliberative vote, provided that the deliberative vote shall have no effect unless made before the result of the voting is known. (c) The Vice Chair shall take over the functions of the Chair in the absence of the Chair at any meeting of the Section. He shall also be a signatory to cheques drawn by the Section as stated under Item 22(b) on Finance. (d) The Honorary Secretary shall be responsible for : (i) (ii) (iii) (iv) the conduct of the business of the Section in accordance with its rules, and shall carry out the instructions of the General Meeting and that of the Section Executive Committee; keep all books, documents and papers except the accounts and financial records; maintain the membership register; attend all meetings and keep minutes of 58 (a) The Chair shall preside at all General Meetings of the Section at which he/she is present. (e) The Honorary Treasurer shall be responsible for the finances of the Section. He/ She shall keep account of all financial transactions and shall be responsible for their correctness. He/ She shall in conjunction with the Chair sign all cheques on behalf of the Section. (f) The Immediate Past Chair shall function in an advisory capacity to the Section Executive Committee and shall assist in the management of activities of the Section. (g) The Executive Committee Members shall assist in the management of the activities of the Section. They shall hold one or more of the following Standing Committees as assigned by the Chair. The Standing Committees are: (i) Membership Development; (ii) Awards and Recognition; (iii) Newsletter and Multimedia; (iv) Educational Activities; (v) Students Activities; (vi) Professional Activities. These Committees may also be held by the Chair, Vice Chair, and Honorary Secretary as deem fit. (h) The quorum of members of the Section at any General Meeting shall number at least twice the total number of the Section Executive Committee members. If a quorum be not present within half an hour from the time appointed for such meeting : (i) if convened upon a requisition, the meeting shall lapse; or (ii) in any other case, the meeting shall stand adjourned to the same day in the following week at the same place and time, or otherwise as may be decided by the Chair. If at such adjourned meeting a quorum be not present, it shall stand adjourned sine die. (i) The Chair of the Meeting may, with the consent of any General Meeting, adjourn the same from time to time and from place to place, but no business shall be transacted at any adjourned meeting other than that unfinished at the meeting from which the adjournment took place. (j) Any motion or amendment to the Rules proposed and seconded at a General Meeting shall be put by the Chair and decided by a majority of the members of the Section present in person and 59 These Committees may also be held by the Chair, Vice Chair (who is the Chair Elect) and Honorary Secretary as deem fit. Such amendments shall take effect from the date of their approval by the Registrar of Societies. Any amendments to the rules shall be forwarded to the Registrar of Societies within 60 days of being passed by the general meeting. 23. (a) FINANCE The Section Executive Committee shall cause banking accounts to be opened and kept in the name of the Section with such banks as it may think proper. (b) To facilitate the management of banking accounts, the following naming convention shall be used for clarity and standardization: i. IEEE Malaysia Section – main Section account. ii. IEEE Malaysia [sub-section name] Sub Section - for respective subsection accounts. iii. IEEE Malaysia [Chapter name] – for respective Chapter accounts. iv. IEEE Malaysia [University/ College name] Student Branch – for respective student branch accounts. v. IEEE [Conference name] – for respective conference accounts. (b) All cheques drawn on such accounts shall be signed by any two of Honorary Treasurer and Chair or Vice Chair who are to be the authorized signatories. (c) (c) (d) No expenditure exceeding RM 2,000.00 in any one time shall be incurred without the prior sanction of the Committee, and no expenditure exceeding RM 20,000.00 on assets and investment in any one time shall be incurred without prior sanction of a general meeting. Expenditure less than RM 2,000.00 may be authorized by Chair or Vice Chair and Honorary Treasurer. 60 All cheques drawn on such accounts shall be signed by any two of the following: i) Chair ii) Vice Chair (Chair Elect) iii) Honorary Treasurer Expenditure less than RM 2,000.00 may be authorized by any two of the following: i) Chair ii) Vice Chair (Chair Elect) iii) Honorary Treasurer. IEEE Malaysia Section 26th Annual General Meeting 24. AUDIT (a) Two persons not members of the Section Executive Committee will be elected as Hon. Auditors at each Annual General Meeting and will hold office on a yearly basis and shall not be re-elected consecutively. (b) They will be required to audit each year’s accounts and approve it to be placed before the Annual General Meeting. They may be required by the Chair to audit the Section’s accounts for any period within their tenure of office at any date and make a report to the Section Executive Committee. 25. IEEE LOGO (a) Description A vertical arrow surrounded by a circular arrow, both these is framed by a convex curvilinear rhombus which in turn is enclosed by a concave curvilinear rhombus.
