FOR ITEM NO.4: MS liner 5 mm thick as per IRS suitable for 52 Kg/60kg rail &
concrete sleeper.
NOTE:
(1) The estimated cost of this tender is Rs.108.43 Lacs.
(2) Please refer clauses of commercial terms for submission of EMD/SD/PBG and
same are modified as under, The GSECL will accept the bank guarantees , if the
guarantees are issued by following banks, [A] All public sector banks [B] Private
bank authorized to take to undertake Government business which are [1] IDBI
Bank [2] AXIS Bank [ 3] HDFC Bank [4] ICICI & [5] Kalupur Co operative bank
. Also (I) Party have to pay EMD @1% of estimate value and (ii) Security
Deposit @10% & Performance Bank Guarantee( PBG) @20% each of the value
of the order (End cost).
EMD as per Clause No. 11 of tender commercial terms & conditions.
(3) Performance Guarantee period applicable for this tender, as per clause No.46,
Guarantee shall be as under :
Party shall have to give the working performance guarantee of your product for
12 Months from date of commissioning or 18 months from the receipt of store
and party has to submit 10% amount of the order value as performance bank
guarantee.
(4) Penalty:You shall have to agree for penalty if the supply is made outside the agreed
Delivery as per GSECL's ules which is applicable to all our Customers. In case
that may take place in supply and /or erection , testing and commissioning
activities beyond contractual cut off date / stipulated period in the order shall
be subjected t penalty (not liquidated damages) at the rate of 1/2 % of the
contract price / order price per week or part thereof subject to a maximum of 10
% of the total contract value/order value(i.e. End cost including taxes & duties).
Due consideration will be given for waival / levy of penalty only for the reasons
absolutely beyond your control (viz Force Majeure conditions) for which
documentary evidence will have to be provided. The request for extension in
delivery giving reasons and supporting documents shall have to be made within
1-month on completion of the supply.

(5)Payment Terms:80% payment against TRC within 30 days and balance against S.R. Note within
45 days from the date of receipt of material.
(6) The GSECL reserves the right to reduce/enhance the tender quantity as per
requirement at the time of finalization of tender.
(7)The delivery period should be 3 ( Three) Months.
(8)Sample should be got approved by EE(Civil) of respective TPS before effecting
bulk supply.

(9)Pre dispatch Inspection Clause applicable for this Tender as per clause No. 56
All supplies are got to be inspected from M/s RITES (Rail India Technical and
Economics Service Ltd.) before dispatch of the stores. The inspection note duly
certifying that material is 100% checked and stamped on each Nos. should be
attached with delivery challan of the goods.
However the expenditure for M/s RITES service will be borne by M/s GSECL.
The same will be reimbursed to supplier on submission of documentary
evidence of M/s RITES.
(10) The GSECL reserves the right to reduce/enhance the tender quantity as per
requirement at the time of finalization of tender.
(11)The GSECL reserves the right to place Repeat / Additional Orders as per
clause No.24 for this Tender.
(12) You shall have to submit the Test Certificate along with the supply.
(13) The Prestressed Concrete Sleeper & spares shall be supplied at respective
TPS.
(14) You shall have to submit the copy of purchase orders for required P-Way
Rails material supplied for Railway and other Government / Semi Govn.
Organizations & other SEBs.
(15) ARBITRATION:
[A]: Arbitration clause for supply orders/tenders:All questions, disputes or differences whatsoever which may at any time arise
between the parties to this agreement touching the agreement or subject matter
thereof, arising out or in relation there to and whether as to construction or
otherwise shall be referred to the decision of the Sole Arbitrator, appointed by the
Chairman and MD, GSECL, for that purpose, who shall be a retired High Court
Judge or retired District and Sessions Judge, and the decision of the said
Arbitrator shall be final and binding upon the parties. Reference to the arbitrator
shall be governed by the provisions of the Arbitration & Conciliation Act, 1996 as
amended from time to time and the rules made there under.
The Arbitration proceedings shall be conducted at HO GSECL, Vadodara or at
such places as the Sole Arbitrator may be determined. The award of Sole
Arbitrator shall be final and binding upon the parties.”
[B]: Arbitration clause for indivisible: combined supply and works
orders/tenders:
“ All questions, disputes or differences, whatsoever, which may at any time arise
between the parties to this contract in connection with the contract or any mater
arising out of or in relation thereto, shall be referred to the Gujarat Public Works
Contract Dispute Arbitration Tribunal Act,1992”.
In case ,where divisible orders for supply and works are placed instead of
indivisible supply and works order, the arbitration clause for such divisible supply
order shall be as per [A] above and for divisible work order, the Arbitration clause
shall be as per [B] above.

(16) JURISDICTION:
All questions, disputes or differences arising under out of or in connection with
the Tender / Contract if concluded shall be subject to the exclusive jurisdiction of
the court under whose jurisdiction the place from which the tender /
Acceptance of tender is issued, is situated.
I/We agree to supply the article noted above at the rates herein tendered by me/us
subject to the condition of ‘tender and supply above given at the tender inquiry which
I/We have carefully read and which I/We have thoroughly understood and to which I/We
agree .I /We hereby agree to keep this offer open for 120 days after the returnable date
of the tender and shall bound by communication of acceptance dispatched within the
prescribed time.
