Hire Periods Explained

One day
The charge for the first full 24 hours of any hire.
Two day
The maximum charge for 48 hours of any period.
Week
The maximum hire charge for any period up to 7 days.
Weekend
A special rate for hire between 4pm on Friday through to
9am on Monday.
Terms of Hire
Please see our terms & conditions at the back of this guide. A full printed version
is available on request. It is the customer’s responsibility to obtain an Off-Hire
note at the end of the hire period and to ensure equipment is returned in a clean
and undamaged condition. Customers will be charged for any damage and are
responsible for the replacement cost of any item stolen whilst on hire. Customers
are therefore advised to insure equipment against loss, theft and damage.

Hand - Arm Vibration
Hand Arm Vibration Syndrome is also known as (White Finger Disease).
It is caused by frequent exposure to high vibration equipment such as
breakers, angle grinders, chainsaws and even equipment which you
walk behind, such as a plate compactor. The vibration is transmitted
straight into your hands and arms through the handles.
The Symptoms

Colour Coded System
The Hire Association Europe developed a colour coded means of
identifying the appropriate level of usage for each piece of equipment.
We have marked the equipment that applies to the Hand Arm Vibration
with the appropriate colour.

How To Protect Yourself

Make sure you buy or hire low-vibration tools and keep them well maintained

Always use sharp points, chisels and blades

Stay warm and flex your fingers often to encourage blood circulation during breaks

Working At Heights
Work at height is the largest contributor towards
fatal and serious injury in the construction industry,
particularly on smaller projects. More than 60% of
deaths during work at height involve falls from ladders,
scaffold, working platforms and roof edges and through
fragile roofs or floodlights.
When working on towers follow these tips:
• Avoid working at heights where possible
• A full risk assesment must be carried out and the
correct equipment used
• Ensure those erecting towers and working at height are trained to do so

• Working platforms must be fully boarded out
• Where the risk assessment requires it they must be provided with guard-rails and toe boards
• The towers must be braced
Mobile Towers:
• Mobile towers must not be used unless the wheels
are provided with brakes
• Mobile towers should be erected so that the height
of the platform above the ground is no more than
three times the smaller base dimension. If the tower
is used indoors, the platform may be 3.5 times the
smaller base dimension above the ground
• The tower must not be removed whilst persons or
materials are still on the tower

DUST?”
Dust is made from ‘airborne
particulates’
which occur as a result of
everyday work including
cutting, grinding and drilling.
Dust

Common industrial activities such as drilling, cutting, chiseling and grinding generate
dust. Construction dust comes from cutting stone, concrete or mortar products (though
dust can also be produces from working with wood). These material produce enormous
amounts of dust. This dust will contain some very fine dust called respirable crystalline silica
(RCS). Exposure to RCS dust can cause serious health problems which may eventually
prove to be fatal. Additionally the dust in the atmosphere can reduce visibility increasing
the risks for operators using the equipment.
There Are Three Types Of Dust:
• Inhalable dust
Gets into the mouth and nose
• Thoracic dust
Reaches the upper respitory area
• Respirable dust
Reaches the finest parts of the lungs (alveola)
How to Protect Yourself
• Water – water damps down dust clouds. However, it needs to be used correctly. This
means enough water for the whole time that the work is being done. Just wetting an
area of ground before cutting does not work
• Vacuum extraction – specially designed tools can be fitted with an industrial vacuum
unit that sucks the dust away as it is being created and stores it until emptied

NOTICE TO CONSUMERS: IF YOU ARE DEALING AS A CONSUMER (AS DEFINED IN THE UNFAIR CONTRACT TERMS ACT 1977
SECTION 12) THESE CONDITIONS OF SALE DO NOT AFFECT YOUR STATUTORY RIGHTS.

1. Application of Conditions
These conditions of sale apply to all contracts between us and
the customer, unless otherwise agreed in writing by a director of
the company. They shall apply in place of, and prevail over,
any other terms or conditions, whether contained or referred
to in the customer’s order, or in correspondence or elsewhere,
or implied by trade, custom, practice or course of dealing.

Formation of Contract
A contract shall only come into existence upon our acceptance
of the customer’s order or on delivery of the goods. A quotation
given by us does not constitute an offer, and we may withdraw
or revise a quotation at any time before our acceptance of the
order or delivery.
When an estimate of quantity, measurement or advice in relation
to a product for a particular purpose is given by us, this
information is only for guidance (based on information provided
by the customer) and is without liability on our part.
3.
Delivery Dates and times
Delivery dates mentioned in any quotation, order,
acknowledgement of order, or elsewhere are approximate only
and not of any contractual effect. We shall not be under any
liability to the customer in respect of any failure to deliver on
any particular date or dates; similarly the same applies to an indication of time for delivery.
4.Delivery
4.1 All orders must state the place of delivery of the goods and
where a period is named for delivery the customer must take
delivery within that period.
4.2 Delivery shall take place when the goods are unloaded at the
place of delivery.
4.3 Where goods are delivered by us to site:
4.3.1 Our obligation is limited to delivery as near to the site as a safe,
hard road permits; and
4.3.2 The customer must provide, free of charge, reasonable
assistance in unloading and stacking.
4.3.3 In the case of banded bricks or blocks palletised loads of
cement or any other goods requiring mechanical assistance in
unloading: (a) the customer must make available on site, free of
charge, cranes or fork lift trucks or other mechanical means of
suitable design to unload the goods; and (b) if, as a result of a lack
of mechanical assistance, our driver returns without unloading, or is
detained on site, we reserve the right to make an extra charge.
4.3.4 The customer must advise us of any local traffic regulations, which
may affect or restrict delivery and have any necessary assistance
available to enable unloading to take place at the agreed time.
4.3.5 If, for any reason, delivery is made outside our normal hours of
business, we reserve the right to make an extra charge.
4.4 Where the customer collects, or arranges collection, of the goods from our premises, the customer does so at its sole risk (except for
death or personal injury caused by our negligence).
5.
Instalment of deliveries
We shall be entitled to deliver goods by instalments. Each instalment
shall be treated as a separate contract. Any failure or defect in
delivery of any one or more instalments, or delay in delivery of any
one or more instalments, shall not entitle the customer to cancel the
contract for any instalments already delivered or to be delivered in
the future. Each instalment shall be paid for separately under these
conditions as a separate contract.
6.Risk
Risk in the goods shall pass to the customer upon delivery (or upon
collection or 7 days after we notify the customer that the goods are
available for collection, whichever first occurs).
7.Price
All quotations are valid for 30 days only. All prices are subject to
change without notice. The price charged for goods will be that
ruling on the date of delivery. Unless otherwise specified, VAT and
any other tax or duty payable by the customer will be added to the
price. All Goods delivered by the company, unless the
price shown on the invoice.
8.Payment
8.1 On approved credit accounts payment of invoices must be made
in full without any deduction or set-off on or before the last day of
the month following the date of delivery and time shall be of the
essence. Any extension of credit allowed to the customer may be
changed or withdrawn at any time. Should there be any default
with a due payment, the entire balance of the credit account
shall be payable forthwith. In addition the company may rescind
the contract due to late payment, and that of any related credit
account.
8.2Interest
Interest shall be payable on overdue accounts at the rate of 3% per
annum above the base rate of HSBC Bank plc and will accrue from
day to day from the due date for payment until receipt by us of the
full amount, whether before or after judgement. In addition the
customer must reimburse us for any expenses reasonably incurred by
us in the collection of overdue payments. Without affecting any
other remedies, failure by the customer to make payment in full
when due, shall entitle us to withhold further deliveries under any
contract with the customer and to make further deliveries subject to
such conditions as to payment as we may decide are appropriate.
9.Property
9.1 Goods shall remain our property until the customer has paid (in
cleared funds) all sums due to us on any account whatsoever. Until
that time the customer must hold them as bailee and store them in
such a way that they can be identified as our property.
9.2 Although the goods remain our property until paid for, they shall be
at the customer’s risk from the time of delivery and the customer
must insure them against loss or damage accordingly.
9.3 The customer’s right to possession of the goods shall cease if:
9.3.1 the customer has not paid for the goods in full by the expiry of any
credit period allowed by this contract
9.3.2 the customer is declared bankrupt or makes any proposal to his
creditors for a composition or other voluntary arrangement
9.3.3 a receiver, administrative receiver, liquidator or administrator is
appointed in respect of the customer’s business.
9.4 On cessation of the customer’s right to possession of the goods, the
customer must at his own expense make the goods available to us
and allow us to repossess them.
9.5 The customer grants us, our agents and employees an irrevocable
licence to enter any premises where the goods are stored in order to
repossess them or inspect them at any time.
9.6 The customer will indemnify the company against any liability in
regard to any damage caused to premises or vehicles should
repossession become necessary, where the damage could not
reasonably be avoided.

Specifications
Unless expressly agreed in writing by us, all drawings, designs,
specifications and particulars of weights and dimensions put forward
by us in promotional material or otherwise are approximate only and
we shall have no liability in respect of any deviation from them.
11.Liability
We shall not be liable to the customer:
11.1 for shortages in quantity delivered, unless the customer notifies us in
writing within 3 days of receipt of the goods;
11.2 for damage to or loss of goods or part of a consignment in transit
(where the goods are carried by our own transport or by a carrier on
our behalf), unless the customer notifies us and the carrier (if any) in
writing of any claim within 10 days of receiving the goods or the
scheduled date of delivery if earlier;
11.3 for defects in the goods caused by any act, neglect or default of
the customer or any third party;
11.4 for defects in the goods if the customer is unable to produce on
request satisfactory proof of purchase of the goods from us
11.5 for defects in the goods which would have been apparent on
inspection or testing before incorporation into building works and
the customer did not make such inspection or tests
company has been advised by the customer that the order is to be
discontinued, are deemed to be accepted by the customer at the

11.6 for defects in the goods to the extent that the manufacturer of the
goods has limited its liability and such limitation has been
advertised or announced in trade literature or may otherwise be
deemed to be known to the customer.
12. Countermands and Returns
12.1 We cannot accept returns or countermands of goods obtained or
made, or to be obtained or made, specially to customer’s
requirements
12.2 We shall be under no obligation to accept the return of goods in
good order and condition, but if we agree to do so, we reserve the
right to make a handling charge of 20% of the invoice price.
12.3 Our drivers have instructions not to accept the return of goods
without written authority. Goods returned without our prior written
approval may, at our absolute discretion, be returned to the
customer or stored at the customer’s cost, without limiting any
other remedy we may have.
12.4 We shall be under no obligation to accept countermands and
cannot agree to do so in the case of goods ready for dispatch or in
the process of manufacture.
12.5 We shall be under no obligation to issue a credit note for goods and
cannot agree to do so unless proof of purchase can be made.
13.Warranty
13.1 Subject to these conditions of sale we warrant that we will make
good any shortage or non-delivery, and/or as appropriate and at
our option, replace, or repair, any goods found to be damaged, or
which are defective by reason of faulty materials or workmanship,
and provided that notice of the defect is given to us within 10 days
of delivery.
13.2 Except where the customer is dealing as a consumer (as defined in
the Unfair Contract Terms Act 1977 section 12) all other conditions,
warranties and representations expressed or implied by statute,
common law or otherwise in relation to the goods are excluded and
we shall be under no liability to the customer for any loss (including
consequential or economic loss), damage, or injury, direct or
indirect, resulting from any default in, failure of or unsuitability for any
purpose of the goods, whether caused by breach of contract,
misrepresentation, negligence or otherwise (except that liability for
death or personal injury caused by our negligence is not excluded).
14. Withdrawal of Products
We will normally give prior warning of the withdrawal of a product or
product line but shall not be under any legal obligation to do so. We
cannot guarantee continuity of supply of any particular product or
product line.
15. Confidentiality of Technical Information etc.
All knowhow, samples, models, designs and drawings relating to the
goods or their development or creation are strictly confidential and
shall remain our property (whether or not commissioned by the
customer). The customer must not copy, use or disclose them or any
part of them, without prior written consent.
16. Samples and Descriptions
16.1 Our providing of samples for analysis by the customer, or inspection
of samples by the customer, shall not render any sale a sale by
sample.
16.2 No guarantee, or warranty, is given that supplies will correspond
exactly to the description or sample. The use of a description or
sample shall not constitute the contract a sale by description
and/or sample.
17.Tolerances
We shall be entitled to claim reasonable tolerances in respect of the
goods and reserve the right to make adaptations to goods supplied
by us due to technical developments. We give no condition or
warranty that the goods are fit for any particular purpose for which
the customer may require them. The customer must satisfy itself
before ordering the goods that the goods are fit and suitable for the
purpose for which the customer requires them.
18. Packaging and Containers
18.1 Where marked or invoiced as returnable, charges for crates, cases
or packing will be refunded if they are returned to us carriage paid
clean in good condition within 28 days of delivery.
18.2 Where goods are sold packed the extent of packing and/or protection
necessary will be at our discretion. Any special packing stipulated by
the customer will be charged to the customer’s account. Any goods
sent unpacked at the customer’s request will be at the risk of the
customer.
19. Specially Made goods
Where we manufacture or supply any goods or services in accordance
with any specification, drawings, designs, sketches, instructions or
directions submitted by the customer:
19.1 the customer agrees to indemnify us against all damages, losses,
costs, claims or expenses we incur in connection with any claim
made against us for infringement of the rights of any third party in
the execution of the customer’s order

19.2 any minor additions, omissions or defects which do not materially
affect commercial or domestic use of the goods will not entitle the
customer to refuse delivery
19.3 we shall be under no liability to the customer in respect of any
defect in the goods arising from any specification, drawing or design
supplied by the customer.
20. Installation and Fitting
Where we have agreed to effect any installation, fitting or
maintenance of goods supplied by us:
20.1 the customer must, at its own expense, provide suitable access to its
premises and to the goods and other equipment to which the
goods are to be fitted, suitable protection for the goods at all times
after delivery, adequate lighting and power and all other facilities
which we may reasonably require
20.2 if for any reason installation, fitting or maintenance cannot be
commenced at the time of delivery at the agreed time, as the case
may be, the costs incurred by us as a result, including storage,
unloading, and attendance of our employees and otherwise, is to
be payable by the customer on demand.
21. Health and Safety
The customer shall be responsible for ensuring that all Statutory,
Government or Local Authority regulations are complied with in relation
to the use of any goods purchased from us. The customer shall ensure
that all Instructions, Hand Books, Notices and Warnings issued with
the goods are properly understood and complied with at all times by
all persons using the goods or working within close proximity to them.
22. Insolvency and Default
If the customer:
22.1 shall convene a meeting of its creditors; or
22.2 shall be the subject of a proposal for a voluntary arrangement within
Part 1 of the Insolvency Act 1986; or
22.3 shall be subject of any other proposal for any composition, scheme
of arrangement with, or assignment for, the benefit of its creditors; or
22.4 shall be unable to pays its debts within the meaning of section 123 of
the Insolvency Act 1986; or
22.5 shall have a trustee, receiver or administrative receiver or similar
officer appointed in respect of all or any part of its business or assets; or
22.6 shall be subject to a petition presented for its winding up or for the
making of an administration order; or
22.7 shall cease to carry on, or shall threaten to cease to carry on, its
business or any substantial part of its business; or
22.8 shall convene a meeting, or be the subject of a meeting convened,
for any of the foregoing purposes; or
22.9 shall commit any breach of the contract or any other contract
between us and the customer; or
22.10 shall exceed the authorised credit limit with the company, or the
company has serious concerns as to the customer’s solvency. We
may without affecting any of our other rights stop any goods in
transit and/or suspend further deliveries and/or by notice in writing to
the customer immediately end the contract.
23. Changes Legal Entity
It is your responsibility to advise Bradfords of any amendment to your
trading style, for example Incorporation of a Limited company.
24. Force Majeure
Notwithstanding any other of these conditions, we shall not be liable
to the customer for any loss or damage which may be suffered by
the customers, as a direct, or indirect, result of the supply of goods
by us being prevented, hindered, delayed or rendered uneconomic
by reason of circumstances or events beyond our reasonable
control including (but not limited to):
24.1 act of God, war, riot, strike, lockout, trade dispute or labour
disturbance, accident, breakdown of plant or machinery, fire, flood,
storm; or
24.2 difficulty or increased expense in obtaining labour, materials or
transport, or other circumstances affecting the supply of goods or of
raw materials by our normal course of supply, or the manufacture of
the goods by our normal means, or the delivery of the goods by out
normal route or means of delivery.
25.Waiver
Failure on our part to enforce or exercise any of our rights shall not
be treated as a waiver of any of our rights nor operate so as to bar
the exercise or enforcement of them at any later time.
26.Sub-contracting
We reserve the right to sub-contract the whole or part of the
contract.
27.Assignment
The customer must not assign or purport to assign any contract
without our prior consent in writing.
28. Governing Law
These terms and condition shall be governed by and construed in
accordance with the laws of England and the parties submit to the
jurisdiction of the English Courts.

Terms & Conditions
Conditions For Hire And Sale Of Goods To Consumers And Businesses
1. INTERPRETATION
1.1 In these conditions the following words have the following meanings:
“Contract” means a contract which incorporates these conditions and
made between the Customer and the Supplier for the hire or sale of Goods;
“Customer” means the person, firm, company or other organisation hiring
Hire Goods or purchasing Sale Goods; “Deposit” means any advance
payment required by the Supplier in relation to the Hire Goods which is to be
held as security by the Supplier; “Force Majeure” means any event outside
a party’s reasonable control including but not limited to acts of God, war,
flood, fire, labour disputes, strikes, sub-contractors, lock-outs, riots, civil
commotion, malicious damage, explosion, terrorism, governmental actions
and any other similar events; “Goods” means any machine, article, tool,
and/or device together with any accessories specified in a Contract which
are hired or sold to the Customer; “Hire Goods” means any Goods which
are hired to the Customer; “Hire Period” means the period commencing
when the Customer holds the Hire Goods on hire (including Saturdays
Sundays and Bank Holidays) and ending upon the happening of any of the
following events: (i) the physical return of the Hire Goods by the Customer
into the Supplier’s possession; or (ii) the physical repossession or collection
of Hire Goods by the Supplier; “Liability” means liability for any and all
damages, claims, proceedings, actions, awards, expenses, costs and any
other losses and/or liabilities; “Sale Goods” means any Goods sold to the
Customer; “Rental” means the Supplier’s charging rate for the hire of the
Hire Goods which is current from time to time during the Hire Period; “Supplier” means Bradfords Building Supplies Ltd and will include its employees,
servants, agents and/or duly authorised representatives; “Services” means
the services and/or work (if any) to be performed by the Supplier for the
Customer in conjunction with the hire or sale of Goods including any delivery
and/or collection service for the Goods.

2. BASIS OF CONTRACT
2.1 Goods are hired or sold subject to them being available for hire or sale
to the Customer at the time required by the Customer. The Supplier will
not be liable for any loss suffered by the Customer as a result of the Goods
being unavailable for hire or sale where the Goods are unavailable due to
circumstances beyond the Supplier’s control.
2.2 Where hire of the Hire Goods is to a Customer who is an individual and
the hire would be covered by the Consumer Credit Act 1974 the
duration of the Hire Period shall not exceed 3 months, after which time the
Contract shall be deemed to have automatically terminated. Accordingly
the hire of any Hire Goods is not covered by the Consumer Credit Act 1974.
2.3 Nothing in this Contract shall exclude or limit any statutory rights of the
Customer which may not be excluded or limited due to the Customer
acting as a consumer. Where the Customer is acting as a consumer any
provision which is marked with an asterisk (*) may, subject to determination
by the Courts or any applicable legislation, have no force or effect and if
any provision is under the applicable law of the Contract unenforceable
in whole or in part or shall have no force or effect the Contract shall be
deemed not to include such provisions but this shall not effect the enforceability of the remainder of the Contract. For further information about your
statutory rights contact your local authority Trading Standards Department
or Citizens Advice Bureau or if based in the Republic of Ireland your local
office of the Director of Consumer Affairs or Citizens Information Centre.
3. PAYMENT
3.1 The amount of any Deposit, Rental, monies for Sale Goods and/or
charges for any Services shall be as quoted to the Customer or otherwise as
shown in the Supplier’s current price list from time to time. Where a Deposit
is required for the Hire Goods it must be paid in advance of the Customer
hiring the Hire Goods. The Supplier may also require an initial payment on
account of the Rental in advance of the Customer hiring the Hire Goods.
3.2 The Customer shall pay the Deposit, Rental, charges for any Services,
monies for any Sale Goods and/or any other sums payable under the contract to the Supplier at the time and in the manner agreed. The Supplier’s
prices are, unless otherwise stated, exclusive of any applicable VAT for
which the Customer shall additionally be liable.
3.3 Payment by the Customer on time under the Contract is an essential
condition of the Contract. Payment shall not be deemed to be made until
the Supplier has received either cash or cleared funds in respect of the full
amount outstanding.
3.4 *If the Customer fails to make any payment in full on the due date
the Supplier may charge the Customer interest (both before and after
judgment/decree) on the amount unpaid at the rate implied by law under
the Late Payment of Commercial Debts (Interest) Act 1998 (where
applicable) or at the rate of 4% above the base rate from time to time of
the Supplier’s bank whichever is higher.
3.5 *The Customer shall pay all sums due to the Supplier under this
Contract without any set-off, deduction, counterclaim and/or any other
withholding of monies.
3.6 The Supplier may set a reasonable credit limit for the Customer. The
Supplier reserves the right to terminate or suspend the Contract for hire of
the Hire Goods and/or the provision of Services if allowing it to continue
would result in the Customer exceeding its credit limit or the credit limit is
already exceeded.
3.7 The Supplier reserves the right to store the Customer’s credit card details
on its password protected customer account system and further reserves the
right to use such details against future Rentals made by the Customer.
4. RISK OWNERSHIP AND INSURANCE
4.1 Risk in the Goods will pass immediately to the Customer when they leave
the physical possession or control of the Supplier.
4.2 Risk in the Hire Goods will not pass back to the Supplier from the
Customer until the Hire Goods are back in the physical possession of the
Supplier. This shall apply even if the Supplier has agreed to cease charging
the Rental.
4.3 Ownership of the Hire Goods remains at all times with the Supplier. The
Customer has no right, title or interest in the Hire Goods except that they are
hired to the Customer. Ownership of any Sale Goods remains with the Supplier
until all monies payable to the Supplier by the Customer for the Sale Goods
have been paid in full.
4.4 Until ownership in the Sale Goods passes to the Customer, the Customer
shall: hold the Sale Goods on a fiduciary basis as the Supplier's bailee; maintain
the Sale Goods in satisfactory condition; and keep the Sale Goods insured
against all risks for their full price from the time they leave the physical possession or control of the Supplier.
4.5 The Customer must not deal with the ownership or any interest in the Hire
Goods. This includes but is not limited to selling, assigning, mortgaging, pledging, charging, securing, hiring, withholding, exerting any right to withhold, disposing of and/or lending. However the Customer may re-hire the Hire Goods
to a third party with the prior written consent of the Supplier.
4.6 The Supplier may provide reasonably priced insurance in respect of the
Hire Goods at an additional cost to the Rental in accordance with Financial
Services Authority Requirements. Alternatively the Supplier may require the
Customer to insure the Hire Goods for such reasonable risks as the Supplier may
specify and any proceeds of any such insurance shall be paid to the Supplier
on demand. The Customer must not compromise any claim in respect of the
Hire Goods and/or any associated insurance without the Supplier’s written
consent.
5. DELIVERY, COLLECTION AND SERVICES
5.1 It is the responsibility of the Customer to collect the Goods from the
Supplier, and, in the case of Hire Goods, return them to the Supplier at the end
of the Hire Period. If the Supplier agrees to deliver Goods to and/or collect
the Hire Goods from the Customer it will do so at its standard delivery cost and
such delivery and/or collection will form part of the Services.
5.2 If the Supplier agrees to collect the Hire Goods from the Customer at the
end of the Hire Period the Customer must give the Supplier reasonable notice
which shall include at least three (3) working days’ notice from the end of
the Hire Period. The Customer shall remain responsible and liable for any loss,
damage or theft to the Hire Goods until the Hire Goods are collected by the
Supplier unless the Supplier fails to collect the Hire Goods within 3 working days
from the end of the Hire Period whereupon the Supplier shall be liable for
any loss, damage or theft thereafter.
5.3 Where the Supplier provides Services the persons performing the Services
are servants of the Customer and once the Customer instructs such person
they are under the direction and control of the Customer. The Customer shall
be solely responsible for any instruction, guidance and/or advice given by the
Customer to any such person and for any damage which occurs as a result of
such persons following the Customer’s instructions, guidance and/or advice
except to the extent that the persons performing the Services are negligent.
5.4 The Customer will allow and/or procure sufficient access to and from the
relevant site and procure sufficient unloading space, facilities, equipment and
access to utilities for the Supplier’s employees, sub- contractors and/or agents
to allow them to carry out the Services. The Customer will ensure that the site
where the Services are to be performed is, where necessary, cleared and
prepared before the Services are due to commence.
5.5 If any Services are delayed, postponed and/or are cancelled due to the
Customer failing to comply with its obligations the Customer will be liable to
pay the Supplier’s additional standard charges from time to time for such delay, postponement and/or cancellation except where the Customer is acting
as a consumer and the delay is due to a Force Majeure event.

6. CARE OF HIRE GOODS
6.1 The Customer shall:not remove any labels from and/or interfere with the Hire Goods, their working
mechanisms or any other parts of them and shall take reasonable care of
the Hire Goods and only use them for their proper purpose in a safe and
correct manner in accordance with any operating and/or safety instructions
provided or supplied to the Customer; notify the Supplier immediately after
any breakdown, loss and/or damage to the Hire Goods; take adequate and
proper measures to protect the Hire Goods from theft, damage and/or other
risks; notify the Supplier of any change of its address and upon the Supplier’s
request provide details of the location of the Hire Goods; permit the Supplier
at all reasonable times and upon reasonable notice to inspect the Hire Goods
including procuring access to any property where the Hire Goods are situated;
keep the Hire Goods at all times in its possession and control and not to
remove the Hire Goods from the country where the Customer is located and/
or the country where the Supplier is located without the prior written consent
of the Supplier; be responsible for the conduct and cost of any testing, examinations and/or checks in relation to the Hire Goods required by any
legislation, best practice and/or operating instructions except to the extent
that the Supplier has agreed to provide them as part of any Services; not
do or omit to do anything which the Customer has been notified will or may
be deemed to invalidate any policy of insurance related to the Hire Goods;
not continue to use Hire Goods where they have been damaged and will
notify the Supplier immediately if the Hire Goods are involved in an accident
resulting in damage to the Hire Goods, other property and/or injury to any
person; and where the Hire Goods require fuel, oil and/or electricity ensure
that the proper type and/or voltage is used and that, where appropriate, the
Hire Goods are properly installed by a qualified and competent person. ensure
that any employees, agents or contractors that operate the Hire Goods are, if
applicable, adequately and sufficiently qualified and trained to operate the
Hire Goods in accordance with all current and applicable legislation.
6.2 The Hire Goods must be returned by the Customer in good working
order and condition (fair wear and tear excepted) and in a clean condition
together with all insurance policies, licences, registration and other documents
relating to the Hire Goods.

7. BREAKDOWN
7.1 Allowance may be made in relation to the Rental to the Customer for
any non-use of the Hire Goods due to breakdown caused by the development of an inherent fault wand/or fair wear and tear on condition that the
Customer informs the Supplier as soon as practicable of the breakdown
and the Supplier is unable to repair or replace the Hire Goods within a
reasonable time.
7.2 The Customer shall be responsible for all expenses, loss (including loss
of Rental) and/or damage suffered by the Supplier arising from any breakdown of the Hire Goods due to the Customer’s negligence, misdirection
and/or misuse of the Hire Goods.
7.3 The Supplier will at its own cost carry out all routine maintenance and
repairs to the Hire Goods during the Hire Period and all repairs which are required due to fair wear and tear and/or an inherent fault in the Hire Goods.
The Customer will be responsible for the cost of all repairs necessary to Hire
Goods during the Hire Period which arise otherwise than as a result of fair
ear and tear, an inherent fault and/or the negligence of the Supplier
while carrying out routine maintenance and/or repairs.
7.4 The Customer must not repair or attempt to repair the Hire Goods unless
authorised to do so in writing by the Supplier.
8. LOSS OR DAMAGE TO THE HIRE GOODS
8.1 If the Hire Goods are returned in damaged, unclean and/or defective
state except where due to fair wear and tear and/or an inherent fault in
the Hire Goods, the Customer shall be liable to pay the Supplier for the cost
of any repair and/or cleaning required to return the Hire Goods to a condition fit for re-hire and to pay the Rental, in accordance with the provisions
of clause 8.3, until such repairs and/or cleaning have been completed.
8.2 The Customer will pay to the Supplier the new replacement cost for
any Hire Goods less than twelve (12) months old from first registration and/
or shall pay the Supplier for any loss or costs for any Hire Goods more
than twelve (12) months old from first registration, which are lost, stolen or
damaged beyond economic repair during the Hire Period less the amount
paid to the Supplier under any policy of insurance in respect of the
Hire Goods.
8.3 The Customer shall pay the Rental for the Hire Goods up to and
including the date it notifies the Supplier that the Hire Goods have been
lost, stolen and/or damaged beyond economic repair. From that date until
the Supplier has replaced such Hire Goods the Customer shall pay, as a
genuine pre-estimate of lost rental profit, a sum as liquidated damages being equal to two thirds of the Rental that would have applied for such
Hire Goods for that period. The Supplier shall use its reasonable commercial
endeavours to purchase replacements for such Hire Goods as quickly as
possible using the monies paid under clause 8.2 above.

9. TERMINATION BY NOTICE
9.1 If the Hire Period has a fixed duration, subject to the provisions of Section
10 neither the Customer nor the Supplier shall be entitled to terminate the
Contract before the expiry of that fixed period unless agreed with the other
party.
9.2 If the Hire Period does not have a fixed duration either of the Customer
or the Supplier is entitled to terminate the Contract upon giving to the other
party any agreed period of notice. if no period of notice has been agreed
or specified the Customer may terminate the Hire Period by the physical
return of the Hire Goods to the Supplier. if no period of notice has been
agreed or specified either party shall be entitled to terminate the hire of the
Hire Goods by giving not less than 14 days’ notice to the other.
10. DEFAULT
10.1 If the Customer:- fails to make any payment to the Supplier when
due without just cause; breaches the terms of the Contract and, where
the breach is capable of remedy, has not remedied the breach within 14
days of receiving notice requiring the breach to be remedied; persistently
breaches the terms of the Contract; provides incomplete, materially
inaccurate or misleading facts and/or information in connection with the
Contract; pledges, charges or creates any form of security over any Hire
Goods or proposes to compound with its creditors, creates a trust deed
for its creditors, applies for an interim moratorium in respect of claims and/
or proceedings, any distress/diligence, execution or other legal process
is levied on any property of the Customer, has a Bankruptcy Petition/
Petition for Sequestration presented against it or the Customer takes
or suffers any similar action in any jurisdiction; being a company, ceases or
threatens to cease to carry on business, enters into voluntary or compulsory
liquidation, has a receiver, administrator or administrative receiver or in
the Republic of Ireland an examiner appointed over all or any of its assets,
any attachment order/arrestment is made against the Customer, any
distress/diligence, execution or other legal process is levied on any property
of the Customer or the Customer takes or suffers any similar action in any
jurisdiction; appears reasonably to the Supplier due to the Customer’s
credit rating to be financially inadequate to meet its obligations under the
Contract; and/or appears reasonably to the Supplier to be about to suffer
any of the above events; then the Supplier shall have the right, without
prejudice to any other remedies, to exercise any or all of the rights set out
in clause 10.2 below.
10.2 If any of the events set out in clause 10.1 above occurs in relation to
the Customer then:- except where the Customer is acting as a consumer
the Supplier may enter, without prior notice, any premises of the
Customer (or premises of third parties with their consent) where Goods
owned by the Supplier may be and repossess any Goods; the Supplier
may withhold the performance of any Services and cease any Services
in progress under this and/or any other Contract with the Customer; the
Supplier may immediately cancel, terminate and/or suspend without Liability to the Customer the Contract and/or any other contract with the
Customer; and/or *all monies owed by the Customer to the Supplier shall

immediately become due and payable.
10.3 Any repossession of the Goods shall not affect the Supplier’s right to recover
from the Customer any monies due under the Contract and/or any damages in
respect of any breach which occurred prior to repossession of the Goods.
10.4 Upon termination of the Contract the Customer shall immediately: return the
Goods to the Supplier or make the Goods available for collection by the Supplier
as requested by the Supplier; and pay to the Supplier all arrears for Rentals,
Charges for any Services, monies for any Sale Goods and/or any other sums
payable under the Contract.
11. LIMITATIONS OF LIABILITY
11.1 *All warranties, representations, terms, conditions and duties implied by law
relating to fitness, quality and/or adequacy are excluded to the fullest extent
permitted by law.
11.2 *If the Supplier is found to be liable in respect of any loss or damage to the
Customer’s property the extent of the Supplier’s Liability will be limited to the
retail cost of replacement of the damaged property.
11.3 Any defective Goods must be returned to the Supplier for inspection if
requested by the Supplier before the Supplier will have any Liability for defective
Goods.
11.4 *The Supplier shall have no Liability to the Customer if, without just cause,
any monies due in respect of the Goods and/or the Services have not been
paid in full by the due date for payment.
11.5 The Supplier shall have no Liability for additional damage, loss, liability,
claims, costs or expenses caused or contributed to by the Customer’s continued
use of defective Goods and/or Services after a defect has become apparent or
suspected or should reasonably have become apparent to the Customer.
11.6 The Customer shall give the Supplier a reasonable opportunity to remedy
any matter for which the Supplier is liable before the Customer incurs any costs
and/or expenses in remedying the matter itself. If the Customer does not do so
the Supplier shall have no Liability to the Customer.
11.7 *The Supplier shall have no Liability to the Customer to the extent that the
Customer is covered by any policy of insurance arranged as a result of the
Contract and the Customer shall ensure that the Customer’s insurers waive
any and all rights of subrogation they may have against the Supplier.
11.8 The Supplier shall have no Liability to the Customer for any of the following
losses (whether direct or indirect):- *consequential losses (including loss of profits
and/or damage to goodwill); economic and/or other similar losses; special damages and indirect losses; and/or business interruption, loss of business, contracts
and/or opportunity.
11.9 *The Supplier’s total Liability to the Customer under and/or arising in relation
to any Contract shall not exceed 5 times the amount of the Rental or monies
payable for Sale Goods, in addition to charges for Services (if any) under that
Contract or the sum of £1,000 (or Euro equivalent) whichever is the higher. To the
extent that any Liability of the Supplier to the Customer would be met by any
insurance of the Supplier then the Liability of the Supplier shall be extended to
the extent that such Liability is met by such insurance.
11.10 Each of the limitations and/or exclusions in this Contract shall be deemed
to be repeated and apply as a separate provision for each of: Liability for
breach of contract;
*Liability in tort/ delict (including negligence); and *Liability for breach of statutory and/or common law duty; except clause 11.9 above which shall apply once
only in respect of all the said types of Liability.
11.11 Nothing in this Contract shall exclude or limit the Liability of the
Supplier for fraud, death or personal injury due to the Supplier’s negligence, nor
exclude or limit any other type of Liability which it is not permitted to exclude or
limit as a matter of law.

12. GENERAL
12.1 Upon termination of the Contract the provisions of clauses 3.2, 3.4, 3.5, 8.1,
8.2, 8.3 and Section 6 shall continue in full force and effect.
12.2 Each hire of an item of Hire Goods shall form a distinct Contract which shall
be separate to any other Contract relating to other Hire Goods.
12.3 The Customer shall be liable for the acts and/or omissions of its employees,
agents, servants and/or subcontractors as though they were its own acts and/or
omissions under this Contract.
12.4 *The Customer agrees to indemnify and keep indemnified the Supplier
against any and all losses, lost profits, damages, claims, costs (including legal costs on a full indemnity basis), actions and any other losses and/or liabilities
suffered by the Supplier and arising from or due to any breach of contract, any
tortious/ delictual act and/or omission and/or any breach of statutory duty by
the Customer.
12.5 *No waiver by the Supplier of any breach of this Contract shall be considered as a waiver of any subsequent breach of the same provision or
any other provision. If any provision is held by any competent authority to be
unenforceable in whole or in part the validity of the other provisions of this
Contract and the remainder of the affected provision shall be unaffected
and shall remain in full force and effect.
12.6 The Supplier shall have no Liability to the Customer for any delay and/
or non-performance of a Contract to the extent that such delay is due to any
Force Majeure events. If the Supplier is affected by any such event then time for
performance shall be extended for a period equal to the period that such event
or events delayed such performance.
12.7 All third party rights are excluded and no third parties shall have any rights to
enforce the Contract by virtue of the Contracts (Rights of Third Parties) Act 1999.
This shall not apply to any finance company with whom the Supplier has an outstanding finance agreement relating to the Hire Goods. Such finance company
shall, subject to the Supplier’s consent, have the right to enforce this Contract
as if they were the Supplier. This Contract is governed by and interpreted in
accordance with the law of the country where the
Supplier is located and that country will have exclusive jurisdiction in relation to
this Contract.
