INTRODUCTION Pursuant to Rule 14.3 of the Rules of Practice and Procedure of the California Public Utilities Commission (“Commission” or “CPUC,”), Southern California Edison Company (“SCE”) respectfully submits its comments on the Proposed Decision Authorizing Electric and Natural Gas Investor-Owned Utilities to Sell Low-Carbon Fuel Standard Credits (“PD”), issued by Administrative Law Judge Melissa Semcer on March 27, 2014. SCE supports the PD's explicit grant of authority to investorowned utilities (“IOUs”) to sell Low Carbon Fuel Standard (“LCFS”) credits, but recommends that the Commission modify the PD to allow electric utilities to implement this authority through their wellestablished Assembly Bill (“AB”) 57 Bundled Procurement Plan (“BPP”) framework. 1 II. SCE SUPPORTS THE PROPOSED DECISION’S GENERAL FRAMEWORK SCE supports the PD’s approach of granting utilities upfront standards and a reasonable amount of flexibility for LCFS credit sales, given the nascent LCFS credit market. Specifically, SCE supports the PD’s following conclusions: IOUs should file a Tier 2 Advice Letter (“AL”) proposing upfront standards and plans for the sale of LCFS credits; 1 The Commission should not adopt specific limitations on the volume of LCFS credits that utilities must sell within a given timeframe and the timing of LCFS credit sales;2 and The utilities should be able to recover costs associated with administering LCFS credit sales from LCFS credit revenues.3 SCE appreciates the PD’s positive recognition of SCE’s proposal that a utility sell no more than the LCFS credits that have been provided at any point in time by the Air Resources Board.4 The PD also acknowledged that it is prudent to require the utilities to propose credit and collateral provisions for the sale of LCFS credits in their respective ALs, as SCE proposed.5 SCE intends to include these limits in its proposed upfront standards when it files its Tier 2 Advice Letter. 1 2 3 4 5 PD, at 13. THE COMMISSION SHOULD PROVIDE ELECTRIC UTILITIES WITH THE AUTHORITY TO SELL LCFS CREDITS UNDER THEIR RESPECTIVE AB 57 BUNDLED PROCUREMENT PLANS Although the PD outlines a flexible and open approach to providing utilities with the necessary authority to sell LCFS credits, SCE continues to believe that utilizing the electric utilities’ AB 57 BPPs is the most expedient and efficient manner in which to implement the transactions necessary to liquidate the LCFS credits. The Commission should modify the PD to allow electric utilities to expand their AB 57 authority to include the sale of LCFS credits. In declining to allow the electric utilities to implement LCFS credit sales authority through their AB 57 BPPs, the PD reasons that “LCFS credits are generated through the sale of electricity or natural gas for transportation and thus are not closely tied to wholesale electricity procurement.”6 SCE notes, however, that AB 57, codified in Public Utilities Code Section 454.5, requires each utility’s AB 57 BPP to include “[a] definition of each electricity product, electricity-related product, and procurement related financial product, including support and justification for the product type and amount to be procured under the plan.”7 It is evident from this language that the Commission’s implementation of AB 57 did not propose to strictly define what constitutes a product. Rather, the language acknowledged that elements maybe changed, added, or deleted over time. Because LCFS credits are generated via electric utilities providing electricity for use as a transportation fuel, LCFS credits could be categorized as an electricity-related product under the electric utilities’ AB 57 BPPs as described below. LCFS credits are made available to SCE via the charging of electric vehicles. This electricity is made available through the procurement of electrical energy by the electric utility. Thus, it is the procurement of the energy commodity that makes the credits available. In this manner, the LCFS credits are as tied to energy procurement as other electricity-related products approved in the electric 6 7 Id. at 10. Cal. Pub. Util. Code § 454.5 (emphasis supplied). 3 utilities’ AB 57 BPPs, such as sulfur dioxide (“SO2”) allowances, greenhouse gas (“GHG”) products, and Congestion Revenue Rights. That is, it is the act of procuring energy that makes such instruments available and or necessary. SCE noted in its opening comments within this Order Instituting Rulemaking (“OIR”) that the LCFS credit sales contemplated are most closely aligned with those of SO2 allowances.8 Indeed, SO2 allowances are made available to SCE for its prior ownership of the Mohave and Four Corners generating facilities. While SCE no longer owns these facilities, the allowances continue to accrue to SCE. It is therefore not the procurement of electricity that makes these allowances available to SCE, nor does SCE purchase the allowances. Rather, the SO2 allowances are provided to SCE and are sold by SCE to benefit its customers. SCE and the other electric utilities, with support from the Office of Ratepayer Advocates (“ORA”), have proposed similar treatment for LCFS credits within the electric utilities’ AB 57 BPPs. That is, the credits are made available to SCE in recognition of an energyrelated product, they are not purchased by SCE, and SCE will be selling those instruments to monetize them for the benefit of a subset of its customers. For these reasons, SCE believes it is reasonable to define LCFS credits as an energy-related product that can be governed by SCE’s AB 57 BPP. The PD points out that since LCFS credits will be a sell-only product for utilities, this is “inherently not a procurement activity.”9 However, the AB 57 BPPs address both purchases and sales of relevant products and establish required transaction mechanisms and limits on sales in addition to purchases. Additionally, as discussed above, SCE already has AB 57 BPP authority to sell SO2 allowances, which SCE does not purchase. Rather, SCE simply sells those allowances granted to SCE. Therefore, according to the PD’s definition, SO2 allowances are also “inherently not a procurement activity.” Despite this, SO2 allowances are a product that has successfully been integrated within the electric utilities’ AB 57 BPPs. 8 9 SCE Comments, dated Dec. 18, 2013, at 3-4. PD, at 10. 4 SCE recognizes the concern stated in the PD that “[i]t does not make sense from a policy perspective to create two separate means of authorizing the sale of a single commodity depending on whether the seller is a natural gas or electric utility.”10 Allowing electric utilities to utilize their AB 57 BPPs while gas utilities follow the similar AL process listed within the remainder of the PD is not inherently inappropriate. What would not make sense from a policy standpoint would be allowing those processes to produce disparate outcomes. SCE believes that disparate outcomes can be prevented by reviewing all of the Advice Letters from both the gas utilities and the electric utilities at the same time to ensure that there are no negative or inconsistent results. Indeed, allowing the use of the AB 57 BPPs enables the electric utilities and the Commission to leverage established processes for authorization, review, and recovery which currently exist in the AB 57 BPP framework. As detailed below, this would eliminate the need for an entirely separate plan, review, reporting, and balancing account for this narrow scope of LCFS credit sales authority for electric utilities, which would otherwise impose an additional administrative burden on the Commission, stakeholders, and electric utilities. Commission-approved AB 57 BPPs include detailed reporting requirements such as the Quarterly Compliance Report (“QCR”), which provides extensive oversight on IOU procurement transactions. As discussed below, the PD’s annual reporting requirement for LCFS credit sales by electric utilities could instead be accomplished through the QCR review process and thus eliminate the additional review. The AB 57 BPPs also include a well-established amendment process that allows the electric utilities to modify their procurement authorization in a timely manner as markets change and develop. Because the LCFS credit sales market is still in its infancy, it is likely that later IOU procurement authority modifications will be needed. Unlike the AB 57 BPPs, the PD’s separate framework provides no procedural mechanism for additional modifications to the IOUs’ LCFS credit sales authority. To the extent that the Commission is concerned about maintaining consistency across the electric and gas utilities for LCFS credit sales authority, the PD could be modified to indicate that, 10 Id. at 9-10. 5 in addition to the electric utilities’ AB 57 BPP amendment process, any other utility can also propose modifications via the Advice Letter process for consideration. As with the initial AL process to set up the utilities’ LCFS credit sales authority, the PD can provide that the Commission would review all of the Advice Letters for any proposed changes at the same time to ensure that there are no negative or inconsistent results. In addition, all activity within the AB 57 BPPs utilizes the Energy Resource Recovery Account (“ERRA”) for recovery of costs and revenues. The PD calls for a new balancing account and for annual review of the utilities’ activities to ensure that they met the standards established via Advice Letter.11 All of these requirements are already taken care of for electric utilities by utilizing the existing AB 57 process. As noted above, the review of transactions to ensure that they have met the established AB 57 BPP’s upfront standards and criteria are accomplished through the QCR, revenues and costs are booked to balancing accounts within ERRA, and the annual ERRA proceeding then authorizes the utility to recover such costs and revenues within rates. For these reasons, SCE prefers that the authority to sell LCFS credits be placed within the electric utilities’ AB 57 BPPs as it will produce plans and administratively efficient processes that will be agile enough to avoid the risk of delays in amendments to plans that will likely change as the market for LCFS grows. SCE believes it is reasonable and appropriate to add LCFS credit sales as an approved product under the AB 57 BPPs. IV. SCE SUPPORTS THE PROPOSED DECISION’S PROVISIONAL PROCUREMENT METHODS SCE generally supports the PD’s grant of authority regarding methods of transaction. The PD allows utilities to sell LCFS credits through competitive solicitations (requests for proposals) or via 11 Id. at 14–15. 6 bilateral transactions presented by brokers.12 However, SCE believes it is unnecessary to require brokers to be registered with the Commodity Futures Trading Commission (“CFTC”), since the product being transacted is not regulated by the CFTC. Additionally, Appendix E of SCE’s AB 57 BPP already includes a list of authorized brokers, which includes most of the brokers SCE would likely use for LCFS credit transactions. By utilizing the AB 57 BPP, the Commission can avoid another lengthy process where electric utilities identify and justify brokers specifically for LCFS transactions. Competitive solicitations and brokered transactions are the most appropriate transaction mechanisms at this time. However, as the market matures and as new transactional mechanisms become available (including exchange-traded products or auctions for LCFS credits), the utilities should have the standing authority to use the new transactional mechanisms. SCE anticipates it will include these additional transactional methods in its Tier 2 Advice Letter filing. V. SCE AGREES THAT REPORTING IS NECESSARY, BUT SHOULD BE DONE THROUGH EXISTING QUARTERLY REQUIREMENTS SCE agrees with the PD that a reporting requirement is an important aspect of ratepayer protection and that it is prudent to require the IOUs to report sales of LCFS credits to their respective Procurement Review Group (“PRG”) and to the Commission.13 However, SCE disagrees with the PD’s proposal that IOUs report sales of LCFS credits to their PRGs following any transaction “as soon as practicable” and provide a separate annual report.14 Given the small trade volumes in the market, the utilities may have several small transactions per month, and reporting on each one individually would be burdensome. It is more appropriate for the electric utilities to report such transactions through established processes on a regular schedule, such as through the QCRs and PRG quarterly deep dives. This quarterly timeframe will ensure that the IOU’s PRG, the Commission, and other stakeholders are 12 13 14 Id. at 12. Id. at 14, 19. Id. at 14, 21. 7 provided the necessary information on the sale of LCFS credits in a timely manner, while still providing ample time for the IOU to report on quarterly transactions throughout a given year. VI. CONCLUSION SCE appreciates the opportunity to comment on the PD, which provides for reasonable flexibility and upfront standards for LCFS credit sales. However, as stated above, the Commission should authorize electric utilities to sell LCFS credits under their respective AB 57 BPPs.
