The City reserves the right to reject any or all bids, waive technicalities or irregularities, and accept any submittals if such action is determined to be in the best interest of Blaine. Bidders are required to reply to all items listed in the specifications. Attach any information necessary to explain or clarify your bid. Any exceptions to given specifications must be explained in detail. 2. Proposed modification to a standard production unit, required to satisfy bid specifications, shall be submitted with bid. Include a complete detailed explanation and drawing of proposed modifications. All equipment cataloged as standard and all current production changes shall be furnished with the equipment offered. 3. Equipment shall conform to all legal requirements of Federal, State, and local vehicle laws and regulations. Should minimum requirements conflict with regulations, bidder shall notify the Public Works Department in writing prior to bid, of conflict and alternatives. The Public Works Department shall determine which option, if any will be selected. 4. Prices are to be stated in the units of issue in this invitation. Prices quoted shall be in U.S. funds and include applicable federal duty, brokerage fees, packaging and transportation cost to the f.o.b. point so that upon transfer of title, the commodity can be utilized without further cost, except that generated by the City. 5. Bids shall include Federal, State, and local taxes. Unless otherwise indicated in the Invitation to Bid, Washington State sales tax must be included on the bid sheet as a separate line item. 6. Bidders are requested to review this Invitation carefully, without delay, for defects and questionable or objectionable matter. Questions, objections or comments should be made in writing and received by the issuing office no later than 10 days prior to the bid opening, so that any necessary amendments may be published and distributed to bidders to prevent the opening of a defective bid. Bidders’ protests based upon any omission, or errors, or content of the Invitation to Bid will be disallowed if not made known prior to the bid opening. 7. This award shall be subject to RCW 39.34 Interlocal Cooperation Act wherein other government agencies may purchase on the City bid request, in accordance with the terms and prices stated, over the subsequent time period for which the bidder is willing to honor the bid price. 8. The City of Blaine will NOT accept bids sent by facsimile machines (FAX). 9. Unsuccessful bidders will not automatically be notified of bid results but may obtain results on request. 10. The Public Works Department will make any changes to the original bid specifications in writing. BID CONDITIONS 1. Bids will not be accepted if received at the issuing office later than the date and time set for opening. All bid envelopes should be clearly marked “TRANSFORMER BID,” and show the date of opening. The bid label shall be attached to the bid envelope. It is the Bidder’s responsibility to deliver the bid to the proper address by the assigned time. The City accepts no responsibility for misdirected or lost bids prior to the bid opening. Page 2 of 25 2. The City reserves the right to reject any and all bids, to waive minor deviations from the specifications, or to waive any informality in bids received, whenever such rejected or waiver is in the best interest of the City. Among other things a bid may be rejected when: (1) the bidder is in arrears on taxes or other claims due the City; (2) the bidder is not in a position to perform the contract; (3) the bid is not signed; (4) the bidder fails to furnish bid bonds or surety deposits, plans specifications, samples, etc., when such were specifically called for in the Invitation to Bid; (5) the bidder has failed to use the proposal form attached; (6) the bidder makes a material change in the specifications, terms or conditions of the Invitation to Bid; (7) the bid contains a material alteration or erasure which is not initialed by the signer of the bid; (8) any other reason determined to be in the best interest of the City. 3. Where the description of an item includes specifications and a brand name and number, the specifications shall govern in case of conflict. Brand name and number are for reference as to the type and quality required and do not preclude offers of a comparable or better product, provided full specifications and descriptive literature accompany the offer. Failure to include full descriptive literature may be cause to reject the offer. Determination of product acceptability is at the sole discretion of the City and City Staff. 4. In case of error in the extension of prices in the bid, the unit prices will govern. 5. Assignment of contract or bid award shall not be permitted unless authorized in advance by the City Council. 6. Prices quoted in accordance with this Invitation to Bid shall be good and firm for a period of 90days from the date of bid opening unless the City specifies a different period of time. A purchase order issued within the 90-day period shall constitute acceptance of the bid and the bid prices even though delivery and payment may fall beyond the 90-day period. 7. In case of default by the vendor, for whatever reason, the City of Blaine may procure the material or services from other sources and hold the bidder responsible for any excess cost occasioned thereby. In the event of damage to City property in the performance of a contract, the primary vendor will be held responsible and reimburse the City to the extent of damage. 8. The vendor shall hold and save the City, its officers, agents and employees, harmless from liability of any nature or kind, including costs and expenses, for or on account of any or all suits or damages of any character whatsoever resulting from injuries or damages sustained by any person or persons or property by virtue of performance of this contract, unless such suits or damages arise from negligence on the part of the City or its employees in the performance of their assigned duties. The City shall not be liable for any costs incurred by the bidder in bid preparation. 9. Unless otherwise stated in the Invitation to Bid the term “final destination” is defined as City of Blaine, Public Works, City Shop, 1200 Yew Avenue, Blaine, WA 98230. Unless otherwise stated in the Invitation to Bid, the successful bidder shall prepay the necessary charges to cause his agent, or the common carrier, to off-load the goods from the delivering vehicle and place them on the unloading point at final destination and to be free of any further charges. Unless otherwise stated, the contractor shall prepay all shipping charges to the receiving point. 10. Bidder may withdraw its proposal at any time prior to the scheduled closing only if done in writing. 11. Unless otherwise specified, the successful bidder will be required to obtain all necessary and lawful permits and licenses required by the City of Blaine and the State of Washington.
