3. SYSPRO BRANDING, TRADEMARK, FONTS AND/OR
LOGO USAGE GUIDELINES
3.1. Introduction
SYSPRO considers the SYSPRO Logo, the SYSPRO Business Partner Logo – ‘SYSPRO
B.P. Logo’ and all other SYSPRO logos and trademarks (‘Logos and Trademarks’) to
be important assets of the organization. The branding represents the high level of
quality associated with SYSPRO as a company, SYSPRO software and services and
SYSPRO Business Partners. As a result, the company has a responsibility to protect
the use for itself and the channel.
For clarification purposes, SYSPRO regards a trademark as a word, name, design, or
phrase that identifies the SYSPRO company, local SYSPRO Territory Offices or
SYSPRO products or services and distinguishes them from similar products or
services offered by competitors. Trademark rights are acquired by the proper,
continuous use of the trademarks. The use of trademarks help to distinguish
different competing products and to establish ‘brand awareness’, and as such
provide value to the holder of the trademark. Properly used, a trademark can be
legally protected indefinitely. However, if it is used improperly, a trademark can
become diluted or fall into generic use and lose its protected status.
To guard against this, the responsibility for protecting trademarks occurs every time
each trademark is used by SYSPRO and/or its Authorized Business Partners.
Whether the trademarks are used in products, presentations, documentation,
marketing materials, web pages or advertisements please always remember;
SYSPRO trademarks are worth significant value. They represent the “SYSPRO
brand" and therefore they establish a standard of excellence and consistent quality
that the market can associate with SYSPRO and the SYSPRO products and services.
In order to benefit all stakeholders in the channel, the branding guidelines need to
be enforced in a uniform manner to deliver value across the board. All SYSPRO Logo
and Trademark usage will be monitored by SYSPRO and any infringement will be
communicated. Business Partners are required to rectify any infringements in a
reasonable time period. Failure to do so may result in loss of dealership or
relationship with SYSPRO.
All references to IMPACT Encore are allowed when referring to the existing customer
base or referring to a prior version of the SYSPRO software.

3.2. Usage
The reference to SYSPRO customers by Business Partners who are not specifically
associated with that customer is strictly prohibited without the consent in writing
from your local SYSPRO Territory Office.

The Logos and Trademarks or the SYSPRO name may not be used in any other company name, product name,
service name, domain name, web site name, publication title, or the like.

Non-SYSPRO materials should not mimic any SYSPRO advertising, product packaging, or web site design
without prior approval from a local SYSPRO Territory Office.

You may not use the Logos and Trademarks to disparage SYSPRO, its products or services or other SYSPRO
Business Partners in any manner which, in SYSPRO's reasonable judgment, may diminish or otherwise damage
SYSPRO's goodwill.

The Logos and Trademarks may not be imitated, or used as a design feature in any manner for any purpose.

The Logos and Trademarks may not be used in any manner that might imply that any non-SYSPRO materials,
including but not limited to goods, services, web sites, or direct marketing, are sponsored, endorsed, licensed
by, or affiliated with SYSPRO unless expressly specified and approved in writing by a local SYSPRO Territory
Office. It should be clear that your organization is affiliated with SYSPRO and not a legal entity of SYSPRO.

Only the official Logos and Trademarks artwork can be used. To obtain the artwork or to get permission to use
the Logos and Trademarks in ways not defined above, e-mail SYSPRO.

Do not use the SYSPRO B.P. Logo unless you are using SYSPRO approved art, are certain you are using it
correctly, and are authorized to do so.

When referring to SYSPRO in its written form it is important to spell out the SYSPRO name in capitals at all
times.

You may not use any SYSPRO owned graphic symbol, tag line, message, or icon in a disparaging manner.

You must use the registered trademark symbol adjacent to the Logos and Trademarks correctly as per the
guidelines.

3.3. Layout & placement

You may only use the Logos and Trademarks with the Trademark (™) symbol for the purpose of promoting
SYSPRO or its products as per the guidelines.

The Logos and Trademarks must stand alone and may not be combined with any other object, including but
not limited to other logos, words, graphics, photos, slogans, numbers, design features, or symbols.

The Logos and Trademarks must not be incorporated or used in any manner as part of, or in unreasonably
close proximity to another company's name, domain name, product or service name, logo, trade dress, design,
slogan, or other trademarks. The Logo must never appear with any other symbol or icon, contained within a
box, circle, or other shape; or combined with any other name, logo, or icon to create a co-branded logo.

You may not alter (e.g. change the proportion, color, or font) the Logos and Trademarks in any manner, other
than in the way specified by SYSPRO.

All Logos and Trademarks and/or SYSPRO information must be featured in either larger or of equal proportion
to that of any competitive product marketed by a Business Partner. SYSPRO should not be smaller or appear in
a deferential position relative to the logos of other organizations (other than that of the Business Partner
company) or competing products.

If the Logos and Trademarks are being utilized in any material, no competitive accounting, distribution or
manufacturing software products can be mentioned in the marketing material without explicit written consent
from your local SYSPRO Territory Office.

The SYSPRO B.P. Logo must be used as provided by SYSPRO with no changes, including but not limited to
changes in the color, proportion, or design; or removal of any artwork or trademark symbols. The Logo may
not be animated, morphed, or otherwise distorted in perspective or appearance.
3.4. Compliance
SYSPRO reserves the right in its sole discretion to terminate or modify permission to display the Logos and
Trademarks. SYSPRO may request that third parties modify or delete any use of the Logos and Trademarks that, in
SYSPRO's sole judgment, do not comply with these guidelines, or might otherwise impair SYSPRO's rights in the
Logos and Trademarks. SYSPRO further reserves the right to object to unfair uses or misuses of its Logos and
Trademarks or other violations of applicable law.
Without waiving any of its rights, SYSPRO does not advise others on the scope of its intellectual property rights. If
your request falls outside the scope of SYSPRO's guidelines, please consult your legal counsel.
In the event that Logos and Trademarks are being used in print advertising, a copy of all non-SYSPRO generated
advertisements must be sent to your local SYSPRO Territory Office for written approval, prior to placing the ad.
You must include the relevant trademark statements in all marketing materials that include the Logos and
Trademarks.

You acknowledge that all rights to the Logos and Trademarks are the exclusive property of SYSPRO and all goodwill
generated through any use of them will inure to the benefit of SYSPRO.
In the event that the organization stops being an Authorized SYSPRO Partner, for any reason, the Logos and
Trademarks must be removed from all usage immediately. Failure to do so may result in legal action.
The use of the SYSPRO Logo, SYSPRO B.P. Logo or any other SYSPRO owned graphic symbol, logo, or icon is
prohibited, on or in connection with web sites, products, packaging, manuals, promotional/advertising materials, or
for any other purpose except pursuant to the definitions in this document, and other agreements entered into with
SYSPRO. Interpretations of these guidelines, issues that are not covered in these guidelines and points requiring
further clarity resulting from previous agreements signed with SYSPRO, will be determined solely by SYSPRO.
The use of an image of the SYSPRO logo or the SYSPRO B.P. Logo or other variation of the SYSPRO logo for any
purpose is prohibited without express written permission. Third parties cannot use a variation, phonetic equivalent,
foreign language equivalent, take-off, or abbreviation of a SYSPRO trademark for any purpose. Language specific
logos may be available from your local SYSPRO Territory Office upon request.
The imitation of the distinctive SYSPRO packaging, web site design, logos, collateral, business cards, or any other
branded materials is prohibited without prior written approval from your local SYSPRO Territory Office.
All television and radio campaigns require written approval from your local SYSPRO Territory Office in order to
standardize verbal references to the brand and brand strategy.
All trade show graphics utilizing the SYSPRO logo and/or SYSPRO B.P. Logo require written approval from your local
SYSPRO Territory Office.
3.5. Font usage

All marketing material designed internally by SYSPRO designers use Avant Garde(Book, Medium and bold).

Web site usage: Due to different browsers and operating systems, general ‘common’ fonts are required to be

4. SYSPRO LOGO USAGE
4.1. SYSPRO corporate logo
The SYSPRO Logo without a product descriptor (Fig #2) can only be used with
written permission from your local SYSPRO Territory Office.

4.2. Usage & placement
The SYSPRO Logo with a product descriptor (Fig #3) can only be used with either product related information or
SYSPRO company information as it reflects SYSPRO’s latest offering which should be updated to be current at all
times.
Any SYSPRO Logo must appear by itself, with reasonable spacing between each side of the Logo and other graphic
or textual elements as per the usage guidelines.
Any SYSPRO Logo cannot be used with competing brands without prior permission from your local SYSPRO Territory
Office.
4.3. Color palette
The SYSPRO Logo is static and is made of the following primary corporate colors:

4.4. Use of the SYSPRO payoff-line
The payoff line may not be separated from the SYSPRO logo at any time. It has to be placed in relation to the logo
as indicated in the example below. (Fig #4)

5. SYSPRO BUSINESS PARTNER LOGO USAGE
GUIDELINES
5.1. Usage
The Business Partner Logo is only available for use by Authorized SYSPRO Business Partners who are in goodstanding and active. This privilege may be removed by SYSPRO at any time.
Authorized Business Partners may use the Business Partner Logo to identify their relationship with SYSPRO in highquality print, multimedia, and specialty advertising. Approved usage of the Business Partner Logo includes:
clothing, signs, posters, forms, direct mail, trade show graphics, advertisements, business cards, and on a Web
site.
Usage of the SYSPRO Logos and Trademarks does not in any way create a legal partnership with SYSPRO.
Customer contracts should disclaim a legal partnership with SYSPRO. Please do not refer to yourself merely as
“partners” (especially in lower case). The correct terminology should be “SYSPRO Business Partner”. Never refer to
your legal relationship with SYSPRO as a “partnership”.
SYSPRO Business Partners should refer to themselves as “SYSPRO Business Partners” with no further taglines or
designations as defined in this document.

5.2. Printing
When using the SYSPRO Business Partner Logo (SYSPRO B.P. Logo, Fig# 4 ) in two color or full color collateral the
following color is the only valid color that is permissible. A full colour version is available for use if required:

The SYSPRO B.P Logo may be reproduced in blue for single color printing as shown in Fig #5.

5.3. Logo size
The SYSPRO B.P. Logo cannot be smaller than one third of the Business Partners’ own logo when show on the same
page as the Business Partners’ own logo.
The SYSPRO B.P. Logo cannot be a size that is smaller than any competing brand logo or any other logo other than
the Business Partners own logo.
5.4. Logo placement
Where a SYSPRO B.P. Logo is used on a letterhead or press release, the SYSPRO B.P. Logo should be placed on the
front lower right corner of the letterhead.
The SYSPRO B.P. Logo must never appear on the back of the letterhead even if the letterhead is double sided.
Where a SYSPRO B.P. Logo is used in an advertisement the recommended placement is in the lower right area of
the layout. In no event shall the logo be larger or more prominent than the logo of the Business Partner placing the
advertisement.
Where a SYSPRO B.P. Logo is used in or on a brochure, the SYSPRO B.P. Logo should always be placed and
positioned on the back cover page of the brochure.
The SYSPRO B.P. Logo should be positioned next to competing brand logos, where applicable.

6. WEB USAGE OF SYSPRO LOGOS
6.1. Web usage of SYSPRO logos & trademarks
The following describes acceptable uses of the SYSPRO Logos and Trademarks on
the web sites of Authorized SYSPRO Business Partners;
Self-Identification of your relationship with SYSPRO by using the Authorized SYSPRO B.P. Logo
Use of the SYSPRO B.P. Logo on a Business Partner’s home page is generally for use to link to the SYSPRO
corporate web site. SYSPRO selectively offers organizations this privilege.
Authorized SYSPRO Business Partners in good standing need no special permission from SYSPRO to display the
Authorized SYSPRO B.P. Logo on their web site, provided the correct usage guidelines are adhered to.
6.2. Linking to www.syspro.com
If the Authorized SYSPRO Business Partner wants to link to the SYSPRO web site
there are several considerations. The web in general and the SYSPRO sites are in
constant evolution, therefore SYSPRO proposes the following requirements to avoid
frustrating our joint web visitors:
The easiest option is to link to the SYSPRO home page (www.syspro.com). This page will be a safe entry point into
the SYSPRO site. In the future, SYSPRO may define other pages within our site to which it is safe to link. SYSPRO
will endeavor not to change this address without an effort to warn its Business Partners who have attached sites.
For example, SYSPRO may create pages dedicated to a specific vertical solution.
It is not acceptable to copy pages from the SYSPRO web site to incorporate into your own site. SYSPRO regularly
updates information. In addition to creating copyright branding and logistical problems, copied pages offer no
mechanism to control the accuracy of the information. In the event that express written permission has been
granted to utilize copyright SYSPRO collateral, a structure must be in place to check and update this information on
a weekly basis.
The use of any identical or virtually identical SYSPRO name as a second level domain name is prohibited.
All references to IMPACT and IMPACT Encore must be removed from your web sites unless you are specifically
relating to a specific prior version of the SYSPRO software.
SYSPRO will be pleased to assist any of its Business Partners in the application and
use of the SYSPRO logos and Trademarks. If you require assistance please contact
your local SYSPRO Territory Office.
