Refurbishment and maintenance of your baking trays
The SASA Refurbishment process consists of scouring to completely remove the existing coating,
while taking into consideration environmental factors.
The restoration, welding of damaged items and replacements are made according to the original design
of filets or trays.
Preparation/processing is completely undertaken by specialists in our workshops.

Accessories
Designed to last, the wire & mesh baking trayss are nevertheless subject to regular wear and tear
during the baking process. Their durability depends on a number of parameters, some of them being the level
of temperature at the time of baking and the presence of certain ingredients in the recipes. When the coating alone
is worn, it is generally possible (in case of satinless stell mesh) to go in for a refurbishment (ref page 20).
Baking
However in case the mesh or frame itself is damaged and for the mesh made of fiberglass (Fibermax® and Siltray®)
and those which can be reprocessed, SASA offers to undertake refurbishment of the mesh without replacing them
completely. Thus, our stainless steel wire & mesh filets and different baking trays are available as spare parts.

Terms and Conditions of Sale
The act of placing an order implies complete acceptance
of our general conditions of sale by the Buyer without
reservation. No other condition may take precedence
over our GCS, unless explicitly accepted in writing by
SASA. Any condition of a contrary nature put forth by
the buyer shall, unless explicitly accepted by SASA, be
non-invocable against our Company, irrespective of
the moment when it may be brought to our attention,
even if it figures in the Buyer’s general conditions of
sale. Should SASA at any time not enforce any one of
the provisions of the GCS, it cannot be interpreted as a
waiver of our right to enforce such condition at a later
date.
2 Orders
Any order, even those taken by our agents or
employees, shall be binding to SASA only after written
confirmation on our part. In case of partial dispatch of
an order, confirmation shall apply only with respect to
the products dispatched. Orders shall be for the sole
benefit of the recipient whose name is indicated on
the order and on the confirmation order. We reserve
the right to insist on a minimum quantity order, to
ship plus or minus 3 % of the ordered quantity, and
invoice accordingly. Unless otherwise indicated, the
validity of the quotes, in terms of prices and conditions
of settlement, lasts for 30 days starting from the date
of issuance of the quote. All things being equal, once
an order is accepted by SASA, the Buyer is obliged to
process the payment of the same.
3 Modifications to products
SASA reserves the right, at any time, to modify our
products in any way that we consider necessary, and to
modify, without prior notice, the models shown in our
prospectuses and catalogues, without any obligation
to modify the products previously delivered or in
the process of being ordered. The modifications thus
made do not entitle the Buyer to payment of damages,
interest or penalties.
4 Deliveries
SASA shall be authorised to effect global or partial
deliveries. Our delivery times are given as accurately
as possible. Late delivery does not entitle the buyer to
any damages or price reduction, or to the cancellation
of orders being processed. However, if one month after
a formal notice has been sent by the Buyer through
registered post with acknowledged receipt by SASA,
and where no remedy is made thereto, with the goods
have not been delivered for any reason other than
'force majeure' or a similar case thereof, the sale may
be terminated due to non-execution. The following
are likened in particular to cases of 'force majeure'
releasing us from our obligation to deliver: riots, total
or partial loss, bad weather, war, total or partial labour
disputes, accidents, difficulties in transportation, raw
material/product supply problems, administrative,
political or judicial decisions. Delivery can only be made
on time if the Buyer has met with all its obligations
towards us, whatever be the cause. Our products are
sold ex-works, and shall be considered as delivered to
the buyer upon their being made available to the carrier
or upon their being placed at the buyer’s disposal, at
the latter’s premises, where the transportation is done
through our vehicles
Deliveries made by the carrier, even if they are postage
paid, and notwithstanding the reservation of ownership
stated below, shall be at the risk of the buyer. The buyer
must notify any complaints to the carrier in accordance
with article L 133.3 of the Code of Commercial Law,
as well as with our company at the address shown
on the quote or confirmation order by acknowledged
registered post within 48 hours of receipt of goods, and
under any circumstances before they are used or resold.
Complaints with respect to latent defects, if discovered,
must be received by us in the same way and time as
mentioned above. We cannot be responsible for defects
resulting from abnormal or prolonged storage of our
products, or where there is abnormal or faulty use of
the products. In all cases, the onus is on the buyer to
provide proof relating to the reality of the anomalies
or defects found.
The buyer must also give us free access to verify the
same, and to perform corrections if necessary. The
buyer shall abstain from carrying out corrections on his
own, or for that matter through a third party.
5 Returns
No product may be returned without prior written
agreement by SASA; this consent however, does
not indicate an acknowledgement by us of our
responsibility. Any product returned without our
agreement is held at the disposal of the buyers
expense and risk. The buyer shall always be responsible
for the costs and risks relating to a return. In case of
our acknowledgement of responsibility, SASA has the
option, at our discretion, to either refund the cost of
the goods, or to exchange products acknowledged
as defective, excluding any indemnity or damages/
interest linked either directly/indirectly to the defect.
No product already used by the buyer
will be eligible for an exchange or refund. We are not
liable for any defects or damages caused by natural
wear and tear, or by any external factor, or by a
modification not carried out by us.
6 Price
Our prices are quoted excluding delivery. The prices
quoted are the prices in force as of the day of the order
confirmation. Our prices are quoted excluding taxes
ex-works. Any tax, dues or other allowances payable
according to a French or international regulation,
or the regulation of an importing country or country
of transit, shall be payable by the Buyer. Invoices
are payable within 30 days from the date of issue
of invoice except in case of cheque payment, bank
transfer, direct debit, bank card or in the case of credit
or documentary discount. Unless otherwise agreed
upon by the Buyer, the first order is payable in advance
in its entirety. In addition, payment must be made
according to the indications on our invoice. No discount
for early payment is granted. Complaints concerning
invoicing must have reached us by registered letter
with acknowledgement of receipt within three days
from the date of receipt of our invoices, with the
dates and numbers of the concerned invoices clearly
indicated. In case of late payment, we may suspend all
pending orders, without damage to any other course of
action. Any amount not paid by the due date, by right
and without prior notice, will attract a late payment
charge equal to 3 times the legal interest rate in force
pursuant to Article L. 441-6 of the Commercial Code to
pay penalties for delays.
These late penalties are due on the day following
the settlement date on the invoice without the need
of a reminder. Any default in the payment as per the
deadline will entail immediate payment of all dues,
whatever be the mode of settlement provided or

invoices in question. Any invoice collected through
the legal department will be liable to an indemnity
fixed at the flat-rate sum of 20% (excluding taxes)
of its amount, without prejudice to the refunding
of expenses with respect to the unpaid invoice, and
recovery thereof through legal channels. Under no
circumstances can any compensation be allowed on
payments, without the prior written agreement of
SASA. SASA will have the right to ask for a guarantee
of solvency, even during the course of execution of an
order. Should we have serious doubts concerning the
Buyer’s solvency, or should the buyer not give us the
guarantees requested, we shall be entitled to demand
payment in advance of any delivery, and/or to suspend
delivery of the goods.
7 Title retention
Transfer of ownership of the products sold shall be
dependent on full payment by the Buyer of the price
and any ancillary charges (expenses, interest...)
Payment is represented by actual collection of the
amount. Delivery of a draft or any other instrument
creating an obligation to pay does not constitute a
payment. In case payment is not made within the
time limit provided for, SASA reserves the right to take
back the products delivered and, should we deem fit,
to cancel the corresponding sales. Return of products
takes place at our premises upon claim made by us
through a registered acknowledgement letter, at the
expense and risk of the Buyer. SASA shall be authorised
to draw up, unilaterally, an inventory of any unpaid
products. The Buyer shall pay for all the costs and fees
incurred by such claim, inventory and return of the
products. The Buyer shall ensure that the products are
always identifiable. Products in stock are presumed as
unpaid. The Buyer shall be liable to pay an indemnity of
lost value fixed at 15% (excluding tax) on the unpaid
products per month or fraction of a month held, as
from delivery until return. In case of attachment, or any
other intervention by a third party, of the goods, the
Buyer will always have to inform us thereof without
delay so that we are able to object thereto and
preserve our rights. Further, the Buyer shall abstain
from pledging the goods, or assigning ownership of the
goods as collateral prior to the transfer of ownership
defined above. The buyer shall insure the products sold
for loss, damage or theft, and shall advise us of any
measure taken by a third party concerning the products
(attachment or other). In case the goods are taken
back, any down payments remitted by the buyer shall
be forfeited.
8 Attribution of jurisdiction - Applicable Law
These general conditions of sale are subject to French
law. In case of dispute of any kind, sole competence
shall lie with the courts within the purview of our
registered office. In case of international transactions,
only the French law and the French language are
applicable and only courts within the purview of our
head office are competent.
