INSTRUCTION TO TENDERERS

1. Documents Provided for Tender Purpose

The documents specifically provided for the purpose of tendering

(hereinafter called “The Tender Documents”) comprise one copy each of the following:

These Instructions to Tenderers.

The Form of Tender and attached Annexures from (1) to (8).

The General Conditions of Contract.

The Technical Basis & Particular Technical Conditions and

Drawings.

1.1 In addition to the documents listed above the Tenderer/Bidder is deemed to have in his possession copies of the following documents: a. The Qatar National Building Specifications (QNBS) published by the Ministry of Public Works. b. The Regulations for the Installation of Electrical Wiring, Electrical

Equipment and Air Conditiong Equipment, fifth re-issue dated June

1986 issued by the Ministry of Electricity and Water. c. The Rules, Regulations and Code of Practice for Design and

Installation of Mechanical Ventilation and A/C Systems in d. Any local Municipality Regulations.

Government Buildings, first edition 1985 issued by the Ministry of

Electricity and Water. e. State of Qatar law number 8 of the year 1976 concerning the organisation of Tenders and Public Auctions, obtainable from the

Government House, Doha. f. Any current and relevant regulation, notice or circular issued by the

Ministry of public Works, Ministry of Electricity & Water or the appropriate local Municipality. g. KAHRAMAA STANDARDS / REQUIREMENTS

ALL WORKS OF THE CONTRACTOR SHOULD FULLY COMPLY WITH

2. Submission

2.1 The Tenderer must adhere to the conditions stated in the “ Tender

Documents ” and write the prices on the “Form of Tender” on their company’s letter head ( Annexure 1) in accordance with the provisions of these documents. Any Tender Offer that does not

These Tenders Offers will be presented in separate envelopes in

Tenderers/Bidders shall be clearly stated in detail the time for fabrication, implementation & completion of the materials/ parts supply, the origin manufacturer, country of origin, packing details . g. Tenderers/Bidders shall submit copy of Annual Accounts duly audited by professional certified accountants for proceeding three year.

h. Organization chart , indicating the name of companies and organizations which shall or may become responsible for the major activities.Site Organization chart indicating the number of personnel to be timely employed on Site.

i. Layout and site installation camp including list of major equipment for the execution of design, materials supply.

3. j. Detailed diagram for training of Owner’s personnel, if any

Tenderer/Bidder shall propose and implement the progress reporting on material engineering,design, supply, erection and commissioning.

3.1 No erasing, alteration or additions shall be made by Tenderer/Bidder to the “ Tender Documents ” (other than filling in blanks where intended for that purpose),unless such alteration is made in accordance with an addendum issued as hereinafter described.

Should there be any erasure or scratching out on the Tender Offer, it must be signed and stamped by the Tenderer/Bidder.

Prices and their particulars must be typed or written in ink and should not be written in pencil . All pages of the Tender Offer, especially those containing the total prices and their term must have the stamp of the company establishment , affixed to them.

3.4 The Tenderer/Bidder shall submit his tender in Qatari Riyals or US

Dollars . The related breakdown of the lumpsum price and all other monetary statements in connection with the tender are to be in Qatari

1- Validity of Tender

1.1

Tenders must remain valid for the acceptance for a period of 90 days from the date of Fixed opening of tenders.

2- Tender Bond

2.1

Tender Bond (Annexure 2) shall be enclosed with the Tender in the form of Bank guarantee or a Bank Certified Cheque issued by one of the approved banks operating in State of Qatar equivalent to 2% or more of the tendered/bidded amount. It must be unconditional and valid for (120) days commencing from the date of opening Tender's

the right to exclude any Tender which does not include the required tender bond, effective after 7 days from the closing date of this tender.

2.2

The unsuccessful Tenderer/tender Bond would be returned on allotment/finalization of Tender. Succesful Tenderer/Bidder’s Tender

Bond would be returned on submission of Performance bond.

2.3 The Tenderer may not withdraw his tender or amend his bid after the closing date of tender .In the event of his withdrawl his tender , his tender bond would stand forfeited, without any contestation or claim from tenderer.

3- Expenses of tendering

3.1

Q.N.C.C. which may be incurred by any Tenderer/Bidder either in the preparation of his tender or in any way whatsoever arising out of the invitation and elaboration of offers for the Materials supply & supervision .

4- Acceptance or Rejection of Tender Offer

4.1

Q.N.C.C. has the right to cancel or postpone or retender the tender without giving any reason/s and/or award it by partial basis. The

Tenderer/Bidder is not entitled to any compensation in such cases.

The Tenderer/Bidder is expected and deemed to have agreed to supply part of tender in the same prices as offered.

4.2 Q.N.C.C. is not committed to accept any tender with the least price.

4.3

Q.N.C.C.

has the right to exclude Tenders Offers who are not conforming to conditions of this tender and/or tender that are submitted after the closing date and/or submitted without tender bond.

4.4 Each Tenderer/Bidder must demonstrate , that he and his employees had previously supplied or executed other similar materials supply, together with evidence that these materials supply have continued to be successfully operative for a period of time.

5- Evaluation of Tender

All confirming & complete tenders offers submitted to Q.N.C.C.

will be evaluated and the successful Tenderer/Bidder would be advised in writing of the awarding of tender subject to fulfillment of further formalities/conditions.

6- Performance Bond( Annexure 3)

Successeful Tenderer will be required to submit Performance Bond (

Performance Bond Guarantee - Annexure (3) amounting to ten 10 % percent of the total lump sum price , issued by a first class local bank operating in State of Qatar and acceptable to Q.N.C.C./Owner . This letter of Guarantee shall become effective upon signing of Contract and shall be valid upto the expiry date of 400 (Four Hundred) days of the Defect

Liability/Maintenance Period.

If Owner shall consider forfeiting the Bond or Guarantee he shall forthwith do inform the Contractor specifying the default of the Contractor . Upon which the contractor shall remedy such default within thirty (30) days after registered mailing date of such notice or the Contractor guaranting the remedy of such default in a reasonable time acceptable by Owner , then Owner shall be entitled to require the Bond or

Surety to be forfeited to the extend of the loss of the default.

7- Applicable Law

All disputes shall be as per jurisdiction of Qatari Courts.

Tenderer/Bidder shall be fully conversant with the laws ,regulations and practices prevailing in State of Qatar.

8 Language

The Language of the “ Tender Documents ” shall be English. All correspondence in this connection should be in English / or Arabic the contract language shall be Arabic and the translation of Arabic in English, incase of any dispute the Arabic language shall only previal.

9 . Addenda means

Instructions issued at any time prior to the date fixed for submission of the

Tender Offer, Q.N.C.C.

may issue Addenda in writing to the

Tenderers/Bidders (by letter Or Fax) instructing them to delete , vary or extend any item or items into the “ Tender Documents ” . Any such

Addenda shall be construed as forming part of the “ Tender Documents ” .

10. Examination of Tender Documents/Site Conditions /Site Visit

11.1

Tenderers/Bidders are advised to examine and thoroughly acquanit themselves with the contents of the “ Tender Documents „ and take all further steps necessary to ascertain for themselves , entirely at their own expense, any additional information necessory for submitting a tender and executing the materials supply.

11.2

Submission of Tender Offer shall be deemed to indicate that

Tenderer/Bidder has satisfied himself regarding and undertakes to accept and comply with all the obligations , liabilities , responsibilities and risks imposed upon him by these “ Tender Documents ” .

Submission of tender shall deemed to indicate that Tenderer/Bidder has made himself acquainted & satisfied himself with the prevailing risks associated with procurement, manufacturing, fabrication & transportation, customs etc associated with business in order to discharge his responsibilities/ obligation under these “ Tender

Documents ” .

11.3

Tenderers/Bidders at their own expences shall visit the site and obtain themselves all information which may be deemed necessary to enable them to submit a fully comprehensive and sufficient Tender Offer .

Tenderers/Bidders failure to study/understand the material, risks, laws, duties and taxes as well as specifications, drawr\ings, existing facilities etc. or to obtain reliable information in respect of material/parts supply and erection work or otherwise.

12 . The attention of the Tendered/Bidder is drawn to the fact that the Tender

Offer has to be on fixed price basis with no provision for price variations for labor, materials/parts supply, currency variation, taxes and duties which may arise during the duration of the Contract.

13. Exceptions/ Qualifications

13.1 compliance/qualification of any of the condition/conditions as stated in

“Tender Documents” , the same shall be listed clearly along with the changes proposed by him if any.

13.2

Any price implications arising out of such exceptions/qualifications shall be enumerated in Commercial proposal at Annexure 7 .

14.

Correspondence/Notices would be done by Tenderers/Bidders on the address of Q.N.C.C.

stipulated elsewhere giving Tender Number,Title of Tender . All Invoices

/notices should mention the Tender Number, Title of Tender.

14.1 Q.N.C.C.

shall issue/send correspondence/notices to the

Representative (if so named) of Tenderer/Bidder as provided on the contract.

14.2 Q.N.C.C and Tenderer/Bidder shall immediately notify each other incase of any changes in such address for any reason whatsoever.

15. Programme

The Tenderer/Bidder shall submit with his tender offer a comprehensive bar chart indicating and distinguishing between the time for prepartion, mobilization,designing, amending and completion of complete project.The tenderer time schedule shall be subdivided in various sub activities.Time schedule will become part of contract.The Tenderer/Bidder should propose his shortest possible execution & Completion time .

16. Insurance

16.1

The Tenderer/Bidder would be solely responsible to the performance and conduct of their employees/sub contractors / suppliers for any loss or damage arising to them for what soever reason. They should take their own insurance to cover damage to equipment, camp, employees or to the third party, or to any other property if any.

Q.N.C.C./Owner takes no responsibility towards these claims to the

Tenderer/Bidder .

16.2

The Tenderer/Bidder shall take fully responsibility to Q.N.C.C./

/ Owner for any loss or damage to property or equipment or personnel of Q.N.C.C./Owner due to any fault negligence or act of

Tenderer/Bidder, Sub Contractor , Supplier or otherwise.

17. Tenderer’s/Bidder’s / Contractor’s representative

17.1 Q.N.C.C./Owner shall employ one or more competent representatives, whose name or names should previously been communicated in writing to Q.N.C.C./Owner by the Tendered/Bidder/Contractor to plan, design, check, inspect, supervise, execute & coordinate the works or supply. Q.N.C.C./Owner would provide the said representative access on the site during working hours.

Q.N.C.C./Owner may give to the said representative of

Tendered/Bidder/Contractor shall be deemed to have been given to the Tendered/Bidder/Contractor .

18. Contract

18.1

Successful Tenderer/Bidder would enter in a contract with

Q.N.C.C./Owner outlining the conditions as enumerated in tender documents and with the contract prices and additional conditions as agreed by either party to contract.

18.2 The Contract will be drawn up in two originals duly signed by authorized signatories and stamped by official seal of either party to Contract

Q.N.C.C./Owner and successful Tenderer/Bidder would each receive one copy of contract.

18.3 The contract shall be binding on the successor/s in the event of change in Ownership of either party.

18.4 Duly exceuted contract shall be legalized by either party’s embassy or foreign office at either party’s cost, in the event the bidder is not legal entity/or registered in State of Qatar.

19. Delivery of Material & Erection

19.1

The Tenderer/Bidder shall include for all cost including engineering, designing, supply , cartage , haulage , freight , erection works & commissioning, as per Technical specifications, Drawings and conditions mentioned in this “ Tender Documents ”.

19.2

The material delivered should be covered in itemized Delivey Order, mentioning details of tender number and other relevant information & shall be acknowldged by the Owner .

19.3 The place of delivery & execution of all the project works shall be as applicable as follows :

Q.N.C.C Cement Factory No.IV Site @ Umm-Bab.

20. Principals & Agents

In the event that Tenderer/Bidder is not a legal entity at State of Qatar,it may name the local agent if any.Incase of not having any local agent, the

Tenderer/Bidder shall so inform. In case a local agent in bidding on behalf of any overseas entity, he should so inform.

21. National preference

In accordance with the policy of State of Qatar, the Tenderer/Bidder shall provide from within the State of Qatar such products and services as are naturally exiting or produced in state of Qatar provided the quality, quantity, suitablility, price and delivery makes it un pratical to use such domestic produced/available products.

22. Currency of bid

Unless specified otherwise, the Tenderer shall submit his tender U$ Dollar or in Qatari Riyals .

23. Payment Terms

23.1 The method of payment shall be made by “Account payee cheque

/Bank Transfer or Letter of Credit” to the Contractor and the same to be mutually agreed at the time of signing the contract whatsoever the

“Contractor” should submit the supporting relevant documents to

Q.N.C.C./Owner . The Contractor ,if so wish shall provide bank account number and name of bank where the payment is required against invoice/invoices.

23.2 In case payment or advance (if any) is mutually agreed to be made by

Letter of Credit, the Letter of Credit will be established on written request of “ Contractor” along with the Proforma Invoice including name, address with telephone & fax number, bank account number, branch, name of bank, amount, date, description of material & validity required for the Letter of Credit. The Letter of credit shall be non transferable and non divisionable.

23.3 Q.N.C.C./Owner reserves the right to deduct or set off from the amount due to Contractor of any amount is payable to Q.N.C.C./Owner provided Q.N.C.C./Owner has so notified Contractor in writing, stating the reason of deduction if any.

23.4 All expenses of LC in Qatar would be to account of applicant, all expenses outside Qatar would be to the account of beneficiary. LC extention, if any would be on account of beneficiary.

23.5 The Payment of the total Contract Price shall be paid as per Terms of Payment mentioned in clause 2-32 in the Conditions of Contract in these “Tender Documents”.

24. Mistakes & Errors

24.1 The shall be responsible for any discrepancies, errors or omissions in the drawings and information supplied by him, whether they have been approved by Q.N.C.C.

or not.

24.2

The Tenderer/Bidder , however, shall be responsible for any misunderstanding or incorrect information obtained, except having received five (5) days a written interpretation about such conditions by

Q.N.C.C

.

24.3 The Tenderer/Contractor shall at his on expense carry out any alterations or remedial work necessitated by reason of such discrepancies, errors or omissions for which he is responsible and modify the drawings and information accordingly, or it the same be done by or on behalf of the Owner shall bear all costs reasonably incurred therein. The performance of his obligations under this clause shall be in full satisfaction of the discrepancies, errors or omissions.

C. GENERAL TECHNICAL CONDITIONS :

The Contractor should provide standard test certificates for all the materials used for fabrication.

The erection will be done during the shutdown of the Plant, the date of which will be decided after the receipt of all fabricated parts on site and according to the operating conditions of the plant. The date of the shutdown will be advised to the bidder 15 days ahead.

The Contractor should complete the fabrication work and shift the materials to the plant within shortest period of rewarding the tender.

Fabricated parts should be painted with one coat of heat resistant primer paint from outside only (200 ⁰ C) with a minimum thickness of 150 microns.

4. The Contractor should provide a bar chart showing total required time details as follows: a) Time required for Dismantling. b) Time required for Erection. c) Time required for Cladding & Insulation,

5. The Contractor is responsible for the supply of all his requirements such as: a) Welding & Cutting equipments, crane/s etc. b) Consumables like welding electrodes, gas etc. c) All tools & equipments required for the job. d) Transportation & Accommodation of personnel engaged in the work.

6. The Contractor / bidder must visually / physically check / inspect the parts to be replaced / attended prior to bidding.

7. Shortest time for executing works especially installation and cladding is a credit to the bidder. Dismantling, erection, insulation work should be carried out during maintenance stoppage of maximum 21 days.

8. The Contractor is to provide an experienced Engineer to be available on site supervision, safety and co-ordination of the work.

9. The Contractor is responsible for the scaffolding system that will serve both the cladding and insulation job in addition to facilitating the dismantling and instalation of the erection job.

11 11. The Owner shall pay to the Contractor all amounts due in accordance with payment terms are mentioned in the Conditions of

ENGINEER:

Means the Engineer has been delegated/authorized by the Owner to supervise execution of the Works at the

Site as per clause 2-25 ( Engineer’s duties) in the Conditions of Contract.

SUB- CONTRACTOR:

Means any person/s (other than the

Contractor) to whom any part of the

Works has been sub-let with the consent of the Owner.

TEMPORARY WORKS:

Means all temporary accommodation, offices, workshops, stores, installation, and equipment of every kind required by the Contractor for execution and completion of the Works.

CIVIL CONSTRUCTION:

Means the construction and execution of all civil, structural and building works, including all subsurface preparation, excavation of foundation and structural steelworks, surfaces, infrastructure etc. as required for the

OWNER'S ACTIVITIES:

The Contractor shall, in accordance with the Engineer's requirements, arrange his work in a manner so as to afford to any other contractors engaged by the Owner all reasonable opportunity for required access and performance of their works.

WORKS NOT IN ACCORDANCE

Where any portion of the Works is, in the opinion of the Engineer, not in accordance with the Contract he may at any time during the execution of the

Works decide the followings: a. Reject such portion of the

Contractor or his Sub-Contractor or any other contractors employed at the site or other events in the nature of force major wholly and demonstrably beyond his the control unexpected and without the fault or negligence by the Contractor , and any Sub-Contractor/s.

All operations necessary for the execution of the Works shall, so far as compliance with the requirement of the

Contract permits, be carried on so as not to interfere unnecessarily or improperly with the convenience of the public of properties whether in the possession of the Owner or of any other person. The Contractor shall save harmless and indemnify the

Owner in respect of all claim, proceedings, damages, costs, charges and expenses whatsoever arising out of, or in relation to, any such matters in so far as the Contractor is responsible therefore.

The Contractor shall, in all matters arising in the performance of the Contract,

Conform in all respects with the provisions of any Qatari Statue, Ordinance or other Law or any Regulation or by-law of any local or other duly constituted authority that shall affect the Contractor in performance of his obligations under the Contract, and shall keep the Owner indemnified against all penalties and liability of every kind for breach of any such stature ordinance, Law,

Regulation or by-Law. The Contractor shall not make use of any explosives without of the express permission in writing of the police and other authorities concerned.

From time to time during the progress of the Works, the Contractor shall clear away and remove from the site all surplus materials and rubbish, and on completion of the Works all contractor's equipment and shall leave the whole of the site and works clean in a workman like condition to the reasonable satisfaction of the Owner and follow local municipal rules and regulations

TIME FOR COMPLETION:

Time for Completion of the Works is defined in the Form of Agreement.

PENALTY FOR DELAY:

If the Contractor shall fail to complete the Works in accordance with the

Contract within the Time for Completion, the Owner shall be entitled, on giving to the

Contractor within a reasonable time notice in writing , to reduct from the total Lump sum price of the Contract a penalty for delay of

QR. 3000 of each day or part of such day of such delay up to maximum of 10% of the total value of the Contract. that shall not relieve the Contractor from any other of his obligations under the Contract.

DEFECTS BEFORE PROVISIONAL

ACCEPTANCE

If, in respect of any department, group or section or portion of the Works i.e. all equipment whether supplied new, reinstated or repaired not yet provisionally accepted, the Engineer shall at any time:

2/26/1 of approval by the Engineer shall be reflected in the Time for Completion. The

Engineer shall supervise engineering works as well as execution of the Works on the site.

The Engineer shall have to issue the relevant certificates as stipulated below on behalf of the Owner :

Certificate for approval Engineering works, Designs and Drawings;

Certificates for execution of Civil and structural works.

Certificates for execution of

Installations works and

Commissioning;

Certificates of Provisional

Acceptance (taking over);

Certificate of Final Acceptance.

The Engineer's duties in general are to watch and supervise the execution and testing of any part of the Works or workmanship employed in connection with the Works. To approve any interim payment certificate against the executed works on the Site and any extra payment to the Contractor to make any variation to the Works.

The Contractor shall take full responsibility for the care of the Works or any department, group or section thereof until the date of the Provisional

Acceptance Certificate issued in respect thereof and in case any damage or loss shall happen to any portion of the Works not taken over as aforesaid, from any cause whatsoever, the same shall be made good by and at the sole cost of the Contractor and to the satisfaction of the "Owner" . The

Contractor shall also be liable subject to

ACCIDENTS OR INJURIES TO

WORKMEN

The Contractor shall indemnify the

Owner against all actions, suits, claims demands, costs or expenses arising in connection with death or injuries suffered by persons employed by the

Contractor or his Sub-Contractors on the Works, whether by law or under any status dealing with the question of the liability of employers for injuries suffered by employees.

LIMITATION OF LIABILITY

LIMITATION OF LIABILITY .

The liability of the Contractor to the

Owner under section2-26 (Liability for

Accidents and Damage) for any act or default shall be limited to 10% of the total Lump sum Price and shall be covered under the performance bond.

The Contractor shall have liability to the Owner in respect of any loss or damage to property, which shall occur during the period of execution of the

Works up to Final Acceptance.

The Contractor shall be liable for defects in the Civil Works with in 10 years from the Final Acceptance date of the Works.

OWNER NOT LIABLE FOR THE DAMAGE

TO THE CONTRACTOR'S EQUIPMENT :

The Owner shall not at any time be liable for the loss or damage to any of the said Contractor’s equipment, temporary works or materials deemed to be intended for the execution of the

2/27/3 URGENT REPAIRS:

If, by reasons of any accident or failure or other event occurring to, in or in connection with the Works or any part thereof, either during the execution of the Works or during the Liability Period, any remedial or other work or repair shall, in the opinion of the

Engineer, be urgently necessary for the safety of the Works and the Contractor is unable or unwilling at once to do such work or repair, the Owner may employ and pay other persons to carry out such work or repairs the Engineer may consider necessary. If the work or repair so done by the Owner is work which, in the opinion of the Engineer, the Contractor was liable to do at his own expense under the Contract, all expenses properly incurred by the Owner in so doing shall be recoverable from the

Contractor by the Owner, or may be deducted by the Owner from any monies due or which may become due to the

Contractor, provided always that the Engineer, as the case may be, shall, as soon after the occurrence of any such emergency as may be reasonably practicable, notify the Contractor thereof in writing

The Owner and the Contractor shall treat the Contract and everything contained therein as private and confidential and copyright shall be considered.

In particular, the Contractor shall not publish any information, drawings or photograph concerning the Works and shall not use the Site for the purpose of advertising except with the written consent of the Owner.

FACILITIES FOR PERFORMANCE TESTS

The Owner, except where otherwise specified, shall provide free of charge subject to the provisions of Clause 27-

5 (Consequences of Failure to Pass

Tests on Completion) such electricity, fuel, water, raw materials, stores and labor for operation as may be requisite.

The Contractor shall for all reasonable tests necessary in the opinion of the

Engineer provide such assistance, instruments, machines, labor (except labor for operation) and materials (except raw materials) as are normally required for examining, measuring and testing the Plant as well as determining the quality, weight or quantity of any material used .

The whole cost of any test ordered by the Engineer and/or requested in the conditions of Contract shall be borne by the Contractor.

REPEAT TESTS

If any portion of the Works fails to pass the tests, tests of the said portion shall as required by the Engineer be repeated within a reasonable time upon the same terms and conditions.

During the Defect Liability Period the

Contractor shall forthwith carry out any defect or damage may be appeared on his expenses as defined herein under:

MAKING GOOD DEFECTS:

The Contractor shall be responsible speed at his expense any defects and/or damage to any portion of the

Works including all equipments which may appear or occur during this period of which arises either: a) From any defective materials, workmanship, design, or insufficient assessment and Investigations; b. From any act of omission of the contractor done or omitted

during the said period.

If any such defect shall appear or damage occur, the owner shall forthwith inform the Contractor thereof; stating in writing the nature of defect or damage. The Contractor shall forth with provide with all required materials, workmanship on his expense for making good defects either by replacement or renewal of any defects or damage to any portion of the Works or equipments in partial or in complete.

EXTENSION OF DEFECTS LIABILITY

The provision of this clause shall apply to all replacements or renewals carried out by the Contractor as if the replacements and renewals has been taken over on the date they were completed and accepted.

The defects liability periods for the works shall be extended by a period equal to the period during which the works can not be used by reason of that defect of damage but not so as (in the case of any further defects or damage to such portion occurring during any such extension), to extend the Defect liability Period for the Works or that portion beyond two years from the Date of

As soon as the Works have been completed in accordance with the

Contract and have passed the Completion of Erection, the Tests on the

Completion/Performance Tests and the expiry of the Defects Liability Period as the said section 2-24, the Owner shall issue a certificate to the Contractor (Final

Acceptance Certificate) in which he shall certify the date on which the Works have been so completed and have passed the said tests.

EXAMINATION OF WORK BEFORE

COVERING UP

No work shall be covered up or put out of view without the approval of the

Engineer and the Contractor shall afford full opportunity for the Engineer to examine and measure any work which is about to be covered up or putout of view and to examine foundations before permanent work is placed thereon. The Contractor shall give due notice to the Engineer whenever any such work or foundations is or are ready or about to be ready for examination and the

Engineer, shall without unreasonable delay attend for the purpose of examining and measuring such works or of examining such foundations.

Contract total price shall be paid against interim certificates by the

Contractor in accordance with the progress of the at site and each interim certificate shall be approved by

Engineer & the Owner.

SETTLEMENT OF DISPUTES:

In case of any dispute arising between the Contractor and the Owner, the two parties shall first make an attempt to settle the same amicably as early as possible. If the dispute cannot be settled within 2 months of the its arising the same then shall be referred to the Qatari Court(s). No question, dispute or difference arising between the Contractor and the Owner under the Contract shall be referred to the Qatari Court (s) unless an attempt has first been made to settle the same amicably within the said two months.

APPLICABLE LAW :

The Contract shall be governed by law and the latter shall be Applicable.
