Instruction Booklet
This instruction booklet walks you through completing your Parents’ Financial Statement
(PFS) as part of your application for financial aid for the 2014-15 academic year.
Apply online at sss.nais.org/parents.
Step 1: Prepare to Apply
Find out from each school its application deadlines and requirements. Then gather any
materials you will need to reference as you answer the questions in the PFS.
Step 2: Complete Your Online PFS
From your PFS Online Dashboard, choose to begin a new PFS for the academic year for
which you are applying. As you work, you can stop and save your work at any time then log
in again using your email address and PFS Online password.
Step 3: Pay For and Submit Your PFS
Once you have completed all the fields of the PFS, on the Pay and Submit screen you
will choose your method of secure payment ($41.00). Once you submit your PFS, your
information is sent immediately to schools. It cannot be withdrawn from the PFS system
and your money cannot be refunded.
Step 4: “Manage” Any Additional Documents You Must Submit
On the Manage Documents screen, you can see what additional documents you should
submit to SSS as part of your application, track the receipt of documents you submitted,
and upload documents from your computer.
Step 5: View your Family Report
After you have paid for and submitted your PFS, SSS processes your information
immediately and sends your PFS and Estimated Family Contribution to all of the schools
you selected. Each school makes its own financial aid decisions, but uses SSS’s estimate as
a starting point. You can log back in to PFS Online and View Your Family Report to read
about how SSS calculated your Estimated Family Contribution.

Technical Considerations
• Your Internet Browser: The following browsers and PDF Reader versions are the minimum required to
successfully view and work within Parents’ Financial Statement Online:
Internet Explorer 8
Firefox 10
Opera 16Safari 5
Chrome 29
Adobe Reader 5.0
• Choose the Correct Academic Year: At some points during the year, SSS may have applications open for
two academic years. Remember to choose the application for the academic year in which you are applying
for financial aid. It’s important to note that refunds are not available for applications submitted for the
incorrect calendar year.
• How to Return to Your Application at a Later Date: You do not have to finish your PFS in one sitting. To
return to it, from the SSS Website for Families (sss.nais.org/parents), enter the PFS Online then login. If you
have forgotten your password, click on “Forgot My Password.”
• “Save and Continue” vs. “Save and Finish Later” Buttons: At the bottom of every screen in the PFS
Online, you’ll see two “save” buttons. If you press “Save and Finish Later,” you will leave the PFS Online.
You should press this if you are finishing your session and wish to log out. If you have completed the page
and wish to move on to the next, press “Save and Continue.” Note that if you haven’t finished answering all
the questions on that page, you will be prompted to do so. If an answer doesn’t apply to you, fill in a zero.
Don’t leave it blank.
• The Back Button: Do NOT use the back button on your Internet browser. Instead, use the back button at
the bottom of the page. Data may be lost if you use the browser back button.

Tips to Avoid Common Errors
3
Step Two: Complete Your PFS
Tips to Avoid Common Errors
1. If you must go backward in the application, use the “back” button at the bottom of the screen. If you use
your Internet browser “back” button at the top of your screen, you may lose information.
2. Zero counts! Enter a zero if a question does not apply to you. Do not leave the answer blank.
3. Whole numbers only. When entering numbers please use only whole numbers: no decimals or cents.
Rounding to the nearest whole number is acceptable.
4. Offer explanation when requested, so a school can better understand your answer or situation.
5. Applicants vs. Dependents. Questions about “student applicants” refer to your children who are applying
for financial aid using the PFS you’re completing. Questions about “other dependents” refer to the children
(or adults) for whom you provide support who ARE NOT applying for financial aid.
6. Choose the right school. In the Select Subscriber School section, choose the exact school you wish to apply
to, in the correct city and state. Many schools have similar names.
7. Salary vs. profit. In the Family Income section, if you are a business owner or farm owner, in the questions
about “salary,” enter only the amount you draw as salary. You will provide information about profit/loss
elsewhere in the PFS.
8. Rent. In the Family Assets and Debts section, if you rent your residence, enter the total rent you pay for the
whole year, not the amount you pay each month.
9. Paying by waiver? Enter a fee waiver code exactly as it was provided to you by a school. It should have eight
(8) characters. An incorrect code will delay processing your PFS.
10.Use the cover sheet. If you opt to mail in additional required documents to SSS, use a required documents
cover sheet, which you can print from the PFS Online. This allows us to match your documents to your
application.
11.Mail early. If you opt to mail in additional required documents to SSS, do so at least 10 days before the
school deadlines to allow for mail delivery and SSS processing time.

FAQ
What is School and
Student Services (SSS By
NAIS)?
SSS is a financial aid services provider. SSS is owned by the National Association of
Independent Schools (NAIS), a nonprofit membership association. Many private schools use
SSS to help them assess a family’s ability to pay school costs. SSS helps schools make objective
and fair financial aid decisions. The philosophy behind the SSS process is that parents are
primarily responsible to finance their child’s education to the extent they are able.
What is the Parents’
Financial Statement (PFS)?
The PFS is the cornerstone of your financial aid application. When you submit your PFS,
you are granting SSS permission to analyze your financial information. We analyze your
income, expenses, assets, and debts. Then we estimate the amount you can contribute to school
expenses. We send that estimate to the schools you indicate. Schools use that estimate as a
starting point to determine financial aid awards. Each school makes its own financial aid
decisions, taking into consideration its budget and financial aid policies.
Is my information safe?
Yes. The process we use at SSS to protect your information meets the most rigorous standards.
Schools are also encouraged to keep information private and to allow access to as few people as
possible.
How long does it take
SSS to send my results to
schools?
It may take up to 24 hours for schools to receive your online PFS. If you apply online, schools
get your results in 24 hours.
How much does it cost to
submit a PFS?
The price to submit a Parents’ Financial Statement (PFS) online for Academic Year 2014-15 is
$41.00.
Can I change the
information after I submit
the PFS?
Yes. You can submit changes via the PFS Online at sss.nais.org/parents. There is no fee to make
a change.
Can I add a school after I
submit the PFS?
Yes. There is no fee to add a school.
Can I withdraw my PFS
after I submit it?
No. Once you have submitted and paid for your PFS, it cannot be withdrawn from the SSS
system and your fee cannot be refunded. If you no longer wish to apply for financial aid,
contact your school(s).
Are there any other forms I
must complete?
Many schools require that you submit information in addition to the PFS, such as tax forms.
Check with the school(s) to which you are applying to see what is required, where you should
send it, and by what date.
How can I submit tax forms
if I haven’t completed them
yet?
Schools realize that tax forms are not available until January or later and usually set their
requirements accordingly. Be aware of each school’s specific requirements. For example, a school
may ask you to submit a 2012 tax document and then later to submit a 2013 tax return. Or a
school may set a later deadline for the submission of the 2013 tax return.
How do I know if SSS has
received my mailed-in
documents?
You can go to the PFS Online at sss.nais.org/parents to track whether your documents have
been received. Please allow 10 days for your documents to be received and processed.
What if I am not the parent
of the student applicant?
If you are financially responsible for the student, complete the PFS (fill in the section for
Parent A) and include a description of your relationship to the child.
5
Step Two: Complete Your PFS
What if I am divorced?
SSS considers divorced parents living apart to be separate households, and as such, each parent
should complete a separate PFS. Check with each school to confirm what it requires.
What if I have more than
one child?
Using the PFS Online, you can enter application information for all your children who are
applying for financial aid using a single application. You do not need to complete a separate
PFS Online for each child.
What if I do not know the
exact amount in response
to a question?
Enter your best estimate. Enter a zero (0) if no other amount applies. Do NOT leave items
blank. Do NOT enter symbols, such as >, <, ~, or N/A, or words such as “none,” or “unknown.”
If you estimate, for any question, that your 2014 amounts will differ by $5,000 or more from
amounts for 2013, please be sure to itemize.
If I applied last year, do
I have to fill out another
PFS?
Yes, you should file a new PFS for every year that you apply for financial aid. You will be able
to transfer information from the previous year’s application to speed up the process.
Where can I get help?
Call (800) 344-8328 or email sss@nais.org with questions. From outside of the US or Canada
dial (952) 967-9922. Call the school directly if your question involves their requirements or
awards.
Where do I include parents’
educational loans?
Report these as part of your answer to Question 17, “Debts.” Specify in the Notes section for
this question how much of the debt you’re including in your answer is specifically for parents’
educational loans.
What is Consumer Debt
and how is it used in the
calculation?
In Question 18, you are asked to report your credit card debt. Given the variety of types of
spending that credit cards can be used for, SSS does not factor this into the calculation of
your family contribution. However, schools may use this information in different ways. Enter
your total outstanding balances then and use the Notes section to specify the main types of
purchases that these cards were used for.
What should I include as
“Unusual Expenses”?
In Question 24, you are asked to total your “unusual expenses.” Below the question, click the
link to see a list of the types of expenses that should and should not be included. In the Notes
section for this question, write an explanation so that a school can make the decision about
whether to consider these expenses.
How do I complete the
income section without my
tax forms being available
yet?
Schools realize that most tax forms are not available until late January, and usually set their
requirements accordingly. Be aware of each school’s requirements. Some may ask you to submit
a 2012 tax document and then to submit your 2013 return later. Using your best estimates on
the PFS is acceptable if your 2013 tax information is not yet finalized.
How do I compress files
that are too large to
upload?
Some scanners create very large PDF files that may be difficult to upload. Fortunately, there
are a number of free software tools available to compress these into smaller files. Just Google
“compress PDF” for a variety of options. And as always, you can bypass uploading altogether by
simply printing a cover sheet and mailing your documentation. Just make sure your materials
are sent 10 days prior to the application deadline.
6
Step Two: Complete Your PFS
Use this question-by-question guide below to complete the PFS fully and accurately. While all fields on the PFS are required,
the items marked below with an asterisk (*) are particularly critical. We cannot begin to process your application if you do not
fill in these questions. Note: References to tax form line numbers below may vary slightly from the actual line numbers on
2013 tax forms.
Household Information
1 Parent/Guardian A and B: Fill in the contact information exactly as you do on tax and other official forms. If your name
has a suffix, put it at the end of your “Last Name,” separated by one blank space. Include an email address, so we can send
you a confirmation that we have received your PFS. If either parent has more than one job, please identify.
2 Other Parent: Complete Question 2 only if the student applicant(s) has another living biological or legal (adoptive)
parent that you did not include in Question 1. Any noncustodial parent or parent with joint custody in separate
households should be listed here, but he/she must also complete a separate PFS. Be sure your answers to the remainder of
the questions in the PFS only pertain to the parents/guardians in your household.
Applicant Information
3 Names of Student Applicant(s): In this section, enter information only about students who are applying for financial aid
at SSS subscriber schools. Do not include your other dependent children who are not applying for aid.
4 Applicant Lives With: Check all boxes that apply to the current family situation. If neither of the adults listed in Section
A is the student’s parent or legal guardian, check “Other” and explain in the text box.
5 School Selection: For each applicant, fill in this section completely so we may send your report to the correct schools.
Enter the SSS code(s) and complete name(s) and state(s) of the schools and organizations to which we should send copies
of your family’s report. Find SSS codes listed on page 8 in this booklet. If a school/organization is not listed, contact the
school/organization or find an updated list at sss.nais.org/go/ssscodes.
Family Income
Note: Schools may also ask you to submit tax schedules and other forms as part of your application.
6A 2013 Tax Return: It is preferred, but not a requirement, that you have completed your 2013 tax return in order to
complete this PFS. If you have not yet completed it, check “No” and use your best estimate to answer questions.
6B Income Tax Filing Status: If Parent/Guardian A and B have different tax filing statuses, enter in 6B the answer based
on Parent/Guardian A. Then indicate Parent/Guardian B’s tax filing status. Refer to lines 1 -5 on your IRS 1040 or
1040A.
6CExemptions: If Parent/Guardian A and B file tax forms separately, enter the total amounts claimed/reported on both tax
returns. Refer to line 6D on your IRS form 1040 or 1040A.
6D Itemized Deductions: If you filed a Schedule A along with your tax return, your Schedule A, line 29 will show your “total
itemized deductions.” If you did not file a Schedule A, enter 0. If Parent/Guardian A and B file taxes separately and both
filed a Schedule A, enter the total from both forms.
6E Federal Tax Paid: If you filed a Form 1040, find this amount on line 60, “Total Tax.” If you filed a Form 1040A, it is on
line 28, “Tax.” If you filed a Form 1040EZ, it is on line 11, “Tax.” (Do NOT enter the amount you were refunded or the
amount you underpaid. Do NOT enter the amount labeled “federal income tax withheld,” because the amount that is
withheld is not always what you actually need to pay.)
7A-7B Taxable Salaries and Wages: Enter taxable wages and salaries including tips, drawing accounts from self-employment,
and other employee compensation before payroll deductions. Look at your W2 given to you by your employer. In Box 1,
you will find your Total Salaries or Wages. If you have more than one W2, add the amounts and enter the total.(If you own

the net value of taxable and nontaxable investments here. That will be reported in Section D: Family Assets. Refer to
total of lines 8a, 8b, and 9a on your IRS 1040 or 1040A.
7DAlimony: Your Form 1040, line 11 shows the alimony payments you received. Enter that amount here. (Do NOT enter
child support here; you will enter that in the “Total Nontaxable Income” section.)

PFS. In your total, include income you received from pensions, annuities, rental properties, royalties, estates or trusts,
household expenses paid in lieu of alimony, unemployment compensation benefits, capital gains, and taxable social security
benefits. These amounts are all listed in the Income section of your Form 1040 or 1040A. Also include income taxable
distributions from your Individual Retirement Account (IRA) received in 2013. If you report any amount other than zero,
please provide an explanation in the text box.
7F Untaxed Portions of Payments to an IRA: If you made payments into an Individual Retirement Account (IRA) or a
Roth IRA, line 32 of your 1040 or line 17 of your 1040A will show the total untaxed portion of your salary or wages paid
into them. If you made no payments into an IRA or Roth IRA, enter zero (0).

this number and subtract what you reported in Questions 7F and 7G. Enter the difference in 7H. If you took no such
adjustments, enter zero (0). If you enter in a figure greater than zero (0), itemize the types of adjustments.

Applicants A, B, and C. Then total that amount. Do not leave this section blank. Please be realistic about the amount you

helpful for financial aid officers to have an amount that the family realistically feels it can pay for tuition.
21 Educational Expenses and Sources of Payment: Enter the educational and childcare costs for ALL your children, and

(PFS) or SSS by NAIS (the “Service”), and are entered into between you (in your individual
capacity and in your capacity as a representative of any entity on whose behalf you are acting)
(“You” or “Your”) and the National Association of Independent Schools (“NAIS”, “us,” “our,”
or “we”). By submitting this Parents’ Financial Statement and therefore entering into this
Agreement, You agree (i) that You are at least 18 years of age or older, (ii) that Your use of the
Service is subject to the terms of NAIS’s privacy statement available on the SSS by NAIS website
at sss.nais.org (the “Privacy Statement”), and (iii) to comply with the terms of the Acceptable
Usage Terms set forth hereto and incorporated herein by reference.

LIABILITY AND A BINDING ARBITRATION PROVISION, WHICH PROVIDES THAT THE PARTIES
AGREE TO RESOLVE DISPUTES THROUGH BINDING ARBITRATION AND WAIVE CERTAIN
RIGHTS, SUCH AS THE RIGHT TO A JURY TRIAL AND THE RIGHT TO BRING A CLASS ACTION.

of this Agreement, or by ordering or using the Service, You are agreeing to be bound by all the
terms and conditions of this Agreement, including all of its components.

such electronic certifications have the same force and effect as if made in a manually signed
certification. You further agree that the school[s] that receive this information are authorized
to print financial aid applications and shall have the right to print “signature on file” or other
similar text on the hard copy on which such certification is required.
2.3 To take necessary steps to adequately store and maintain Your files and data. NAIS will not
be responsible for the cost of reconstructing files or data lost or destroyed.

in connection with your use of the Service is accurate, complete, and current, and meets all

you agree to provide current, complete, and accurate information about yourself. If any
information You provide is untrue, inaccurate, not current, or incomplete, NAIS and/or the

in such cases NAIS also will have the right, without limiting any of its other rights or remedies,
to decline to provide You with the Service in the future.

to all copyright, trademark, service mark, and any other intellectual property rights in and to
the Service, and any derivative works thereof. You do not acquire any other rights, express or
implied, in the Service other than those rights expressly granted under this Agreement.

QUALITY, ACCURACY, TITLE OR NON-INFRINGEMENT, AND ANY WARRANTIES THAT MAY ARISE
OUT OF COURSE OF PERFORMANCE OR COURSE OF DEALING. Neither NAIS nor its third party
vendors or service providers warrants that the Service will satisfy all of the requirements of any
participating school, that the Service, as accessed and used by an applicant, will be properly or
timely submitted to any designated school, or that the Service, including any data generated

or Your first use of the Service and shall remain in effect until terminated unless otherwise
provided herein. NAIS reserves the right to terminate the Service at any time and for any
reason. Without limiting the foregoing, NAIS may terminate this Agreement upon notice to you
in the event that You breach any of the provisions hereof. Upon termination of this Agreement,
You agree to cease using the Service, including any associated forms. Except for the license
granted herein, or as otherwise expressly provided herein, the terms of this Agreement will
survive termination.
2.8 That Your confidentiality obligations will survive the termination of Your use of the Service.
We may also, at any time and in our sole discretion, without notice, change, add to or remove
portions of the Service and/or institute or otherwise change fees and charges for the Service.
If You are dissatisfied with the Service after such changes, your only right and remedy is to
cancel this Agreement. NO REFUNDS WILL BE GIVEN. In addition, we may revise or replace this
Agreement and/or any of its components at any time in our sole discretion through the posting
of these terms and conditions on the NAIS website. Your or any user’s continued use of the
Service following our transmission of notice of such changes will be deemed to constitute Your
acceptance of any such changes.

materials either electronically and / or in paper. INDIVIDUALS MUST TRACK THEIR OWN
APPLICATIONS AND INFORMATION TO ENSURE THAT APPLICATIONS ARE RECEIVED BY THE
CORRECT SCHOOLS IN A TIMELY AND COMPLETE FASHION.
You agree that NAIS may terminate your password, account, or use of the Service in NAIS’s sole
discretion for any reason. All notices you give to us shall be in writing and shall be made either
via email or conventional mail. In addition, NAIS may post notices or links to notices through
the Service to inform you of changes to the Terms, the Service, or other matters of importance.

6.2 You are responsible for maintaining the confidentiality of your account and password and
for restricting access to your computer, and You agree to accept responsibility for all activities
that occur under your accounts or passwords. You will restrict unauthorized users from
gaining access to the Service through Your use of the Service. You agree to immediately notify
22
NAIS of any unauthorized use of Your account or any other breach of security known to You.
All schools are responsible for the appropriate use and access of this system by the multiple
usernames and passwords of their school subscription.
7. DISPUTE RESOLUTION
In the event that a legal dispute arises concerning this Agreement, You agree that the following
rules apply:
7.1 Arbitration for Resolution of Disputes. IT IS IMPORTANT THAT YOU READ THIS ENTIRE
SECTION CAREFULLY. THIS SECTION PROVIDES FOR RESOLUTION OF DISPUTES THROUGH
FINAL AND BINDING ARBITRATION BEFORE A NEUTRAL ARBITRATOR INSTEAD OF IN A COURT
BY A JUDGE OR JURY OR THROUGH A CLASS ACTION. YOU CONTINUE TO HAVE CERTAIN
RIGHTS TO OBTAIN RELIEF FROM A FEDERAL OR STATE REGULATORY AGENCY.
7.2 Binding Arbitration. The arbitration process established by this section is governed by
the Federal Arbitration Act (“FAA”), 9 U.S.C. 1-16. The FAA, not state law, shall govern the
arbitrability of all disputes between Insight regarding this Agreement and the Service. You
have the right to take any dispute that qualifies to small claims court rather than arbitration.
However, all other disputes arising out of or related to this Agreement (whether based in
contract, tort, statute, fraud, misrepresentation or any other legal or equitable theory) must
be resolved by final and binding arbitration, unless provided otherwise in this Agreement. The
arbitration will be conducted by one arbitrator using the procedures described by this Section.
If any portion of this Dispute Resolution Section is determined to be unenforceable, then the
remainder shall be given full force and effect. The provisions of this section shall survive
termination, amendment, or expiration of this Agreement.
7.3 The Arbitrator. A single arbitrator will be selected in accordance with the rules of the
American Arbitration Association (the “AAA”). The arbitration will be conducted under the
applicable procedures and rules of the AAA that are in effect on the date the arbitration is filed
unless this Section is inconsistent with those procedures and rules, in which case, this Section
will prevail. These procedures and rules may limit the amount of discovery available to You or
NAIS. The arbitrator will apply applicable statutes of limitation, will honor claims of privilege
recognized by law, and will take reasonable steps to protect customer account information
and other confidential or proprietary information, including the use of protective orders to
prohibit disclosure outside the arbitration, if requested to do so by You or NAIS. The arbitrator
will make any award in writing, but need not provide a statement of reasons unless requested
by a party. Upon a request by You or NAIS, the arbitrator will provide a brief statement of the
reasons for the award. An award rendered by the arbitrator may be entered in any court having
jurisdiction over the parties.
7.4 Amount of Dispute. The arbitration of any dispute involving $10,000 or less shall be
conducted in accordance with the Consumer Arbitration Rules of the American Arbitration
Association (“AAA”), as modified by this Agreement, which are in effect on the date a dispute
is submitted to the AAA. The AAA’s Commercial Arbitration Rules and fee schedules will apply
to any disputes in excess of $10,000. You have the right to be represented by counsel in
arbitration. In conducting the arbitration and making any award, the arbitrator shall be bound
by and strictly enforce the terms of this Agreement and may not limit, expand, or otherwise
modify its terms.
7.5 No Class Action or Consolidated Proceedings. NO DISPUTE MAY BE JOINED WITH ANOTHER
LAWSUIT, OR IN AN ARBITRATION WITH A DISPUTE OF ANY OTHER PERSON. All parties to the
arbitration must be individually named. THERE SHALL BE NO RIGHT OR AUTHORITY FOR
ANY CLAIMS TO BE ARBITRATED ON A CLASS ACTION OR CONSOLIDATED BASIS OR ON BASES
INVOLVING CLAIMS BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF
THE GENERAL PUBLIC (SUCH AS A PRIVATE ATTORNEY GENERAL), OTHER SUBSCRIBERS, OR
OTHER PERSONS SIMILARLY SITUATED. You understand and acknowledge that by consenting
to submit claims to arbitration pursuant to this Agreement, You may be forfeiting your right
to share in any class action awards. This Section will not apply to any individual claims filed
by You in a lawsuit prior to the effective date of this Agreement, nor to the claims of a class
certified prior to the effective date of this Agreement. This Section will apply to all other
claims, including class claims where a class has not yet been certified, even if the facts and
circumstances upon which the claims are based occurred or existed before the effective date of
this Agreement.
7.6 Limitation of Available Damages. THE ARBITRATOR MAY NOT AWARD DAMAGES THAT
ARE NOT EXPRESSLY AUTHORIZED BY THIS AGREEMENT AND SUPPORTED BY ADMISSIBLE
EVIDENCE, AND MAY NOT AWARD PUNITIVE DAMAGES OR ATTORNEYS’ FEES, UNLESS SUCH
DAMAGES ARE EXPRESSLY AUTHORIZED BY A STATUTE. YOU AND NAIS BOTH WAIVE ANY
CLAIMS FOR AN AWARD OF DAMAGES THAT ARE EXCLUDED UNDER THIS AGREEMENT.
NOTHING IN THIS AGREEMENT LIMITS THE ARBITRATOR’S AUTHORITY TO AWARD DAMAGES
THAT ARE THE DIRECT RESULT OF NAIS’S WILLFUL MISCONDUCT. Notwithstanding the
limitations set forth in this subsection, should it become necessary to resort to court
proceedings to enforce a party’s compliance with the dispute resolution and arbitration process
set forth herein, and the court directs, orders or otherwise requires compliance herewith, then
all of the costs and expenses, including its reasonable attorneys’ fees, incurred by the party
requesting such enforcement shall be reimbursed by the non-complying party to the requesting
party. This Section does not prevent either party from seeking interim injunctive relief from
a court in order to preserve the status quo or to protect assets until the arbitration has been
commenced and the arbitrator has an opportunity to consider the matter of interim relief.
date You or NAIS is notified by the other of a dispute, then either party may then contact the
AAA in writing at AAA Service Center, 335 Madison Avenue, 10th Floor, New York, NY 10017
and request arbitration of the dispute. Information about the arbitration process and the AAA’s
Arbitration Rules and its fees are available from the AAA on the Internet at http://www.adr.org/.
The arbitration will be based only on the written submissions of the parties and the documents
submitted to the AAA relating to the dispute, unless either party requests that the arbitration be
conducted using the AAA’s telephonic, on-line, or in-person procedures. Additional charges may
apply for these procedures. Any in-person arbitration will be conducted at a location that the
AAA selects in the state of your primary residence. Any arbitration shall remain confidential.
Neither You nor NAIS may disclose the existence, content or results of any arbitration or award,
except as may be required by law, to confirm and enforce an award, or to the party’s attorneys
and/or accountants.
7.8 Fees and Expenses of Arbitration. You must pay the applicable AAA filing fee when
submitting a written request for arbitration to the AAA. The AAA’s filing fee and administrative
expenses for a document arbitration will be allocated according to the AAA’s Rules. If You
elect an arbitration process other than a document (or “desk”) arbitration, You must pay
your allocated share of any higher administrative fees and costs for the process You select.
Unless applicable substantive law provides otherwise, each party will pay its own expenses to
participate in the arbitration, including attorneys’ fees and expenses for witnesses, document
production and presentation of evidence. The prevailing party may, however, seek to recover
the AAA’s fees and the expenses of the arbitrator from the other party.
7.9 Limitation of Claims. ANY CLAIM OR DISPUTE ARISING OUT OF OR RELATING TO THIS
AGREEMENT MUST BE BROUGHT WITHIN TWO YEARS AFTER THE DATE THE BASIS FOR THE
CLAIM OR DISPUTE FIRST ARISES.
7.10 Governing Law. THE LAWS OF THE COMMONWEALTH OF VIRGINIA (EXCLUDING ITS
CHOICE OF LAW RULES) WILL APPLY TO THE CONSTRUCTION, INTERPRETATION AND
ENFORCEMENT OF THIS AGREEMENT. This Agreement will not be governed by the United
Nations Convention on Contracts for the International Sales of Goods or the Uniform Computer
Information Transactions Act (UCITA) of any jurisdiction, the application of which is expressly
excluded.
7.11 Authorized Claims. NAIS and third parties who contribute to the Service may bring claims
against You for violations of this Agreement.
8. GENERAL TERMS
8.1 Limitation of Liability and Indemnification. In no event will either party be liable for any
indirect, incidental, special, consequential or punitive damages incurred by the other party,
including in an action in contract or tort, even if such party has been advised of the possibility
of such damages or if such damages are foreseeable. In no event will NAIS be held responsible
for the errors or omissions of any licensee of the Service nor shall NAIS be liable for any claims
or causes of action arising from any works or products that incorporate any aspect of the
Service. Except in cases involving the intellectual property of NAIS or its third party vendors, a
party’s liability for damages under this Agreement shall not exceed the amounts paid by You for
your use of the Service except as otherwise provided herein.
8.2 Severability and Waiver. If any provision of this Agreement is held to be illegal, invalid or
otherwise unenforceable, such provision will be enforced to the maximum extent possible
consistent with the stated intention of the parties, or, if incapable of such enforcement, will
be deemed to be severed and deleted from this Agreement, in which case the remainder of
this Agreement will continue in full force and effect. The waiver by either party of any default
or breach of this Agreement will not constitute a waiver of any other or subsequent default or
breach.
8.3 No Assignment. You may not assign, sell, transfer, delegate or otherwise dispose of,
whether voluntarily or involuntarily, by operation of law or otherwise, this Agreement or any
rights or obligations under this Agreement without the prior written consent of NAIS. Any
purported assignment, transfer or delegation by You will be null and void. Subject to the
foregoing, this Agreement will be binding upon and will inure to the benefit of the parties and
their respective successors and assigns.
8.4 Entire Agreement. This Agreement constitutes the entire agreement between the
parties with respect to its subject matter and this Agreement and supersedes all prior or
contemporaneous agreements, representations, or understandings, written or oral, explicit or
implied, concerning the subject matter of this Agreement.
8.5 Amendments or Modifications. NAIS reserves the right to modify or discontinue,
temporarily or permanently, the Service for any reason, at its sole discretion, with or without
notice to You. NAIS further reserves the right to amend or otherwise change the terms and
conditions set forth in this Agreement from time to time. Any such amendment or change
shall be posted in the form of an updated version of this Agreement, and your continued use
of the Service following any such amendment or change shall be deemed to constitute Your
agreement to be bound by such amended form of this Agreement.
7.7 Arbitration Information and Filing Procedures. Before You submit a dispute to arbitration
or to small claims court, You must first contact us and give us an opportunity to resolve the
dispute. Similarly, before NAIS takes a dispute to arbitration, we must first attempt to resolve
it by contacting You. If the dispute cannot be satisfactorily resolved within sixty days from the
