RECOMMENDATION By a single motion, take the following actions: 1. Authorize the Mayor to sign a construction contract with Striping Graphics for the installation of the approved all way stops based on their submitted bid of $26,086. 3. Approve the overall Estimated Construction Budget of $33,129 which includes the construction cost, a 15% contingency and monies for construction management and inspection. 4. Authorize the Public Works Director to execute any contract change orders so long as the total Project Cost does not exceed the total funding for this project in the adopted Estimated Project Construction Budget. 5. Determine the project to be exempt from the requirements of the California Environmental Quality Act. Agenda Report Page 2 BACKGROUND The subject of the possible installation of all way stops at various intersections, including the now added Intersection #11, was heard at the July 18, 2016 City Council meeting. During the discussion and public testimony, it was apparent that there was, in general, widespread support for the proposal and the goals of slowing traffic and increasing pedestrian safety. Many residents spoke of long standing issues at various intersections. The majority of speakers were pleased to see a pro-active proposal before the Council. While most speakers were supportive, some concern was expressed regarding an increase in the backup of traffic, the loss of parking, the necessity for change at all (in the case of Mountain & Dormidera) and the lack of public process There was also correspondence received from many residents regarding the subject. Of the intersection improvements identified in the report, seven (7) are drawn from the approved Pedestrian & Bicycle Master Plan (BPMP). The PBMP identified a total of 27 intersections as “Locations for Enhanced Street Crossings”. Pages 74 and 75 of the PBMP, along with the City’s status update of actions related to the 27 intersections, is attached as Exhibit A. The full BPMP can be found at the following location: http://www.ci.piedmont.ca.us/publicworks/docs/planning/bike-ped/final_PBMP_2014-11-03.pdf The seven intersections identified in the PBMP include the following (the corresponding identification number of the PBMP is noted in parentheses): Magnolia Ave., Nova Ave. & Wildwood Ave. (PBMP#17) Magnolia Ave. & Park View Ave. (PBMP#16) Magnolia Ave. & El Cerrito Ave. (PBMP#15) Wildwood Ave. & Prospect Ave. (PBMP#21) Wildwood Ave. & Highland Ave. (PBMP#23) Hampton Road & Sea View Ave. (PBMP#25) Hampton Road & St. James Dr. (PBMP #26) These intersections were identified because the proposal to install all way stops is relatively inexpensive compared to other intersection enhancements proposed by the PBMP. Additionally, since many of the proposed intersections are heavily traveled by students going to and from schools, the all way stops are an effective and expeditious way to manage traffic while increasing pedestrian safety as soon as possible. Since the adoption of the PBMP in 2014, the City has applied for grants to fund the development of the more expensive improvements. For the second year in a row the City of Piedmont has spent considerable time, effort, and money in preparing a grant application to the State of California for the Active Transportation Program (ATP) funds. Our ATP-2 grant application missed qualifying by one point. Subsequently, the city applied again for ATP-3 funds of approximately $3 million. Their decision is anticipated in the Fall of 2016 with funds not being available until 2019. Agenda Report Page 3 The three intersections supplementing those drawn from the PBMP include the following: Magnolia Ave. & Jerome Ave. Mountain Ave. & Dormidera Ave. (omitted pending further study) Hampton Road & Glen Alpine Ave. Blair Ave. & Scenic Ave. Staff explained that these intersections were included based on a history of repeated requests from local neighbors to both Police and Public Works, staff observations of high activity by children, safety issues noted by Police officers, known routes of students walking to schools, and knowledge of existing conditions of unusual street curve configurations, street slope, and sight lines. Again, the use of an all way stop, enhanced crosswalks, and signage is a costeffective method to increase safety as soon as possible while the city pursues funding for potential further enhancements. DISCUSSION Based on the directive of the City Council at the July 18, 2016 meeting, the City Engineer developed plans for inclusion of the intersection at Hampton Road and St. James Drive in the proposed list, and to include this in the solicitation of bids. Additionally, based on resident concerns expressed at the July 18th meeting, it was decided by staff to postpone a decision on the intersection at Mountain Ave. and Dormidera Ave. pending further study of both traffic and parking in this area. The diagrams for each of the proposed intersections prepared by the City Engineer is attached as Exhibit B. Based on the engineer’s estimate, and in accordance with the City’s purchasing policy, informal bids were requested from various contractors. Striping Graphics was the only contractor to respond. Their bid was $28,424. Deleting the costs for the Mountain Ave. & Dormidera Ave. intersection improvements ($2,338), brings the revised total contract to $26,086. Striping Graphics is a company that has done work for the City of Piedmont for over 20 years. They are fully qualified and have consistently completed projects for the city in a professional manner. The city’s standard contract is attached as Exhibit C. FISCAL CONSIDERATIONS Costs associated with this project will be paid through Measure B and Measure BB, Bike & Pedestrian Projects. City is a municipal corporation which needs certain services performed as more specifically set forth hereafter. 2. Independent Contractor agrees to perform these services for City under the terms and conditions set forth in this Contract. 3. Agenda Report Page 20 Exhibit C 6. Contractual Relationship The parties intend that an Independent Contractor-employer relationship will be created by this Contract. City is interested only in the results to be achieved, and the conduct and control of the work will lie solely with Independent Contractor. Independent Contractor is not to be considered an agent or employee of City for any purpose, and neither Independent Contractor nor any employees of Independent Contractor are entitled to any of the benefits that City provides for City's employees. It is understood that City does not agree to use Independent Contractor exclusively. It is further understood that Independent Contractor is free to contract for similar services to be performed for other cities, persons or entities while it is under Contract with City. Independent Contractor shall be fully responsible for all income, social security or other taxes or deductions, including but not limited to worker's compensation and unemployment deductions, relating to the services it performs for City. 7. Indemnity and Hold Harmless To the fullest extent permitted by law, Independent Contractor shall defend (with legal counsel reasonably acceptable to City), indemnify and hold harmless City and its officers, elected officials, employees, agents, and volunteers (collectively “Indemnitees”) from and against any and all claims, loss, cost, damage, injury (including, without limitation, injury to or death of an employee of Independent Contractor or its subconsultants), expense and liability of every kind, nature and description (including, without limitation, fines, penalties, incidental and consequential damages, reasonable court costs and attorneys fees, litigation expenses and fees of expert consultants or expert witnesses incurred in connection therewith, and costs of investigation), where the same arise out of, are a consequence of, or are in any way attributable to, in whole or in part, the performance of this Contract by Independent Contractor or by any individual or entity for whom Independent Contractor is legally liable, including but not limited to, officers, agents, employees, subcontractors or consultants of Independent Contractor. Neither termination of this Contract nor completion of the services shall release Independent Contractor from its obligations under this Section 7, as long as the event giving rise to the claim, loss, cost, damage, injury, expense or liability occurred prior to the effective date of any such termination or completion. 8. Insurance The following minimum levels of insurance coverage shall be provided during the term of this Contract. Prior to the execution of the Contract, Independent Contractor shall provide proof of insurance required. Independent Contractor shall provide City 30-day prior written notice of termination or material change in coverage and ten (10) days prior written notice of cancellation for non-payment. The City of Piedmont, its Council Members, directors, officers, agents and employees shall be named as additional insureds. Independent Contractor shall provide City with an additional insured certificate for each such insurance coverage. A. Worker’s Compensation Insurance. $1,000,000 Agenda Report Page 21 Exhibit C B. Public Liability and Property Damage Insurance. $5,000,000 (single limit per occurrence) Independent Contractor shall notify City within one (1) business day after it has been served or notified of any claim or legal action that in any way involves Independent Contractor, and the City of Piedmont, even if the City is not named in the claim or as a defendant in any legal action, if such notification comes to Independent Contractor from any source other than the City. Independent Contractor shall also promptly provide City, within the same time period set forth in the prior sentence, with copies of any document or information it has regarding such claim or legal action. 9. Assignability Independent Contractor shall not assign, delegate, or transfer any interest in this agreement nor the performance of any Independent Contractor's obligations hereunder, without the prior written consent of the City. 10. Miscellaneous As used in this Contract, the masculine, feminine or neuter gender, and the singular or plural number, shall each be deemed to include the others whenever the context so indicates. 11. Notices Any notices to be sent pursuant to this Contract shall be given in writing by prepaid U.S. certified or registered postage addressed to: City of Piedmont at 120 Vista Avenue, Piedmont, California 94611, and to Independent Contractor at 1364 N. McDowell Blvd, Suite 12, Petaluma, CA. 94954 or at such other address as each party shall give the other in writing from time to time, and notices shall be deemed received at the time of personal delivery or three (3) working days after being placed in the United States Mail, postage prepaid, certified mail, return receipt requested. 12. Governing Law This Contract shall be governed by the laws of the State of California. 13. Modification Any modification of this Contract will be effective only if it is in a writing signed by all parties to this Contract. 14. Time is of the Essence Time is of the essence in the performance of this Contract. 15. Termination The following provisions shall govern termination under this Contract: a. Either party may terminate this Contract for cause as follows: Agenda Report Page 22 Exhibit C b. (1) The party electing to terminate shall give the other party written notice of termination at least five (5) days prior to the termination date, setting forth very specifically the grounds for termination, the specific provisions of the Contract that have been violated, and a full statement of the facts surrounding the violations(s). (2) If the terminated party so elects, the parties shall meet promptly and make good faith efforts to resolve the violation(s) in a mutually agreeable way. (3) If any such violation cannot be resolved by the parties at such meeting, or at any mutually agreed extension(s) of such meeting, the termination shall proceed. (4) If the violation(s) have not been resolved, the terminating party may proceed with termination, and with retaining other person(s) or entities to provide services, if the terminating party is the City. Either party may terminate the Contract at any time without cause upon at least sixty (60) days prior written notice to the other party. In the event of any such termination by City, Independent Contractor shall be paid for services actually performed through the date of termination, and Contractor’s work shall be immediately discontinued as of that date, except that City may elect, at City’s option, to have Independent Contractor complete one or more projects or specific activities which are then in progress, in which case Independent Contractor shall be paid for such services until completion. If terminated by Independent Contractor, any assignment accepted by Independent Contractor prior to the notice of termination shall be completed if desired by City. 16. Equal Opportunity Independent Contractor shall insure that its policies and practices provide equal opportunity to all applicants and employees without regard to race, color, creed, gender , age, religion, national origin, sexual preference, gender identity, marital status, disability, Acquired Immune Deficiency Syndrome (AIDS), AIDS-Related Complex (ARC) and in addition, Independent Contractor must comply with the Americans with Disabilities Act. 17. Compliance with Laws Independent Contractor shall use the standard of care in its profession to comply with all applicable federal, state, and local laws, codes, ordinances, and regulations. Independent Contractor represents and warrants to City that it has and shall, at its sole cost and expense, keep in effect or obtain at all times during the term of this Contract any licenses, permits, insurance and approvals which are legally required for Independent Contractor to practice its profession. In my absence, I wanted to submit an email request: As the parent of an entering Wildwood kindergartner and a Jerome Avenue homeowner, I sincerely hope you will consider installing a cross-walk on Magnolia at Jerome. We moved here almost 2 years ago, and were thrilled to find a house within walking distance of the wonderful schools. Every morning during the school year, I watch as several of the neighborhood walking “school buses” meet in front of our house on Jerome at Nova and head up the hill to school. I have looked forward to my son joining his classmates (and their parents) in the walk to Wildwood. However our experience thus far in walking there has been fraught with concern about safety. Cars drive fast on Magnolia, and with the curves, it is difficult to cross safely. So many kids cross over in the area near Jerome that we really need a stop sign and cross-walk to insure their arriving at school safely. Having children walk to school seems like something to be encouraged; among other things, it reduces car traffic near the schools. Please consider this request for a stop sign on Magnolia at Jerome. There is a sign t be added to Blair and Scenic -- but there are two such intersection and Im hoping you refer to the lower one (makes sense), and not the one on top of the hill because there would only be like 150 feet between stops. 2. As someone ho lives on top of the hill (Bell Ave) I do a great deal of up and down on Blair and several other tight street which require traffic to go single file when you encounter traffic. Because no one seems to remember the state low that drivers going up have priority -- could you please consider installing a sign on several stop signs (or on separately) stating -- priority for upward drivers. Or I am sure there is a standard sign for this. Too often drivers barrel down the hill and get pretty annoyed when up traffic impedes their way. ANd to often there is a standoff (I don't create these situations - just note them when walking dog). Thank you and thanks for sign reviews. When my daughter started Middle School in 1999, I asked that a crosswalk be installed. Hopefully, now it will be. It is a dangerous intersection, not only for pedestrians, but also for drivers trying to turn onto Wildwood from Prospect. However, placing three more all-way stops at virtually every block going up Magnolia is unwarranted and will grossly disrupt traffic resulting in increased noise, increased auto exhaust and have a generally negative impact on resident’s quality of life at the all-way stops. Surely a plan can be devised that enhances pedestrian safety that is more in balance with the needs of all. An all-way stop is not needed at Magnolia – Park View; only a stop sign for those coming up from Park View is needed. Were an all-stop placed at Park View, literally cars would travel only a very short distance up Magnolia, literally nine houses, to get to the next proposed all-stop at Magnolia and Jerome. The next proposed all-stop at Magnolia – El Cerrito would literally be only seven houses up! Control traffic from the feeder streets onto Magnolia and slow traffic coming down by more passive means than stop signs. The issue of adequate sight lines to the proposed stop signs has net entered into the discussion; has this been confirmed? I am unclear what a “traffic warrant” is, though evidently it has significance as a Judge will summarily dismiss a warrant-less traffic citation. Few if any cited drivers would check if the stop is “warranted” and to cite drivers without proper legal justification at unwarranted all-stops is devious. Making a left turn from Prospect to Wildwood is always a risk.It is difficult to see approaching cars because of the curve in the road and the number of parked cars. The approaching driver is frequently driving much too fast for the area. A right turn is a little easier but sometimes a car coming down and making a left will not always see a car at the intersection, there is a redwood tree blocking view, and will have to break suddenly and hard. As the acting mayor, could you please tell me what the official city policy is with regards to enforcing stopping at stop signs for bicyclists? Will people on bicycles, whether going uphill or downhill on Magnolia, be allowed to ignore the stop signs or will they have to follow the same traffic laws as motor vehicles? They seem an economical way to improve traffic safety for both cars and pedestrians. Of course I am most interested in the stop sign proposed for the Wildwood, Nova, Magnolia intersection because it is right at my house. My only other thought is that it seems there may be an excess proposed for Magnolia. Please don’t abandon to most needed intersections because of objections to a couple of stop signs.
